The theme of this diploma thesis is mergers and acquisitions. The theoretical part is given the nature of mergers and acquisitions, their historical development with examples of recent mergers and acquisitions in the Czech Republic and in foreign countries. Thesis also includes a list of motives that lead companies to cross-linking. In the end of theoretical part the procedure followed by limited companies that decide to merge is described. In the practical part is simulated the real merger of two existing limited companies which precedes the description of the business sector of both participating companies and their main motives of merger. The core of the practical part consists in the preparation of draft documents - Project of merger and Agreement of merge. The estimation of property trend, its sources and economic profit.

The purpose of my thesis is to analyse the legal regulation regarding the transfer of the business share in a limited liability company in the Czech Republic. I have chosen this topic because of a lack of its legal regulation on the one hand and controversy and topicality on the other hand. The study analyses relevant law, commentaries, books, articles and case law. Moreover, it also compares the current legal regulation with the new legal regulation represented by the new Civil Code and the Act on Commercial Corporations. The main contribution of this paper is in providing a critical perspective on the current legal regulation and also the comparison with the new one. The thesis is composed of five chapters, each of which deals with different issues connected with both the transfer of the business share and the agreement on the transfer of the business share and a comparison with the new regulation. The environment is taking a larger part of the debate resulting in the creation of UN declarations, domestic and regional laws, public pressure on companies and politicians to take responsibility, and a greater awareness on our increasingly exploited planet. However, the people who are affected the most, poor and often indigenous people, find themselves in an increasingly dangerous position when they try to defend the planet. Previous research lack understanding on which features that facilitates deadly violence against environmentalists. In contemporary time, three environmentalists per week die when they try to defend the planet from environmental harm, making it more than twice as dangerous as being a journalist. This thesis tries to answer - what explains deadly violence against environmentalists in developing countries by using the method of structured focused comparison (SFC). Honduras is the deadliest country per capita for environmentalists and they will be compared with El Salvador, which does not experience a high degree of deadly violence against environmentalists. The attributes tested are chosen in accordance with the analytical framework of Limited Access Orders (LAO). LAOs are controlled by elites who create rents to maintain their power, hence decreasing elites power by enforcing open access orders (OAO) in LAO can result in increased violence. Honduras and El Salvador’s differences suggest that environmentalists have been subjected to enhanced dangerous circumstances in Honduras than environmentalists in El Salvador and historical conditions have resulted in the protection of the environment in El Salvador by the wider social movement. Earlier research in Honduras has pointed at the importance to decrease corruption in order to decrease violence against environmentalists. However, the theory of LAO suggests that attempts to abolish corruption, increase access, institute democracy or increase rule of law surge violence. In order to limit deadly violence against environmentalists, this study suggests that Honduras focus should be at: prevent expropriation, limit international corporations access on natural resources, attain consent from the local communities before starting projects, require corporations and organizations to publish public environmental assessment reports before projects starts that can degrade the environment and increase focus on the manufacturing sector instead of extraction of natural resources.

Do you find it hard to envision the future when you are struggling to keep up with the present? A reality in many libraries is high demand but limited resources. In this session, participants will develop a menu of current services offered in their position or department. After group discussions on criteria for evaluating services and shortening workflows, participants will eliminate one service and/or shorten its prep time in order to add a forward thinking service.

Earnings conference calls are salient sources of firm-specific information that provide both hard and soft information to investors. In this paper, I find that institutional investors participate more actively in earnings conference calls held by firms that receive less attention than their peers prior to conference calls. I construct a measure of relative inattention using the Bloomberg Heat Score, which captures the aggregate search activities of institutional investors at the firm level. Using a broad set of earnings conference call transcripts, I identify participants affiliated with institutional investors and their dialogue to examine the association between institutional investors' inattention and their activities during earnings conference calls. I show that institutional investors appear more often, ask more questions, and request more guidance in conference calls held by firms that receive less attention before the calls. Collectively, the results indicate that institutional investors compensate for the lack of firm-specific information with conference call participation, despite potential costs of publicly revealing their information acquisition.

Much of how Florida and other states across the country justify the practice of mainstreaming English language learners into regular content classrooms rests on the premise that with the guidance of state officials, local school districts adequately train content teachers to work with English language learners. Yet little to no research exists that can help identify and analyze the overall efficacy of these programs. Consequently, this study has attempted to determine whether district training sessions in Florida are sufficiently covering the state-mandated content areas that teachers are required to learn and to what extent in-service teachers agree or disagree that they received the appropriate amount of instruction that would prepare them to instruct English language learners. Training sessions in three large Florida school districts with high proportions of English language learners were studied using a mixed-methods approach that gathered quantitative and qualitative data from observations, surveys and in-depth interviews. Among other things, the findings revealed a pattern of districts overemphasizing cross-cultural awareness issues to the detriment of other critical areas teachers need to know such as methods and curriculum. In addition, there was a general consensus on the part of participants that the trainings lacked specificity and were both impractical and redundant. A number of specific recommendations are offered such as ways to modify the focus of the curriculum, provide incentives to teachers, and create more accountability and oversight of the training sessions themselves. Policymakers are strongly urged to prioritize these types of programs by providing training sessions with more resources and attaching to them a larger sense of importance.

The thesis writing here is an effort by the artist to identify his motives in creating, and his aims for the audience, and to communicate this to the reader in a clear and truthful manner. Section 1 focuses on introducing the ground of the artists’ thinking, discussing his ideas of the body and culture identity, and how they motivate his work. Section 2 goes into greater detail about the manner his thought process evolved through the course of a number of works. In Section 3, there is an ever sharper focus in the works towards the isolated and inscrutable individual. The theme that runs throughout is that, although it’s difficult if not impossible to fully communicate with another, the effort is worthwhile.

Papilio dardanus displays female-limited polymorphic mimicry of multiple model species. Butterfly wing shape is species-specific and can influence mimetic signaling, but has not been characterized in this species. We used elliptical fourier analysis to investigate whether mimetic P. dardanus female forms have converged on the wing shape of their respective models. Although both models and mimics varied in forewing and hind wing shape, we found no evidence of forewing shape convergence between them. Overall, forewings did not differ in shape between sexes in P. dardanus, nor in four non-mimetic Papilio used for comparison. Similarly, there were no hind wing differences between the sexes in the four non-mimetic Papilio. However, P. dardanus hind wings varied significantly between mimetic females and non-mimetic individuals suggesting that, in addition to wing color pattern, the evolution of mimicry has led to changes in hind wing shape in P. dardanus.

Mental illness is often associated with social isolation, unemployment and limited community participation. Mental health rehabilitation services aim to decrease these psychosocial effects of illness and encourage better community integration for mental health consumers. Volunteer work is one avenue in which consumers can become actively involved with their local communities. However whilst often supported clinically, limited empirical evidence exists which supports the use of volunteer work as a potential mode of rehabilitation for consumers. The overall aim of this study was to document consumer perceptions and experiences with volunteer work and to identify if participation in volunteer work has a positive impact on their mental health. Phase one of this study involved in-depth interviews with nine consumers currently volunteering. Themes identified from these interviews supported the notion that volunteer work is a meaningful occupation for consumers and one which promotes community integration and supports consumer recovery. Findings from the interviews also guided the development of a volunteer scale for later use within the study. Phase two involved the development and pilot testing of a volunteering questionnaire which measured consumer attitudes and experiences with volunteer work. This scale was combined with other standardised tests which measured the mental health variables of personal empowerment and quality of life. Phase three involved the administration of the questionnaire battery developed in phase two. The battery was distributed and completed by thirty consumers, including both those who were and were not volunteering. Analysis conducted identified that overall consumers held a positive view of volunteer work, believing it was a way of developing work skills, friendships and promoting positive mental health. / Analysis comparing the volunteering to the non volunteering group indicated that those volunteering experienced better quality of life, specifically within the psychological health, social relationships and personal environment domains. This provides support for the hypothesis that participation in volunteer work promotes consumer recovery. However, age was identified as a potential confounding variable and so the significant results should be viewed with caution. Cost, stigma and becoming unwell during volunteering were identified as barriers to consumer participation. It is argued that mental health services are in a good position to support consumers not only to access but also to maintain ongoing volunteer participation. To date minimal evidence has existed that supported this intervention. This study has begun to fill this research void, however, small study numbers and the cross-sectional, descriptive design make establishing a cause and effect relationship impossible. It would thus be beneficial to conduct a larger study investigating the impact further, including measuring the influence of any interventions that promote consumer participation in volunteer work, such as supported volunteering.
