Reorganization in the new Czech insolvency law with respect to the US law Summary The purpose of my thesis is to analyse reorganization as an institute of the new Czech insolvency law and its relation to the US insolvency legal regulations. The thesis is composed of 11 main chapters, majority of them relating to the reorganization process and its particular subjects. Chapter One is introductory and defines the purpose of the thesis as well as its limits. The next two chapters give a brief introduction on the insolvency law history in both countries in order to highlight the underlying differencies of both economics. These chapters also addresse the current legal status of insolvency law with emphasis on the recent legislation changes and their relation to economical and social changes. Chapter Four lists the main subjects to the insolvency procedure with emphasis on reorganization and defines basic terminology to enable a better understanding of the reorganization. It is followed by a chapter Five describing the reorganization institute in detail incorporating an outline of relevant Czech case law. ABSTRACT Due to the global economic depression, enterprise bankruptcy and reorganization cases are increasing tremendously during the recent years. However, the current laws and regulations respecting reorganization and bankruptcy are not comprehensive enough to help the enterprises and protect the rights and interests of creditors and investors. It is a common place that the court could not render decision immediately and precisely while the enterprises file for reorganization when encountering financial problems, due to lack of sufficient information or clear provisions of laws. Therefore, some enterprises that were worthy to give assistance and should have had a chance to regenerate their business, had fallen into the destiny of bankruptcy. On the contrary, some other enterprises use the Bankruptcy Law as their protector to have their cunning maneuver happened all the time. By the comparison of the R.O.C. and America bankrupt systems, the author has tried to find out how to appraise the enterprise while a financial crisis occurs. It is the author's hope that this thesis could provide the investors with an accurate and effective assessment principle to assist the enterprises out of the predicament, and furnish the government a helpful reference for amending the bankruptcy law. This thesis includes the comparison of the differences between R.O.C. and American bankrupt systems, some certain grave Chinese and American enterprises bankruptcy and reorganization cases that happened in the recent years, as well as the analyses of the relevant provisions of Company Law, Bankrupt Law, Law Governing Merger of Financial Institutions, Financial Holding Company Law, and Merger and Acquisition Law. The objects of all these analyses and comparison are to interpret the insufficiency and implicit points of current laws and regulations. This thesis has also applied and analyzed some theories about corporate governance. This research does not cover the procedures of liquidation and personal bankruptcy.

Investigating Implementation of Federal Agency Reorganization

This study investigates the implementation phase of reorganization. Although determination of reorganization success or failure is a rather intractable problem, this study sheds light on this issue by performing a structured study of the U.S. Government Accountability Office (GAO) reports to answer the question, what do GAO reports say about the implementation of federal agency reorganization? More specifically this study explores what portion of reorganization plans are implemented, what are both expected and unexpected costs, and what issues occurred during the implementation process. GAO reports on reorganization are used as a data source to gather information on a number of implementations of varying sizes. Content analysis is the tool to be used to extract data over a large number of implementations. This study provides a more nuanced view of implementation by evaluating a number of reorganization implementations as a data set. As Destler (1981a) said, 'For reorganization, as for any other change, implementation is the bottom line. Without it, the whole exercise is show and symbolism' (p. 155)Findings of this study reinforce observations on reorganization and implementation by many scholars. The results of the content analysis show the precepts of classical organization theory still influence implementation of reorganization. Economy and efficiency were found to be motivations in a large majority of reorganizations. This study also showed the primacy of personnel issues in implementation, especially when implementation resulted in a net loss of personnel. The desire to avoid layoffs combined with reduction in force procedures exacerbated uncertainty in implementation. Neither the implementation schedule nor the resulting workforce was completely under agency control in many cases. Finally, this study showed the conflict between advocates of less government and advocates of reinventing government was evidenced in reorganization implementation. / Ph. D.

Title of the Master's thesis: The solution of bankruptcy in the form of reorganization Summary The main objective of this diploma thesis is to provide a sufficient description and analysis of the solution of bankruptcy in the form of reorganization which is regulated by the Act. No. 182/2006 Sb. The complex issue of reorganization is essentially a method for non-liquidation solution of bankruptcy usable only in the case when a debtor is an entrepreneur. It uses various methods of restructuring debtor's business in order to satisfy the creditors to a greater extent than in the case of liquidation solution of bankruptcy. The thesis is divided into fifteen chapters that are further divided into subchapters. Chapter one briefly describes the history of bankruptcy law. The second chapter is an explanation of nature of insolvency law focusing also on the economic aspect of insolvency. The following chapter defines bankruptcy within the meaning of applicable legislation. The existence of bankruptcy is essential for insolvency proceedings at all. Reorganization under insolvency law Abstract Diploma thesis from quite vague scope, as reorganization apparently is, focused on specific areas in insolvency proceedings and trying to bring a more concrete point of view and a more detailed perspective. Those areas include problems of suitability research that can be use by reorganization institute, as fundamental remediation for solving bankruptcy for various situations. Focus is on both economics, also a legal assumption of the feasibility of reorganization, yet to increase an emphasis on examining the motivation of people, who apparently can affect the enforcement and can significantly affect the implementation of reorganization. Determination process of appropriate way to resolve the insolvency situation is closely related to its solution and is also more detail explained in thesis. As a main key is considered to have enough and sufficient information about debtor's creditors. Valid legal problems and regulations of compiling a professional assessment, which might lead to better knowledge for creditors. Reorganization of a government's engineering division to model civilian organization for success

The Directorate Public of Works Engineering Service Branch is responsible new designs, renovations of existing construction, and general supervision of new construction. Over the years (especially in the last two or three years), the Design Branch has been perceived as providing a low quality product. The quality can be directly related to personnel issues within the organization such as heavy workloads, low morale, lack of respect for management, and lack of leadership which is required to improve the quality of work. As a result of the evaluation of the current organizational structure and how it contributes to the personnel aspects of its staff I have recommended that the organization transitions from an operational structure to a matrix structure. I have furthermore, identifying the strengths of the recommended structure and how it will contribute to the improvement in the quality of the design. I have also identified weaknesses of the recommended structure and sought to identify solutions to minimize negative impacts on the organization. The roles and responsibilities are also identified in the recommended matrix organizational structure. / text

De senaste decennierna har vårt samhälle allt mer präglats av omorganisationer. Detta väckte ett intresse hos författarna att undersöka hur arbetstillfredsställelsen påverkas av detta. Valet föll på Försäkringskassan då denna organisation ständigt genomgår förändringar, det kan gälla lagändringar och andra större förändringar som den stora omorganisation Försäkringskassan genomgått de senaste två åren. Syftet med vår uppsats var att undersöka hur Försäkringskassans anställda upplevde sin arbetstillfredsställelse i samband med den senaste stora omorganisationen. Vi använde oss av en kvantitativ datainsamling med ett deskriptivt syfte, vi genomförde en enkätundersökning med i huvudsak frågor i VAS-skala. Studien genomfördes på ett utav Försäkringskassans Lokala Försäkringscenter (LFC) i region Nord. Urvalskriteriet var en anställningstid på minst fem år. Undersökningsdeltagarna var 26 stycken, varav fyra män, deltagarna hade en medelålder på 52,2 år. Resultatet visade på en förhållandevis hög arbetstillfredsställelse bland undersökningsdeltagarna. Vi drog slutsatsen att detta hade samband med det stora stöd respondenterna upplever sig ha fått av enhetschefer och arbetskamrater.
