Duties of so-called quoted joint stock companies Thesis author: Mgr. Marek Novotný Thesis supervisor: prof. JUDr. Stanislava Černá, CSc. This thesis is concerned with the regulation of duties of quoted joint stock companies (especially the duty of information) and its various institutes. The purpose of this thesis is to describe the legislation in this area of law and its development, with emphasis on the transposition of European legislation, and subject them to critical evaluation. In the first chapter the theoretical framework is defined by describing key legal concepts (the term "quoted joint stock company", "regulated markets") and the development of the most important legal regulation in this area - Act No. 256/2004 Coll., on Business Activities on the Capital Market. The second chapter is devoted to regulated markets and subject information duty. The third chapter deals with the admission of a security to trading on a regulated market and associated initial information duty of joint stock company, which is willing to become quoted. I describe mainly the prospectus and its essential elements. Diskriminace Romů na trhu práce? / Roma discrimination on the labour market?

This diploma deals with the problem of the participation of Roma in the work market. The scope of the investigation is focused on the Broumov region, where I look for possible causes, hurdles and reasons for Roma unemployment. The empirical part deals with gathering data from three different informants. The goal of this research is a complex overview of the actual situation from the view of employers, Roma themselves, and the state, represented by the Job Centre (Work Offive). To this end I used the involved observation method, and in-depth interviews. The target of the diploma was to find out what the main hurdles are in the scope of the participation of Broumov Roma in the work market, and what are the main obstacles to the participation of Roma in the work market. The result of the completed research is that among the main obstacles are insufficient education, low qualifications, frequent property re-possession and the unwillingness of employers to employ Roma. The source of this unwillingness is distrust of Roma due to bad experience with this minority.

Resumé The topic of my thesis is the employment of people with disabilities. In the thesis I deal with legal status of persons with disabilities and the instruments for protection and support in the area of employment. The thesis is divided into the introduction, nine chapters divided further into sub-chapters and sections, the conclusion and the annexes. The first chapter defines the term person with disability under international law, specifically in documents of International Labour Organisation, World Health Organisation, United Nations Organisation, Council of Europe, and under Czech legal system. In the second chapter I deal with the provisions of working conditions of persons with disabilities under the above international organisations. Furthermore, this chapter presents the actual actions of Council of Europe in the area of the rights of persons with disabilities. Free-lance professions under the law of the EU The free-lance professions under the law of the EU serve for the topic of the present thesis. They represent a special category of occupations playing though a significant role in the daily life of the society and in the economic events of both the state and the European Union. They distinguish from other forms of businesses by the "liberty" of carrying out, i.e. the independence on the direct state supervision. It is impossible to find among EU member states neither the identical term of a free-lance profession, nor the categories of the professions considered to be included. The term might regard advocates, architects, but also journalists, writers, artists etc. Neither do the EU member states agree on the content of individual activities, or usually performed duties. As some of these occupations are significantly linked to the public interest, the member states tend to increase their regulations. The first part of the thesis deals with differences of conceptions in individual member states, as well as with their common basis. The aim of the EU is to overcome the discrepancy of national regulations and to unify the conception. Integrace finančních trhů nových členských zemí EU / Integration of the Financial Markets of the New Member States of the EU

The subject of the thesis is the integration of financial markets of the new member states of the European Union (hereinafter referred to as the NMS). According to the standard economic theory, the process of financial integration should be associated with several positive effects, among others a) the enforcement of the law of one price in the form of the interest rate parity, b) the smoothening and the synchronisation of the consumption growth among countries, c) the increased diversification of investors portfolios, and d) the decreased dependence of domestic investments on national savings. These envisaged effects serve in the thesis as the indicators of the integration of NMS financial markets with the global financial market. These indicators show that the degree of the financial integration differs among the NMS, despite the fact that they all went through the process of integration with the EU. However, the order of the NMS based on the degree of their financial markets integration could not have been determined as each test indicated a different order. However, most tests indicated that there is a trend towards more integration of the NMS financial markets as the dependence of the domestic consumption growth on the global consumption growth has been increasing and the dependence of domestic investments on national savings has been decreasing. Surprisingly, the indicators did not prove the hypothesis that NMS financial markets are more integrated with the financial market of the EU, despite the fact that these countries had to open their markets to investors from the EU and had to harmonize their legislative requirements. Contrary to the results of previous articles, indicators used in the thesis show that majority of the analysed puzzles in international economics disappeared for large developed markets like the USA. On the other hand, these puzzles persisted for the NMS. Given that majority of the NMS adopted euro during the period under investigation, results presented above indicate that the financial markets of the NMS were not fully integrated with the financial market of the EU and therefore one of the conditions for the existence of the optimum currency area has not been met. Such result also contradicts the hypothesis of the endogeneity of the optimum currency area as the adoption of the common currency did not improve the degree of financial market integration.

This diploma thesis is focused on the analysis of internal and external image of the company ABC. This firm has not wished to be specified. The main goal of this thesis was to analyze image of the company ABC operating on the logistics market in the Czech republic. This goal was fulfilled and according to the results, firm has a positive image from the employee and customer point of view. The reader can find final references in the application part of this thesis. First minor goal was to help reader to identify key points of this topic and extend his knowledge about the image of company. The reader can acquire broader information about mentioned topic in the theoretical part and following sections of this diploma thesis improve her/his ability related to the image of specific company. Second minor goal was to describe internal employee point of view and present it to the employer, company ABC. This goal was accomplished as there is a lot of important information and data included in the replies to the questionnaire. Third minor goal was to characterize Czech logistics market and define competitive companies based on the knowledge of employees and customers of the enterprise ABC. The company is considered as one of the main firms but is not the market leader. It was not possible to analyze customer point of view since the internal NPA file did not contain it or the data was incomplete. The author of this diploma thesis used own questionnaire and internal NPA file received by the company ABC to extract the results. He also used a combination of the literal transcription method and following cluster creating technique to construe the conclusions.

Zaměstnávání znevýhodněných osob v ČR a EU / Employment of disabled persons in the Czech Republic and European Union

The objective of this thesis is to suggest possible improvements and ways to increase the efficiency of employment support and subsidies for disabled people in the Czech Republic. The thesis is divided into a theoritical and a practical part. The theoretical part focuses on the employment of disadvanatged groups of people in the labour market, legislation adjusting this issue, tools and financial subsidies from the Czech government, as well as the current state and problems of the Czech labour market itself. The practical part contains an employment analysis of disabled persons in the European Union with a closer focus on certain countries. Two surveys were carried out, targeting both employers and disabled employees. Based on the results of the questionnaires, proffessional literature, previous analyses and a comaprison between selected European countries, potential improvements and ideas are suggested to improve the current system of employment and financial subsidies for disabled people in the Czech Republic.

This master thesis focuses on application of tracking and tracing technologies in the tobacco industry. As per Directive 2014/40/EU, overall trackability and traceability will be an obligation for all unit packs of tobacco products. The reason for this is the fight against the black market. The thesis analyses the current track and trace technologies, evaluates the important points of the Directive and describes tobacco market specifications. The core is to propose a specific technology for this objective and to summarise essential features of the system. In addition, a technology called Codentify is described in detail, as it has the potential to fulfil the legislative demands.
