Postavení vlivné osoby v podnikatelském seskupení nekoncernového typu s přihlédnutím k britské právní úpravě / Status of influential person in a business grouping other than group of companies taking into account British legal regulation

in English This diploma thesis deals with the field of commercial law concerning corporate groups. It focuses mainly on the influential person and its position and the emphasis is on the influence exercised and the consequences that the performance may cause. A substantial part of the thesis is devoted to the tools available to a person influenced and creditors in cases where the consequences foreseen by law are caused. The second part of the thesis deals with the same issue, but in terms of the legal order of the Great Britain. There is no regulation of this area of corporate law conceived as comprehensively as it is in the legal framework of the Czech Republic. The diploma thesis therefore focuses on the individual provisions of various legal regulations, which in this context protect the influenced/ subsidiary companies and their creditors. The final part is devoted to the comparison of both legal systems with the emphasis on comparing similar legal provisions as well as issues that are not regulated in the Czech legal framework. By comparison, I conclude that the Czech legislation provides a more suitable environment for the status of an influential person, the functioning of corporate groups, the protection of persons influenced and their creditors.

Corporate veil and its limits in the Czech Republic This thesis deals with the corporate veil of a company and related legal institutes. Moreover, the thesis interprets instruments that can lead to responsibility or liability of shareholders for the company's obligations. The thesis identifies three model situations related to the corporate veil and the question of its possible pierce that are recognized by foreign legal systems. The first chapter of the thesis focuses on the description of basic Czech legal institutes connected to the corporate veil, which are the concept of legal person and its legal personality, classification of legal persons and separate ownership of a company and a shareholder. The end of the first chapter is focused on a description of corporate veil itself and foreign doctrine of piercing the corporate veil. The second chapter of the thesis describes instruments of Czech company and civil law which may result in piercing the corporate veil between the shareholder and the company. Vintern kommer : en litteraturstudie i hur klimatets förändringar påverkat människor / The winter is coming : a litterature study over climate change and its influence over humans

The earth has always had a shifting climate with some periods having a colder climate then what is considered normal. This essay aims to investigate how the research of cold periods have changed. The purpose with this study is to investigate the most common beliefs researches has for the events of the climate catastrophe 536 and what factors lead to a possible population reduction. I will investigate three different reasons for this: Volcanic eruptions, plague, and climate. Another cold period the “little ice age”, 1300-1850, is used as an example and a theoretic comparison to the catastrophe of year 536 because the “little ice age” is a well-documented cold period of the later historical era. These two periods are interesting because they are booth cold periods. The first cold period lasted for a couple decades while the second cold period lasted for five hundred years. The bad climate situation depends of several different factors especially the fall in summer temperatures because the sun was hidden in a dust veil. The dust veil had been created after the big eruptions. The result of this study is that in general, the research has gone from more simple research to a more complex when knowledge of the complexity of the situation has evolved. The newer research has better access to natural science sources. The most common believes is that the volcanic eruptions or the Justinian plague were the biggest reason for a possible population reduction.

The French politic of the veil in relation to International law : Analyzis of the politic of the veil in France

The Universal Declaration of Human Rights (UDHR) and other international conventions have been ratified by many countries, yet the basic freedoms established therein continue to be taken for granted. In recent years, the Islamic veil has been widely debated as an oppressive garment against Muslim women and a threat to Western secular democracy. This debate has led countries, including France, to take legal action to ban clothing that completely covers the face. France has professed itself as a secular state for centuries following its historical revolution, with a narrative of guaranteeing equal rights and opportunity to all citizens. However, this secular orientation has, in practice, led to a law that has created and promoted juridical and institutionalized inequality. This thesis discusses the prohibition of the veil in relation to basic human rights and freedoms established by the UDHR, the European Convention on Human Rights and Fundamental Freedoms, and the International Covenant on Civil and Political Rights, as well as other relevant documents that hold the central idea of protection of religious freedom and expression. These documents will be analyzed alongside John Stuart Mill’s foundational philosophy on freedom. The main findings of this study are that the issue of the veil is complex, and its story must be understood before it can be judged. Muslim women who choose to wear the veil have a right to freedom of religion given by the UDHR. France is a signatory and therefore infringing on those rights is a violation of international law. This conclusion is supported by the theoretical foundations of freedom presented by John Stuart Mill and previous research that dealt with the issue of the veil in Western societies. / <p>Presentation gjordes online på grund av Covid19.</p>

This paper, ”How can you use such kind of oppression against women in your advertising!!!”- A qualitative study of the response H&amp;M and Åhléns recieved due to their campaigns with veild women” is about how the veil and the veild woman are mentioned in the respons of the campaigns and which values that can provide the veiled woman in the society. To find this out, I have used a critical text analysis where I have analyzed the vocabulary and sentence structure. The theories underlying this study are post-colonial feminism, Stuart Halls representation and the New media landscape. All of these theories has been used to analyse the material. The results showed that the veil was both mentioned as a symbol of oppression and freedom and the veild woman was someone who, for some people, both fought for justice and a free society and by some, someone who is deeply oppressed. The conclusions that can be drawn from the results is that the veil, still is something that is seen as an oppression of women, and doesn’t belong in Sweden. But it is also possible to interpret it in such a way that the veil is something that has come to be accepted in society, and for many, gained a new and different meaning from before. The main conclusion is that the veil still is something that is highly debated and that the veiled woman is someone that the western countries have different views on.

The effect of audit committee shareholding, financial expertise and size on interim financial disclosures.

No / In recent years, corporate failures and accounting irregularities have led to concerns about the effectiveness of audit committees in the financial reporting process. In response, corporate governance committees in different countries have made specific recommendations designed to enhance the role of the audit committee in executing its financial reporting oversight duties. We investigate in this study, the effect of some of the recommendations by empirically examining the relationship between selected audit committee characteristics and the level of disclosure in interim reports of a sample of 262 UK listed companies. Specifically, the audit committee characteristics examined are shareholding of audit committee members (as a proxy for audit committee independence), audit committee size and audit committee financial expertise. Employing both a weighted and unweighted index to measure interim disclosure, the results indicate a significant negative association between shareholding of audit committee members and interim disclosure. Our results provide evidence of a significant positive association between interim disclosure and audit committee financial expertise. We find no significant relationship between audit committee size and the extent of disclosure in interim reports. Overall, however, our results suggest that audit committee characteristics have an impact on its monitoring effectiveness of the financial reporting process. These results have important implications for corporate governance policy-makers who have a responsibility to prescribe appropriate corporate governance structures to ensure that shareholders are protected

The liability of groups of companies in Islamic law : a comparative study with common law

Groups of companies offer considerable economic and practical advantages over other forms of business organizations. However, the phenomenon creates a long list of problems in terms of antitrust law, tax law, labour law, corporate law, and in the case of international companies, conflict of laws. National laws do not provide a complete solution to these problems because groups of companies are still governed by traditional corporate law, which is designed to govern single independent companies. On the other hand, harmonization of the law of corporate groups across Common legal systems is neither feasible not advisable. The most important problem which has not yet been completely solved by Common law systems is the liability of groups of companies for the debts of their subsidiaries. This has been described as &quot;one of the great unsolved problems of modern company law&quot;. The present study aims to analyse the solutions provided by Common law systems to this problem and evaluate if they provide a solid settlement or whether further safeguards are needed for those dealing with corporate groups, namely minority shareholders and outsiders including creditors. By using a comparative approach with the Islamic law system, the study evaluates if the Common law solutions are also applicable in such a religious system or whether, due to its unique character Islamic law needs to create its own solution. This comparative approach assesses the possibilities of harmonization between Common law and Islamic law systems and promotes the Islamisation of modern laws in Islamic countries.

<p>The title of this essay is Project: The Veil – an investigation of the trends in the Swedish veil debate compared with the veil debate in France and Great Britain written by Cecilia Lindvall. The purpose of the paper is to analyze how the argument has been conducted by the Swedish politicians from the time when the veil was first recognized in Swedish media up until today. The questions I wanted to answer was each countries definition of the three concepts secularization, freedom of religion and multiculturalism, how Islam as a faith with Muslims has developed in Sweden, France and Great Britain and each countries integration politics with the politicians attitude towards the veil. The method being used is a qualitative study with three kind of theories for analysis; two who derives from a feminist point of view where the first one advocates for the rights of each women, the second for the rights of religious groups and a third theory which discusses different models of integration logics. The study shows that Swedish politicians turned from a negative approach to the veil to advocate the rights of every woman‟s right to wear religious cloth. Sweden and Great Britain chooses similar direction in their national integration program – which protects group rights – while France promotes individual rights on a basis of assimilation politics.</p>
