A presente dissertação tem por finalidade a análise dos principais aspectos jurídicos societários do tratamento dado aos planos de opção de compra de ações de emissão de sociedades por ações comumente designados stock option plans , especialmente quanto aos planos adotados por companhias abertas brasileiras. Para tanto, o estudo se inicia com a contextualização dos planos de opção no Brasil em face da chamada Teoria da Agência, bem como das normas atualmente aplicáveis ao referido instituto. Em seguida, por se tratar de questão intimamente relacionada, são discutidos determinados aspectos sobre a eventual natureza trabalhista dos planos de opção, para, então, proceder-se à análise das principais características dos stock option plans. Por fim, é apresentado o panorama atual das companhias abertas brasileiras que possuem um plano de opção aprovado por seus acionistas, como esforço da caracterização da evolução da forma de remuneração variável no Brasil. / This dissertation aims the analysis of the main corporate legal aspects of corporations stock option plans, particularly with regards the plans adopted by Brazilian publicly held companies. To this end, the study begins with the background of the option plans in Brazil in the face of the so-called agency theory, as well as the currently rules applicable thereto. Thereafter, are discussed certain aspects involving the eventual labor nature of the stock option plans, as well as their main characteristics. Finally, the study presents the current panorama of Brazilian companies that have an option plan approved by its shareholders, as an effort to illustrate the evolution of the variable compensation in Brazil.

Relating to Personal Selling firms, researches show that the personal value ‘effort’ is related to high performance. Relational values, highly present in social and informal sales contexts as the Personal Selling, are neglected, not being related to positive individual performances. Adopting the Organizational Culture as theoretical framework, this study investigates the relation between the sales force´s (Sales Executives - EVs and Beauty Consultants - CBs) personal values of the Direct Selling firm Pierre Alexander Cosmetics (PA) and individual revenues obtained by these professionals. This was accomplished by the use of direct observations and the C-VAT Methodology (Culture and Values Analysis Tool) and the PVP questionnaire (Personal Values Profile), that 415 PA members answered between 2012 and 2014. The answers were analyzed by the Cluster Analysis Technique and show a Company composed by women that are more than 40 years of age and work at PA for more than 15 years. Their values are strong in Work and effort is the main one, united to work quality and to relational dimensions as loyalty, empathy and sociability. In a second moment, the relation between personal values and individual revenues of the sales force in the year 2013 was interpreted by frequency distribution methods. This research concluded that personal values related to Work are fundamental to obtain high individual performance from the CBs (sellers). On the other hand, relational values are most important to motivate the EV’s (coordinator) team of sellers. Differing from what affirms the literature on the area, personal values that help in sales differ from personal values that base the motivation of others to sales (EVs objective). / Desde 1985, os fatores pessoais são reconhecidos como determinantes do desempenho de vendedores, porém a maioria dos estudos internacionais que investiga a relação entre valores pessoais de vendedores e desempenho objetivo não inclui a força de vendas (vendedores e gerentes de venda) nas amostras. No que se refere a empresas de Venda Direta (VD), pesquisas apontam que o valor pessoal ‘esforço’ está relacionado à obtenção de altos faturamentos. Valores relacionais, altamente presentes em contextos de venda sociais e informais como a VD são negligenciados, não sendo relacionados a desempenhos individuais positivos. Utilizando a Cultura Organizacional como aporte teórico, esta pesquisa investiga a relação entre valores pessoais da força de vendas (Executivas de Vendas - EVs e Consultoras de Beleza - CBs) da empresa de Venda Direta Pierre Alexander Cosméticos (PA) e faturamentos individuais dessas profissionais. Para tanto, utilizou-se de observação direta e da metodologia C-VAT (Culture and Values Analysis Tool), com o questionário fechado PVP (Perfil de Valores Pessoais) aplicado, entre 2012 e 2014, a 415 membros da PA. As respostas, analisadas por meio da Técnica de Análise de Clusters, mostram uma Empresa composta por mulheres com mais de 40 anos de idade, em sua maioria, há 15 anos ou mais na PA. Seus valores são fortes em Trabalho, sendo o esforço o principal, unido à qualidade no trabalho e a dimensões relacionais como lealdade, empatia e sociabilidade. Em um segundo momento, a relação entre valores pessoais e faturamentos individuais da força de vendas no ano de 2013 foi interpretada por métodos de distribuição de frequência. Concluiu-se que valores pessoais ligados a Trabalho são fundamentais para a obtenção de altos faturamentos individuais por parte das CBs (vendedoras), ao passo que valores relacionais são mais importantes para motivar a equipe de vendas das EVs (coordenadoras). Diferindo do que afirma a literatura da área, valores pessoais que auxiliam nas vendas diferem, portanto, de valores pessoais que embasam a motivação de outros para a venda (objetivo das EVs).

Non-verbal communication in Tshivenda: a sociolinguistic and discourse analysis

Thesis (Ph.D. (Tshivenda)) -- University of Limpopo, 2015 / This study examines the role of non-verbal communication among the Vhavenḓa. It must be borne in mind that in comparison with verbal communication non-verbal communication tends to be perceived less accurately. This seems to be because every culture interprets body language, gestures, postures and vocal noises differently. Thus, in many instances, non-verbal communication tends to be misinterpreted and misunderstood. This is the problem that the study investigated and the findings of the study may help to indicate ways that can be used to interpret non-verbal communication in Tshivenḓa correctly. From the data collected, the study showed that there are several types of non-verbal communication that Tshivenḓa speakers use regularly. These are silence, kinesics, postures, facial expressions, heptics, proxemics and time. The study has adopted the qualitative research approach to collect and analyse the data. Using this approach, the study determined that there are several meanings that the Vhavenḓa associate with the aforementioned types of non-verbal communication. For instance, silence is largely associated with respect, good manners and satisfaction. Kinesics actions, such as kneeling down, denote kindness, honour and welcome. The study also shows the disadvantages of non-verbal communication which are part of silence, such as an indication of hatred, loneliness and witchcraft. In the main, the study shows that non-verbal communication in the Tshivenḓa culture is also gender based. For example, men are discouraged from walking behind their women as they would be deemed to be stupid, weak and lacking in leadership qualities. This fosters gender stereotypes and inequality between males and females - aspects which the constitution of the country discourages. The results of the study have led to several recommendations of which the following are the more prominent ones: as silence is not always golden Tshivenḓa-speakers should be encouraged to voice their feelings rather than remain in bondage forever and good manners should be encouraged as long as their realisation does not trample on people’s rights - regardless of their gender. Crucially, the study also recommends that life is dynamic and some cultural attributes that were fashionable in the past are no longer so today. Therefore, men especially should be taught to accept the new democratic order which accords everyone the respect they deserve - regardless of age, gender and religion.

Effect of dietary threonine level on productivity and carcass characteristics of indigenous Venda chickens

(Animal Production)) -- University of Limpopo, 2014 / Two experiments were conducted to determine the effect of dietary threonine level on productivity and carcass characteristics of indigenous Venda chickens. In each experiment the diets were isocaloric and isonitrogenous but with different dietary threonine levels. A complete randomized design was used in both experiments, the starter (1-7 weeks old unsexed chickens) and finisher (8-13 weeks old female chickens) experiments. The treatments were CT4 (4 g of threonine/kg DM), CT5 (5 g of threonine/kg DM), CT6 (6 g of threonine/kg DM), CT7 (7 g of threonine/kg DM) and CT8 (8 g of threonine/kg DM). A quadratic type of equation was used to determine dietary threonine levels for optimal feed intake, growth rate, feed conversion ratio, live weight, metabolisable energy intake and nitrogen retention of unsexed Venda chickens aged one to seven weeks. Dietary threonine level affected (P<0.05) feed intake, growth rate, feed conversion ratio, live weight, metabolisable energy and nitrogen retention. However, feed intake, growth rate, feed conversion ratio, live weight, metabolisable energy and nitrogen retention of indigenous Venda chickens were optimized at different dietary threonine levels of 6.218, 6.437, 6.331, 6.655, 5.979 and 6.158 g/kg DM feed, respectively. Dietary threonine level did not affect (P>0.05) mortality rate of the chickens. The treatments for the second experiment were FT4 (4 g of threonine/kg DM), FT5 (5 g of threonine/kg DM), FT6 (6 g of threonine/kg DM), FT7 (7 g of threonine/kg DM) and FT8 (8 g of threonine/kg DM). Dietary threonine level had effect (P<0.05) on feed intake, growth rate, feed conversion ratio, live weight, metabolisable energy and nitrogen retention of female Venda chickens aged eight to 13 weeks. Feed intake, growth rate, feed conversion ratio, live weight, metabolisable energy intake and nitrogen retention of chickens were optimized at dietary threonine levels of 6.054, 6.142, 6.442, 6.201, 5.72 and 6.088 g/kg DM, respectively. However, dietary threonine level had no effect (P>0.05) on pH values of crop, proventriculus, gizzard, small intestine, large intestine and caecum of female Venda chickens aged 91 days. Carcass weights of female Venda chickens were affected (P<0.05) by dietary threonine level. Carcass, breast, drumstick, thigh, gizzard and liver weights of female Venda chickens aged 91 days were optimized at dietary threonine levels of 6.183, 6.201, 5.712, 5.847, 4.820 and 6.180 g/kg DM, respectively. Dietary threonine level v had effect (P<0.05) on crude protein and threonine contents of female Venda chicken meat. Meat crude protein and threonine contents of female Venda chickens aged 91 days were optimized at dietary threonine levels of 5.9 and 5.7 g/kg DM, respectively. Dietary threonine level had no effect (P>0.05) on meat flavour, tenderness and juiciness of female Venda chickens. However, meat flavour, tenderness and juiciness of female Venda chickens aged 91 days were optimized at dietary threonine levels of 5.977, 6.103 and 5.977 g/kg DM, respectively. Psychometric properties of a Venda version of the Sixteen Personality Factor Questionnaire (16PF)

A Venda version of the South African Sixteen Personality Factor Questionnaire Fifth edition(16PF5) was develop using forward and back translation methods. This version was administered to a sample of 85 Venda speaking subjects. Subjects ranged in age from 18 to 30 years old. Item analysis was done and a qualitative analysis of the reasons why items were not successful was done for each scale. Reasons identified included translation errors, problems in understanding the vocabulary and idiomatic language used, the use of the negative form and possible differences in the manifestation of constructs. Given the large number of items to be excluded, only general trends were indicated as to avoid over interpretation. These trends need to be considered when changing or replacing items. The results of this study can be regarded as a first step in developing a Venda version of the 16PF5. / Psychology / M.A. (Psychology)

Realism in Charles Mungoshi's novels

Early written Shona narratives like Solomon Mutswairo's Feso [Thorn; name of main character, 1982] evince fantasy since they emanated from folktales, a genre that abounds in this element. Contrary to this, Charles Mungoshi attempts to portray life faithfully in Makunun'unu Maodzamwoyo [Brooding breeds despair, 1977], Ndiko Kupindana Kwamazuva [How time passes, 1975] and Kunyarara Hakusi Kutaura? [Is silence not a form of speech? 1983]. This study attempts to show how this realism manifests itself in the components that constitute each of the works: setting, plot, characterisation, theme and style. Mungoshi's characters, for instance, are not one-sided supernatural beings who perform fabulous acts. Instead, they have strengths and limitations like people in everyday life. Their actions and speech are consistent with their social backgrounds. By injecting realism into the Shona narrative, Mungoshi has contributed towards its development. Veranderende sosio-ekonomiese en politieke kragte het die tradisionele lewenswyse van die Venda-mense in so 'n mate versteur dat die mondelinge tradisie en die stem van die storieverteller nie meer hoog waardeer word deur die moderne geslag nie. Die teoretiese uitgangspunt van hierdie tesis aanvaar dat religie 'n radikaal integrerend funksie het wat chaos in sinvolle patrone inkorporeer. Dialekties verbind aan die eerste beginsel van religie is die inherente drang van die mens se gees om alle gegewe limiete te transendeer. Ofskoon daar duidelike artikulasies van verset en kritiek teen die tradisionele orde en teen magtiges is, waag ngano dit selde buite die tradisioneel religieus-filosofiese grense. / The first chapter outlines the concept ngano, thereafter the function of the Venda oral tradition in the past is described and the present nature and position of the phenomenon in community living is defined. Changing socio-economic and political forces disturbed traditional Venda life-style to such an extent that the oral tradition and the voice of the storyteller are not highly regarded by the modern generation. The theoretical point of departure of this thesis accepts the radical integrative function of religion ordering chaos into meaningful patterns. Dialectically tied to this first principle of religion is the inherent urgency of the human spirit to transcend all given limits. Viewed thus, ngano can be interpreted as religious utterances in which chaos is expressed in meaningful patterns and where resistance is articulated against existing order and traditional assumptions. Chapter two sketches the historical background of the Venda people from 800 AD up to recent political changes of 1994 in the Northern Province. The second part of this chapter presents an exposition of their religio-philosophic background which, together with the historical events provide an interpretative context for these ancient stories handed down from one generation to the next. Fifty folk tales (ngano) appear in the following nine chapters documented in eight different areas in Venda. Every narrative is introduced by a summary of the content of the story together with an interpretation by narrator and assistants. The Venda text is given first adhering as closely as possible to the original words of the narrator. Every line is followed by an Afrikaans translation. A recurring theme in ngano is the powerless (child, wife or insignificant person) resisting the powerful (king, husband/man, dominating family members or unyielding traditional structures). Other popular themes are the misery of famine, application and occurrence of witchcraft and supernatural transformations. Lastly three Sankambe-stories are documented in which the fantastic antics of the hare, the trickster in Venda folk tales who survives by sheer cunning, are humorously narrated. Although there are distinct expressions of resistance and criticism against the existing order and dominating powers, ngano seldom ventures beyond traditional religious and philosophic boundaries. / Religious Studies & Arabic / D. Tshianzwane music : the relationship between physical structure and abstractions in cultural progress and change

Text in English / Accompanied DVD with printed record / In this dissertation, I explore music styles from Tshianzwane village in HaMakuya, in the Limpopo Province of South Africa, particularly malende, tshigombela, and children‘s songs. I consider the music styles as embedded in their extra-musical physical structure and abstractions; social rituals; frame of reference; forms of habitus; social order; cultural capital; social meanings, behaviour, power hierarchy, status, space, agency, institutions; formal-informal education and means; symbols; musical instruments; dance; religion; ancestor worship; traditional health practice; norms and values; mentorship and rites of passage. I further explore how and why music performers and other cultural patterns at Tshianzwane interpenetrate with each other and their living space through social roles; demonstration-imitation learning method; enculturation; dialectics of normative-interpretive, embodiment-hexis or cues, internalizationexternalization, surface-deep structure, conscious-unconscious level, qualitativequantitative understanding of music styles and genres and local-foreign context; means of communication; reinterpretation and redefinition of concepts. In conclusion, I consider how people and cultural patterns at Tshianzwane, through interpenetration, form progressing and changing social web; social connections; attachments; trance; state of flux in cultural patterns; synthesis of cultural patterns; embedded contexts; shared culture and resultant cultural patterns. Since cultural patterns, as a result of interpenetration, reflect each other, I point out the challenges in socio-spatial mapping of forms of habitus and cultural patterns. In my dissertation, I use John Blacking‘s work as my primary theoretical framework. Furthermore, I use Pierre Bourdieu‘s theoretical framework, and Hugh Tracey‘s and David Dargie‘s audio CDs on African tribal music to enrich my theoretical ground. I collected my field data at Tshianzwane in collaboration with Joseph Morake and Ignatia Madalane (students), Dr Susan Harrop-Allin (supervisor), Samson Netshifhefhe, Obert Ramashia, Paul Munyai and Musiwalo (informants). / M. The language policy of South Africa as laid down by the constitution and the marginalisation of Tshivenda

M.A. / The most important thing in engaging myself in this research was to try and find out how Tshivenda is valued by the State, Private Enterprise, other language groups as well as by Vhavenda people themselves. The researcher came to a conclusion that Tshivenda is being marginalized. The Constitution of South Africa of 1996 is not being interpreted the way it should be. There is a need to put Tshivenda on an equal footing with the other ten official languages.
