Legal Aspects of Corporate Acquisitions The aim of the diploma thesis is to provide an analysis of significant economic and legal aspects of mergers and acquisitions in the Czech Republic, as well as to point out some specifics of the Czech market and describe loan acquisition financing in terms of financial law. The theoretical findings are then applied to a specific acquisition, which is still ongoing in 2020. The theoretical part of the thesis is divided into two sections. In the first, the thesis focuses on the analysis of growth strategies of companies that can be implemented in the current conditions of the market economy. Strategies are described here and then compared with one another. This part of the thesis also contains a comparison of the concepts of mergers and acquisitions, as they are often confused in practice. Here, the thesis also lists the typologies of both mergers and acquisitions that are commonly used. The second section of the theoretical part of the thesis provides an introduction to loan acquisition financing and the so-called leveraged buyout. The thesis outlines the method of loan acquisition financing together with some findings of financial theory regarding loan as such and loan law. La thèse s'intéresse à la politique d'investissement public en Tunisie par la voie d'emprunts.L'objectif recherché est l'étude de la question de l'endettement public sous sa triple natureéconomique, institutionnelle et financière dans le cas d'une économie coloniale.La démarche suivie repose sur un plan en trois parties chronologiques mais qui reflètel'évolution de la stratégie d'investissement public en Tunisie. La première partie, qui couvreles années 1920, est marquée par l'émission d'un emprunt émis par tanches. Les priorités del'investissement public consistent à financer la construction d'une infrastructure économiquemoderne. Les fonds destinés aux investissements sociaux demeurent largement insuffisant.Les capitaux privés engagés en Tunisie connaissent une certaine stagnation.La deuxième partie concerne les années 1930 qui coïncident avec la grande dépressionéconomique. Les autorités coloniales décident de simplifier les modalités d'endettementce qui profite principalement aux institutions publiques de la Tunisie. Une décennie difficilesur la plan économique ce qui affecte le volume des investissements publics par la voied'emprunt. The objective isto study the question of public debt under its triple economic, institutional and financial naturein the case of a colonial economy. The approach followed is based on a three-partchronological plan that reflects the evolution of Tunisia's public investment strategy. The firstpart, which covers the 1920s, is marked by the issuance of a loan issued by tench. Thepriorities of public investment are to finance the construction of a modern economicinfrastructure. Funding for social investment remains largely insufficient. Private capital inTunisia is experiencing some stagnation.The second part concerns the 1930s coinciding with the great economic depression. Thecolonial authorities decided to simplify the methods of indebtedness, which mainly benefitedthe public institutions of Tunisia. A difficult economic decade which affects the volume ofpublic investment by way of borrowing. Private capital is experiencing a sharp decline, hencethe intervention of public credit institutions.The third part runs from 1945 to 1956; A period marked by the adoption of a new economicstrategy based on planning. Colonial authorities in Tunis choose to diversify sources offunding. Due to its construction, this thesis draws up a diagram of the Tunisian economyunder the French protectorate between 1920 and 1956.

A Mixed-Method Case Study of Swedish Loan Officers' Mortgage Credit Decisions

This thesis purpose was to examine to what extent and why loan officers’ judgment influence mortgage credit decisions. A mixed method was used to collect primary data from loan officers’ at a Swedish commercial bank. Quantitative data were collected from 39 loan officers answering an identical mortgage application, and qualitative data were collected from interviews held with five loan officers. The findings showed a considerable inconsistency among the loan officers' mortgage credit decisions and that judgment plays a vital role in the decision-making process. The credit amount granted ranged from SEK 4.25 million to 5.6 million, whereas the charged interest rate ranged from 40 to 51 basis points across four fixed interest periods. Overall, the findings can be understood by loan officers’ lacked explicit rules controlling the relationship between assessing data presented in the mortgage application and which credit decisions they should make. The theoretical contribution of the thesis is to enhance our understanding of how loan officers make credit decisions and the role of judgment in the process. The research findings imply that households should expect large variations in offered credit amounts and interest rates, depending on which loan officer managing their loan application.

Public Service Motivation: Have financial Incentives Strengthened the Motivation of Mississippians?

In a sector that has traditionally relied on intrinsically motivated employees, research has shown that public employees care more about serving society than reaping personal gains. Recently, the public sector implemented extrinsic rewards available to their workforce. Understanding the impact extrinsic rewards has on individuals employed in the public sector should be studied and interpreted before more personal rewards are offered by public institutions. This study examined the public service motivation (PSM) of faculty at Mississippi State University (MSU) hired between October 1, 2007 – October 1, 2016. Quantitative methods were used to analyze differences in PSM among faculty with outstanding student loan debt and those lacking debt. This study used a partial measurement of James Perry’s PSM measureable scale. By measuring self-sacrifice levels, this study determined the levels faculty at MSU are willing to substitute their personal interest for the good of society. Specifically, this study focused on the Public Service Loan Forgiveness (PSLF) program offered by the U.S. Department of Education. Data were collected through MSU’s class climate electronic survey system. In addition to the 8 items on Perry’s PSM self-sacrifice dimension, closed-ended and multiple choice questions were asked to collect demographic information related to age, household income, student loan debt, and awareness/interest in the PSLF. The results did not reveal any statistically significant difference between faculty with outstanding student loan debt and those without student loan debt. However, the results revealed beneficial information that can be used to understand the motivation of faculty and their desire to reap extrinsic rewards. The majority of respondents indicated that they did not have outstanding student loan debt and the level of interest in PSLF was less than half of the respondents. PSLF was designed to relieve public sector employees of their student loan burdens as well as motivate individuals to seek careers in public service. The literature and data collected in this study suggest that the public sector is still dominated by intrinsically motivated employees. Future research studies should expand this quantitative analysis over various populations of public sector employees and implement the findings into the future practices of public administrations.

Patents as Loan Collateral in Sweden : An empirical analysis of what patent characteristics matter for collateralization

This study analyses empirically what patent characteristics matter for collateralization. In accordance with the finance literature, loan collateral is determined by the liquidation value of the asset which in turn depends on the three factors "physical attributes of the asset", "number of alternative users" and "financial strength of alternative users". Hence, the study is focusing on patent characteristics influencing the three factors of the liquidation value. To control for firm effects of the patent pledging firms, a treatment group of pledged patents and a comparison group of unpledged patents have been matched based on firm characteristics of the patent owner. The subsequent empirical analysis revealed that patent characteristics related to the physical attributes of patents enhancing their redeployability matter for collateralization. Patent characteristics related to the market liquidity measuring the financial strength of alternative users, are insignificant. Furthermore, the study confirms the additional function of patents as source of finance by offering them for loan collateral. Especially small and young firms, scare of tangible assets pledge patents for receiving debt finance.

The GIS technology covered how to make a decision, data sourcing, data quality and used them in real time environments. Now days GIS is one of the useful analysis  tool,  where  we  can  implement  our  thinking  based  on  several  real  life  applications. Developed countries have made proper utilization of GIS technology. At present  Bangladesh  need  to  utilizes  GIS  technology  to  develop  in  different  organizational  sectors  such  as  banking,  fleet  management,  emergency  services,  and tourism and government infrastructure. For example, In the banking sector, we can implement this technology to provides high quality of services to the customers within short  time.  Therefore,  GIS  technology  provide  the  proper  support  in  bank  industry  and our thesis title “Usability of GIS in banking sector” will provide an experimental outline  about  the  banking  sector  in  Dhaka,  Bangladesh.  Generally,  it  is  a  demo  version  for  a  banking  sector,  that  would  be  provide  to  identify  their  customers,  the location  of  the  ATM  booths,  evaluate  land  value,  and  find  out  the  shortest  path,  nearest service centre, important building and city information. At present there is no such  kind  of  existing  model  for  banking  sector  in  Bangladesh.  So,  we  identify  the  problem  and  decide  to  implement  our  model.  In  our  proposed  frame  work,  we  used different type of GIS tools such as ArcMap, ArcCatalog, ArcPad, CartaLinx, ArcView etc. To implement this model we needed to digitize Dhaka city base map and input different  type  of  data.  For  the  experiment  part,  we  have  chosen  secondary  data  collection method and theoretical frame work support. We have made our own data model to do this experiment and we have covered maximum area in Dhaka city, where we choose a model area named “Motijheel”. Finally we have discussed the simulation result  according  to  our  framework,  which  provides  user  friendly  information.  Our  thesis paper focuses an integrated approach of GIS based system which increases the bank profitability.
