Resumé This diploma thesis deals with harmonisation of law and economic measures in the area of supervision over commercial banks. It is focused on changes that were made in area of regulation and supervision and their legislation during the last several years. Another purpose of this thesis is evaluation of reforms that are proposed as an answer to the last financial crisis, which influenced many economic systems all over the world. In introduction I explain why the regulation and supervision of the commercial banking are so important these days, what are the reasons for changes in the legislation and also I analyse different levels of lawmaking and influence of such. Next I deal with differences between regulation and supervision and common methods of them, for example a minimum capital requirements, a financial reporting and others. The second chapter concentrates on evolution of the regulation in the Czech republic, but also on the international level and also with the european legislation and its transposition in Czech law system. The main part of the thesis is focused on detailed descriptions of each rule. Third chapter is subdivided into four parts. he Significance of Non-Financial Information to the Operation of Commercial Banks --- Community Banking as an Example

abstract: In this thesis I examine the opportunities and challenges faced by the community banks in China. Rooted in the local communities, community banks generally focus on serving the local residents, farmers, and micro and small business enterprises (MSBE) through relationship building. Although community banks tend to be small relative to the other financial institutions, their unique market positions and business strategies have helped them to survive the competition and secure some market shares. Thus, it is important to understand the business strategies of community banks and to explore their future business opportunities and challenges. I first provide a brief overview about the importance of local communities, community economy, and community banking, on the basis of an analysis about mismatch in the demand and supply of community financial services due to information asymmetry. Next, I review and analyze how commercial banks have utilized different types of information in their operations. I classify the information used by commercial banks into different categories and discuss their importance to the operations of commercial banks. After that, I conduct a case analysis to illustrate the role of non-financial information in the development of community banks’ business strategy. The Changing Role of Planning in Commercial Banks: The Computer and Management Science

This dissertation examines the relationship between computer technology and management science and changes in the role of profit planning within the commercial banking system of the U.S.A. The objective of the study is to develop a generalized profit-planning model which employs the existing decision processes to create pro-forma financial statements for a commercial bank. The study concentrated on the 300 largest commercial banks (ranked by deposits as of December 31, 1969) of the Federal Reserve System. These particular banks held the greatest potential for having a Planning Department, the computing capability necessary for problem solving, and a Management Science Department actively employing management science techniques to profit-planning problems. The research for the dissertation included an in-depth study of secondary sources, an interrogation of commercial bank executives and a detailed questionnaire which was submitted to each of the 300 largest banks. Sponsorship for the Financial Planning Questionnaire was obtained from the Southwestern Graduate School of Banking at Southern Methodist University, Dallas, Texas. The sponsorship helped obtain a large sample return (in excess of 50.0 percent) and thereby increased the statistical reliability of the results of the study.

This thesis is dedicated to the Financial Law, namely to a special part of this branch of law - Banking Law, with a special focus on legal aspects of commercial and investment banking. This thesis concentrates on the specifics of the universal banking system applied in the Czech Republic. Chapter 1 deals with the general terms and concepts of the Banking Law, namely with the different types of banks and/or other financial institutions, as well as explanation of their different functions in the banking system of the Czech Republic. This chapter furthermore provides general overview of the structure of the banking and financial system of the Czech Republic. Chapter 2 covers the functions and characteristics of two fundamental types of banks, i.e. of commercial and investment banks and provides characteristics of their common features as well as the differences between them, from the perspectives of economics and law. Chapter 3 concentrates on three different banking models, namely on model of universal banking system, segmented banking system and hybrid banking system. 國家特性對銀行跨國併購之績效影響 / The impact of country characteristics on the performance of commercial banking cross-border M&As

由於科技進步、國與國之間的監管制度放寬,使得產業邁向全球化,進而帶動金融業的跨國併購浪潮,並開啟了併購領域之實證研究。過去學者對於銀行併購動機與併購績效之研究,所探討的因子層面有所不同,因此,本研究欲探討影響銀行進行跨國併購動機的國家特性差異,對主併銀行的併購績效有何影響。 由SDC併購資料庫選取2002年至2014年,已開發和新興市場國家之商業銀行跨國併購案件作為研究樣本,以事件研究法探討主併國與被併國之國家特性因子,如:經濟規模、經濟成長率、金融產業發展程度,以及兩國間心理距離等,對主併銀行宣告效果之影響。 結果發現僅目標國之金融產業發展程度與主併銀行宣告效果呈顯著負相關,即併購金融發展程度較低的國家銀行,能為主併銀行獲得更多成長機會,故市場對於主併銀行短期的績效反應較為正面,主併銀行擁有正的異常報酬。 此實證結果符合「獲利機會理論 (Focarelli and Pozzolo, 2001b) 」故當銀行選擇併購策略時,建議可考慮往金融產業發展程度較低的新興市場國家,以獲取更多的成長機會與獲利空間。 / With the advancement of technology and deregulation between countries, industries around the world have entered into a globalized era. Therefore, waves of cross-border merger and acquisition (M&A) among financial institutions have opened new area in M&A empirical research. Different factors were used in previous literatures on M&A motives and performance. As a result, this study examines whether country characteristic factors, which influence acquirer’s M&A motives, have impact on acquirer’s announcement effect. We use event study methodology with 105 final samples, which made of listed commercial banks in developed and emerging market countries (EMC) between 2002 and 2014, to analyze the effects of country characteristic factors (like GDP, GDP growth, financial development, and psychic distance) on the acquirer’s short-term performance. According to our results, we find that: First, on average, the acquirer’s announcement effect of EMC is higher than developed countries, but it is not statistically significant. Second, only the degree of financial development in target countries has significant impact on acquirer’s announcement effect, which is consistent with profit opportunity theory. Therefore, we suggest that acquirers can target commercial banks in financially underdeveloped countries to obtain more growth and profit opportunity.

В данном исследовании проведена оценка специфических особенностей и сделан анализ эффективности интернет-коммуникаций российских коммерческих банков в современных условиях цифровизации банковского сектора. С учетом выводов исследований разработаны научно-практические рекомендации по основным принципам управления интернет-коммуникациями коммерческого банка для эффективного взаимодействия с внешней аудиторией. / The relevance of a comprehensive study of bank communications on the Internet for interaction with an external audience is particularly high in the modern conditions of commercial banks, and the management of Internet communications as a separate area of bank management is not yet sufficiently developed. This study evaluates the specific features and analyzes the effectiveness of Internet communications of Russian commercial banks in the current conditions of digitalization of the banking sector. Taking into account the findings of the research, scientific and practical recommendations on the basic principles of managing commercial bank Internet communications for effective interaction with an external audience have been developed.
