A Look at the Factors That Affect Superintendents Tenure, and Candidate Shortages in Virginia

The Commonwealth of Virginia has implemented the Standards of Learning which are designed to ensure that students meet certain benchmarks at various points in their elementary and secondary educational careers. President George W. Busch signed into law the No Child Left Behind Act (NCLB) which is intended to ensure that all children succeed academically. Each of these mandates incorporates levels of accountability to which school administrators, especially the superintendent, must adhere. Recent studies indicate that the expectations for today's superintendent demand greater accountability and that the current systems, known as the standards movement, undermine the authority of the superintendency (Guthrie, 2003). These factors, according to Guthrie (2003), lead to a shortage in the profession (Guthrie, 2003). Research indicates that the average superintendent's tenure is six to seven years (Natkin, et al., 2002), that there is a national shortage of superintendent applicants (Cooper, et al., 2000), and that the quality of the applicant pool is diminishing (Glass, 2001). This study examines two independent variables, the Standards of Learning (SOL) and the No Child Left Behind Act (NCLB), to determine the effect these variables have on the tenure of school superintendents in Virginia. The purpose of this study was to determine if there is a relationship between the increased accountability with state and federal mandates, in particular Standards of Learning (SOLs), No Child Left Behind (NCLB), and other influences on superintendent tenure in the Commonwealth of Virginia. A survey instrument was utilized to answer the following questions: (1) What is the relationship, if any, between the Standards of Learning and the superintendent tenure? (2) What is the relationship, if any, between the No Child Left Behind Act and the tenure of the superintendent? (3) What is the relationship, if any, of other influences on the superintendent tenure? The data received from superintendents in Virginia was entered into SPSS and disaggregated by age, gender, race, years of experience as superintendent, number of years as superintendent in current district, enrollment, Adequate Yearly Progress status, and number of schools in respondent's district. The findings of this study revealed that of the superintendents who responded, 95% believe that the SOLs have had a positive impact on education in Virginia. Superintendents indicated that the SOLs are not a factor in their tenure as evidenced by 94% of the superintendents who revealed that they have not considered leaving the profession as a result of the SOLs. This study also revealed that superintendents in Virginia, 71% responding to the survey, believe that NCLB has not had a positive impact on education in Virginia. However, NCLB does not factor into superintendents' decisions to leave the profession or retire. In addition, other influences regarding superintendent tenure were revealed. This study revealed that local politics, evening responsibilities, pressure by the community to meet accreditation standards are not factors that affect superintendent tenure. However, superintendents indicated that interactions with the School Board could have an adverse affect on their tenure in the district as evidenced by 96% of the respondents. / Ed. D.

O objeto da dissertação é o estudo de uma classificação das obrigações entre aquelas de meios e as de resultado, as primeiras obrigando o devedor a uma prestação de diligência, as segundas, à realização de uma vantagem para o credor, sem o que não haveria o devedor de exonerar-se. Um estudo histórico abre o trabalho, pesquisando os antecedentes remotos da distinção, até a sua consagração, no Traité de René Demogue, o que tornou famosa a distinção que passou a gerar profundas discussões doutrinárias na França e no resto do mundo. São também tratados os antecedentes mais recentes, o contexto histórico do surgimento da classificação e sua evolução sucessiva, tanto na França quanto em outros países, para, enumeradas algumas das muitas dificuldades envolvidas no estudo do tema, ainda hoje severamente combatido, pesquisar-se, do ponto de vista da estrutura do vínculo obrigacional, como esta classificação se relaciona com a prestação devida. Assim, acredita-se, seria possível dizer se, uma vez que todo vínculo obrigacional surge tendo em vista um resultado, a prestação obrigacional admite uma distinção entre aquelas que implicam uma atividade do devedor limitada por sua diligência (obrigação de meios) e aquelas que somente conduzem a obrigação a seu termo mediante cumprimento uma vez realizado um resultado, ou seja, desde que produzido um benefício específico para o credor (obrigações de resultado). / The purpose of the dissertation is to study the classification of obligations in the ones so called best efforts duty and those referred to as duty to achieve a result, the first imposing to the debtor the duty to act diligently, the second attain a certain benefit to the creditor, without which the debtor would never be exonerated. A historical study initiates the dissertation with the research of the remote antecedents of such classification until its public recognition through the Traité written by René Demogue, which brought it great fame and created deep debates both in France and throughout the world. The recent antecedents of the classification are also pointed out, the historical context of its emergence and successive evolution in France and in other countries, to, after listing some of the many difficulties involved in the study of such subject, strongly criticized even nowadays, research through the scope of the legal relationship how the classification would relate with the duties imposed to the debtor. In doing so, it is believed to be possible to say, since every legal duty emerges to accomplish a certain objective, if would be possible to admit a distinction between duties that imply a conduct limited by diligence (best efforts duty) and those that would only be extinguished by the fulfillment of its purpose, in other words, since a specific result is produce and delivered to the creditor (duty to achieve a result).

Anti-dumping duties, safeguards and countervailing duties are collectively, within the context of the WTO, referred to as „trade remedies.‟ More specifically, the imposition of anti-dumping duties is a remedial measure for dealing with imports that cause or threatens to cause injury to local producers. Under the WTO framework, Article VI of the General Agreement on Tariffs and Trade 1994 and the Agreement on the Implementation of the General Agreement on Tariffs and Trade 1994 provides the rules for applying anti-dumping duties by member countries. Nigeria has been a member of the WTO since 1995 and can only apply anti-dumping duties provided it adheres to the rules governing anti-dumping. The purpose of this study is to ascertain whether the proposed Anti-dumping and Countervailing Bill, 2010 is consistent with WTO jurisprudence on anti-dumping. IN ENGLISH The purpose of this paper is to analyse all segments of the duty of due managerial care of member of an elective body of a limited company and propose de lege ferenda approach to segments of the duty. Another goal of this master's thesis was to examine new business judgment rule and present an alternative British model of the rule. To provide a comparative approach the paper utilizes the British company law approach. The first chapter introduces the origin of the duty of due managerial care, in particular its roots in Roman law and Austrian civil code. The second chapter is divided into five subchapters. The first subchapter highlights the recent changes to the duty of due managerial care after recodification of private law. The second subchapter examines duty of care as one of two integral parts of the duty of due managerial care. Firstly, it analyzes the quality of care expected of directors. Secondly, it focuses on the test for determination of necessary standard of care. Thirdly, following a critical examination of the test for determination of a standard of care, the paper suggests de lege ferenda test of due care. This thesis analyzes comprehensive overview of duties of members of a Limited Liability Company, and that in the situation, when new law about corporations and cooperatives, namely Act No. 90/2012 Sb., of corporations and cooperatives (Business Corporations Act), came into force. This law will replace the current Commercial Code, Act No. 513/1991 Sb., and that to the date of 1st January 2014, when the Business Corporations Act will be effective. For that reason this work does not analyze only the currently effective regulation of duties of members of Limited Liability Company, but it is also focused on regulation effective from 1st January 2014. In the first and second chapter is a reader introduced in the issues of Limited Liability Company, that it is followed up with the characteristic of business share and the definition of rights and duties in compliance with the juristic theory. The third chapter of the thesis is focused on possibilities of a systematic arrangement of duties of members of Limited Liability Company. Este trabalho pretende analisar as particularidades dos contratos de longo prazo que levam a exigir-se dos contratantes uma postura diferenciada quanto à cooperação que eles devem entre si, para que a execução do contrato ocorra de forma eficiente. Analisamos, também, o dever de cooperação decorrente da boa-fé objetiva, suas peculiaridades e forma de aplicação aos contratos de longo prazo, sempre considerando os novos paradigmas dos contratos, associados com o papel e a importância dos contratos à sociedade e à economia. De fato, as contratações duradouras possuem características que as distinguem das relações instantâneas, com especial destaque para seu caráter relacional e incompleto, que demonstram que a postura das partes deve ser mais próxima e leal e, por isso, a cooperação tem forte importância. A boa-fé objetiva determina o dever de cooperação por meio de sua função de criação de regras de conduta. Na prática, o dever de cooperação que deve ser mais intenso para os contratos de longo prazo se concretiza por meio dos deveres anexos de conduta, que só serão conhecidos e individualizados em cada contratação individualizada. Considerados tais aspectos que justificam a maior intensidade da cooperação nos contratos de longo prazo e demonstram como a cooperação se verificará por meio dos deveres anexos de conduta, analisamos os casos de descumprimento de tais deveres por meio do conceito da violação positiva do contrato, em oposição à mora ou inadimplemento, que se relacionam ao descumprimento da própria prestação e suas consequências às relações contratuais, especialmente às de longo prazo. / This thesis has the purpose of analyzing the particularities of the long term contracts that lead to require the contracting parties to adopt a different conduct concerning cooperation between them, so that the performance of the contract may occur in an efficient fashion. We also intend to analyze the cooperation duty arising out of the goodfaith principle, its characteristics and its application to the long term contracts, always taking into consideration the news standards of the Contract Law associated with the role of the contracts to the society and economy. Indeed, the long term contracts have certain particularities that make them different from the spot relationships, in special their relational character and incompleteness, which show that the parties conduct shall be loyal and faithful and, thus, cooperation has a very important task. The principle of good-faith sets forth the duty to cooperate by means of its function of creating conduct rules. In practical terms, the duty to cooperate which shall be more intense for long term contracts is observed by means of the implied or ancillary duties, which are only known and individualized in each particular and concrete contract. Bearing in mind such aspects that justify a more intense cooperation in long term contracts and demonstrate that cooperation will mean, in practice, the compliance with ancillary or implied duties, we analyze the cases of violation of the duty to cooperate in opposition to the breaches of the contract obligations themselves and the consequences of such violation to the contractual relationship, especially to the long term contracts.

O tema desenvolvido na tese diz respeito à suspensão do exercício de direitos do acionista, por deliberação da assembleia geral, na hipótese de descumprimento de determinados deveres societários pelo sócio. A suspensão de direitos tem como fundamento legal os artigos 120 e 122, V, da Lei n. 6.404, de 15 de dezembro de 1976 (Lei de Sociedades Anônimas). Não há previsão legal homóloga em direito comparado. No Brasil, a temática não foi objeto de estudo monográfico específico e detalhado. A tese procura, assim, sistematizar a matéria e oferecer contribuição original para o desenvolvimento do tema investigado. Na primeira parte, apresenta-se o tratamento normativo em matéria de suspensão de direitos do acionista a partir de escorço histórico da legislação brasileira e analisam-se os fundamentos teleológico e dogmático do instituto. A segunda parte estrutura-se em torno das posições jurídicas subjetivas passivas e ativas do acionista. Identificam-se, nesse contexto, quais são os deveres do acionista que, uma vez violados, constituem-se como hipótese de aplicação do art. 120 da Lei de Sociedades Anônimas e quais direitos, poderes e faculdades podem ter o seu exercício suspenso pela assembleia. Na terceira e última parte são destacados os aspectos controvertidos em torno da assembleia geral na qual se pretende deliberar sobre a suspensão dos direitos do acionista. Em especial, os problemas vinculados à competência privativa da assembleia, ao método assemblear e aos efeitos da deliberação e o controle desta. / The subject developed in this thesis regards the suspension of shareholders rights, through deliberation in shareholders meetings, in the event of failure to comply with corporate duties by the partner. The suspension of rights has as a legal basis the articles 120 and 122, V, of Law 6,404, of December 15, 1976 (Brazilian Companies Law.). There is no analogous legal provision in comparative law. In Brazil, the subject has not been the object of specific and detailed monographic study. The thesis therefore aims at systematizing the subject and offering an original contribution to the development of the subject investigated. In the first part, the regulatory treatment of the suspension of shareholders rights is presented by means of a historic foreshortening of Brazilian legislation and the teleological and dogmatic foundations of the institution are analyzed. The second part is structured around shareholders subjective legal positions, active and passive. In this context, we identify the shareholders duties that, once violated, provide grounds to the application of Article 120 of the Brazilian Companies Law and which rights, powers and faculties might have their exercise suspended by the shareholders meeting. The third and last part highlights the controversial aspects around shareholders meetings which deliberate upon the suspension of shareholders rights. In particular, the problems related to the assembly jurisdiction, the assembly method and the effects of its deliberation and control.
