Baigiamajame darbe nagrinėjama vartotojo apsauga elektroninės komercijos kontekste. Analizuojami vartotojų apsaugos elektroninės komercijos kontekste pagrindiniai principai, nuostatos, reguliavimo elektroninės komercijos aplinkoje ypatumai bei pats elektroninės komercijos pagrindas- galimybė internete sudaryti teisiškai galiojančią sutarį.Taip pat aptariami Lietuvos ir ES teisės aktai siekiant išsiaiškinti jų naudingumą vartotojui ir pritaikymą Lietuvos teisinei sistemai. Analizuojama situacija Lietuvoje, tai kaip yra perkelti teisės aktai ir ginamos vartotojų teisės. Darbo pabaigoje pateikiamos bendros išvados ir rekomendacijos. / This final thesis analyses issues related with consumer protection in e-commerce. In the context of consumer protection in e-commerce, the following issues have been touched upon, such as key principles, special regulations of security issues management in electronic environment, and the essence of electronic commerce – ability to conclude legally valid agreements on the internet. Lithuanian and EU legal instruments are also discusses in order to asess their value, sufficiency in law and their adaptability to Lithuania legal sistem. The thesis provides a situation analysis of how Lithuania ensures enforcement of the existing legal instruments and what actions have been taken to protect the rights of the consumers. The thesis ends with general conclusions and recommendations.

The tendencies of the development of the modern information technologies encourage continuous growth of the complexity degree of the information systems, therefore the object of the design (information system), has to be adequately described for the project to be successfully implemented. The present paper surveys the design tools of the Internet application programming (UML) as well as the selection of programming technologies and relational database management system (RDBVS) for the solution of the given task. The practical work presents the alternative solution, which is characterized by high safety level of passing information for the save electronic commerce in the Lithuanian market. This was guaranteed by both the RSA cryptographic algorithm and digital certificate (X509 algorithm) used. The present information system has been designed using CASE tools. The system prototype was realized by using the object oriented design method and following the rapid application development (RAD) while applying Microsoft.NET technologies.

Bėgant laikui atsiranda vis naujesnės ir tobulesnės technologijos, kurios, kartu su savimi, atsineša vis naujesnių teorinių ir praktinių teisinių problemų susijusių su elektroninių sandorių sudarymu. Prasidėjęs nuo keleto EDI sandorių, neįtikėtinas interneto išpopuliarėjimas davė pagrindą elektroninės komercijos atsiradimui. Elektroninę komerciją pagal dalyvių ypatumus galima skirstyti į keletą rūšių. Šiame darbe nagrinėjama tik viena iš jų, t.y. sandoriai sudaromi verslas verslui aplinkoje. Siekiant atskleisti elektroninių sandorių sudarymo reglamentavimo ypatumus, darbe tiriamos tradiciniams sandoriams taikytinos ofertos ir akcepto taisyklės, bei nevienodas jų suvokimas skirtingose šalyse. Šalia šių taisyklių, analizuojamos specifinės, Elektroninės komercijos direktyvoje bei Lietuvos Respublikos informacinės visuomenės paslaugų įstatyme įtvirtintos, nuostatos, kurios taikomos išimtinai elektroninei komercijai – informacinės visuomenės paslaugoms. Elektroniniai sandoriai yra ypatingi visų pirma tuo, jog jie yra sudaromi ir užfiksuojami ne materialioje, o elektroninėje formoje, todėl darbe nagrinėjamas elektroninio dokumento galiojimas ir galimybė būti įrodinėjimo priemone teisme. Internet has started from several EDI transactions and became extremely popular thus it gave the birth of electronic commerce. Electronic commerce could be divided according to peculiarities of parties into several types. The work deals with only transactions in business-to-business environment. On purpose to exhibit the peculiarities of electronic transaction regulation, it is analysed offer and acceptance rules applicable to traditional transactions and variety of conceptions in different countries. According to the mentioned rules, there is an analysis of specific provisions regulated under Directive of Electronic commerce and the Information society services Law of Republic of Lithuania, which are exclusively, invoked in electronic commerce – for information society services. The main objectives of the project are: Exploit the opportunity for internationalization offered by the sale of stocks, in which there is no direct competition on the Internet either in Spain or in Europe. Find an outlet for Spanish products by marketing them in other countries and vice versa, in order to maintain the image of the brand name in the country of origin, among other reasons. Automate the process whereby an offer or demand originating in Spain can interact with an offer or demand in another country, which was previously unimaginable. We call this multi-language and multi-currency. Develop new applications to improve the handling of stocks both on the SOLOSTOCKS platform itself and in the internal management processes of client firms, which can acquire software in ASP format.

Magistriniame darbe teigiama, kad informacijos visuomenėje pasikeitė marketingo komunikacijos modelis, kurio pagrindas – integracija, kad marketingo komunikacijos mikso elementai lengvai adaptuojami elektroninėje terpėje ir kad informacijos visuomenėje santykių marketingas tampa valdymo prioritetu. / Master’s degree study is allocated to solving problem of Integrated marketing communication in e-commerce. The study refers to the comparative scientific sources analysis, comparative statistical analysis and strategic projection methods. Master’s degree study maintains that marketing communication model has transformed into integrated, that marketing communication mix elements are easily adapted to e-environment and that relationship marketing becomes the priority of management in information society.

Electronic commerce is on the rise today. Along with that, there is a necessity of regulation efforts which would not only create legal framework, but also promote digital shopping and other areas in practice. This thesis deals with the main problems of electronic commerce regulation and practice, and with the accordance with the inferences drawn, important proposals are put forward to the national legislator and webtraders. In order to achieve the said purpose, a full-scale analysis of the most essential legislation of international and European Union level is made. UNCITRAL Model law on electronic commerce is a substantial contribution to the creation of legal standards promoting international trade, meanwhile this role in the European Union in fulfiled by the Directive on certain legal aspects of information society services, in particular electronic commerce, in the internal market. Nevertheless, the dinamic characteristics of the electronic commerce is conditioned by the necessity of appropriate arrangements. The current electronic commerce legislation in Lithuania faces particularly big problems. Despite the fact that there is a certain legislation regulating this sphere (Civil Code and Electronic commerce regulation, adopted by the Ministry of economy in 2002), it is not providing suitable measures for effective and flexible regulation. Elektroninis verslas naudingas kompanijai, nes suteikia galimybę sukurti platų produktų ir paslaugų spektrą, pasiūlyti konkurencingas kainas, efektyvų ir patogų aptarnavimą, tinkamą tiekimo sistemą, ekonomiškai vartoti išteklius, sumažina išlaidas, o visa tai leidžia kompanijai plėtoti informacijos bazę ir toliau sėkmingai eksploatuoti šį verslą. Daugelis kompanijų Lietuvoje tik dar pradeda diegti elektroninį verslą. Elektroninio verslo perspektyvos Lietuvoje yra milžiniškos, bet informacijos ir iniciatyvos trūkumas stabdo ateities verslo plėtrą. The present Master’s Work “Importance of Contract Law in Electronic Commerce” explores legal regulations of electronic commerce in comparison to traditional legal regulation in Lithuania and foreign countries. Comparative analysis is focused on the significance of contract law in regulation of legal terms in electronic space. Comparative analysis of legal regulation of contract law and electronic commerce is carried out by the following aspects: concepts of contract and electronic transaction, principles and sources of contract and electronic commerce law, requirements for the validity of contract and electronic transaction, and types of contracts and electronic transactions. To explore certain features of the content of electronic transaction, several contracts on electronic services from four banks operating in Lithuania and from a few banks operating in the United States of America, Ireland, Australia and Russia were chosen to analyze. Contracts mentioned above were examined looking into legal meaning of and differences in user’s identification in electronic banking services, and regulation of civil responsibility of parties of the contract on electronic banking services. This graduation paper researches the principles of Electronic collaboration systems. It overlooks what technologies ant methods may be used for better collaboration between business entities. Here is discovered the benefit of international classification of economic activities, products and services. This method of international classification is used in system we made-up and it’s defining the structure of catalogs. Also we overlooked the possibility to use data warehouse system which may by applied for direct customers data bases integration with confederate system. System project was build using two CASE technologies. User requirements and demands represented using UML specifications, final systems specifications phase was build using Oracle Case tools.

Magistro baigiamajame darbe išanalizuota nuolatinės buveinės samprata fizinėje erdvėje ir ją nustatantys kriterijai, bei atskleistas minėtų kriterijų turinys. Vadovaujantis nustatytais kriterijais išanalizuota nuolatinės buveinės samprata elektroninėje komercijoje ir pateiktos priemonės, kuriomis remiantis nustatoma nuolatinė buveinė elektroninėje komercijoje, nurodytos galimos problemos ir esami problemų sprendimo būdai, bei identifikuotos, kai kurios naujos problemos, kurios reikalauja tolimesnio tyrimo. Pirmojoje darbo dalyje aptarta nuolatinės buveinės samprata fizinėje erdvėje ir išskirti pagrindiniai kriterijai, turintys įtakos nustatant nuolatinės buveinės buvimo faktą fizinėje erdvėje. Antroje dalyje atsižvelgiant į nustatytus kriterijus išanalizuota nuolatinė buveinė elektroninėje komercijoje ir nustatyti skirtumai ir panašumai su nuolatine buveine fizinėje erdvėje. Trečioje darbo dalyje ištirta užsienio valstybių ir Lietuvos praktika nuolatinės buveinės kontekste. / This master‘s degree thesis is about permanent establishment in physical space and it’s parameters. These parameters and definition of permanent establishment are analyzed in details. In accordance with the criteria laid down in the analysis, conception of permanent establishment in e-commerce was reviewed and remedies for identification of permanent establishment were proposed for e-commerce. Also in this thesis major problems related to permanent establishment and their existing resolutions are considered, including new problems identified that should be analyzed collaterally. In the first chapter of this thesis conception of permanent establishment in physical space is analyzed and main criteria that have direct or indirect impact to identification of permanent establishment in physical space are excluded. The second chapter is dedicated for analysis of permanent establishment in e-commerce and identification of principal discrepancies and similarities, while comparing it with physical space. In the third chapter of this thesis survey of Lithuania’s and other foreign countries’ practices related to permanent establishment is presented.
