Family businesses have characteristics that are intrinsic to this type of firms. Many of the internationalization reasons or even the way they internationalize has several characteristics that are common among other family businesses. Therefore, through a qualitative research the two case studies were analyzed based on the internationalization and family businesses theories. However, in those companies the role of the family was not a key role on the firms’ internationalization processes. This aroused questions such as whether the size and/ or industry of the company had an impact on the family’s role on the internationalization process of the business. These questions were not the focus of this study but are subsidies for future research. / Essa dissertação procura identificar o papel da família no processo de internacionalização de dois negócios familiares: JBS, a maior empresa de proteína animal do mundo e Cutrale um dos líderes mundiais no mercado de suco de laranja. Empresas familiares possuem características que são intrínsecas a esse tipo de empresa. Muitos dos motivos de se internacionalizar ou mesmo o modo como eles se internacionalizam podem ser extremamente característicos. Assim, através de uma pesquisa qualitativa, os dois estudos de caso foram analisados baseados em teorias de internacionalização de empresas familiares. Porém, nessas companhias estudadas, a família não desempenhou um papel relevante no processo de internacionalização das mesmas. Com esses resultados, questões surgiram, como por exemplo, se o tamanho ou segmento da empresa tiveram um impacto na importância do papel que a família possui no processo de internacionalização. Essas questões não eram o foco do estudo porém fornecem muitos subsídios para uma próxima pesquisa.

Three case companies were analyzed through an adapted developmental framework to illustrate the progression in corporate governance in response to changes in the ownership, investment and management dimensions over time. In this development, causal relationships between corporate governance and the three other framework dimensions were identified. It was found that the analyzed companies´ corporate governance implementation was motivated by the need to curb agency costs, whereas a cornerstone in this development was the first generational change. Only after the family businesses have reached the necessary maturity on all three dimensions, corporate governance practices were implemented. Put simply, the analyzed case companies developed formal systems as they grew more complex. This study complements the academic discussions on corporate governance in family businesses by offering Brazilian evidence on its underlying motivations and sequential implementation over time. / O objetivo deste estudo é entender melhor e ilustrar o processo e as motivações para a implementação de governança corporativa em empresas familiares brasileiras de capital fechado. Três empresas de caso foram analisadas através de um framework de desenvolvimento adaptado para ilustrar a evolução da governança corporativa em resposta a alterações nas dimensões de propriedade, investimento e gestão ao longo do tempo. Neste desenvolvimento foram identificadas relações causais entre a governança e as outras três dimensões do framework. Verificou-se que a implementação de governança corporativa nas empresas analisadas foi motivada pela necessidade de reduzir os custos de agência, e uma pedra angular neste desenvolvimento foi a primeira sucessão geracional. Simplificando, as empresas estudadas adotaram sistemas formais mais complexos assim que cresceram. Somente após as empresas terem atingido a maturidade necessária em todas as três dimensões foram implementadas práticas de governança. Este estudo complementa a discussão acadêmica sobre governança corporativa em empresas familiares, oferecendo evidência brasileira sobre suas motivações subjacentes e a execução sequencial ao longo do tempo.

Twelve open-ended, i n-depth i nterviews were conducted and fol lowed by a careful analysis of the speeches. By following the pathways and the strategies used by the daug hters to enhance their visibility in the family business system, the inherent contradictions to the roles of professional and of the inheritor emerged. It poi nts o ut the difficulty the daughters face in dealing, at the same time, with the desire for gender equality and for identity in the organizational setting. The fi ndings suggest a con servative way that daughters turn o ut to be visi ble in the family structure and how this way may not contribute to the growth and continu ity of the family busi ness. / Este trabalho observa a experiência de filhas herdeiras em cargos gerenciais de empresas familiares brasileiras, usando o modelo tridimensional de desenvolvimento da empresa familiar de Gersick & aI. (1997) e adotando gênero como referencial de an álise. Foram realizadas entrevistas em profundidade com doze teriosa análise de conteúdo dos discursos. Tendo em vista as trajetórias e as estratégias usadas pelas filhas para alterar sua visibilidade no sistema da empresa familiar, abordam-se, aqui, as contradições entre os papéis de profissional e o de herdeira, assim como a dificuldade que elas enfrentam para conciliar o anseio por igualdade entre os gêneros com a busca de identidade no sistema, Ressalta-se ainda a caracteristica conservadora do modo de inserção profissional das filhas e como essa forma pode afetar a continuidade da empresa familiar.
