Leasingová smlouva a její uplatnění v praxi / Leasing Contract and its Application in Practice

This thesis is focused on the topic of leasing especially from the legal point of view. The first part deals with history of leasing, definition of leasing, dividing of leasing according to different criterias and also with Czech leasing market. The following part is concerned with legal regulations of leasing (leasing contract) primarily in Czech, but also in European and international law and formulation of terms of the leasing contract as well. The final part contains the main objective of this thesis, which is analysis of the general commercial terms of the leasing contract and their comparison with legal regulations. In connection with this analysis, there are mentioned several suggestions and recommendations for improvement of the current situation.

Inominátní smlouvy v obchodním styku / Innominate Contracts in Business Relations

Diploma thesis Innominate Contracts in Business Relations deals with a legal basis of innominate contracts in the Czech private law. It focuses mainly on so the called Modern innominate contracts. The purpose of the thesis was to answer whether leasing, factoring and franchising contracts should be codified. Consequently, it aimed to prove or disprove that the Czech legal regulation does not reflect the recent developments in business environment. The thesis is divided into two parts. In the first chapter an analysis is carried out on the legal regulation of innominate contracts in the Czech business law, civil law, labour law and international private law. The legality of innominate contracts and the applicability of an analogy is discussed in this part. Based on the Czech legal regulations and court decisions it was concluded that innominate contracts were valid and that courts may use analogy when deciding on civil or commercial contracts. The second chapter deals with the contents of leasing, factoring and franchising contracts. It concludes that there are reasons against the codification of the above mentioned contracts. The content of an operating leasing agreement very much resembles a rental contract which might be used for this kind of leasing contract.A leasing purchase contract does not present any new answers to issues which had already been dealt with by court decisions. The substance of a factoring contract -- assignment of a receivable is already regulated by the Civil Code. A franchising agreement involves parts of many types of codified contracts and interlocks with multiple legal areas. Moreover, all the above mentioned contracts are challenged by a fast pace of development therefore a codification could hamper the progress or it could become obsolete. Based on the above mentioned facts the thesis concludes that leasing, factoring and franchising contracts should not be codified in the Czech private law as separate contract types and therefore disproves the primary proposition of this thesis and subsequently infers that the Czech legal regulations do not reflect a recent business development.

This master thesis includes 65 pages, 5 pictures, 4 tables, 41 literary sources, in the Lithuanian language. The object of this final work is leasing. The purpose of this study is to discuss theory and practice of leasing, describe problems, which hinder Lithuanian leasing market development and prognoses leasing market perspectives. In order to reach the purpose of this work it is important to solve the following problems: • to specify the essence and necessity of a leasing; • to overdraw the advantages and disadvantages of leasing; • to research the main leasing stages in Lithuania; • to research main leasing evolution stages in world and in Lithuania; • to structure leasing payments; • to make an analysis of Lithuanian leasing market. Specifing the essence and necessity of a leasing, overdrawing the advantages and disadvantages of leasing, researching the main leasing stages in Lithuania and analysising the leasing market of Lithuanian it was used books of national and foreign authors, various literature source of teaching means and scientific articles. Also it was used the methods of comparison, calculation of real present value, structural analysis and quantitative (qualitative) changes analysis.

Pasaulyje labiausiai paplitę yra lizingas ir paskolos. Paskolos ne visada yra tinkamos dėl įvairių aspektų, tad kaip alternatyvus finansavimo šaltinis bankų kreditams, yra lizingas. Darbo objektas. Lizingas bei jo ypatybės Lietuvoje, kurios išskiria jį iš kitų finansavimo šaltinių ir lizingo gavėjai Lietuvoje. Darbo tikslas. Ištirti lizingo paslaugos reikšmę Lietuvos verslo įmonėms. Financial markets may offer a number of ways and means of financing – bank credits, equity and bond issuance, factoring, leasing and others. Around the world the most popular are ways of financing are leasing and credits. Credits are not always suitable for various aspects, so leasing is as an alternative source of financing for bank credits. The object of the paper is leasing and its characteristics that distinguish it from other sources of financing and lessees in Lithuania. The aim of the paper is to explore the importance of leasing for the Lithuanian enterprises. Paper tasks are: 1. Provide the theoretical aspects of the leasing, to analyse approaches different authors; 2. To assess the advantages and disadvantages of leasing compared to bank credit; 3. 租賃契約條件對商用不動產租金影響之研究 / The Effect of Contract Terms on the Rents of Commercial Real Estate

我國公部門出租不動產時,其租賃契約中之終止條件及續約條件等約定,與私部門間租賃契約頗有落差。而依據不動產估價技術規則第129 條規定:「不動產之租金估計應考慮契約內容、租期長短、使用目的、稅費負擔、租金水準、變遷狀態、租約更新、變更條件及其他相關因素估計之。」表示在訂定租金時需將契約內容及可能影響因素納入考量才符合公帄原則,然公部門租賃契約中之租金訂定是否將此等特殊條件納入考量,仍有待驗證。此部分在過去文獻中較少著墨,有鑑於此,本研究欲探討租賃契約中特殊條件(如單方面停止契約之權利)對租金之影響。 本研究先以特徵價格理論為基礎,建構複迴歸模型探討影響租金之因素,發現賦予出租方可逕為終止契約之權利,對商用不動產租金具有顯著影響;再進一步以二項式評價模式分析因終止契約條件不同,在租賃契約中隱含的實質選擇權價值變化,模擬結果發現租金成長率愈高,選擇權價值愈高;無風險利率愈高,選擇權價值愈低。研究結果符合選擇權理論,除了指出目前公部門資產租賃契約宜考量具特殊條件時租金之公帄性外,亦可提供爾後租約中含特殊條件時之租金定價參考。 / Rent is affected by various factors, including macro-economic, regional, individual and other related factors such as termination or renewal options. Public sectors in Taiwan prefer using template leasing contract for standardization concerns. The template leasing contract includes some terms favorable to lessors, such as termination option for lessors. The study focuses on the term to terminate the contract for lessors, which is especially considered imposing operation risk on tenants. This study at first employed the multi-regression model to examine factors affecting the rent level. Results show that the rent is significantly affected by the termination term for lessors besides other individual, regional and macro-economic variables. We further applied the binomial option pricing model to simulate how the value of leasing contract is affected by the termination options. Results show that the more the rent tends to grow, the higher value the termination term is; and the higher the interest rate, the lower value the termination term is. Results of this study provide precious implications for rent pricing as the contracts are embedded with the termination option.
