M&A Performance: Market’s Initial Reaction as an Unbiased Indicator of Post-acquisition Performance

This paper investigates the reliability of the stock market’s initial reaction to M&A announcements as a predictor of actual post-acquisition performance. The two prevailing methods for evaluating M&A performance are event studies (stock market-based measures) and accounting-based measures. The present study combines these two performance evaluation approaches in a single empirical examination. Both the post-merger buy-and-hold abnormal returns and changes in ROA are used as actual post-acquisition performance variables. The acquirer’s cumulative abnormal return (CAR) around the announcement is used as the market predictor variable. An econometric model is employed to test the predictive power of the announcement-period CAR on the actual performance variables using a sample of 3,208 acquisitions by U.S. public companies from 2010 to 2014. This paper’s main contribution lies both in its methodology and its findings: on the one hand, long-term market and accounting variables are used as dependent variables measuring post-acquisition performance. On the other hand, this paper finds that short-term CAR is not a good predictor of subsequent M&A performance. The results suggest that the acquirer’s prior M&A experience is a positive predictor of post-acquisition performance.

M&A experiences, M&A types, and acquirer¡¦s slack¡¦s impact on Taiwan enterprises¡¦ M&A performances.

Google merged Youtube, Microsoft wants to merge Yahoo to compete. ACER declared in October 2007 that it merged the fourth largest computer manufacturer in US: Gateway. Above are the representatives of big merger and acquisition cases. Enterprises grow up through M&A is a trend recently, but are all the M&A cases bringing positive performances? The answer is negative. We can prove that through the cases of BENQ-Siemens and Acer-Counter Point which all ends in failure. Therefore this research reviewed related literatures and focused on the cases that serve Taiwan enterprises as the merger & acquirer between 1997 and 2006. In order to examine whether M&A experiences, types and acquirer¡¦s slack will affect M&A performance or not and to find out whether the factors affecting Taiwan enterprises to conduct M&A are the same with overseas firms or not. This research used multiple-regression model which have five independent variables ¡V M&A times, types, debt ratio, FCF ratio and sale scale. On the other hand, this research utilized 3 dependent variables to compare different point of view on performance, they are unit employee output value, return of total assets and income after taxes. The results show that the hypothesis that M&A experiences and types will have significant impact on M&A performance is rejected. On acquirer¡¦s slack, only sale scope has significant impact on M&A performance. When serving ROA as dependent variable, FCF ratio has significant impact, while others possess insignificant loadings. These results told us that the factors of M&A behaviors in Taiwan are different from overseas firms.

An Analysis of Firm’s Diversification and Transformation Through Mergers and Acquisitions

abstract: Mergers and acquisitions (M&As) have been playing a very significant role in the capital market. Many companies regard mergers and acquisitions as an important way for their business expansion and transformation. This paper begins with a review of literature on firm’s motivations of and outcomes in M&A, and followed by a critical examination of three case studies of actual M&A transactions based on the insights provided from the literature review. For each case study, a firm’s motivations and related managerial initiatives for M&A activities were examined, followed by an assessment of the firm’s post M&A performance results. This allows the study to discerns the insights of why and how a firm proceed in its M&A transactions from its strategic intent to its post M&A managerial actions. Collectively, the results show that the key drivers for a firm’s M&A successes rest on a firm’s abilities to manage the M&A activities consistent with its strategic intent (e.g., creating synergies or transformation through diversification) and followed by its post M&A integration efforts in achieving its strategic intent. / Dissertation/Thesis / Doctoral Dissertation Business Administration 2018

The effect of cultural distance on cross-border M&A performance by emerging market firms - A multiple measurement analysis

This thesis examines how cultural distance affects cross-border M&A performance of emerging market firms. The study adds to the previous literature by using a multi-measurement approach, a broader sample of emerging countries and by comparing the effects to those of developed market firms. Performance is divided into short-term performance, measured as cumulative abnormal return (CAR) and long-term performance, measured as sales growth and change in Return on Sales after the transaction (sales CAGR and change in ROS). Using a sample of transactions conducted by both emerging market firms and developed market firms during the years 1997-2019, this study finds that cultural distance has a negative effect on the long- term cross-border M&A performance of emerging market firms. However, no significant effect is found on the short-term CAR following a cross-border M&A by emerging market firms. Additionally, none of the included performance measures is affected by cultural distance on a statistically significant level following a cross-border M&A by developed market firms. The results hence indicate that the effect of cultural distance is greater for emerging market firms than developed market firms when engaging in cross-border M&As.

Probing the effects of cultural and psychic distance on M&A performance: the case of multilatinas\' cross-border acquisitions / Explorando os efeitos das distâncias cultural e psíquica sobre o desempenho das fusões e aquisições: o caso das aquisições internacionais realizadas pelas multilatinas

Cross-border acquisitions (CBAs) have extensively been used by Multilatinas as a preferred entry mode in foreign markets, quickly providing access to resources, competencies and local intelligence without the burden of starting up a greenfield investment and bearing its associated risk to face the liability of foreignness. Using fixed-effects, generalized least square (FEGLS) regressions applied on a panel data sample of 602 CBA deals announced during the 1989-2011 period by 182 Multilatinas competing in 74 industries and headquartered in Argentina, Brazil, Chile, Colombia, Mexico, Peru and Venezuela, the impact of cultural and psychic distances (as perceived by investors) on the performance of these CBA deals (measured by acquirers\' shareholders\' short term announcement returns) was evaluated. Key emerging conclusions are that: a) the national cultural distance composite index, based on Hofstede\'s four dimensions seems to better predict investors\' reaction to CBA announcements in comparison with the other \"psychic\" distance concepts, such as the administrative and geographical distances between home and host countries; b) investors\' perceptions regarding the cultural dissimilarities between these countries are factored in their response as an anticipation of the expected difficulties that acquiring firms\' will have during the post-merger integration process, as predicted by the several theoretical streams that focus on the role of culture in M&A; c) due to the positive and significant moderating effect of the uncertainty avoidance dimension, investors seem also to perceive that acquirers from home countries characterized by high uncertainty avoidance scores will be able to better handle the challenges that they will face in the post-merger integration stage, to the extent that these firms, as recognized in the cross-cultural research literature, have been associated with a preference for organizational rules and procedures that increase the chances of a successful completion of the merger or acquisition deal; d) although its role is recognized in the cross-cultural literature, power distance levels have no significant moderating effect on the cultural distance-M&A performance relationship. The models are robust to varying lengths of event windows and to alternative measurements of cultural distance, such as those based on the framework developed by the GLOBE project (House, Hanges, Javidan, Dorfman, & Gupta, 2004) and on the country cultural cluster maps proposed by Ronen and Shenkar (2013). Limitations of this study are pointed out and future research directions are suggested in order to advance our knowledge and understanding of the antecedents of the performance of the cross-border acquisitions made by Multilatinas. / Aquisições internacionais têm sido extensivamente usadas por Multilatinas como um modo preferencial de entrada em mercados estrangeiros, permitindo um rápido acesso a recursos, competências e inteligência locais, sem as desvantagens tipicamente associadas a investimentos greenfield e os riscos inerentes ao passivo de ser estrangeiro (liability of foreignness). Utilizando modelos de regressão de efeitos fixos e estimadores de mínimos quadrados generalizados, aplicados a uma amostra de dados em painel referentes a 602 aquisições internacionais anunciadas durante o período de 1989-2011 por 182 Multilatinas competindo em 74 setores econômicos e sediadas na Argentina, Brasil, Chile, Colômbia, México, Peru e Venezuela, foram avaliados os impactos das distâncias culturais e psíquicas (tais como percebidas pelos investidores) sobre o desempenho destas aquisições (medido pelos retornos de curto prazo aos acionistas das empresas adquirentes). Da análise dos resultados emergem as seguintes conclusões: a) a distância cultural calculada com base nas quatro dimensões de Hofstede parece melhor prever a reação dos investidores aos anúncios das aquisições internacionais, em comparação com os outros conceitos de distância \"psíquica\", tais como as distâncias administrativa e geográfica entre os países de origem hospedeiro; b) a percepção dos investidores em relação às diferenças culturais entre estes países são aparentemente levadas em consideração, como uma antecipação das esperadas dificuldades que empresas adquirentes enfrentarão durante o processo de integração das empresas adquiridas, tal como previsto pelas várias correntes teóricas que focam o papel da cultura em transações de fusões e aquisições; c) devido ao efeito moderador positivo e estatisticamente significante da dimensão relacionada à aversão à incerteza (uncertainty avoidance), os investidores também parecem perceber que adquirentes localizados em países caracterizadas pela elevada pontuação nesta dimensão serão capazes de melhor lidar com os desafios que enfrentarão na fase de integração pós-aquisição, na medida em que estas empresas, conforme reconhecido pela literatura empírica, têm sido associadas a uma preferência por regras e processos organizacionais que permitam aumentar as chances de uma bem sucedida aquisição; d) embora o seu papel seja reconhecido na literatura pertinente, a dimensão tolerância ao poder (power distance) não apresenta efeito moderador significante sobre a relação distância cultural e desempenho das aquisições. Os modelos são robustos para diferentes durações das janelas de eventos, bem como a conceitos alternativos de distância cultural, tais como as baseadas no modelo proposto pelo projeto GLOBE (House et al., 2004) e pelos mapas de classificação cultural dos países desenvolvidos por Ronen e Shenkar (2013). On this purpose, we examine 128 mergers and acquisitions announcements associated with 36 (MECs) during the sample period 2000 2011. The mergers and acquisitions announcements data come from the Thomson SDC Platinum database. On this dissertation was employed the event study methodology to measure the impact of the announcements on the value of acquiring firms. Herein were established as windows event, 11, 15 and 5 days; furthermore, as windows estimation, were adopted 120, 240 and 500 days. Resulting in a total of 1,140 analysis of merger and acquisition from the original sample. Thus, the results show that, on average, cross-border acquisitions of MECs do not create value to the acquirers. Moreover, in order to explore the influencing factors of the direction and magnitude of market reaction; herein, were deeply analyzed some explanatory variables based on Resource-based View (RBV) and the cross border acquisitions literature, through stratifying event studies results, applying ordinary least square regression, and besides, a non parametric statistical analysis; yclept, bootstrap. Thereby, the empirical findings provide evidence that economic distance, acquisitions on developed countries, past performance, firm size, periods of crises and recessions, serial acquirers, among others variables; as performance drivers for Brazilian s (MECs) cross-border acquisition / Este trabalho tem como objetivo examinar a reação de mercado em aquisições internacionais (cross-border) realizadas por empresas brasileiras. Foram examinados 128 anúncios, públicos e concluídos, de fusões e aquisições (F&A) de 36 firmas brasileiras, no período de 2000 a 2011. Os dados de F&A foram obtidos da base de dados da Thomson SDC Platinum e foi utilizada a metodologia de estudo de eventos (MacKinlay, 1997; McWilliams & Siegel 1997), para mensurar o impacto resultante do anúncio de F&A sobre o valor de mercado da firma adquirente. Foram utilizados como janelas de evento (11, 15 e 5 dias) e, como janelas de estimação (120, 240 e 500 dias), resultando em um total de 1.140 análises de fusões e aquisições para a amostra da pesquisa. Como achado da pesquisa, foi encontrado que, na média, as aquisições internacionais não criaram valor para as firmas adquirentes brasileiras. Outrossim, com o intuito de verificar quais fatores influenciaram no desempenho das transações de aquisições cross border das empresas brasileiras, com base na literatura de Resource-based View (RBV) (Penrose, 1959; Aybar & Ficici, 2009; Gubbi et al., 2010), foram realizados estudos de eventos estratificados, regressão por mínimos quadrados ordinário e análise estatística não paramétrica bootstrap.
