The binding force of the Contract / La fuerza obligatoria del Contrato

The author begins this article focusing on how historically the contract has reached such binding; from its philosophical origins, through his word to a matter of loyalty to Christian morality; to attribute the quality of certainty as contribution to the economy and become an indispensable legal instrument of forecasting for relations between individuals. Finally, in the second part of this article, essential applications mainly include contract between both parties and to third parties, also seeking the role of judge. / El autor inicia el presente artículo centrándose en cómo históricamente el contrato ha alcanzado dicha fuerza obligatoria; desde sus orígenes filosóficos, pasando por la palabra empeñada a una cuestión de fidelidad en la moral cristiana; hasta atribuirle la calidad de certeza como aporte en la economía y convertirse en un instrumento jurídico indispensable de previsión para las relaciones entre los particulares. Finalmente, en la segunda parte de este artículo, destacan principalmente las aplicaciones esenciales del contrato tanto entre las partes como frente a terceros, tratando también el rol del juez.

The subject of the thesis is the optimization of the branch network of Česká pošta company. Since 1th January 2013 the post market in the Czech Republic is fully liberalized, thus Česká pošta ensures the duties given by the post licence in a fully competitive environment without previous advantage of a postal reservation. For this reason in the thesis there are submitted possible solutions of ensuring the branches operation by the contractual relations with a suitable partner, which would mean observance of legal duties together with the ensuring of effective operations of the post offices.

The Transfer of Membership Rights and Obligations in Cooperatives The aim of the thesis is to analyse legal relations arising from the transfer of membership rights and obligations in cooperatives. I chose this topic, because Czech legal regulations of the transfer are very often ambiguous and inaccurate. In the thesis I have summed up the current Czech legislation, pointed out some practical problems and tried to solve them. The thesis is composed of three chapters, each of them dealing with different aspects of the subject to be analyzed. The first chapter defines general terminology concerning the transfer of membership rights and obligations in cooperatives. I have tried to explain the different terms used in the Czech Commercial Code and to describe their mutual relations. Chapter two focuses on detailed description of the transfer in all types of cooperatives in the Czech Republic. The first part of this chapter describes the legislative evolution of the transfer as a legal institute. Next parts of this chapter investigate the contract of transfer and its constituent elements. To reach the self-contained description, the final part describes how by-laws of the cooperatives deal with this juridical institute. Limitação de mandato e oportunismo fiscal: evidências para a conta restos a pagar dos municípios brasileiros / Term limits and fiscal opportunism: evidence for unpaid spending obligations account of Brazilian municipalities

A literatura empírica de ciclos políticos orçamentários pouco aborda a influência da limitação de mandato na existência do oportunismo fiscal por parte do ocupante do poder executivo nas finanças dos vários entes da federação. Nesse sentido, à luz da Nova Economia Política, o objetivo desta pesquisa foi investigar o impacto dos diferentes incentivos enfrentados no Brasil por prefeitos em primeiro mandato - aqueles que são elegíveis para a reeleição - e em segundo mandato - aqueles que não podem candidatar-se à reeleição - na gestão fiscal dos municípios. Para além da avaliação de todo o mandato eletivo, também foi analisado o impacto da diferenciação dos dois tipos de incumbentes na inscrição de valores em restos a pagar nos anos eleitorais. Os resultados obtidos via painel clássico sugerem uma efetiva diferenciação entre prefeitos em primeiro e segundo mandato em anos não eleitorais, com prefeitos em primeiro mandato inscrevendo maiores valores em restos a pagar processados e total em relação aos prefeitos de segundo mandato. Ademais, seguindo a legislação de responsabilidade fiscal brasileira, prefeitos em segundo mandato reduziram a inscrição de valores nessas rubricas em ano eleitoral, embora prefeitos em primeiro mandato tenham aumentado a inscrição de valores em restos a pagar não processados. / The empirical literature on political budget cycles has not studied all the influences of term limitations in the existence of fiscal opportunism by politicians in the various levels of government. In this sense, regarding the Political Economy, the objective of this research was to investigate the impact of different incentives faced by first-term mayors in Brazil - those who are eligible for re-election - and second-term mayors - those who cannot apply for re-election - in the fiscal management at the local level. Beyond the assessment of the entire mandate, it was also evaluated the impact of differentiation of the two types of incumbents in the management of the unpaid spending obligations in election years. Results obtained via classic panel suggest an effective differentiation between first and second-term mayors in non-election years, as first-term mayors exhibit higher unpaind recognized spending obligations and total unpaid spending obligations values in comparison to second-term mayors. Moreover, following the Brazilian fiscal responsability law, second-term mayors reduced values in these items in election year, although first-term mayors had higher values on average for unpaid and unrecognized spending obligations.

Este trabalho divide-se em seis grandes tópicos e uma conclusão. A parte introdutória busca situar a teoria do inadimplemento antecipado e seu surgimento no direito inglês, bem como delimitar os objetivos do trabalho, especialmente no que diz respeito à definição da natureza jurídica da teoria do inadimplemento antecipado e à sua aplicabilidade no direito nacional. Para construir as bases fundamentais do raciocínio a ser desenvolvido ao longo do texto, o segundo capítulo trata das noções gerais do direito obrigacional, sobretudo da teoria da obrigação como um processo e dos deveres laterais de conduta. A terceira parte versa sobre a extinção das obrigações em suas formas normal e anômala e, principalmente, as diversas facetas que pode assumir o inadimplemento das obrigações. O quarto capítulo aborda o inadimplemento antecipado, traçando sua origem histórica, sua natureza jurídica e sua classificação nas mais diversas formas (quanto ao sujeito, quanto à imputabilidade, quanto à possibilidade ou não de cumprimento). A quinta parte do trabalho discute os efeitos do inadimplemento antecipado e, primordialmente, a chamada doctrine of mitigation. O sexto capítulo aponta institutos jurídicos similares ao inadimplemento antecipado com a finalidade de definir suas diferenças em relação àqueles. Por fim, o trabalho conclui pela possibilidade de aplicação da teoria do inadimplemento antecipado no direito brasileiro, devendo tal instituto ser reconhecido por doutrina e jurisprudência. / This work is divided into six major topics and its conclusion. The introduction aims to situate the anticipatory breach theory, its origin in English law, as well as define the main purpose of the work, especially regarding the definition of the legal nature of the anticipatory breach theory and its applicability under Brazilian law. In order to build the foundations to be developed throughout the work, the second chapter deals with general notions of the law of obligations, mainly the theory of the obligation as a process and the lateral conduct obligations. The third part of this paper deals with the termination of obligations in its normal and anomalous forms and, in particular, with the various facets that the breach of obligations may take. The fourth chapter discusses the anticipatory breach, tracing its historical origin, its legal nature, and especially its classification in various forms (in accordance with the subject, in accordance to responsibility, in accordance with possibility or nor of its performance). The fifth part of the work deals with the effects of anticipatory breach and, primarily, the called doctrine of mitigation. The sixth chapter deals with similar institutions in relation to the anticipatory breach theory, in order to note their differences. Finally, we conclude the work defending the possibility of application of the anticipatory breach theory under Brazilian law, aiming that doctrine and jurisprudence should recognize it.

Cette thèse comporte une étude sur les contrats dans le droit coutumier et la pratique contractuelle du Nord de la France et de la Belgique entre l’an 1000 et 1300. D’abord, l’auteur cerne qui concluaient alors quels contrats pour quelle raison. Les sources de cette étude sont constituées des chartes de libertés que les villes se font octroyer dès le 12e siècle ; des actes de la pratique émanant des seigneurs territoriaux et des échevins urbains dont les chirographes enregistraient les opérations commerciales les plus diverses. Seulement à compter des années 1280, s’y ajoutent des coutumiers qui confirment les conclusions tirées des milliers d’actes de la pratique. Du fait des mutations sociales et économiques qui affectaient l’Europe aux 12e et 13e siècles, l’on constate une naissance du droit contractuel autour du renouveau urbain, de la renaissance commerciale et de l’affermissement du pouvoir, notamment juridictionnel, des princes territoriaux.La question centrale du droit des obligations est de savoir comment contraindre le débiteur à respecter ses engagements. Pour y répondre, encore faut-il être certain que le débiteur se soit engagé. Pour cela, le droit du 12e siècle a recours aux techniques déjà connues en matière de droit des biens, à savoir conférer légitimité et sécurité en faisant conclure les opérations les plus importantes devant les puissants d’abord, devant les juges ensuite. La pratique du record de cour est ainsi née. Aussi, le formalisme dans la conclusion des contrats a toujours été souple et la question de la naissance du consensualisme, abordée dans certaines coutumes, semblait causer un désarroi tant elle était étrangère au droit coutumier. Ensuite la contrainte s’exerçait par l’emprisonnement pour dette ; par l’exécution sur les meubles et sur les immeubles. Resumé Theme of this thesis is legal relationship attorney - client and their mutual rights and obligations. I focused on the current legal regulation contained in the Act No. 85/1996 Coll., advocacy law, and related legal regulations, primarily in professional regulation published by Czech bar association. My objective was to try to give all- embracing explanation of this theme even though I realised this theme and all its aspects is too extensive to be explained completely. This thesis is divided into six parts, which are further systematically divied into chapters. First part gives basic historical review of development of legal regulation of advocacy since ancient Rome. Second part gives definitions of the most important terms of this thesis - attorney and client, with evident orientation on legal regulation of conditions which must fulfil a person in orded to become an attorney. Although this topic was already processed many times, I believe that, in particular, in the context of the current case law and the amendment of certain provisions, this work may contribute to the better understanding of this topic. The thesis is systematically divided into six chapters. In the first chapter, there is outlined the nature of this relationship and stressed out the importance of mutual trust. To further break down the individual rights and obligations in detail, it is necessary to outline the formation of the relationship between solicitor and client first. It is important to note that the specific obligations imposed on lawyer legislation even before the formation of the legal relationship.
