ORGANIZATIONAL FORM, OWNERSHIP STRUCTURE AND TOP EXECUTIVE TURNOVER: EVIDENCE IN THE PROPERTY-LIABILITY INSURANCE INDUSTRY

I investigate the role of organizational form and ownership structure in corporate governance by examining CEO turnover decision in the property-casualty insurance industry. The likelihoods of turnover and non-routine turnover are significantly and negatively associated to firm performance, and the outside succession dominates when non-routine turnover occurs. Further, the firm's magnitude of turnover-performance sensitivity depends on its quality of the corporate governance mechanisms which are determined by organizational form and ownership structure. The sensitivity of non-routine turnover to firm performance is lower in mutuals than publicly held non-family firms. Non-family-member CEOs in publicly listed family firms have the highest likelihoods of turnover and performance-turnover sensitivity among all types of companies. Manager-owned stock insurance companies have the lowest turnover rate and sensitivity of non-routine turnover to firm performance. Also incoming successors mainly come from the controlling family no matter what the turnover type is. / Business Administration/Risk Management and Insurance

The Green Building Industry in California: From Ideals to Buildings

This dissertation examines the growth of environmentally sustainable commercial building practices as a voluntary, market-based standard called Leadership in Energy and Environmental Design (LEED), created by the US Green Building Council. I address how environmental ideals became institutionalized and integrated into the design and construction of commercial buildings through the growth of this standard. My goal is to discuss the site at which an ideal becomes a part of organizational practice and to discuss mechanisms by which social movement ideals become institutionalized without the state as a coercive force.First, I look at the historical context in which the environmental movement and the green building movement emerged to see understand adoption of voluntary market-based standards. The USGBC was able to bring together three disparate forms: environmental ideals, the creation of a voluntary standard and a market-based profit focus. I examine how the decentralized environmental movement, the rise of "third wave" environmentalism and corporate strategic environmentalism and a lack of political opportunity made this new form a useful strategy for the movement. Then I examine the importance of the LEED AP accreditation program as a mechanism for integrating green practices into professional work by socializing them through three frames, the LEED system, integrated design and high efficiency buildings. I introduce a new model called hybrid professionalization to explain the integration of social movement ideals across an industry and with a variety of professional groups. Finally, I turn to the demand side of the field to examine the role of organizational consumers and their strategies to rationalize green building to stakeholders. I discuss various ways that green buildings allowed organizations to display and enact their greenness.

The Impact of Partnership Adoption on Employees’ Awareness of Risk Control and Job Engagement: Evidence from a Securities Company in China

abstract: This study investigates the impact of a specific organizational form – partnership – on employees’ awareness of risk control and job engagement in securities companies. Given that their organizational performance relies heavily on the performance of individual employees, it is critical for securities companies in China to adopt appropriate organizational forms so that they can better captalize on their employees’ human capital to cope with the increasingly intense market competition. Partnership, as one of the few organizational forms, has been widely adopted in industries that rely on the performance of individuals, such as law, auditing, consulting, and investment banking, around the world. In the context of China’s emerging economy, it has also been adopted as an incentive system by market leaders across several industries, including Alibaba in online shopping, Vanke in real estate, and Fosun in investments. In contrast, partnership has not been adopted or implemented by securities companies in China as most of them are still state-owned enterprises. Based on my review of the corporate governance literature and qualitative analysis of partnership adoption in China, I propose that partnership can help better alighn the interests of employees with owners in securities companies as well. Specifically, the prospect of becoming a partner in the future can improve employees’ awareness of risk control and increase their job engagement. Taking advantage of partnership adoption at a Chinese securities company as a natural field experienment, I surveyed its employees about their awareness of risk contrl and job dedication before and after the adoption. The results from 505 matched surveys showed an increase in the average scores of both awareness of risk control and job dedication after the company adopted partnership as a new organizational form. 我國設立有限責任組織型態會計師事務所之可行性研究

為順應國際趨勢,提升我國會計師事務所之永續經營能力,會計師法修正草案針對事務所組織型態做出重大調整,增設法人事務所,增加相關配套措施,並研擬訂定最高責任上限。 本研究透過問卷調查的方式,以執業會計師以及報表使用人兩者不同的角度,分別了解法人事務所就雙方立場而言之可行性,以及應具備配套措施之看法。 實證結果顯示,受試者對成立法人事務所平均持同意看法,雙方看法有顯著差異,執業會計師平均同意程度較高。受試者對法人事務所應採取之配套措施普遍同意,以應揭示有限責任地位、強制投保責任險及提撥法定盈餘公積之同意程度最高。雙方除就法人事務所應限制設立條件、提撥法定盈餘公積並於清算過程保全資產、擬定風險管理策略、設立賠償責任上限及加重會計師相關刑事責任之同意程度顯著不同外,其餘規範要件同意看法無顯著差異。 / In order to follow the international tendency and enhance the ability of going–concern of Taiwan’s CPA firms, the revised Certified Public Accountants Act has legalized CPA firms in legal form of corporation. Otherwise, the revised Certified Public Accountants Act has also added some related indispensable conditions and has set the upper limit of the legal liability. The paper attempts to examine the issue by surveying certified public accountants and financial statements users to figure out their perceptions about the feasibility of the incorporated firms and the necessity of the conditions. According to the empirical results, the most of the respondents agree about the feasibility of the incorporated firms. The CPAs’ viewpoints are significant different from the financial statements users’. Most of the respondents also agree about the indispensable conditions, especially to the limited liability situation disclosure and the compulsory liability insurance. There are no significant different views between the CPAs and the financial statements users except to add the establishing limitations, to set aside the legal reserve, to plan the risk management strategies, and to place the upper limit of the legal liability.

Von Kooperationen zwischen Unternehmen erhoffen sich Wirtschaftspolitiker, dass sie als neue Organisationsform die Vorteile von Markt und Hierarchie in sich vereinen und kleine und mittlere Unternehmen durch zeitweilige Zusammenschlüsse größere Wettbewerbsfähigkeit gewinnen. Sie subventionieren Unternehmensverbünde (z. B. Innoregio, 1999 und Kompetenznetzwerke.de, 2000 durch das BMBF, Verbundprojekte auf den Gebieten FuE und Mikroelektronik durch das Land Sachsen) und vergeben zu ihrer Unterstützung Fördermittel für Forschungsprogramme (hier: @virtu im Rahmen der Ausschreibung zur „Arbeitsgestaltung in virtuellen Unternehmen“ durch das BMBF, 2001), aber die ökonomische Bedeutung dieser Organisationsformen ist bisher gering. Umfassende quantitative Befragungen des Zentralverbandes des Deutschen Handwerks (2002) und des Bundesverbandes Deutscher Unternehmensberater (2004) ergaben, dass Kooperationen sich häufig als sehr aufwändig erweisen und leicht zerbrechen bzw. nicht wiederholt werden. Es gilt herauszufinden, warum trotz des großen Nutzens, der durch Zusammenarbeit entstehen kann, Kooperationen nur zögernd eingegangen werden.

Structural Predictors of Contract Performance

Government increasingly contracts out public functions to the private sector. While theory about contract performance management is abundant, there is little empirical evidence on contract performance. Additionally, the public management contract literature emphasizes management strategies to produce desired performance but largely disregards how the structure of ex post contract settings influences individual contract performance. In this dissertation, I develop theory and measures to assess how structural variables influence contract performance on quality dimensions. I focus on networked structures of exchange between contracted programs and government funders and the way exchange is situated in a larger environment. The empirical basis for my dissertation is a set of government funded residential services programs for delinquent youth. The outcome variable is a measure of program quality created by the government funder. Predictor variables include competition at the program and parent organization level and the overall presence of public and nonprofit programs in the contract network. I also examine the effects of organizational form on performance. Most programs are contracted to nonprofit and for-profit organizations with a small number of programs directly provided by government. The mixed market provides an opportunity to test existing theory about organizational form and performance. I use hierarchical linear models (HLM) and qualitative comparative analysis (QCA) to examine how structural variables influence performance. In the HLM analysis, I find some support for my hypotheses about structural predictors of performance. In the QCA analysis, I find that effects of organizational form are conditional upon structural variables. It appears that nonprofit and public programs perform well under a variety of conditions while for-profit programs are more likely to perform acceptably when they are constrained by structural factors like competition. This dissertation makes theoretical, empirical and practical contributions to the field of public management. Following recent, scholarly tradition, I examine the changing role of government and its increasing use of the nonprofit and for-profit organizations to deliver government services. I incorporate structural theory into the contract management literature and demonstrate the structure of contract settings influences performance. I also develop formal measures of competition in contract settings. I also find that HLM and QCA can be complementary analytical tools and provide a richer picture of causal processes when used on the same dataset.

The investigated firms are selected according to their strategic choice which consists in seeing M&As as a shortcut for acquiring technological assets and capabilities and therefore the subsequent technological performance. The relatedness issue as well as the resource-based view of the firm are theoretical hints, which effectiveness on technological performance is discussed. A more managerial approach using case studies is also used in order to demonstrate a new organisational form of cooperation, derived from strategic alliances and M&As. With the help of the Renault-Nissan Alliance it is argued that this hybrid form presents many capacities for developing a successful integration process, and subsequently enhancing technological performance.</p>

Implementering av SoL 5 kap. 10 § : En kvalitativ studie av anhörigstöd i två kommuner med olika organisationsform

Den 1 juli år 2009 trädde en lagändring i kraft i SoL 5 kap. 10 § som innebär ett förtydligande i att Socialnämnden ska erbjuda stöd eller hjälp för att underlätta för de personer som vårdar en närstående som är långvarigt sjuk eller äldre eller stödjer en person som har funktionshinder. Syftet med denna studie var att undersöka hur implementeringen av SoL kap 5 § 10 ser ut i två kommuner. För att besvara detta använde vi oss utav kvalitativa intervjuer med nyckelpersoner med kunskap inom anhörigstödsarbete. Dessa nyckelpersoner har valts ut i två kommuner med olika organisationsform. De två kommunerna vi valt befinner sig i olika stadier i utvecklingen av implementeringen gällande anhörigstöd. Ur vårt resultat fick vi fram tre olika teman och dessa blev sedan grunden till vår analys och diskussion. Resultatet visar att de två kommunerna organisationsform skiljer sig betydligt åt vilket i sin tur spelar en avgörande roll för hur implementeringen och arbetet med anhöriga ser ut. Resultatet visar även på olika brister som de två kommunerna har, bland annat tid, projekttrötthet och bristande kunskap i vad anhörigstöd faktiskt innebär. Detta resultat analyserade vi med vissa teoretiska utgångspunkter som implementeringsteori och organisationsteori. Resultatet och analysen diskuteras sedan av oss där vi lyfter både de utmaningar och de möjligheter vi kan se i de båda kommunerna.
