Zástavní právo k obchodnímu podílu / Security interest in business share

Novák, Petr January 2013 (has links)
75 English summary Lien of the share in a limited liability company The main goal of my thesis "Lien of the share in a limited liability company" is to analyze provisions of the new Czech Civil Code and Corporation Act, which were passed in the spring of 2012. Both statutes come into effect on 1 January 2014. At first I briefly describe the historical development of this issue since 1906, when first a statute concerning the limited liability company was passed in our country. Then I describe the main issues in the provisions of Czech commercial Code. Current legislation concerning the pawn of the share is a very brief one. The main problem, which I introduce, is that the legal possibility of pawning the share depends on the legal possibility of transferring the share. This provision neglects the fact, that the commercial Code defines two types of transfer of the share, that is to another shareholder or to a non-shareholder, i.e. to a person outside the company. The new Czech Civil Code contains a comprehensive legislation of the pawn. Its main assets are wide contractual freedom and protection of the lien debtor. Parties of the pledge contract can enter into contract, that enables the lien creditor to exercise voting rights on the General Meeting. Another, in my opinion controversial, new provision is that...

無形資產典當模式之可行性分析 / Feasibility analysis of intangible asset pawn model

羅士翔, Lo, Shih Hsiang Unknown Date (has links)
With the progress of science and technology, intangible assets have been playing a more important role in business sector, competing the significance with tangible assets and becoming one of the most powerful assets of companies. From a macro perspective, more and more countries have referred intangible assets to an index of evaluating global competitiveness. However, it takes huge investment from developing to managing intangible assets. Since their high transaction costs as well as difficulties of evaluation, it is not easy to get enough capital through current banking system. Therefore, this thesis is discussing about under what conditions companies could finance for intangible assets via similar pathways as pawning tangible assets. The study has conducted interviews and analysis of pawnshops, two case companies and one guarantee company in Shanghai. On one hand, this study gives a clearer picture on the model of intangible asset pledge; on the other hand, it provides a better understanding about the required factors, process, and solutions of intangible asset pledge in China for further related studying.

"Bazar a zastavárna: etnografie na rozhraní formální a neformální ekonomie" / "Bazaar and pawn shop: ethnography at the interface of formal and informal economy"

Rádl, Michael January 2014 (has links)
Bazaar and pawnshop: etnography at the interface of formal and informal economy Abstract: In this paper I deal with the issue, regarding what actually constitutes bazaar-pawnshop and what this facility means for different groups of customers. Basic research method is auto- ethnography, because best suits in the situation, where I am myself the owner of such shop and during field research I use my own memories and perform both as a direct participant-owner as well as an anthropologist, examining the environment of bazaar. In the empirical part, I offer a brief characterization of different types of customers, depending on the way how they use the bazaar-pawnshop. By describing and analyzing relationships and interactions occurring in the course of business negotiations in the bazaar-pawnshop, I try to show what this type of economy, often referred to as informal or marginal, means for different groups of customers. In particular, I focus on the question how marginalized groups perceive bazaar-pawnshop and how they incorporate it into their lifestyle. On the basis of collected data I infer that they regard the bazaar- pawnshop as a standard economic facility and as an almost necessary part of their everyday life. Keywords: bazaar-pawnshop, purchase, sale, pawn, loan, used goods, customers, marginalized groups

This thesis is an attempt to de-construct the linear way in which I describe my work. I am attempting to deal with my family’s background in the theater and identity as a Texan. In addition I am attempting to address my interest in phenomenological concerns. This document was created in Microsoft Word 2000. The video portions of the video were edited on Imovie HD and Final Cut Pro, while the audio text was recorded from TextEdit’s text to speech program.
