A economia dos custos de transação e a abordagem das competências : elementos para uma teoria institucionalista unificada da firma

Embora constitua um elemento fundamental da Microeconomia, o estudo do comportamento empresarial foi, por muito tempo, negligenciado pela abordagem ortodoxa em virtude de sua opção metodológica pelo atomismo analítico, pela hipótese de racionalidade substantiva e pelo foco nas trocas, em detrimento da produção. Tentativas posteriores de aprimoramento da teoria convencional, compromissadas, contudo, com a preservação desse instrumental analítico, conduziram o estudo das firmas a um inevitável impasse, o que por sua vez possibilitou a emergência de alternativas teóricas de natureza institucionalista, baseada nos conceitos de custos de transação e competências. A escola institucionalista logrou posteriormente desenvolver-se de modo a ampliar consideravelmente seu escopo e diversidade teórica, culminando afinal na predominância de duas grandes correntes de pensamento dentro do institucionalismo econômico, que competem pela primazia da explicação do comportamento organizacional: as abordagens contratualista e evolucionária. Através da análise dos avanços e limitações de cada uma dessas diferentes escolas, demonstraremos neste trabalho a viabilidade de um diálogo em prol da construção de uma teoria híbrida que combine e aperfeiçoe as principais contribuições institucionalistas à compreensão do fenômeno empresarial. / Despite being a fundamental element of the Microeconomics, the study of business behavior was, for a long time, neglected by orthodoxy due to its methodological preference for atomist analysis, substantive rationality and focus on exchange, instead of production. Further attempts to improve the conventional theory, without abandoning the compromise in maintaining these analytical tools, have elsewhere failed, leading to the emergence of theoretical alternatives based on the institutionalist concepts of transaction costs and competences. Furthermore, the institutionalist approach was able to develop itself in the way of enlarging its scope and theoretical diversity, until the present state in which two great streams compete for supremacy in the institutionalist theory of the firm: the transaction costs economics and the evolutionary economics. By verifying the advances and limits of each one of these approaches, we’ll demonstrate the viability of a dialogue in the way of building a hybrid theory, which would combine the most important institutional contributions to the comprehension of the organizations.

Análise da eficiência técnica e econômica da agricultura de precisão a taxa variável de fertilizantes na cultura da soja no RS

O Brasil é um grande produtor de alimentos. O cenário atual da agricultura brasileira aponta para uma produção de alimentos eficiente com o menor impacto ambiental, tendo a modernização e a inovação tecnológica dos processos produtivos papéis importantes neste processo. Dentre as modernizações e inovações tecnológicas, destaca-se a agricultura de precisão a taxa variável de fertilizantes (ATV). O objetivo deste estudo foi analisar os impactos da adoção da ATV, no ponto de vista da eficiência técnica e econômica, na cultura da soja no estado do Rio Grande do Sul-RS. Com esta finalidade, foram coletados dados por meio do envio de questionário para produtores rurais e atores-chave da agricultura de precisão (AP). A análise descritiva dos dados permitiu caracterizar a adoção da ATV na cultura da soja, bem como, descrever a perspectiva da adoção da ATV pelos produtores rurais e atores chave. A partir dos dados adquiridos pelos entrevistados, verificou-se um aumento no uso da ATV e na área destinada para soja no RS. O tempo médio de adoção é de 3,54 safras. Aproximadamente 45% dos adotantes apresentam o ensino médio completo, tendo em média 40 anos de idade. Além da ATV, as ferramentas mais adotadas são a amostragem de solo (92,60%) e a barra de luz (66,70%). Tanto os produtores rurais, quanto os atores-chave, destacam a falta de mão de obra qualificada e a falta de informação/conhecimento sobre a ferramenta de AP, como limitantes para o crescimento da tecnologia no Brasil. Já em relação aos benefícios, as informações compartilhadas foram: o uso racional de insumos, o aumento produtivo e a facilidade na tomada de decisão pelo uso da informação. Aproximadamente 82% dos produtores obtiveram redução no uso de fertilizantes com a adoção da ATV. Com o aumento no número de safras adotando a tecnologia, reduziu-se o uso de fertilizantes, o custo ha-1 e aumentou a produtividade nas lavouras de soja. A produção de soja estimulada com a adoção da ATV é 13,88% superior ao sistema de AC. / Brazil is a major producer of food. Integração produtiva no Mercosul : uma análise dos fatores que interferem no processo de internacionalização da produção de firmas brasileiras

A integração produtiva com o MERCOSUL, nos últimos, anos tem recebido uma atenção especial na agenda de políticas internacionais do governo brasileiro. Esse fato pode ser explicado pelo número crescente de empresas brasileiras que procuram integrar sua produção com empresas da Argentina, Uruguai, Paraguai e Venezuela. Dentro desse contexto, o objetivo geral desta tese é analisar as relações funcionais dos fatores relacionados à natureza da firma e à formação de blocos econômicos que interferem nas estratégias de integração produtiva no MERCOSUL. Para entender o objeto de estudo desta tese, foi desenvolvida uma base teórica com foco nas abordagens epistemológicas das estratégias de integração produtiva, na teoria da firma e na formação de blocos econômicos. Logo após, foi apresentado um modelo teórico, fundamentado em hipóteses, as quais são baseadas na abordagem teórica da firma e nos estudos de formação de blocos econômicos. A pesquisa realizada utilizou uma abordagem mista, dividida em três etapas. Na primeira etapa, foram coletados 137 questionários, e serviu para a purificação do instrumento de Coleta de Dados. Na segunda etapa, com a coleta final de 516 respondentes, foi feita a análise dos dados quantitativos. Para isso, utilizou-se a Modelagem de Equações Estruturais (MEE), avaliando individualmente os construtos e discutindo as relações do modelo estrutural e suas hipóteses. Logo após a interpretação dos dados quantitativos, utilizou-se a técnica de análise de conteúdo para interpretar as relações validadas ou não na MEE. Nessa fase, foram realizadas 11 entrevistas semiestruturadas, que tiveram como objetivo analisar os achados teóricos e empíricos do trabalho. Após a validação e análise do modelo, foram feitas as considerações finais dos achados desta pesquisa. Constatou-se que a integração produtiva no MERCOSUL trata-se de um tema evidente, especialmente pelas complexas relações existentes nos fatores que antecedem (influenciam) sua prática. Como pode ser depreendida na base teórica e na análise dos resultados, a materialização dos benefícios da integração envolve um profundo processo de reorganização estratégica da estrutura produtiva das empresas e dos países-membros do MERCOSUL. Desse modo, o presente estudo pretendeu contribuir para a discussão dos estudos de internacionalização da produção em blocos econômicos, incentivando futuros debates que venham a contribuir para a evolução desse campo. / In recent years, the productive integration with Mercosur has received special attention in the international political agenda of the Brazilian government. This fact can be explained by the increasing number of Brazilian companies that seek to integrate their production with companies in Argentina, Uruguay, Paraguay and Venezuela. Within this context the overall aim of this thesis is to analyze the functional relationships of the factors related to the nature of the firm and the formation of economic blocks that interfere with productive integration strategies in MERCOSUR. To understand the subject matter of this thesis, it was developed a theoretical basis with a focus on epistemological approaches of integration strategies in production, the theory of the firm and the formation of economic blocs. Soon after, it was presented a theoretical model based on assumptions related to the theoretical approach of the firm and in studies about the formation of economic blocs. The survey used a mixed approach, divided into three steps. In the first stage 137 questionnaires were collected. This first stage was the cleansing function of the instrument Data Collection. In the second stage, with the final collection of 516 respondents, it was analyzed the quantitative data. For this matter we used the Structural Equation Modeling (MEE), evaluating the individual constructs and discussing the relationships of the structural model and its assumptions. Soon after the interpretation of quantitative data, we used the technique of content analysis to interpret the relationships validated in the MEE. This phase was conducted by eleven semi-structured interviews aimed to analyze the findings of the theoretical and empirical work. After validation and analysis of the model, it was made the final considerations of the findings of this research. It was found that the productive integration in MERCOSUR is clearly an issue, especially the complex relationships that exist in the factors leading (influencing) their practice. As can be deduced from the theoretical basis and analysis of results, the realization of the benefits of integration involves a thorough process of strategic reorganization of production structures and member countries of MERCOSUR. Thus, this study aimed to contribute to the discussion of studies about the internationalization of production blocs, encouraging future research which may contribute to the evolution of this field.

Contratos relacionais e a teoria da firma: um teste empírico com subcontratação de atividades jurídicas / Relational contracts and the theory of the firm: an empirical test in the market for outsourcing of legal activities

Este trabalho analisa o papel dos contratos relacionais na decisão entre a subcontratação e a integração vertical e as condições que tornam estes contratos factíveis. As proposições de Baker, Gibbons e Murphy (2002 – a partir daqui apenas BGM) e de Dixit (2004) são testadas e os resultados confirmam as principais hipóteses. Empresas podem operar através do mercado ou com um alto grau de integração vertical. No segundo caso as empresas evitam o que se chama de problemas de hold up – isto é, quando defrontada com a ocasião de cumprir os termos acertados no início da operação, a outra parte pode exigir termos de negociação mais onerosos, mas não tão onerosos a ponto de a primeira parte preferir abandonar os investimentos específicos que fez e negociar com terceiros. Se todos os ativos pertencerem a uma única empresa, tais problemas não existiriam, e isto explicaria a segunda opção, a operação em um alto grau de integração vertical (Williamson, 1985). Esta explicação, entretanto, não esclarece por que algumas empresas operam em redes, arranjos onde as partes permanecem como entidades economicamente separadas, mas com relações de longo prazo. A Toyota e outras empresas japonesas de automóveis são o exemplo típico desta situação (Holmström, Ronerts, 1998). Os contratos relacionais ajudam a contornar as dificuldades das contratações formais, independentes de essas advirem de problemas de holdup ou de outra fonte. Um contrato relacional permite que as partes utilizem o conhecimento detalhado que possuem de sua situação específica e que se adaptem também às novas informações quando essas se tornam disponíveis (MacNeil, 1978). Existe uma ressalva, entretanto: os contratos não poderão ser garantidos por uma terceira parte e por isso devem ser auto-executáveis, isto é, o valor das relações futuras deve ser o suficiente para que nenhuma das partes renegue o contrato (BGM, 2002, Dixit, 2004). Mas o que faz alguns contratos falharem enquanto outros são bem sucedidos? BGM examinam o problema à luz da teoria de contatos relacionais e da teoria de direitos de propriedade. De acordo com esses autores, a integração vertical afeta a tentação das partes de renegar um dado contrato relacional. Então, em um dado ambiente econômico e institucional, um contrato relacional pode ser factível sob integração vertical e não sê-lo para transações através do mercado – e isso será particularmente verdade quando encontrarmos uma grande variação dos preços alternativos dos ativos transacionados nestes contratos. Esses ativos não estão restritos apenas aos físicos, e podem ser o direito à propriedade de um bem ou a discricionariedade que um trabalhador subcontratado tem sobre como alocar o seu tempo na execução do trabalho contratado (Hart, 1992). Dixit (2004) discute o papel da sinalização e dos contratos formais na manutenção desses contratos relacionais. Partindo dessas hipóteses e com base na literatura de incentivos, as proposições de BGM e de Dixit são testadas. A decisão das empresas entre contratar serviços legais através do mercado ou manter um departamento jurídico próprio podem ser explicadas principalmente pela variação dos preços dos ativos (nesse caso, o valor dos serviços legais, que pode ser expresso pela maior ou menor competição no mercado de trabalho – Bertrand, 2004), mas também pelo ambiente institucional, particularmente pelo tempo necessário para se obter uma decisão da justiça e a variação do resultado esperado. Os resultados dos testes empíricos apontam para a confirmação da hipótese principal e sugere algumas linhas de pesquisa. / This work analyzes the role of relational contracts in the decision between subcontracting or vertical integration and the conditions that make these contracts feasible. The propositions of Baker, Gibbons and Murphy (2002 – since now, just BGM) and Dixit (2004) are tested and the results are supportive to the main propositions. Firms can conduct their operations through the market or can operate in a high degree of vertical integration. In the second case firms avoid what we call “holdup” problems - that is, when it comes time to work out the terms of the deal left open at the outset, the other side might demand terms of trade that are onerous but not so onerous that the first part would willingly forfeit the value of those transaction-specific assets by taking its business elsewhere. If all this assets belongs to one firm, there is no problem at all, and that explain this second choice, the vertical integration (Williamson, 1985). This rationale, however, don’t explain why some companies operate through networks, arrangements where the parties stay economically separate entities but having long-term relationship. Toyota and others Japanese Automobile Companies are the typical example (Holmström, Roberts, 1998). Relational contracts help circumvent difficulties in formal contracting no matter if these difficulties come from holdup problems or from another source. A relational contract allows the parties to utilize their detailed knowledge of their specific situation and to adapt to new information as it becomes available (MacNeil, 1978). There is a caveat, however: they cannot be enforced by a third party and must be self-enforcing, that means, the value of the future relationship must be sufficiently large that neither party wishes to renege (BGM, 2002, Dixit, 2004). But what makes some contracts to breakdown until others goes well? BGM examine the problem in the light of relational contracts and property rights theory. According to them, integration affects the parties’ temptation to renege a given relational contract. Thus, in a given environment, a desirable relational contract might be feasible under integration but not under nonintegration – and this will be particularly true when we face a wide varying alternative prices of an asset. These assets are not restricted to physical ones, and can be even a legal title to a good or the discretion that a outsourced worker have about how to allocate his time doing the job (Hart, 1992). Dixit (2004) discuss the role of signalization and formal contracts in the maintenance of these relational contracts. Departing from these hypotheses and with ground on the incentive literature, the BGM’s and Dixit’s propositions were tested. The companies’ decision between to contract law services in the market or to employ an internal legal department can be explained mainly by the variation on assets value (in the case, the value of legal services, expressed by a greater competition degree – Bertrand, 2004), but also by the institutional environment, particularly the time to reach a decision and the variability of the expected result. The results of the empirical research confirm the main assumption and point some lines of research in the relational contracts field.

Toward a Systemic Model for Governance and Strategic Management: Evaluating Stakeholder Theory Versus Shareholder Theory Approaches

The research’s intent is improvement in governance and strategic management initially by comparing Shareholder Theory and Stakeholder Theory and making results useful for both Practitioner and Academic audiences. A conceptual model for how a society establishes and evolves the roles it legitimizes for a business to support reasoning about those roles and the process originating the expectations, responsibilities, obligations, contributions and freedom to act in the roles is proposed. Understanding this process would enable better governance and strategic management of a firm while avoiding unintended consequences when fulfilling the role and consequences for failing the role. The model becomes a basis for comparing Shareholder and Stakeholder Theories. Context for the model comes from practitioner narratives around changes occurring in business and their themes around the relationship of a business with its ecosystem. To incorporate both the societal and business relationship components, the model building process was based upon concepts and ideas from General Systems, Economics, Sociology, Neuroscience, Philosophy, Evolution, Complexity and Complex Adaptive Systems, Semiotics, as well as Business. This was an iterative abductive, inductive, deductive process with each iteration compared to relevant theory, integrated across the subject domains, then tested against other academic research on the issue, evidence of the model in practice, and a culturomics study across social and industry literature. These results are exploratory, descriptive, directional, and suggestive for future research opportunities. Problems with Stakeholder Theory are identified but potentially addressed with the conceptual model, in turn suggesting a systemic approach to governance and strategic management. It was determined that Shareholder Theory results in many unintended consequences detrimental to society and the firm. The conceptual model provides points of intervention in the process and suggests potential tooling for governance and strategic management. A side effect of the research was a perspective on the practitioner / academic divide as the research grappled with the “wicked problem” nature and transdisciplinary nature of process being described. By introducing systems and complexity paradigms in the model, potential ways to address the divide are suggested, such as 3 level analysis (micro, meso, macro).

To Forbear or not to Forbear? A Behavioral Perspective of Multimarket Competition

Multimarket competition has become a substantial part of the modern economy. As such, it has drawn the attention of academics in both economics and strategy fields. Many studies have found empirical evidence of mutual forbearance in several industries, but despite its importance, its behavioral roots have not been explored. In my dissertation I integrate the reality of boundedly-rational decision makers into the mutual forbearance hypothesis. I apply an outgrowth of the behavioral theory of the firm – the shifting focus model of risk taking – to the study of competitive behavior. I propose a behavioral model of multimarket competition that focuses on corporate strategic decisions - market entry and exit decisions, regardless of entry mode (e.g. acquisitions) or exit mode (e.g. divestitures). This approach provides a granular view of changes in the business scope of the firms in terms of product and geographic markets served. I test my hypotheses in the U.S. property liability insurance industry over a 12-year period (1998-2008). I argue that firms follow the mutual forbearance logic as long as their performance goals are satisfied. However, under conditions of adversity, firms shift attention to recovering from the performance shortfall and their actions deviate from the mutual forbearance predictions. This dissertation shows that underperforming firms with abundant slack take longer to forbear, and underperforming firms with limited slack start forbearing sooner, as predicted. By bridging behavioral and competitive perspectives to the study of market entry and exit decisions, I underscore the value of cross-fertilization in strategy research.

Evaluation of Philips Group split through financial analysis tools / Vyhodnocení rozdělení Philips Group s pomocí finanční analýzy

This thesis aimed to examine methods used to evaluate multinational and diversified firms and then use these methods to study the Philips Group and its decision to spin-off of the Philips Lighting sector. Although numerous methods and parameters used to analyze firms already exist, they remain very limited for multinational and diversified firms such as Philips Group or General Electric. In this thesis, hypotheses were based on the theory of the firm and tested using analysis of leverage, profitability and efficiency ratios. This study shows the difficulty of analysing multinational diversified firms caused by a very limited availability of data set. Thus, despite of a great number of ratios described in the literature, only a small portion can be in fact computed using publicly available data. Hypotheses were based on the the paper developed by Chen and Guo (2005). First hypothesis, based on the analysis of capital constraint was attempted, secondly the pace and directions of individual sectors were analysed using profitability and efficiency ratios and thirdly the stock performance was observed. All of this in order to examine whether the motive of the split was to increase the stock prices. It was found that Philips Group nor its Lighting sector did not experience capital constraints, nevertheless an important degree of underperformance amidst analysed figures was found, which suggested that Philips Lighting division was not as good in creating value for shareholders as the HealthTech division was. Moreover, the decision of Philips Group to concentrate on its HealthTech business was positively accepted on stock markets confirming the third hypothesis.

L'étude des processus de création de connaissances souligne la complexité des interactions individuelles au sein des organisations productives. Cette complexité est telle que les théories de l'entreprise basées sur les incitations, focalisées sur les problèmes de traitement de l'information, peuvent ignorer une part substantielle des facteurs de décision individuels intervenant dans le contexte de l'apprentissage organisationnel, et plus largement dans les processus de production collectifs. Nous utilisons dans cette thèse la méthode expérimentale pour étudier les déterminants de la coopération, afin d'affiner les hypothèses comportementales sur lesquelles sont basées les théories économiques de la production collective. Nous montrons que les deux visions de la coopération portées par les théories de l'entreprise - un comportement devant être extrait d'intérêts divergents et une propriété émergente découlant des interactions sociales entre agents – sont étayées par les résultats expérimentaux. Par conséquent, nous concluons que les deux approches devraient être retenues et éventuellement intégrées dans un cadre d'analyse plus large. / The study of knowledge creation processes has pointed to the complexity of individual interactions within productive organizations. This complexity appears to be such that incentive-based theories of the firm, which focus on information processing issues, may fail to grasp a substantial part of the individual decision-making involved in the context of organizational learning, and more broadly in collective production processes. In this thesis we use experimental methods to study the determinants of cooperation, in order to refine the behavioral assumptions on which economic theories of collective production are based. We show that the two visions of cooperation embodied in competing theories of the firm - a behavior to be elicited from diverging interests and an emergent property stemming from social interactions among agents - find support from the laboratory experiments. Accordingly, we conclude that both approaches should be upheld and possibly combined in a broader, integrative, analytical framework.
