Juridinio asmens dalyvio civilinės atsakomybės pagal juridinio asmens prievolę problemos / The problems of the legal entity’s participant’s civil liability under the legal entity’s obligation

This legal study approaches the problems of legal entity’s participant’s civil liability under the legal entity’s obligation. In the first part of this work a historical evolution of a legal entity and its participant is being revealed, author introduces to the variety of the theoretical doctrines of a legal entity, a conception and main features of legal entity are presented. Hereafter, a conception of a juridical person’s participant is analyzed, also the peculiarities of the participant’s legal status is passed in review in light of the limited and unlimited liability. This study also presents general conditions upon which the liability of legal person’s participant may arose. Thereinafter the problematical aspects of the limited liability juridical person’s participant liability under the juridical persons’ obligation are being discussed, attention is paid to the advantages and drawbacks of the limited liability and also to the doctrine of piercing the corporate veil in Lithuanian and foreign jurisprudence and judiciary practice. This work also reveals the positive and negative features of unlimited liability in the context of social and economical life, brings up problems concerning unlimited liability legal entity’s participant liability under legal entity’s obligation in exaction, insolvency and liquidation procedures. Finally, conclusions and suggestions to the legislator and judicial bench are being brought up.

This scientific research has been made on the regulation of similar institute to material liability of the employees in the national law of five old European Union member states (Belgium, United Kingdom, France, Sweden and Germany), comparing it to the regulation of material liability of the employees in Lithuania. It is very important as this is one of first more detailed researches in Lithuania made on this issue. The similarities and the differences of the regulation are being pointed out through the analysis of the main questions of material liability of the employees such as conception, sources of law, applying conditions, limitation of the liability, and the cases when unlimited liability of the employees is being applied.

This paper explores the issues underlying the Scott v. Canada veteran class action lawsuit. In particular it seeks to provide context to these issues by examining the cultural and legal structure of the Canadian military, the historic developments of veteran benefits in Canada, and the difficulties veterans face navigating the institutions that disseminate these benefits. The Scott v. Canada veteran class action lawsuit was launched against the Federal Government in 2012, in response to the Canadian Forces Members and Veterans Re-establishment and Compensation Act (the “New Veterans Charter”), which replaced the disability pension regime for many Canadian Forces Members and veterans under the Pension Act. / Graduate

Šiame magistro baigiamajame darbe nagrinėjami juridinio asmens dalyvio atsakomybės pagal juridinio asmens prievoles taikymo ypatumai Lietuvos teismų praktikoje. Pirmoje darbo dalyje yra aptariamos juridinio asmens kilmės teorijos bei jų įtaka juridinio asmens dalyvio atsakomybei, analizuojamas dalyvio atsakomybės pagal juridinio asmens prievoles institutas, aptariami juridinio asmens dalyvio atsakomybės modeliai, remiantis teismų, doktrinos išaiškinimais bei teisės normų analize nustatinėjama dalyvio atsakomybės pagal juridinio asmens prievoles kilmė. Antroje darbo dalyje aptariama ribotos ir neribotos atsakomybės juridinių asmenų dalyvių teisinio statuso ypatumai, analizuojami juridinio asmens dalyvių sampratos išaiškinimai Lietuvos teismų praktikoje bei teisės doktrinoje, taip pat aptariami teisės aktų prieštaravimai bei teismų praktikos probleminiai aspektai, susiję su ribotos ir neribotos atsakomybės juridinių asmenų dalyvių teisinio statuso ypatumais. Trečioje darbo dalyje aptariama ribotos atsakomybės juridinio asmens dalyvio atsakomybės pagal juridinio asmens prievoles atsiradimo pagrindai ir jų taikymas Lietuvos teismų praktikoje. The first part deals with theories on the origin of a legal entity and their impact on the liability of a legal entity’s member, analyzes the institution of a member’s liability under the legal entity’s obligations, discusses models of the liability of a legal entity’s member and determines the origin of the liability of a legal entity’s member under the legal entity’s obligations based on interpretations of courts and the doctrine as well as on an analysis of legal norms. The second part discusses peculiarities of a legal status of members of legal entities with limited and unlimited liabilities, analyzes interpretations of the conception of a legal entity’s member in Lithuanian case-law and legal doctrine and also deals with contradictions in legislation and problematic aspects of the case-law related to peculiarities of a legal status of members of legal entities with limited and unlimited liabilities.
