Ethics in Family Businesses and Venture Capital Firms : How managers manage ethical considerations and steer behavior

Business ethics is a fragmented and well covered scientific field. This Master thesis study concerns two type of organizations, namely family businesses (FB’s) and venture capital firms (VCF’s), in relation to the ethical decision-making process, which is a relatively undiscovered field. The study is conducted in the way it sheds a light on the influences on a manager when taking decisions concerning ethical considerations. Important scholars such as Colby and Kohlberg (1987) and Rest et al. (1999) framed the field of moral development of individuals, and what makes managers unaware of their unethical decisions (Bazerman, 2008). However, a manager’s possibility to take decisions is also influenced by organizational factors and actors. The type of management and ownership structure, and the expectations these actors have with regard to profits, as well as situational factors such as business strategy, maturity of the company, human and financial resources and market position are shaping the environment and possibility for managers to pursue ethical behavior because they affect the decision-making process.The purpose of this study is to understand how managers in FB’s and VCF’s manage ethical considerations. The creating of the conceptual framework was used as a foundation to visualize how ethical behavior is constructed, while the focus laid on the influences and possibility to take decisions including ethical considerations and content. While performing this research, we have conducted eight semi-structured interviews with managers in three VCF’s and two FB’s in Sweden. The respondent companies and interviewees remain anonymous. We did that to increase the chance of honest and unbiased answers since we saw a risk to receive adjusted and image improving responses.The empirical findings show that the VCF’s do not pay attention to ethical considerations in the same extent as FB’s do. Discovered reasons were lack of time and know-how, financial and human resources, business maturity and the fact that they were to generate a high ROI to the venture capitalist. Such a relationship makes the managers focus on profit maximization and short term objectives rather than ethical considerations. The two FB’s did have an ethical code of conduct with the employees and was constructed in order to fulfill acceptance, integration and efficiency with this management tool. The ethical codes of conduct were created with the goal to steer behavior and ensure ethical commitment in certain areas of interest. The major finding is that situational factors either suffocate or give room for ethical considerations in companies when taking decisions.In particular, this research contributes to the field of business ethics and VCF’s in general, but also with regard to FB’s. The results of this thesis are constructed in the decision-making model which is different than the ethical decision-making model we constructed based on the theoretical research. However, reality did not allow us to recognize the fragmented patterns we interpreted from the theory. We therefore created a new top-down model which takes the need for a decision in companies into account, the actors and factors in the organization, the situational factors that influence the happenings in the organization and the outcome of the decision, which possibly contains ethical considerations and content. With the improved model we visualize the decision-making process while taking influences towards ethical decision-making into consideration and visualize organizational reality as we discovered it.Key words: business ethics, ethical considerations, ethical code of conduct, moral awareness, ethical decision-making, ethical behavior, family business, venture capital firm, profit maximization, shareholder preferences.

Thermal mass can be successfully implemented in the hot‐humid region of Austin, TX especially when well designed and with supplementary aids like nightcooling and day‐lighting. This study shows that in some situations thermal mass can be actually more beneficial at reducing electricity demands in hot‐humid regions than in the hot‐dry regions that are so emphasized in the literature. / text

An investigation of the sustainability and practicality of a neurologically based behaviour model of support

This thesis describes an investigation of a model of support for students with emotional/behavioural disorder (EBD) that involves neurologically based behaviour (NBB). Students with EBD that may involve NBB do not consistently respond to the behavioural interventions typically offered in schools. Organic neurological differences and executive functioning deficits may be implicated in neurologically based behaviour. Students who present with neurologically based behaviour characteristics often are said to have a developmentally delayed or undeveloped recognition of cause and effect. Thus, logical consequences and school wide behaviour support systems tend to be ineffective. Some direct service providers now advocate “working from the bottom up” (Nunley, 2005; Deak, 2005; Solomon & Heide, 2005) to address students with violent or aggressive behaviour. In this study, such a bottom up approach involved the use of environmental modification, body awareness, somatic understanding, and various calming techniques and meditative strategies to quiet the physiological responses, triggered from the bottom and mid areas of the brain (Nunley, 2005; Deak, 2005; Solomon & Heide, 2005). Once the midbrain is calmed, higher order interventions, such as cognitive behavioural therapy, conflict resolution, mediation, and others were used to help students process information, put appropriate language to behavioural events, and reframe and redefine their needs in more acceptable terms (Garbarino, 2001, Nunley, 2005; Charles, 2008a). The education system has a legal obligation to educate students with neurologically based behaviour despite the extreme behavioural issues they raise. Educators need to develop additional strategies and techniques to address students with severe behaviour. This thesis highlights a theoretical framework for a model of support for students with emotional/behavioural disorder that involves neurologically based behaviour.

Dynamic Behaviour of Coke Drums PSVs During Blocked Outlet Condition

The maximum yield taken in an oil refinery can not exceed 70% without including Delayed Coker Unit (DCU) as part of unit operations in the refinery. This implies naturally a big attraction on investing of such a unit for refiners. However, during the past decades, there were few refiners included Coker unit in the refinery, due to the fact of its large capital investment with a high marginal profitability. On the other hand the technologies developed to operate a coker unit, involve a series of process steps that require highly trained and well experienced operators with a state of art of design to overcome all the challenges with this unit operation. Safety, as a prime factor of design and operation requires much attention in the design of this unit. Among different safety consideration in the design and operation of Coker Unit, this project thesis focuses on the dynamic behaviour of Coke Drums PSV (Process Safety Valve) relief and its interaction with Blowdown section of the unit that leads also to the PSV relief of Blowdown section with change of temperature versus time during the first 15 minutes that is considered as the time required for operators intervention. The main findings in this thesis are about the complications in the design aspects of delayed coker unit as well as the importance and role of safety of operation of this unit. It also gave me an insight of cascade relief during the upset condition in an online coke drum and the importance of a reliable piping system to handle the hydraulics as well high temperature conditions.

Text in Afrikaans / Daar is 'n toenemende bewuswording van die noodsaaklikheid van effektiewe beskerming vir minderhede. Die rede vir hierdie toenemende erkenning aan die behoefte aan minderheidsbeskerming is waarskynlik toe te skryf aan die beset dat dit nie alleen die minderheidsaandeelhouers is wat skade ly in geval van benadelende optrede nie, maar ook die ekonomie. Maatskappye word ingevolge die beginsel van meerderheidsbewind bestuur, met die gevolg dat die minderheid onderworpe is aan die wil van die meerderheid. Die minderheid kan hulself hierdeur in 'n onbenydenswaardige posisie bevind, veral indien die meerderheid hul mag aanwend om hul eie belange te bevorder. Gemeenregtelik is die reel in Foss v Harbottle 'n struikelblok vir minderheidsaandeelhouers wat gedingvoering beoog. In 'n poging om die gebrekkige gemeenregtelike beskerming van minderhede te ondervang, is bepaalde statutere maatreels ingevoer. Die evaluasie van hierdie maatreels geskied aan die hand van 'n regsvergelykende ondersoek na verskeie buitelandse stelsels, waarvan die van Nieu-Seeland en Kanada uit staan vanwee die innoverende aard van hul statutere beskermingsmaatreels. Die gevolgtrekking is dat die beskerming wat die Suid-Afrikaanse statutere maatreels aan minderhede bied, onbevredigend is om verskeie redes. Eerstens is hierdie maatreels dikwels te eng bewoord wat daartoe lei dat die aanwendingsveld van die maatreels beperk is. Tweedens hou die maatreels nie tred met ontwikkelings elders in die wereld en veranderende omstandighede en behoeftes in die praktyk nie. Derdens ontbreek goed geformuleerde remedies wat aanvullend tot artikel 252 van die Wet sal wees. Daar is verder bevind dat ad hocwysigings van bestaande maatreels nie die gewenste resultaat gaan bereik nie en 'n algehele hervorming van die Suid-Afrikaanse maatskappyereg word aanbeveel. Ten slotte word konkrete voorstelle in die vorm van konsepwetgewing gemaak en word vergesel van verduidelikende notas. Hierdie wetgewing is hoofsaaklik aan die hand van die Nieu-Seelandse en Kanadese modelle geformuleer. / There is a growing awareness of the need for effective protection of minority shareholders. This can probably be ascribed to the acknowledgement of the fact that prejudicial conduct harms not only minority shareholders, but also the economy at large. Companies are governed by the principle of majority rule; consequently the minority is subjected to the will of the majority. This often places the minority in an invidious position, especially when the majority use their power to further their own interests. The rule in Foss v Harbottle presents a stumbling block to minority shareholder action. Certain statutory measures have been introduced in an effort to counter defective minority protection. These statutory measures are evaluated in the light of a comparative study of several foreign jurisdictions, the most prominent of which are New Zealand and Canada, because of the innovative nature of the measures which they employ. The conclusion arrived at is that, for various reasons, the protection afforded minorities by the South African statutory measures is unsatisfactory. Firstly, the wording of these measures is narrowly construed; this in turn results in a narrow field of application. Secondly, these measures are not in step with developments elsewhere in the world and with the changing circumstances and needs in practice. Thirdly, well-formulated remedies needed in order to supplement section 252 of the Act are non-existent. It has also been found that ad hoc amendments of existing measures will not achieve the required result, and consequently a complete reform of South African company law is recommended. Finally, specific recommendations in the form of draft legislation are made; these are accompanied by explanatory notes. This draft legislation was formulated primarily along the lines of the New Zealand and Canadian models. / Private Law / LL.D.

Background and problem: There is a need for more research that is specific to a particular branch of industry when it comes to capital budgeting. Especially when it comes to mapping how companies within the Swedish forest industry proceed capital budgeting when investing in tangible fixed assets. The reason for this is that the research regarding the subject within the industry is either made abroad, focusing only on a few companies or excluding the non-financial considerations that are made during the capital budgeting process. It is not reasonable to not take these considerations into account, due to the fact that it has a great impact on the capital investment decision. Besides this, it is through both the financial and the non-financial consequences that the complex reality can be captured. In other words, capital budgeting can only be studied in large when including both financial and non-financial considerations at the same time as there is a need to delimit the research to one industry and one country.  Purpose: The purpose of this study is to map how companies within the Swedish forest industry handle capital budgeting when investing in tangible fixed assets. The mapping will be done by determining which calculation methods that are frequently used and what financial and non-financial considerations that are made. The purpose is also to define the reasons as to why the Swedish forest companies prioritize precisely these considerations when managing capital budgeting. The ambition is to make sure that the research’s conclusions depict capital budgeting in the industry and trought that contribute to a greater understanding of the practical application of capital budgeting within Swedish forest industry.  Method: The thesis is primarily described as a qualitative research that is based on interviews. The empirical data is mostly gathered through semi structured interviews with respondents from different Swedish forest companies and the interviews are supplemented with information from various websites, annual reports and internal documents.  Conclusions: Swedish forest companies are influenced by a number of factors which in turn affects how they handle capital budgeting when investing in tangible fixed assets. The financial considerations are mainly found through the usage of different investment calculation methods, where the payback method followed by the net present value method are most commonly used. The non-financial considerations are mainly characterized by industry specific conditions together with a focus on environment, security and competitiveness.

This thesis projct examines the implementation of Artificial Intelligence (AI) in Project Management, focusing on its impact on the working personnel. AI has the potential to improve management processes, increase efficiency, and enhance decision-making. This thesis aims to explore the implementation of AI in project management with a focus on the impact on working personnel. The study analyzes the benefits and challanges of AI implementation, the impact on the role of project managers and team members, and the ethical considerations of using AI in project management. The research incorporates a literature review and semi-structured interviews conducted with project managers from Greece and Sweden to gather comprehensive insights. The findings suggest that the integration of AI in project management can significantly benefit working personnel by reducing workload, increasing accuracy, and providing better insights. However, the implementation of AI requires careful consideration of ethical issues and proper training of personnel. / Detta examensarbete undersöker implementeringen av artificiell intelligens (AI) i projektledning, med fokus på dess inverkan på arbetsgivare. Studien innehåller en literaturgenomgång och semistrukturerade intervjuer med projektledare från Grekland och Sverige för att smala in omfattande insikter. AI har potential att förbättra projektledningsprocesser, öka effektiviteten och förbättra beslutsfattandet. Studien analyserar fördelarna och utmaningarna med AI-implementering, inverkan på rollen för projektledare och teammedlemmar, och de etiska övervägandena av att använda AI i projektledning. Resultatet tyder på att integrationen av AI i projektledning avsevärt kan gynna arbetande personal genom att minska arbetsbelastningen, öka noggrannheten och ge bättre insikter. Men implementeringen av AI kräver noggrant övervägande av etiska frågor och korrekt utbildning av personal.
