Delay in commercial commitments and its consequences The purpose of the thesis is to describe all the aspects of delay in commercial commitments in the law system of the Czech Republic with focus on the consequences a delay may cause. Even though the history of the respective legislation is long and uninterrupted (it basically dates back to the Austrian General Civil Code from 1811), certain cases of indistinct interpretation in every-day use of the rules may still arise and that is the reason for elaborating the research. Legislation, expert interpretation of the legislation, papers from professional journals and a number of judicatures, mostly decisions of the Supreme Court of the Czech Republic, are used to thoroughly analyse the topic. The Czech Commercial Code recognises two general kinds of delay - debtor's delay, which occurs if the debtor does not fulfil their (usually contractual) duties in time and/or properly and creditor's delay, that is initiated by the creditor if they do not accept proper fulfilment from the debtor and that supersedes the debtor's delay, if it may be in place. In case of the debtor's delay the law automatically guarantees the creditor several rights. "La investigación del patrimonio del ejecutado" analiza los arts. 589, 590 y 591 de la Ley española 1/2000, de Enjuiciamiento Civil.El estudio abarca el conjunto de mecanismos legales previstos para determinar el objeto del embargo, a saber, la manifestación de bienes del ejecutado, la investigación judicial, la colaboración de terceros y la investigación del ejecutante. La tesis analiza en profundidad el régimen jurídico de dichos medios de investigación y sus límites (en particular, los derechos fundamentales del ejecutado), proponiendo formas de rellenar las lagunas legales y de mejorar la coordinación entre los distintos medios de investigación.La tesis examina asimismo el Derecho comparado, buscando en él soluciones practicables para el Derecho español. / The thesis analyzes Articles 589, 590 and 591 of the Spanish Code of Civil Procedure (Ley 1/2000, de Enjuiciamiento Civil).The study focuses on the instruments for the disclosure of assets in order to enforce judicial decisions. These instruments are the debtor's declaration of assets, the tracing of assets by the Court, the collaboration of third parties and the tracing of assets by the creditor.The thesis makes an in-depth analysis under Spanish law of these mechanisms and its limits (in particular, the fundamental rights of the debtor). It also proposes ways to fill the gaps of the Spanish legislation and to improve the coordination between each of the instruments to trace and disclose the debtor's assets for enforcement purposes.The study also analyses Comparative Law, in the search of other practical solutions for Spanish Law.

Le principe de spécialité en droit des sûretés réelles / The specificity principle in security law

Le principe de spécialité de l’hypothèque s’est imposé dans le Code civil en 1804 en vue d’assurer le développement de l’économie moderne, puis il s’est répandu sur l’ensemble des sûretés réelles pour devenir un principe fondamental du droit des sûretés. Pourtant, à la fin du vingtième siècle, le principe a essuyé de violentes critiques : il rigidifiait le droit des sûretés réelles et était un frein au développement du crédit. Outre la nocivité du principe, sa remise en cause théorique annonçait son déclin en droit français d’autant qu’à l’étranger le security interest de droit américain, qui ne le connaît pas, ne cessait de faire des émules. Pourtant, lors de la réforme, le législateur l’a conservé tout en l’assouplissant. L’assouplissement du principe est la marque d’une réforme éclairée qui est intuitivement revenue aux origines du principe pour lui conférer la flexibilité dont le législateur originel voulait le pourvoir, mais qui a toujours été étouffée par une conception théorique inadaptée que la doctrine contemporaine doit, aujourd’hui, renouveler. Seul un retour aux sources originelles du principe de spécialité de l’hypothèque, « mère » des sûretés réelles, permet de faire surgir, à nouveau, sa réalité pratique pour poser les premiers fondements d’une conception théorique ajustée qui pousse à remettre en cause le rattachement du droit des sûretés aux droits patrimoniaux. Le principe de spécialité n’est pas un stigmate de l’archaïsme du droit des sûretés réelles français ; il est, au contraire, le ferment de son évolution. / The specificity principle was introduced in the Civil code in 1804 to ensure the development of the modern economy. Then, it gained ground and became a fundamental principle of security law. However, at the end of the 20th century, it was violently criticized : it was accused to diffuse rigidity in security law and put a brake on credit. In addition to the principle noxiousness, its theoretical criticism was all the more announcing its decline in French law, because in foreign states the influence of the American security interest, which does not know the principle, was widening. However, the reform preserved, while softened, the principle in French law. The softening of the principle is the mark of a enlightened reform which is intuitively return to the principle origins to confer it the flexibility that the original legislator wanted, but which had been choked by an inadequate theoretical conception. This conception has to be renewed now. Only a return to original sources of hypothec specificity principle is able to capture its practical realty in order to lay the foundation stone of an adapted theoretical conception, which push to removing security law from patrimony rights. The specificity principle is not a sign of the archaism of real and personal security French law, it is, on the contrary, the ferment of his evolution.

Právní následky porušení smlouvy v občanském právu / Legal consequences with respect to the breach of contract under civil law

S u m m a r y The goal of this thesis is to analyse the legal consequences of the breach of contract, especially under civil law, although, some essential comparison with legal regulation of commercial law is given, too. The text is divided into ten chapters. In the introduction, i. e. in the first two chapters the term of contract is defined and then the basic legal principles of the contractual law are enumerated and described in respect of the topic. The third chapter deals with the subject of the paper globally and shortly characterises each consequence of the breach of contract. The account of them is also given. The following chapters provide complete information how every consequence works and which part it plays in the Czech legal system. Specifically, Chapter Four is focused on debtor's delay and Chapter Five on creditor's delay. Chapter Six investigates liability for damage and damages a bit, as well. Chapter Seven deals with liability for defects and Chapter Eight is about contractual fine. In Chapter Nine is mentioned discharge of contract and its consequences. Each of in this paragraph enumerated chapters describes its subject itself and also relevant related problems in context with practice of the courts.
