This discussion is important for us in the sense that, how the head teachers election has been happen, since 1995 in the Ceará State, and the sametime, if it is possible to see how the school central actors had worked on the participation question. In the methodology we made bibliographyc and local research and in that time, we applied questionnaire and we made interview with teachers, students, employees, parents and members of the management nucleus of two state public schools: São Paulo school and São Caetano school: the results shows that, although they accept and they think that the election process of head teachers is positive, theirs participation in the schools direction is not full yet, because they don’t know how the education process happens; or because they don’t have interest on the school direction, because they don’t feel like participating in the education process; or because they are not envolved. The results make us to re-direction the participation practice, in the sence of make real the collective make in the school activities, that impose beliefs and values changes, understanding the participation in a view of consolidation and realization of the democratic management, that goes over of the head teachers choise by direct elections. / A presente pesquisa investiga se o processo eletivo de diretores escolares tem propiciado a participação dos segmentos escolares - pais, alunos, professores e funcionários, nas decisões cotidianas da ação educativa, objetivando a democratização da gestão. Esta discussão é importante no sentido de visualizarmos como tem ocorrido o processo de eleição de diretores escolares, desde 1995 no estado do Ceará, ao mesmo tempo, que permite perceber como os seus atores centrais na escola têm trabalhado a questão da participação. A metodologia adotada foi pesquisa bibliográfica e de campo, com aplicação de questionários e realização de entrevistas com professores, alunos, funcionários, pais e membros do Núcleo Gestor de duas escolas públicas da rede estadual de ensino: Escola do Ensino Fundamental e Médio - EEFM São Paulo e EEFM São Caetano. Os resultados demonstram que, embora os entrevistados aceitem e achem positivo o processo de eleições para diretores escolares, a participação de todos nos rumos da escola ainda não se concretiza plenamente: porque desconhecem como se dá o processo educativo; ou por falta de interesse pelos rumos da escola; por não se sentirem co-participes da ação de educar; ou, ainda, porque não lhes é dada à oportunidade de se envolverem. Os resultados da pesquisa nos remetem para o redirecionamento das práticas de participação, no sentido de propiciar a vivência do fazer coletivo nas atividades desenvolvidas na escola, que impõem mudanças de crenças e valores, entendendo a participação na perspectiva de consolidação e realização da democracia, que vai além da escolha dos diretores escolares por meio de eleições diretas.

Also investigate the successes and the possible obstacles that occur in this process, considered democratic. Parents, students, community, employees and others are involved in a participative manner at the time of the election, as it is with the vote of the social actors of the school that if you elect those who will represent the school unit for three years or more. Will this process ensures really democracy within the school spaces? To do so, will be made a documentary research, with official documents, based on the laws that deal with the subject, as well as the Pedagogic political project of schools and other existing documents. Use previous work on the topic, together with authors such as Vitor Paro, Heloisa Luck, Juan Bordenave, Maria Leila Alves and Décio Saes. / O objetivo dessa pesquisa foi investigar a trajetória da eleição para diretores no município de Diadema, sendo que o mesmo não é efetivado por Concurso Publico. Pretendeu também investigar os avanços e os possíveis entraves que ocorrem neste processo, considerado democrático. Pais, alunos, comunidade, funcionários e outros são envolvidos de forma participativa no momento da eleição, pois é com o voto dos atores sociais da escola que se elege aquele que irá representar a unidade escolar por três anos ou mais. Será que este processo garante realmente a democracia dentro dos espaços escolares? Essa foi a problemática levantada em nosso trabalho. Para tanto, foi feita uma pesquisa documental, com os documentos oficiais, pautados nas legislações que tratam a respeito do assunto, bem como outros documentos existentes. Também realizamos uma pesquisa de campo, entrevistando diretores eleitos em Diadema para que esses dados levantados nas categorias analisadas dessem respaldo ao corpo teórico do trabalho. Foram usados trabalhos anteriores sobre o tema, associado a autores tais como Vitor Paro (1997), Heloisa Luck (1996), Juan Bordenave (2011), Maria Leila Alves e Décio Saes (2004).

The aim of the study focused on analyzing the election for directors in Aparecida de Goiania and democratic management, with its consequences in the management of schools. The empirical research was conducted in 2015 and had as methodological strategies questionnaire in three municipal schools in Aparecida de Goiania. With the research aimed to understand the following aspects of the investigated object: the legal regulation which established the direct election of directors in Aparecida teaching municipal system of Goiânia; the participation of education professionals in the process of direct election of directors; the process of election of directors, as the possibility of the establishment of democratic management. The categories of analysis form defined in: education policy, democratic, election of directors and Educational Legislation. Understanding the democratic management and achievement that deserves mention in the history of education in Brazil, analyzing the national trajectory that produced the democratization of education and management, refers to the intensification and the formation of the company and its development in the public school. The municipality studied in this work, only in 2009, through Law No. 2861 provides for the election of directors as a means of choice of school managers. Given this extensive delay after the Federal Constitution to ensure a democratic choice as managers , research allowed us to understand the election for directors as a way for the construction of democratic management , also highlighting the limits of this model of choice of managers and possible consequences of this democratic practice in school management within the analyzed reality. / Este trabalho integra-se à linha de pesquisa “Estado, Políticas e História da Educação” do Programa de Pós-Graduação da Universidade Federal de Goiás. O objetivo do estudo centrou-se em analisar a eleição para diretores em Aparecida de Goiânia e a gestão democrática, com seus desdobramentos na gestão das escolas. A pesquisa empírica foi realizada no ano de 2015 e teve como estratégias metodológicas a aplicação de questionário em três escolas municipais de Aparecida de Goiânia. Com a pesquisa, compreenderam-se os seguintes aspectos do objeto investigado: a normatização legal que estabeleceu a eleição direta para diretores no sistema municipal de ensino de Aparecida de Goiânia; a participação dos profissionais da educação no processo de eleição direta para diretores; o processo de eleição para diretores, como possibilidade de estabelecimento da gestão democrática. As categorias de análises foram definidas em: políticas educacionais, gestão democrática, eleição para diretores e legislação educacional. Compreendendo a gestão democrática como conquista que merece destaque na história da educação no Brasil, analisar a trajetória nacional que produziu a democratização do ensino e da gestão remete ao aprofundamento quanto à constituição da sociedade e seus desdobramentos na escola pública. O município em estudo, somente em 2009, por meio da Lei nº 2861, estabelece a eleição para diretores como meio de escolha dos gestores escolares. Tendo em vista essa extensa demora pós-Constituição Federal em assegurar uma escolha democrática quanto aos gestores, a pesquisa possibilitou a compreensão da eleição para diretores como caminho para a construção da gestão democrática, destacando também os limites desse modelo de escolha de gestores e os possíveis desdobramentos dessa prática democrática na gestão escolar dentro da realidade analisada.

關於股東會決議之瑕疵，依我國目前法律與實務通說下，共有三種類型：股東會決議無效、不存在與得撤銷。惟我國公司法並未規範一旦法院判決認定股東會決議無效、不存在或撤銷股東會決議後之法律效果為何，若將具瑕疵之決議限縮於選任董事之決議上，則不具董事身分之人擔任公司董事一職下，由於訴訟程序冗長，此段期間公司對外之法律關係(或董事代表公司所為之法律行為)、公司與不具董事身分之人間之法律關係及公司後續的程序召集上，其法律效果為何？日本學說上提出「連鎖瑕疵」闡述此問題。我國公司法學者通說採取對外類推適用表見代理、對內適用無因管理之見解；惟本文以為此見解將生諸多疑問，故本文參考英國法、美國法與日本學說上之見解，介紹英國公司法第161條規定並採取「事實上董事理論」以嘗試解決此問題。最後並進一步探究股東會決議瑕疵所產生的後續相關法律問題。 / According to the current law and common practice, there are three types of the defect of shareholder meeting of the company. There are void resolution, no resolution, and annulment of such resolution. However, our corporate law didn’t regulate the results once the court makes the verdict of the above mentioned types of defects of shareholder meeting of the company. If the defect of shareholder meeting of the company could be restrained on the election of directors of the resolution, while the person who was disqualified to act as a director is still in charge, the legal effect of the company’s external legal affairs, also the relationship between the company and the disqualified director, and the assembly of the meeting remain discussible. The Japanese scholars bring up a theory called the chain of defect to elaborate the upper mentioned problem. Our corporate law scholars mainly consider that the legal effect of the company’s external legal affairs should be an apparent agent situation. The company’s internal legal affairs, such as the relationship between the company and the disqualified director, and the assembly of the meeting should think as a management of affairs without mandate situation. However, my article considers that the previous perspective remains plenty of doubtful points. For this reason, my article would refer to the Companies Act 2006 (United Kingdom Company Law), Laws of the United States, and Japan’s legal theories. Moreover, I would introduce the Sec.161 of the Companies Act 2006, and adopt the theory of de facto directors in order to solve the problem. Eventually, I would analyze the extended and related legal problems of the defect of shareholder meeting of the company.
