This thesis deals with financial analysis of two chosen companies 5 years before decision on bankruptcy and two years after this decision. The thesis is splitted into two parts: theoretical part and practical part. Theoretical part deals with the definition of the issues of insolvency firstly from point of view of law, secondly from the accounting perspective. Further definition of financial analysis, evaluation of the use of financial ratios. The theoretical part also explains the IN bankruptcy model. The practical part concentrates on selection of two concrete companies and performing the financial analysis. A period of 7 years was chosen - 5 years before decision on bankruptcy and two years after this decision. Insolvency was solved by reorganization or bankruptcy. Practical part imply the IN bankruptcy model. At the end is a comparison of the results, which is then interpreted.

La Chine a adopté le 27 août 2006 la loi « sur la faillite de la République populaire de Chine », consacrant la transition d’une économie socialiste, où peu de place était accordée aux droits des créanciers et des débiteurs, à une « économie socialiste de marché » où les droits des créanciers et des débiteurs se trouvent restaurés. La protection des créanciers est ainsi devenue l’une des principales préoccupations du droit chinois des procédures d’insolvabilité afin de favoriser l’investissement et de promouvoir la croissance économique de la Chine depuis son adhésion à l’Organisation mondiale du commerce. Eu égard à la place actuelle de la Chine dans l’économie mondiale, il est essentiel d’analyser le droit chinois des procédures d’insolvabilité ainsi que sa mise en œuvre afin de pouvoir apprécier la situation réservée aux créanciers et la pertinence de ses dispositifs de traitement des difficultés des entreprises, que l’on mettra en perspective avec ceux des droits français et américain.Ce droit chinois de l’insolvabilité se caractérise par sa prévisibilité pour les créanciers,qui peuvent envisager le déroulement des procédures d’insolvabilité tout en mesurant les risques, et par sa reconnaissance de leurs droits sur les actifs du débiteur, en particulier lorsque ces créanciers sont privilégiés. Il se révèle favorable aux créanciers en ce qu’il organise des procédures conformes aux standards de la pratique internationale du traitement de l’insolvabilité. Néanmoins, il se révèle insuffisant tant par ses carences en matière procédurale et substantielle qu’en raison des incertitudes qui subsistent dans sa mise en œuvre et dans la recherche des responsabilités. / China has adopted on August 27th, 2006 the "Bankruptcy Law of the People's Republic of China" consecrating the transition from a socialist economy, where little consideration was given to the rights of creditors and debtors to a "socialist market economy" where the rights of creditors and debtors are restored. Creditors protection has therefore become a major concern of insolvency proceedings under Chinese law in order to favor investment and promote economic growth of China since its accession to the World Trade Organization. Given the current position of China in the global economy, it is essential to analyze the insolvency proceedings under Chinese law and their implementation in order to assess the situation reserved to the creditors and the pertinence of the companies difficulties treatment solutions, putting them into perspective with those under French and American laws. Insolvency proceedings under Chinese law are defined by their predictability for creditors enabling them to consider the progress of these proceedings while measuring the risks, and by the recognition of creditors’ rights over the assets of the debtor in particular when they are secured creditors. They are favorable to creditors by complying with standards regarding international practice of insolvency treatment. Nevertheless, they are insufficient to creditors both by their deficiencies in procedural and substantive matters and by uncertainties subsisting in their implementation and in responsibilities research.

The thesis is focused on two main fields: first one is financial analysis as a possibility of predicting a stringency of a company, second one being insolvency resolution from legal and accounting points of view. The theoretical part of the thesis describes the importance and the content of financial analysis, the crisis of a company and further on it deals comprehensively with insolvency proceedings. The practical part is mainly focused on performance analysis of the financial situation of a selected company, it sets problems in the field of financial management. It also gives an opinion on the possibility of the company's bankruptcy and demonstrates an insolvency proceedings in accounting.

This thesis deals with the special category of crimes related to the bankruptcy of the debtor and to the insolvency proceedings. The first and second parts of the thesis are devoted to the general introduction into the both law branches, i. e. into the insolvency law and criminal law. The third part of the thesis focuses on interconnection of the mentioned law branches reflected in the category designed as insolvency crimes. The thesis analyses particular crimes utilizing the legal acts, technical literature and judicature. The fourth part handles the available statistical data regarding the insolvency criminality provided by the Czech Police. At last the thesis evaluates the social harmfulness of the insolvency crimes, its legal regulation and the protection against it.

The Master's Thesis is focused on the problem of securing an operational cash flow for maintaining entrepreneurship activities of organizations that enter into insolvency proceedings because of their insolvency or excessive indebtedness. This issue is addressed by the insolvency law through a new institute of debtor-in-possession financing which is a part of the main purpose of this law to assist companies that have a certain economic potential to create value added in the future prospect. The issue is with obtaining such post-petition financing because there is not many banking or non-banking institutions that would provide this high-risk financing. From the above-mentioned reason, an idea has been developed with the cooperation of Česká Spořitelna a.s. to create a new credit product provided by the banking institution for the Czech financial market. The assessment of rationality, effectiveness, and recoverability, as well as the proposal of standards and requirements for completion of contracts and their structure about debtor-in-possession financing are compiled in the Master's Thesis.

in English In this thesis, I analyse Council regulation (EC) No 1346/2000 of 29 May 2000 on insolvency proceedings and its practical effects in EU member states' bankruptcy proceedings. The regulation creates a European insolvency law which is aimed at proper functioning of the internal market. The market requires efficient and effective cross-border insolvency proceedings in order to protect creditors. I review interpretations of the principle of controlled universality, Lex fori concursus, recognition of insolvency proceedings, and cooperation of liquidators whose function is to administer or liquidate assets located in various member states. I also examine the process of launching primary and secondary proceedings in relation to the debtor's centre of main interest and to his place of operations where the debtor carries out a non-transitory economic activity with human means and goods. L’ouverture d’une procédure collective est l’occasion d’un conflit entre protection de l’emploi et survie de l’entreprise. Assurer la pérennité de cette dernière ne peut souvent être réalisé qu’au prix d’une réduction de l’effectif. Ce constat alimente ce qui peut, de prime abord, apparaître quelque peu paradoxale : alors que l’un des objectifs du droit des entreprises en difficulté est d’assurer le maintien de l’emploi, certaines de ses dispositions tendent à accélérer le prononcé de licenciements pour motif économique. Si cette intrusion du droit des entreprises en difficulté, dans un domaine que d’aucuns considèrent comme réservé au droit du travail, peut donner lieu à controverses, elle a une explication : l’inadaptation du second aux contraintes auxquelles est soumise l’entreprise confrontée à une situation de crise susceptible d’emporter l’entité qu’elle frappe et, avec elle, tous les emplois dont elle est porteuse. Trouver les voies d’une conciliation, d’exigences jugées parfois contradictoires, s’impose : assurer la sauvegarde de l’entreprise est le meilleur moyen de préserver les emplois qui y sont attachés. / The opening of insolvency proceedings is the occasion of a conflict between employment protection and survival of the company. Ensuring the sustainability of the latter often needs to be achieved at the cost of workforce reduction. This finding raises an issue which may, prima facie, appear somewhat paradoxical: while one of the objectives of the companies in difficulty is to ensure employment preservation, certain provisions tend to accelerate the delivery of redundancies. If the intrusion of insolvency law in an area that some consider restricted to labor law, may give rise to controversy, it has an explanation: the unsuitability of the second’s constraints the company faces in a crisis situation could lead to the entity’s shut down, and consequently, all the jobs that it carries. Finding ways of conciliation, sometimes considered contradictory, is necessary: ensuring the company’s safeguard is the best way to preserve the jobs attached to it.
