The goal of this thesis is to discover differences in regulation of sales contracts in Anglo-American and Continental legal system. The thesis looks for and compares distinctions between regulation in Uniform Commerical Code adopted in most of the states of the USA that represents the Anglo-American System, and Louisiana Civil Code which was chosen by the author thanks to its strong link to french Code Civil as a representative of Continental System. The author analyzes differences in definition of sales contract, the process of its formation, she looks at the question of passage of title and passage of risk, furthermore she deals with rights and obligations of seller and buyer. Eventually, she summarizes the distinctions found.

En droit des contrats, on distingue communément la volonté interne et la volonté déclarée. Le droit américain ferait prévaloir la volonté manifestée en adoptant une théorie objective du consentement, tandis que le droit français s'inscrirait dans une théorie subjective du consentement, puisque l'on s'intéresserait à la volonté interne plus qu'aux manifestations de volonté. Mais à regarder de plus près la jurisprudence, les solutions adoptées par les juges français et américains semblent très similaires. La thèse essaye de montrer qu'ils suivent tous deux intuitivement une théorie commune qui peut être élaborée en se fondant sur la phénoménologie husserlienne et dont la dénomination pourrait être "théorie de l'accord apparent des volontés". Les droits des contrats américain et français semblent pourtant bien respectivement objectif et subjectif. Il faut, pour constater une différence, déplacer l'interrogation vers les règles relatives à la validité et l'exécution du contrat. D'un côté le droit américain semble objectif en ce qu'il tend surtout à protéger l'intérêt économique qui ressort du contrat. D'un autre côté, le droit français apparaît subjectif dans la mesure où il vise principalement à protéger le respect de la parole donnée. Deux théories différentes du contrat - et non plus du consentement - peuvent alors être mises à l'évidence, qui s'articulent chacune sur un fondement (téléologique, déontologique), incarné dans un principe directeur ("considération", cause) qui rayonne sur l'intégralité des autres règles contractuelles. La thèse essaye alors de percevoir les mouvements de fond contemporains qui conduisent peut-être à un rapprochement de ces droits. / In contract law, it is common to distinguish between the subjective intent of the parties and the external manifestations of their will. American contract law is considered to adopt an objective theory of assent since a party's mental assentis not necessary to form a contract, whereas french contractis viewed as being subjective as a contract requires the parties ' actual assents to the agreement. However a comparative case laws analysis sheds light on the fact that judges actually seem to adopt a very similar reasoning. The thesis aims at demontrating that judges intuitively follow a common theory which can be developed according to Husserlian phenomenology and can be called "an appearance theory of assent". But American and French contract law seem objective and subjective in a different way. Understanding this difference entails a shift in the questioning and a focus on rules pertaining to the validity and execution of contracts. On the one hand, American contract law appears to be objective since a contract is viewed as protecting an economic interest. On the other hand, French contract law seems to be subjective since its main goal is to protect the principle of keeping one's promise. Two contract theories - and not theories of assent anymore - can be highlighted and are both established on a founding principle (teleological, deontological), translated in positive law through a guiding principle (consideration, "cause") that spread to all other contract rules. The thesis then tries to examine the deeper movements of our laws which might lead them to draw closer to each other.

Le rôle du juge en Amérique Latine au XIXe siècle : entre tradition latino-américaine et influences étrangères

En Amérique latine le XIXe siècle se caractérise par l'indépendance des anciennes colonies espagnoles, par le processus de formation des État-Nation et par la reconstruction des ordres juridiques des nouveaux États. Une fois le modèle républicain adopté, il fallait créer des institutions juridiques nouvelles et un système normatif qui régule le destin des nouvelles sociétés en concordance avec la réalité locale et, surtout, le plus différent possible de l'ancien régime colonial. Dans toutes ces transformations les hommes de loi (avocats, juges, juristes, bureaucrates) ont joué un rôle important. En tant que propriétaires du savoir juridique et politique ils étaient les personnages idoines, pour effectuer la tâche d'organisation de l'État. Parmi ces tâches, la structuration de la justice était essentielle pour les nouveaux États. Montrer l'implication du juge dans ce processus de consolidation, est une des finalités de ce travail. D'autre part, la construction de l'imaginaire juridique latino-américain s'est réalisée sous l'influence des modèles juridiques étrangers, dont la France, l'Angleterre, les États-Unis. Dans un classicisme juridique particulier, la réception et la transformation de ces modèles a créé une conscience juridique locale originale et très différente du modèle initial en combinant l'exégèse française avec le conceptualisme allemand / The nineteenth century in Latin America is characterized by the independence of the former Spanish colonies, the formation process of nation-state and the reconstruction of legal systems of the new states. Once the republican model adopted, it was necessary to create new legal institutions and a legal system to regulate the destiny of new societies according to the local reality and, above all, as different as possible from the old colonial regime. In all these transformations the jurists (lawyers, judges, jurists, bureaucrats) have played an important role. As owners of legal and politic knowledge, they were the ones suitable to organize the state. Among this organization task, structuring the justice was essential for the new states. To show the implication of judges in this consolidation process is one of the purposes of this work. Besides, the construction of Latin American legal imaginary was carried out under the influence of foreign legal models, like France, Britain and the United States. In a special legal classicism, the reception and transformation of these models has created a proper legal consciousness, innovative and very different from the original model, combining French exegesis with German conceptualism / En América Latina, el siglo XIX se caracteriza por la independencia de las antiguas colonias españolas, el proceso de formación de los Estados-Nación y la reconstrucción de los ordenamientos jurídicos de los nuevos Estados. Una vez adoptado el modelo republicano, fue necesario la creación de instituciones jurídicas nuevas y un sistema normativo que regulara el destino de las nuevas sociedades conforme a la realidad local y, sobre todo, lo más distante posible del antiguo régimen colonial. En todas estas transformaciones, los hombres de ley (abogados, jueces, juristas y burócratas) tuvieron un papel importante ; como proprietarios del saber jurídico y político, fueron los personajes idóneos para realizar la tarea de organización del Estado. Dentro de esa tarea, la estructuración de la justicia fue fundamental para los nuevos Estados. Una de las finalidades de este trabajo es demostrar la implicación de los jueces en ese proceso de consolidación. Además, la construcción del imaginario jurídico latinoamericano se llevó a cabo bajo la influencia de modelos jurídicos extranjeros dentro de los cuales se destacan Francia, Alemania y Estados Unidos. La recepción y tranformación de dichos modelos dentro de un clasicismo jurídico particular, que combinaba la exégesis francesa y el conceptualismo alemán, generó una conciencia jurídica local original y muy diferente del modelo inicial

Este trabalho apresenta, a partir de uma análise comparativa, o poder normativo das agências reguladoras no direito norte-americano e o poder normativo das agências reguladoras no direito brasileiro. Inicialmente, aborda os dois grandes sistemas jurídicos ocidentais: common law e romano-germânico. Após, analisa a origem, a definição e as principais características das agências reguladoras norte-americanas e das agências reguladoras brasileiras. Segue examinando no que consiste o poder normativo das agências reguladoras norte-americanas e o poder normativo das agências reguladoras brasileiras, em face das respectivas ordens jurídicas. Propõe, assim, identificar entre os dois modelos pontos comuns e divergentes, de modo a contribuir para a compreensão dos conceitos e institutos introduzidos nos últimos anos no plano político e jurídico do Estado brasileiro. This research presents, from a comparative analysis, the rulemaking power of the regulatory agencies in the North American law and the rulemaking power of the regulatory agencies in the Brazilian law. Initially, it deals with the two great occidental law systems: common law and German Romanic. Thereafter, it analyzes the origin, the definition and the main characteristics of the North American regulatory agencies and of the Brazilian regulatory agencies. It follows examining what the rulemaking power of the North American regulatory agencies and the rulemaking power of the Brazilian regulatory agencies consist of, regarding the respective law. Then, it proposes to identify common and divergent matters between the two analyzed models, so as to contribute to the comprehension of the concepts and institutions introduced in the past few years in the political and law order of the Brazilian State.

By considering San Francisco’s legal, social, and cultural history during the late 19th and early 20th centuries in relation to American law, missionary women, and Chinese American prostitutes, this thesis argues that by aggressively trying to control Chinese sexuality through laws, “yellow slave” narratives, Christianizing, and the immigration process, the American government and missionaries created an atmosphere ripe for Chinese prostitutes in America with varying degrees of sexual freedoms.
