Thesis title: Contractual liability and its limitation The aim of the thesis is to assess the options of parties to a contract when settling liability rules diversify from the standards of Czech Civil Code (Act. 89/2012 Coll). The author provides introduction of multiple ways of how the parties can limit their contractual liability and emphasize that the aim of any liability is to motivate subjects to pay attention to the opposite party's rights and assets, but in the context of Civil Code its main function is to repair damages and satisfy the injured party. The subject which is in breach of its duties therefore gets new or alternated duties, as well as the injured party gains more rights on its side. For the scope of liability, it is important to define the content of the contract as the parties see it in the moment of the contract's conclusion. The content does not consist only of rights and duties connected to the fulfilment of the contract object matter, but it also consists of duties to respect other interests of the opposite party, so the status quo in respect to matters not connected with the fulfilment of the obligations remain untouched. Komparace předsmluvní odpovědnosti v českém právu a v common law / A comparison of pre-contractual liability in Czech and Common Law

The purpose of my thesis is to consider the importance of culpa in contrahendo which does not have a long tradition in the Czech law. However, since the 1 January 2014 it has become enshrined the Czech legal system. The instrument of culpa in contrahendo is connected with the need to protect the good faith of the parties to a contract which is an essential principle of modern contract law, particularly in continental legal systems. Despite the lack of the general duty to act in good faith while negotiating contracts in common law systems, we can see that English or American judges solve the practical problems resulting from dishonesty of one party to the contract through equitable principles such as misrepresentation or promissory estoppel. The importance of protecting good faith is visible even from international contract law documents that are important for the interpretation of national law. Chapter One contains the explanation of culpa in contrahendo as a practical instrument and I distinguish it from pre-contractual liability in the anglo-american legal systems. Culpa in Contrahendo Resumé The aim of this degree work is to introduce the institute of pre-contractual liability and its practical application. The work focuses on the position of this institute in the Czech legislation, its classification in the system of laws before the recodification of civil law, and its express regulation in Act No. 89/2012 Coll., Civil Code. Much attention is devoted to rulings of the Supreme Court of the Czech Republic and its approach to the application of pre-contractual liability in specific cases. The degree work is divided into seven chapters. The first chapter defines the term 'Culpa in contrahendo', describes its origin in the work of a German jurist of genius, Rudolf von Jhering, and outlines the origin of the institute in Roman law. In this chapter is also a description of the first case of pre-contractual liability, 'Linoleumfall', which was resolved by the Imperial Court. The chapter also contains an overview of instances of pre-contractual liability embodied in foreign judicial codes. The second chapter describes the regulation of pre-contractual liability in the Czech body of laws before the recodification of civil law with illustrations of individual facts in issue formerly contained in Act No. 40/1964 Coll., Civil Code, and Act No. 513/1991 Coll., Commercial Code....

Pre-Contractual Liability (Culpa in Contrahendo) Summary The purpose of my thesis is to analyse the issue of pre-contractual liability from the microcomparative perspective which subsequently serves as the tool to characterise the main features of pre-contractual liability in the realm of Czech Civil and Commercial Codes. The reason for my research is to prove the existence and importance of pre-contractual liability in the Czech legal order as well as in the sphere of the European Union in the light of its respective case laws. The thesis is composed of five chapters, each of them dealing with different aspects of negotiation stage and pre-contractual liability. Chapter One is introductory and defines basic terminology, methodology used in the thesis, scope, and aims. Chapter Two examines chosen foreign legal regulations of pre-contractual liability. The essential attention is given to Germany, Austria, and Switzerland as those legal systems are very close to the Czech one (historically and geographically). The French view is also considered because legislators seek to prepare the reform of obligation laws. Contractual and non-contractual liability to damages (a comparison with foreign legislation) In theory tort and contractual liability might seem to draw clear boundaries. The first one arises from breach of contract whereas tort being unrelated to any contractual obligation. However it is known that some legal systems, like the Czech law, do not differentiate between them and do not provide them with different rules. Does it only mean the differentiation is useless in these legal systems or does it suggest that there might be no reasonable grounds for distinction in other legal systems? How do tort and contractual liability differ? Differences have to be weighed when area between tort and contract is considered. They are of significance when it comes to possibility or impossibility of choice in case of concurrence of tort and contract and they are important for liability to third parties of a contract. Dans un contexte de mondialisation, face à l’accroissement des échanges et la complexification des contrats internationaux, les négociations précontractuelles ont pris une dimension particulière : création de nouvelles obligations, étirement de la durée des pourparlers, multiplications des contrats préliminaires, tout conduit à transformer cette simple période de transition en une étape primordiale de la vie contractuelle. Les différentes phases de négociation entre partenaires internationaux vont ainsi générer des contentieux qui intéressent le droit international privé. En effet, la valeur juridique de la négociation diverge d’un régime juridique à un autre. Alors que les Etats de common law adoptent une conception individualiste des pourparlers avec pour principe une liberté contractuelle très étendue, la civil law circonscrit la liberté contractuelle par le respect d’un devoir de bonne foi. Par conséquent, il apparaît essentiel, pour les parties, de connaître avec certitude le droit applicable à leur relation précontractuelle.Or les règles de conflits existantes, supposées garantir la sécurité juridique des parties à la négociation en leur assurant une certaine prévisibilité des solutions, ne sont pas adaptées à l’heure actuelle. Dans cette perspective, l’objet de la recherche s’attache à considérer les spécificités de la période précontractuelle et les questions de droit international privé s’y rattachant et tente d’y apporter des réponses efficaces en proposant des règles de conflits adaptées, afin de garantir la sécurité juridique à laquelle aspirent les parties à la négociation. / In a context of globalization, facing increased trade and the increasing complexity of international contracts, pre-contractual negotiations take a special dimension: creating new obligations, stretching the length of talks, multiplications of preliminary contracts, are leading to transform this simple transition in a primordial stage of contracts. The different phases of negotiation between international partners and will generate interest litigation private international law.Indeed, the legal negotiation differs from one legal regime to another. Common law countries adopt an individualistic principle for talks with extensive contractual freedom, whereas civil law circumscribes the freedom of contract in respect of a duty of good faith. Therefore, it is essential for the parties to know with certainty the law applicable to their pre-contractual relationship.However, the existing conflict rules, supposed to guarantee the legal security of the negotiating parties by ensuring predictability solutions are not appropriate at this time. In this perspective, the purpose of the research focuses on considering the specificities of the pre-contractual period and issues of private international law relating thereto and attempts to provide effective responses by providing conflict rules adapted to ensure legal certainty aspired parties to the negotiation.

Šio darbo tikslas – išanalizuoti ir atskleisti nenugalimos jėgos (force majeure) koncepciją, jos esmę, turinį, įvertinti nenugalimos jėgos reglamentavimą bei taikymą sutartinėje ir deliktinėje atsakomybėje, lyginant šio instituto reglamentavimą Lietuvos ir užsienio valstybių teisėje bei interpretavimą teismų praktikoje. Šiam tikslui pasiekti darbe visų pirma aptariami bendrieji teoriniai nenugalimos jėgos klausimai, pateikiama Lietuvos, užsienio valstybių teisės aktuose bei tarptautinės komercinės teisės dokumentuose įtvirtinta nenugalimos jėgos samprata, analizuojami jos reglamentavimo šiuose dokumentuose ypatumai. Antrajame šio darbo skyriuje aptariami įvykiai, galintys sudaryti nenugalimos jėgos institutą, atskleidžiami teisės doktrinoje susiformavę du požiūriai į nenugalima jėga pripažįstamas faktines aplinkybes. For the attainment of this purpose primarily in this paper are considered the general questions of force majeure doctrine, there is proposed the conception of force majeure, which is included in statutory provisions of Lithuania and other foreign countries as well as in documents of international commercial law, there are analysing the peculiarities of regulation of force majeure conception in aforementioned documents. Le traitement juridique d'un fait de dopage / The legal treatment of a doping case

Lorsque le sportif professionnel exerce son activité en tant que salarié, il devrait disposer d’un contrat de travail classique soumis au droit commun. Toutefois, la spécificité du monde sportif complexifie les rapports contractuels que peut entretenir un sportif. En effet, la discontinuité des rapports contractuels, conséquence des transferts et prêts dont peuvent faire l’objet des joueurs, ou encore la règlementation sportive mise en place par les autorités sportives font que le législateur a dû s’adapter pour répondre correctement à l’originalité du monde sportif. Il a ainsi introduit, par le biais de la loi du 27 novembre 2015, le contrat à durée déterminée spécifique pour les sportifs et entraîneurs professionnels qui a permis de mettre fin à une incertitude juridique. Mais la spécificité du sport est également liée au rapport délicat qui existe entre les règles purement sportives et la législation étatique. La règlementation antidopage illustre parfaitement ce propos car il n’a vocation à s’appliquer que dans le monde du sport. Ainsi, pour préserver l’équité des manifestations sportives, il a été nécessaire de définir la notion de dopage mais surtout de rendre la lutte internationale en obligeant les différents États à intégrer les règlements en la matière au sein de leurs législations. La rencontre de ces différentes autorités permet d’expliquer la complexité du traitement juridique d’un fait de dopage d’un sportif. En effet, le sportif professionnel va faire face à plusieurs procédures qui peuvent entrer en conflit les uns avec les autres. La première est celle qui se tiendra devant la justice fédérale qui peuvent prononcer une sanction sportive. Les co-contractants du sportif peuvent également introduire une action afin d’obtenir réparation de leurs préjudices. Finalement, il est nécessaire de prendre en compte la possibilité que des poursuites pénales puissent être engagé à l’encontre du sportif qui se rend responsable d’un fait de dopage. / When the professionnal sportsman carry out his activity as an employee, he should have a classic work contract subject to the ordinary law. However, the specificity of the sports world further complicate the contractual relationship that the sportsman can have. Indeed, the discontinuity of the contractual relations, resulting of the players’ transfers and loans, or the rules governing sport implimented by the sports authorithies have forced the legislator to adapt himself and to take in account the uniqueness of the sports world. He thus incorporated, through the law of 27th november 2015, a specific fixed-term contract for the professionnal sportsmen and trainers which has put an end to the legal uncertainty. But the specificity of sport is also linked to the delicate balance existing between the purely sporting rules and the state legislation. The anti-doping regulation is a good example of this because it is intended to apply only in the sports world. Therefore, to preserve the fairness during the sport events, is was necessary to define the notion of doping but especially to make the fight international by forcing the different states to adopt the regulations into their legislations. The meeting between these different autorities can explain the complexity of the legal treatment of a doping case. Indeed, the professionnal sportsman will face different procedures who can be in conflict with each other. The first one is the procedure held before the federal justice who can pronounce a sporting sanction. The other contracting partners of the sportsman can also introduce an action to obtain redress for the injury caused. Finally, it is necessary to take in account the possibility that criminal proceedings are taken against the sportsman who is guilty of a doping case.

In that sense, the deeper the scope and types of regulated responsibilities, according to the study carried out it comes. Subsequently, a detailed analysis of the contractual and extra-contractual responsibility of the state in various situations within the field of public management is done. Finally, assumptions configuration of different types of state responsibility develops. / El autor del presente artículo nos detalla en qué consistiría la responsabilidad estatal del Estado en supuestos de error, para lo cual desarrolla la figura dentro del ámbito público. En ese sentido, a mayor profundidad se trata el ámbito de aplicación y los tipos de responsabilidades reguladas, de acuerdo al estudio realizado. Posteriormente, se realiza un análisis minucioso sobre la responsabilidad contractual como extra contractual del Estado en diversos supuestos dentro del ámbito de la gestión pública. Finalmente, se desarrolla los supuestos de configuración de los distintos tipos de responsabilidad del Estado.
