The Effects of Powershift towards Re-election of Board and Firm Performance of State-owned Enterprises

On 18th Mar 2000, Mr. Chen, Shui-Bian in Democratic Progressive Party was elected to be the new president. Taiwan experienced the first powershift. However, many state-owned banks as well as some government-shared companies re-structured their board of directors continually. In the view of politics, the powershift will be normal in Taiwan in the future. So we try to survey the the effects of powershift towards re-elections of boards and firm performance of state-owned enterprises. We discover that the major reason why government wants to intervene the operations of companies is policy. If this kind of industry is regulated or monopolistic, the government will has stronger motives to intervene its operation. On the other hand, after being intervened by the government, the cumulative abnormal return declined significantly from the event day to thirty days later. Besides, the firm performance didn¡¦t improve significantly through the view of TobinQ, EPS and Market return. So we can say that this time of powershift didn¡¦t improve the poor condition of corporate and firm performance significantly. So Taiwan corporate governance should abandon the relationship-based economic model and stride to the talent-based model.

Owner structure,Board of Director composition and audit quality Affiliated with fianacial statement restatement

Financial statement quality can directly affect investor confidence. Corporate governance in well-functioning mechanisms can improve Financial statement quality. Recently, in order to enhance corporate governance performance, avoid financial fraud, and protect investors, the government constantly amend the related rules. Financial fraud is most through misstated financial reports, and even fraudulent misstatement may result from financial statement restatement. The purpose of the study is to examine whether ownership structure, board of director composition, and audit quality in corporate governance are associated with financial statement restatement. Empirical results show that in ownership structure the higher stock proportion of the institutional investors, the probability of financial statement restatement is higher. It is consistent with conflict of interest hypothesis. In audit quality, the enterprises have lower occurrence rates of financial statement restatement while they hire the big 4 accounting firms to audit their financial statements. Furthermore, when accounting firms provide non-audit services to their audit clients, the higher significance of non-audit fees, occurrence rates of financial statement restatement are higher.

Governance for Innovation – Board Leadership and Value Creation in Entrepreneurial Firms

This dissertation has identified, developed and empirically tested concepts associated with the capacity of chairpersonship to promote innovation in entrepreneurial small and medium-sized enterprises (SMEs). A multi-methodological approach is applied in five studies, comprising a systematic literature review, three empirical studies and a concluding conceptual paper. The dissertation focuses on how the chairperson of the board of directors influences value creation in entrepreneurial SMEs. Value creation in this context is about the performance of strategic leaders at entrepreneurial firms’ upper echelons in acting and making strategic choices aimed at increasing firms’ capability to engage in innovation. Innovation is defined as the generation and/or adoption of an idea or behaviour, relating to a product, service, device, system, policy or program, which is new to the adopting organization. Innovation has been widely recognized as a concept central to economic growth and societal development. Governance is widely recognized as essential for the support and development of innovations in firms. However, the academic literature is scarce regarding how the chairperson of the board can contribute to and promote innovation in SMEs. This dissertation offers theoretical and empirical insights into how the chairperson of the board of directors influences value creation in entrepreneurial SMEs. In this respect, the dissertation offers a conceptual framework and a research model for understanding board leadership in promoting innovation in entrepreneurial SMEs. The framework and research model emphasize the behavioural aspects of board leadership and show how these are related to the development of entrepreneurial SMEs. Furthermore, the findings in this dissertation provide actionable knowledge for practitioners and policymakers. In this respect, the dissertation contributes theoretical and empirical understandings of the benefits of employing external chairpersons with relevant knowledge and experience in SMEs. These insights also provide practitioners with advice on the qualifications and processes that can help them to develop innovation-promoting boards.

股權結構與董事會特性對董監酬勞與績效關聯性影響之探討

本研究主要針對影響董監酬勞與會計(市場)績效關聯性之因素進行探討。在現代公司之經營管理架構中,係由股東在股東大會選出代表進入董事會,由董事會成員選出主要執行業務經營之人,並代理所有投資人監督及管理經營層。換言之,相對於經理人,董事會成員為股東最為直接之代理人。因此,本研究認為董事會成員為外部股東最直接之代理人,故以董監酬勞為分析對象,從公司治理之角度,以股權結構(如是屬於家族控制企業、董監持股、外部大股東持股等)及董事會特性(獨立董監席次比率、董事是否兼任經理人、董事長是否兼任總經理)等相關變數,探討其對於董監酬勞與會計、市場績效間關聯性之影響。 實證結果顯示,家族企業與公司經理人兼任董事會職位時,會提升董監酬勞與績效間之關聯性;董監持股比例愈高、外部大股東持股比例愈高、獨立董監席次比例越高及董事長兼任總經理時,會降低董監酬勞與績效間之關聯性。 / This study argues that members of corporate boards are the most direct delegate of external shareholders. Agency problem may exist between board members and external shareholders. Using a sample of firms listed in Taiwan Securities Exchange Corporation and Gre Tai Securities Market over 1996-2005, this study empirically examines the effect of ownership and board structures on the compensation of board members. This study expects that the pay-performance sensitivity of board compensation is weakened when a strong monitoring mechanism is in place. Using return on assets as the measures for performance, the primary empirical results show that family-controlled firms and firms with representation of executive directors illustrate higher pay-performance sensitivity. On the contrary, firms with higher shareholdings by board members and by outside block holders, and firms with representation of independent board members demonstrate lower pay-performance sensitivity.

the relationship between the collateraled shares and the bank performance, for public companies in Taiwan

This study discusses about the relationships between the qualities of collateralized shares by the broad of directors and the bank performance. In this study, we focus on the quantitative indicators of collateralized shares. Base on individual collateralization data, we build up the sets of the loans permitted by banks. In additon, this study is based on the multiple regression model to find out the relationships between the qualities of the collateral loans and the bank performance. By the conclusion, this study tries to give some advice to the banks about measuring the loans with collateralized shares. There are few conclusion of this study: 1. The stocks with higher price volatility are not good collaterals. The banks which have the loan with the collaterals with higher price volatility usually have bad proformance. The banks should pay attension to this indicator. 2. The collaterals are better with high ¡¥market price-to-book value¡¦. 3. By literature review, the higher proportion of collateralized shares by the broad of directors, the shares seem to be the worse collaterals for the banks. However, in this study, we find out some trade-off relationship between the profit and the risk in measuring this indicator.

It aims to analyze if the creation of this collegiate at Berilo Wanderley State School contributes to accomplish the participation of school segments, democratizing the decision-making in the interior of the institution. This research configures itself as a study of case with information collected together to the representatives of Board through of semi-structuralized interviews. Also they had been essential in the investigation , the informal talks and the registered direct comments in a field diary. For the data analysis we contemplate the following dimensions of the object: the institutionalization process of the Board at Berilo Wanderley State School; the insertion form of the representatives in the collegiate one; the participation of the members in the Board decisions ; the Board s role in the school management and the Board as democratization space. Based in the theoretical and empirical information that we made use, we look for to identify the limits and possibilities of the Board performance in a state public school. The research results indicate that the institutionalization of the Board of Director at the Berilo Wanderley State School presents limits to materialize an effective participation of school community in the essential decisions to the functioning of the school. Also it was possible to underline the fragility of an understanding on the part of school community, the potentialities that the Board in the process of democratization of the school has, translated in the discrepancy between the saying and making of the council members. It can be highlighted that the Board in the school only exists to correspond to a educational policy guideline, with a little significant role , without corresponding to the democratizing possibilities of the collegiate participation. In spite of all the evidenced debilities in the Board of Director experience of the Wanderley Berilo State School , it is worth clarifying that the actor participation, for more limited than either, it represents new something in the setting of the school. Efetividade das decisões em conselhos de administração de empresas familiares: uma abordagem configuracional. / Strategic decision effectiveness in board of directors of family firms: a configurational approach

O objetivo deste estudo foi responder ao seguinte problema de pesquisa: o que faz os conselhos de empresas familiares serem efetivos em decisões estratégicas? Para tanto, foi adotada a abordagem configuracional, uma vez que existem múltiplas formas de se chegar à efetividade nas decisões estratégicas. Em termos conceituais, as decisões estratégicas foram consideradas efetivas quando alcançaram ou superaram os resultados previamente estabelecidos pelos tomadores de decisão. Em relação às empresas familiares, estas foram definidas a partir da riqueza sócioemocional (SEW) que consiste na importância atribuída pelos tomadores de decisão aos benefícios não econômicos gerados à família a partir da empresa. As dimensões da SEW combinadas com os papéis e processos psicossociais dos conselhos de administração geram diferentes configurações que levam à efetividade nas decisões estratégicas. Para demonstrar esse argumento, foram coletados dados de 59 empresas familiares no Brasil por meio de uma pesquisa do tipo survey. Os respondentes foram conselheiros que participaram de uma decisão estratégica nessas empresas. Os resultados mostram que existem múltiplas formas de se chegar à efetividade nas decisões estratégicas. Dentre os fatores preponderantes, o papel de controle e mediação são condições necessárias, assim como o uso de conhecimento e habilidade dos conselheiros e o conflito congnitivo. Também é possível identificar três diferentes perfis de empresa a partir da SEW. A primeira atribui pouca importância à continuidade da família no negócio em suas decisões; a segunda não atribui importância à proeminência familiar; e a terceira considera todos os atribuitos da SEW em suas decisões. Mesmo com pontos de referência diferentes, essas empresas conseguem ser efetivas em suas decisões estratégicas. Esta pesquisa tem implicações teóricas e práticas, especialmente, por reforçar a tese de que não existe uma única forma de se chegar a um resultado e que a efetividade dos conselhos de administração vai além do desepenho das funções de controle e serviço, estando ligada à capacidade de tomar decisões efetivas. / The objective of this study was to answer the following research question: What do make the board of directors of family firms be effective in strategic decisions? To demonstrate this, a survey with 59 family firms was carried out in Brazil. The respondents were board members who participated in a strategic decision-making in these firms. The results show that there are multiple ways to achieve effectiveness in strategic decisions. Among the core factors, the roles of control and mediation are necessary conditions, as well as the use of knowledge and skills and cognitive conflict. It is also possible to identify three different family business profiles from SEW. The first attaches little importance to family continuity in the business in their decisions, the second does not give importance to family prominence, and the third considers all SEW atributes in their decisions. Even with different reference points, these firms can be effective in their strategic decisions. This research has theoretical and practical implications, especially for reinforcing the argument that there is no single way to achieve a result, and the effectiveness of boards of directors goes beyond the control and service functions, being linked to the strategic decision effectiveness

董監酬勞與公司治理關聯性之研究

本研究主要針對目前企業績效不佳,董事會成員坐領高額董監酬勞之情況進行研究。本研究首先從權力與監督兩構面分析目前影響董監酬勞水準之因素,並進一步從權力與監督構面探討執行業務董監領取員工分紅產生之激勵或稀釋效果對公司價值與股東權益之影響。 實證結果顯示,董事會成員之權力擴張會導致較高水準之董監酬勞,尤其是執行業務董監之員工分紅部分,且執行業務董監領取員工分紅對於公司股東權益及公司未來價值具有負向之影響。家族企業之董監酬勞並不會隨著權力擴張而有較高的水準。在內部監督機制方面,獨立董監之監督效果較不明顯;在外部監督機制方面,主動機構投資人相較於被動機構投資人,具有抑制董監酬勞自利行為之效果。 / Based on a sample of Taiwanese companies listed in Taiwan Securities Exchange over the period of 1996-2004, this thesis examines the determinans of compensation of board directors from the power and monitoring perspectives. In addition, this thesis investigates the effect of equity-based compensation of executive directors on firm value and return on equity. The empirical result indicates that the entrenchment of managerial power determines the level of directors’ pay, especially on equity-based compensation. The more powerful the board of directors, higher the level of compensation, lower the company value and the return on stockholders` equity. However, as compared to non-family-controlled firms, the directors of family-controlled firms tend to have lower level of compensation. Moreover, we find that active institutional investors have greater monitoring effect on the compensation level of board of directors.
