Integrity issues of information created by book entries

Book entries are vehicles used in accounting to accommodate non-cash transactions, timing differences and provisions. The use of book entries is a normal activity in accounting and may have their origin in accrual accounting. The management of a company may apply creative accounting techniques in the form of earnings management, in particular, adopting the practices of income smoothing and taking the so-called ‘big bath’. These practices may result in the financial manager or accountant misusing book entries. This could then lead to information of a different integrity to that which would have resulted had these creative accounting practices not been performed in the company. The question addressed in this dissertation and for which an answer is sought, is whether there is any notable difference in the integrity issues of information supplied through the accounting process and created by real transactions (real events) as opposed to information created by book entries (artificial events). The hypothesis underlying this dissertation is: The integrity of information created by book entries is based on subjective opinions because it is based on future events therefore it is not the same as integrity of information created by real transactions that is based on historical events. The new science is concerned with new guidelines, amongst other things, regarding reality, observation, objectivity, predictions and relationships among events. These new guidelines could be seen as explaining certain aspects which is relevant to the field of accounting. The attributes of a book entry are not based on reality, but are based on subjective predictions of future transactions etc. Another similarity is that a book entry is often not objective but is based on subjective observation. Notable differences were observed in the integrity of the information emerging from a real, historical event and a future event. These differences were established through the application of two research methods, namely, the use of a questionnaire and the analysis of the financial statements of 30 companies listed on The JSE Securities Exchange South Africa (JSE). The influence of book entries on certain ratios was considered, and the ratios influenced by two major book entries, namely, depreciation provision and deferred taxation, differ substantially in interpretation when the two book entries are reclassified. This paper deals with the phenomenon of the financial collateral arrangements, under which parties transfer book-entry securities. It focuses on the legal questions link to the international element. Financial collateral arrangements typically occur in securities repurchase and securities lending. These transactions play important role in order to guarantee liquidity cash and proper functioning of capital markets in the European Union. Simultaneously, securities are no longer only of a tangible goods nature; instead they exists as electronic records in securities accounts. This is why conflicts of law issues have become so paramount. This study analyses the approach of Czech law to financial collateral arrangements. In particular, if the collateral is represented by a book-entry share, bond or fund unit. It pays attention to such a matter from the national as well as the harmonised EU perspective. On an EU level, such arrangements are primarily regulated by the Collateral Directive (FCAD). The Hague Convection on the Law Applicable to Certain Rights in Respect of Securities held with Intermediaries, which has had a profound impact on the notion of book-entry securities conflicts of law rules, is specifically discussed too. 61 Abstract The purpose of this thesis is to analyse new legislation on securities and book- entry securities enacted during the recodification of private law. The main legislation moved from the Act no. 591/1992 Coll., On Securities, into the Act no. 89/2012 Coll., The Civil Code. This thesis is divided into five chapters. The first chapter deals with the general definition of the concept of securities and booked-entry securities. It describes the definition of security that has been adopted from the Swiss Code of Obligations and describes the new concept of book-entry securities, which are now a substitute to securities and a separate legal institute. The second chapter briefly describes the functions of the securities. The third chapter describes forms of securities that are crucial for determination of methods of transfer of the securities. It also discusses enactment of legal presumptions of the form of the security that are used to determine form of securities in the case the form of the security is not entirely clear. Finally, this chapter deals with the question, whether the forms of book-entry securities are no longer distinguished. Central securities depository Abstract The topic of this diploma thesis is the person of a central securities depository, with a specific focus on its legal regulation. In relation to this topic, two main areas are accentuated - on the one hand, the authorisation procedure of a central securities depository and, on the other hand, its subsequent functioning. The aim of the paper is to comprehensively cover all relevant aspects of the legislation, to reflect on its suitability, assess its necessity, analyse its current issues, and also present its potential future direction. The thesis contains an introduction, five systematically segmented chapters and a conclusion. The first chapter serves as an obligatory introduction to the subject and at first deals with the definition of the financial and capital market. In the second subchapter of this chapter, a brief introduction to the central securities depository and a description of its position within the latter mentioned market takes place. This chapter is then concluded by a segment concerning supervision and its genesis in the Czech Republic. A liquidação das operações internacionais com valores mobiliários suscita questões de grande relevância em decorrência das diferenças entre os sistemas jurídicos envolvidos e a pluralidade de participantes. O objetivo desta tese é analisar as normas jurídicas brasileiras em relação às estrangeiras relevantes, por força de operações transfronteiriças que tenham por objeto valores mobiliários escriturais, notadamente operações de compra e venda de ações, para verificar a situação do sistema jurídico brasileiro e sua estrutura de pós-negociação em relação a outros países. Haverá descrição e análise da estrutura de liquidação de operações domésticas e da estrutura envolvida em operação com componente estrangeiro. Como aspectos necessários para a compreensão do tema, abordam-se as consequências jurídicas decorrentes da imobilização e desmaterialização dos valores mobiliários e da interposição de intermediários entre o investidor final e o emissor dos valores mobiliários usual nas operações transfronteiriças. The purpose of this thesis is to analyze Brazilian legal rules in relation to relevant foreign rules by virtue of cross border transactions involving book entry securities, mainly purchase and sale of shares, in order to assess the situation of the Brazilian post trading system and structure compared to other countries. There will be a description and analysis of domestic settlement structure and cross border structures involved in transactions with foreign elements. Other relevant topics are the legal consequences arising from securities immobilization and dematerialization and from the existence of intermediaries between the final investor and the issuer, frequent in cross-border transactions. The whole thesis considers the existing trends and efforts to harmonize legal rules, and the conclusion is that Brazilian rules and structure for securities settlement are sound, appropriate and meet the best international standards, although minor adjustments may be implemented.

Il est fréquent d’affirmer qu’un titre représenterait un bien : une lettre de change représenterait une créance de somme d’argent, un connaissement représenterait une marchandise, une inscription en compte représenterait une valeur mobilière, un « depositary receipt» représenterait une action étrangère … Il s’agirait donc de « titres représentatifs ». Mais que recouvre cette formule ? Traduit-elle l’existence d’un véritable mécanisme de représentation des biens par des titres en droit privé ou s’agit-il d’un abus de langage ? Dans un premier temps, l’étude des titres représentatifs permet d’établir l’existence de la représentation juridique des biens par des titres en droit privé, qui constitue alors le pendant de la représentation des personnes. Il apparaît toutefois que ce mécanisme n’est pas unitaire et c’est pourquoi il convient de distinguer deux techniques de représentation juridique des biens par des titres : la représentation parfaite d’un bien par un titre et la représentation imparfaite d’un ensemble de biens réunis au sein d’un patrimoine d’affectation par des titres. Dans un second temps, l’analyse de la mise en oeuvre de la représentation juridique des biens par des titres en droit privé, réalisée en vue d’éprouver la pertinence de la théorie dégagée, montre qu’il n’est pas toujours possible de créer librement tout type de titres représentatifs concernant des biens de toute nature. La liberté ne joue que pour les titres représentatifs parfaits de certains biens. L’étude de la mise en oeuvre de ce mécanisme souligne par ailleurs que la création d’un titre représentatif induit des difficultés auxquelles il convient de pallier en édictant un certain nombre de règles. / It is common to assert that a document represents property: a bill of exchange is said to represent a receivable, a bill of lading to represent goods, a book-entry account to represent a security or a depositary receipt to represent shares, etc. These are therefore “documents of title”. However, what does this mean? Is it a genuine mechanism to represent property by documents in private law or is it a misnomer? First, a study of such documents will establish the existence of legal representation of property by certificates in private law, equivalent to the representation of persons. However, it would seem not to bea unitary mechanism and a distinction must therefore be made between two techniques of legal representation of property by documents: the direct representation of property by a document and the indirect representation of a set of properties assembled in a fiduciary trust by certificates. Next, an analysis of implementation of the legal representation of property by certificates in private law, conducted to test the relevance of the theory, shows that it is not always possible to create any type of such documents freely for any kind of property. Such freedom applies only to documents that are directly representative of certain property. A study of the implementation of this mechanism also emphasizes that the creation of a document of title leads to difficulties that may be overcome by enacting some rules.
