Gestão de pessoas em momento de formação de joint venture : estudo de caso em uma empresa multinacional do segmento de refrigeração

Este trabalho objetivou fazer uma análise da gestão de pessoas na subsidiária brasileira de uma empresa multinacional do segmento de produção e distribuição de equipamentos de refrigeração diante de situação de transformação dos negócios oriunda da fusão com outro grupo econômico, considerando seu impacto no ambiente interno e no ambiente de negócio em um momento de instabilidade na economia mundial e de importantes alterações no segmento onde a Empresa opera. Para tanto, foi conduzido um estudo de caso, com a realização de 10 entrevistas e consulta a dados e documentos internos, sendo as informações levantadas analisadas com base no referencial teórico e mediante análise de conteúdo. Dentre os principais resultados, destacam-se: a necessidade de revisão dos processos e práticas de gestão de pessoas neste novo cenário, o foco na gestão da transformação com suporte da área de RH, o valor da comunicação interna para assegurar o alinhamento de todas as partes interessadas e a demanda por reforço no desenvolvimento da liderança, preparando-a para gerir a Empresa em tempos de transição e mudanças. / This study aimed to analyze the human resource management in a Brazilian subsidiary of a multinational enterprise in the production and distribution of refrigeration equipment segment, facing business transformation due to the merger with another economic group, considering the impact on the internal environment and the business environment in a time of instability in the world economy and important changes in the field the company operates. To that end, a case study was conducted, composed of 10 interviews and consultation to internal documents and data, analyzing the collected information in the light of theoretical framework and content analysis. Among the key findings, we highlight: the need to review processes and practices of people management under the new scenario; the focus on managing the transformation of human resources support; the value of internal communication, ensuring alignment and leadership development of all stakeholders, preparing them to manage the company in times of transition and change.

Energy audit methodology for belt conveyors

The electricity cost is one of the largest components of operating costs on a belt conveyor system. This dissertation introduces a unique Conveyor Electricity Cost Efficiency Audit Methodology (CECEAM). In the CECEAM the conveyor system is evaluated from a high to detail level in order to identify opportunities to improve electricity costs. The CECEAM includes methodologies and tools developed to analyze not only the conveyor belt alone, but also the materials handling system as a whole. The outline of the dissertation is structured as follows: Chapter 1 includes the background and problem identification by means of a literature study. The main objective, as well as specific objectives, is defined in this chapter. In chapter 2, the CECEAM is introduced and an overview of the total methodology is discussed. The data acquisition part of the CECEAM; documentation, personnel, walk, technical audit as well as the conveyor database is discussed in chapter 3. Chapter 4 concentrates on the Conveyor Energy Conversion Model (CECM) and the verification thereof. The Integrated Conveyor Energy Model (ICEM) methodology is introduced (in chapter 5) and the economic evaluation concepts and energy management basics needed in the CECEAM are covered. Chapter 6 covers a CECEAM case study where the practical application of the CECEAM is illustrated with ICEM simulations, opportunity identification and recommendations. Foreign Direct Investment into Mining in Africa / Přímé zahraniční investice do těžebního průmyslu v Africe

The goal of this diploma thesis is to analyse the trend of foreign direct investment into mining industry in Africa. In this thesis, I focus solemnly on the extraction of minerals, excluding the oil and gas industry. The analysis looks at the FDI from a historical perspective in the new millennium up to the current situation, which is characteristic for low commodity prices, which subsequently depress the activities of mining corporations. Furthermore, the important part of the thesis is also the projection of future development of FDI, the analysis of the correlation between commodity prices and FDI development and the research of African investment environment. A brief case study regarding the real-life foreign direct investment into copper mining projects in Democratic Republic of the Congo is carried out in the end of this thesis. In this case study I present details about this project, however, also the professional opinion of co-head of mining division at Trafigura, Emmanuel Henry, on the investment environment in Africa in regard to the mining industry and his feelings about the future development of the investment.

The goal of the Thesis was to perform a research about the Private Equity industry and Leveraged Buyout type of deal. Within practical part of the Thesis, was goal to create financial model and use it to analyse real case LBO transaction. Due to lack of Czech literature about the topic and secrecy of the industry, foreign studies and literature were primary source of information but also an interviews with Czech investment professionals and advisors. In practical part of the Thesis was created general LBO model with Microsoft Excel, with functions able to perform different LBO transactions. This financial model, was later used to perform LBO acquisition analysis of company Severomoraské vodovody a kanalizace Ostrava a.s.

Icke-finansiella faktorer och hur de kan förklara värdeskapande i samband med en M&A

Mergers and acquisitions (M&As) är en del av många företags strategier för att nå sina finansiella och organisatoriska mål. Denna studies syfte är att utifrån tidigare forskning undersöka hur icke-finansiella faktorer skulle kunna påverka finansiella faktorer vid M&As och på vilket sätt denna påverkan skapar värde. Studien baseras på observationer av fyra svenska börsbolags årsredovisningar året före en M&A och fem år efter. Resultaten från undersökningen visade att ingen enskild undersökt icke-finansiell faktor kunde konstateras vara mer viktig än någon annan, men att vissa tendenser kan peka på att ledningens erfarenhet och motiv till förvärvet verkar kunna förklara något mer. Studien fick även ett parallellt syfte genom användning av endast offentligt material, vilket gav möjligheten att undersöka vilken typ av information, som forskningen anger som viktigt för framgång vid en M&A, som finns tillgänglig för aktieägare utan insyn. Slutsatsen är att den offentliga information som finns tillgänglig för att kunna bedöma om icke-finansiella faktorer direkt har påverkat finansiella faktorer i dagsläget är otillräcklig. Vidare slutsats är dock att det kan vara icke-finansiella faktorer som påverkar förändringen i finansiella faktorer, även om det inte kan utrönas vilken specifik faktor som bidragit till detta. Undersökningen belyser dock vikten av fortsatta studier på området och att fler faktorer än finansiella resultat behöver vara tillgängliga om aktieägaren ska kunna göra välgrundade investeringsbeslut vid M&As.

Breaking the Stereotype of Chinese Acquisitions in Italy : An Empirical Study on Italian Target Firm Performance and the Influential Factors Affecting it

The purpose of this research is to assess the impact of Chinese acquisitions on Italian target firm performance, and explore which characteristics of the acquirer can determine a change of it. First, a Paired-Samples T-test has been applied to appreciate the difference between pre-and post-acquisition performance on 27 sample companies. Secondly, through an OLS regression, the impact of the Chinese acquirers’ characteristics on the performance of Italian target companies has been estimated for the year 2018. In addition, two interviews with managers from one sample company were carried out to complement the quantitative findings with qualitative insight. The results show that the performance of Italian target companies did not change significantly after the acquisition-at least not in the time span of 3 years used for the analysis- in terms of: profitability, solvency and growth. However, job creation slightly increased following the takeover. Furthermore, our findings indicate that, among the Influential factors examined, Chinese acquirers’ prior M&Aexperience in developed countries and the level of relatedness have a significant and positive impact on the performance of Italian target sampled companies. Whereas, being acquired by a Chinese SOE or POE seems to not affect the performance. Lastly, another influential factor raised by our respondents resulted to be the integration strategy implemented by the Chinese acquirer.Indeed, choosing the appropriate integration strategy for the two entities can be crucial for the acquisition success, and ultimately, for the future performance of the target.

<div> <p>In this dissertation, I investigate how firms’ various strategic decisions lead to innovation failures. Extant research in the strategic management field has suggested that a firms’ strategic choices determine its innovation trajectories and outcomes. While previous studies predominantly have emphasized firms’ successful innovation outcomes, very little research has been conducted on the antecedents of innovation failures. Although firms’ successful innovation outcomes provide important implications in understanding the source of firms’ competitive advantages, failed innovations would provide us with critical insight about firms’ ability to survive and develop as they may result in unfavorable consequences, such as financial risks and negative impacts on firms’ reputations In this light, I examine how various strategic choices – such as interorganizational relationships, acquisitions, and internal R&D – affect firm’s innovation trajectories and failures.</p> <p> In Essay 1, I explore how firms’ decision to form interorganizational relationships can affect their innovation failures. In particular, I investigate how a venture’s choice to form an investment relationship with a particular venture capitalist (VC) could determine the venture’s innovation failures. I propose that the time pressure that VCs face may elicit negative consequences for their portfolio companies’ innovation quality. In Essay 2, I examine how firms’ efforts to acquire technology and knowledge from external markets through acquisitions could affect their innovation failure rates. I suggest and find that adverse selection and post-acquisition integration problems impose substantial costs on firms pursuing acquisitions leading them to experience high rate of innovation failures. In Essay 3, I examine how firms’ efforts to develop new products incrementally affect their innovation failures. I suggest that, due to the path dependent nature of product development, when firms develop and introduce new products through an incremental approach, they may face the risk of their new products being exposed to the failure associated with the products and underlying technologies upon which the new products are built.</p> </div> <br>
