Comparative Analysis between the Canadian Trust and the Panamanian Foundation of Private Interest

Canadian Trusts and Panamanian Foundations of Private Interest are generally utilized as juridical vehicles through which a creator can designate a person to hold and administer property for the benefit and enjoyment of a beneficiary. Given the similarity of application of both vehicles, and taking into consideration that they emanate from separate juridical and judicial systems, it is pertinent to analytically compare them. As can be expected, there is a significant number of aspects through which Foundations of Private Interest and a Trusts can be compared. The following comparative analysis will be centered around three aspects: Asset ownership, creation mechanisms and the requirement of properly identifying beneficiaries. Preceding the aforementioned comparative analysis, a presentation and description of both legal vehicles will be provided in order to make the comparative analysis comprehensible and hopefully useful.

So, some AIPs have developed specific works focused on sustainability, which are passed on to their members who choose to adopt them in their products and processes, given the desire and need to rethink their impacts on society and the environment. This research seeks to analyze the role of AIPs in the adoption of sustainable practices in Brazilian livestock, from the single case with GTPS, a Vertical Association that acts specifically for this purpose, showing that its function goes beyond what the literature proposes. For this, this research follows the Single Case Study method, developed through the collection of data with semistructured interviews with specialists and secondary data with sustainability reports, which were analyze from the content analysis, with the support of the Atlas IT software. The main result of the study is that the role of AIPs such as GTPS is to coordinate the chain in favor of collective goods that go beyond the strategic ones, given that these assets surround sustainability and not only the interests of its members. In addition, it was possible to arrive at an analytical model based on the advance of theories of sustainability, institutional environment, strategy, private interest associations and willingness to adopt. This dissertation contributes to the deepening of the literature, as well as to show the possibility of replicating the practices that are use in livestock for other areas as important as global sustainable development. / Diante dos desafios globais como fome e aquecimento global, novas demandas passaram a influenciar as atividades agrícolas, dentre elas está a sustentabilidade, que é uma dimensão relevante para as atividades da pecuária brasileira. E, para que as organizações atuantes neste setor consigam estabilidade nos mercados, elas precisam adotar práticas sustentáveis que atendam às exigências institucionais e dos stakeholders. Para isto, algumas AIPs têm desenvolvido trabalhos específicos voltados para a sustentabilidade, os quais são repassados aos seus membros que optam por adotá-los em seus produtos e processos, dado o desejo e a necessidade de repensar seus impactos à sociedade e ao meio ambiente. Neste cenário, esta pesquisa busca analisar o papel das AIPs na adoção de práticas sustentáveis na pecuária brasileira, a partir do caso único com o GTPS, uma Associação Vertical que age especificamente para este fim, mostrando que a sua função vai além do que a literatura propõe. Para isto, esta pesquisa segue o método de Estudo de Caso Único, desenvolvido por meio da coleta de dados com entrevistas semiestruturadas com especialistas e dados secundários com relatórios de sustentabilidade, os quais foram analisados a partir da análise de conteúdo, com suporte do software Atlas TI. O principal resultado do estudo é que o papel de AIPs como o GTPS é coordenar a cadeia em prol de bens coletivos que vão além dos estratégicos, haja vista que estes bens cercam a sustentabilidade e não apenas os interesses de seus membros. Além disso, foi possível chegar a um modelo analítico baseado no avanço das teorias de sustentabilidade, ambiente institucional, estratégia, associações de interesse privado e Willingness to Adopt (Disposição para Adotar). Esta dissertação consegue contribuir para o aprofundamento da literatura, bem como mostrar a possibilidade de se replicar as práticas que são utilizadas na pecuária para outras áreas tanto quanto importantes para o desenvolvimento sustentável global.

As associações de interesse privado (AIPs) são importantes agentes de ações coletivas e, no agronegócio, desempenham funções fundamentais para o bom funcionamento de um sistema agroindistrial. Com as mudanças ocorridas no ambiente competitivo, as AIPs também tiveram que se reestruturar. Compreender e antecipar a dinâmica do ambiente global do agronegócio será cada vez mais crítico para o sucesso de uma organização. Nesse sentido, o planejamento estratégico é uma ferramenta essencial para enfrentar as mudanças e aumentar as oportunidades. Tão importante quanto o exercício de pensar e planejar é colocar em prática o plano. A implementação bem-sucedida de um plano é fundamental. As organizações despendem recursos financeiros e tempo na construção de planos estratégicos que buscam ser eficazes e trazer retornos à organização; porém, nem sempre os retornos esperados são alcançados, sendo que os motivos do resultado negativo não esperado derivam, em boa parte, da descontinuidade dos planos ou da escolha errônea da estratégia de implementação. Na literatura são encontrados diversas ferramentas e métodos para a construção de planos estratégicos, contudo, no que tange ao processo de implementação e gestão do plano, pouco se encontra com profundidade, especialmente em relação à implementação em AIPs. Nesse contexto, o objetivo geral que rege esta pesquisa é entender os principais desafios que as associações de interesse privado do agronegócio enfrentam para implementação de seus planos estratégicos e propor um método de implementação de plano estratégico para AIPs. Para chegar aos resultados pretendidos, fez-se uso da técnica de desk research, grounded theory e cinco estudos de caso com AIPs do agronegócio. Como resultado, esta tese trouxe um levantamento das principais dificuldades que as AIPs enfrentam na implementação de seu plano estratégico, bem como apresentou um levantamento de fatores de sucesso que podem ser adotadas pelas AIPs na implementação de planos estratégicos. A pesquisa traz, ainda, uma proposta de método de implementação de planos estratégicos para AIPs do agronegócio. O método proposto é um método teórico-empírico, podendo ter utilidade para a comunidade empresarial e acadêmica. A relevância deste estudo está na proposta inédita de discutir, no âmbito acadêmico, os problemas e fatores de sucesso enfrentados pelas AIPs do agronegócio na implementação de planos estratégicos, além de propor um método que visa auxiliar as AIPs neste processo. As important as exercise of thinking and planning, it is to execute the plan; therefore, the successful implementation of a plan is critical. Organizations spend financial resources and time to build a strategic plan that aims to be effective and get returns to the organization, but not always the expected returns are achieved, largely by the discontinuation of the plans or by the wrong choice of implementation strategy. In the literature are found several tools and methods for building strategic plans, however, regarding the implementation process and plan management, little is found with depth, especially in relation to implementation in PIAs. In this context, the general objective of this thesis is to raise the main problems faced by PIAs on implementation of strategic plans and propose a method for strategic plan implementing the in agribusiness PIAs. In order to reach the desired results, the desk research, grounded theory and five case studies with agribusiness PIAs that practice strategic planning were used. As a result, this thesis has presented a survey of the main points of difficulties and failure factors that a PIA may face in strategic plan implementation, as well as a survey of success factors that can be adopted by the PIAs in the strategic plans implementation. The research also was proposed a method for strategic plans implementing in agribusiness AIPs. The proposed is a theoretical-empirical method, wich may be useful fot he business and academic community. The relevance of this study is in the unprecedented proposal to discuss in the academic sphere, the problems and success factors faced by agribusiness PIAs in strategic plans implementation, besides proposing a method that aims to assist the PIAs in this process. Understanding Utah's Native Plant Market: Coordinating Public and Private Interest

Changes in Lone Peak Conservation Nursery customer profiles cause state nursery leaders to question what their products are being used for and how trends in native plant use are changing the market for Utah native plants. The Utah native plant market is changing as interest in native plants is expanding to meet new conservation objectives, oftentimes in urban settings. This newer demand for native plants appears to be motivated by current changes in urban conservation behavior, continued population growth in the arid West, scarcity of water resources, the increasing appreciation for indigenous plant aesthetics, and concern for bio-diversity. A survey of2001 American Society of Landscape Architecture (ASLA) Utah Chapter members sponsored by Lone Peak Conservation Nursery, a state-mandated nursery for the supply of conservation plants to Utah, conveys landscape professionals' philosophical base for native plant choice, experience of native plant use, information needs, desired products and services, and general perception of native plant market and demand in Utah. Landscape architects at the forefront of these trends and the profession have the opportunity to be even more actively engaged in integrating native plant use across the wild land to urban landscape spectrum while collaborating with other industry leaders. Authors report on the significant findings from the Lone Peak ConservationNursery Native Plant Study to explain the complexity of native plant supply and demand in changing Utah markets. Increase in urban water conservation and aesthetic use of native plants and seeming instability in traditional restoration markets force local growers to face challenging decisions about plant production and business strategies. Business-driven decisions of suppliers may affect the availability of source-identified native plant products, and raises the question, "How native is native?" Current dilemmas in the Utah native plant market are identified as market pressures tend to generalize an ecologically specialized natural resource product. Continued research and industry collaboration is needed to better connect supply and demand to better balance the needs of private and public sector market actors sharing native plant resources.

The first chapter focuses on the study of the constitutional right of freedom in the private and public rights, especially in civil procedure. We identify the historical basis that originated the dichotomy between private and public rights. We observe that this distinction does not show up in specific studies, but have rather been repeated without a consistent basis to support it. We show that in a Democratic Legal Estate there is no reason to separate legal branches to the point that one constitutional right - of freedom - gets two different interpretations, one if public right is concerned and a different one if private right is concerned. We present the procedural contract as a juridical experience in the second chapter, in which we propose its study from the concepts of legal situation and legal relationship and from a caused fact. We present the structure and the essential elements of the procedural contract and identify it as a way the parties can create rules concerning the procedure. In the last chapter we study the role of the judge towards the procedural contract. We propose a constitutional and philosophical focus, adequate to the activity of controlling the procedural contract and we also present some peculiarities of the institute / Dividido em três capítulos, este trabalho pretende analisar o negócio jurídico processual à luz da garantia fundamental à liberdade a partir do paradigma pós-positivista. O primeiro capítulo traz as leituras do direito fundamental à liberdade nos ambientes de direito privado e de direito público, em especial o processo civil. Identificamos as bases históricas da elaboração de dicotomia entre direito público e privado. Observamos que tal distinção não aparece com clareza entre os estudiosos do tema, tendo sido repetida sem fundamentos consistentes que a suportem. Mostramos inexistir razão para no Estado Democrático de Direito pretender a separação dos ramos do direito a ponto de atribuir opostas interpretações a uma mesma garantia constitucional – à liberdade – conforme se transite no direito público ou privado. O negócio jurídico processual como experiência jurídica é tema do segundo capítulo, em que propomos o seu estudo a partir dos conceitos de situação e relação jurídica, a partir do fato causado. Apresentamos a estrutura e os elementos essenciais do negócio jurídico processual e o identificamos como forma de autorregramento das partes no processo. Por fim, o último capítulo investiga a atuação do juiz frente o negócio jurídico processual. Šiame darbe nagrinėjamas grupės ieškinio teisinis institutas kaip priemonė ginti viešuosius ir privačius interesus. Pirmoje dalyje siekiama atskleisti teisinio intereso sąvoką, viešojo ir privataus interesų sampratas, bei analizuojame galimybes šiuos interesus apginti pasitelkus grupės ieškinio institutą. Antrojoje dalyje nagrinėjame klasikinio ir kontinentinio grupės ieškinio instituto pagrindinius požymius bei apžvelgiame grupės ieškinio instituto ypatumus Lietuvos Respublikos civiliniame procese. Trečiojoje dalyje apžvelgiami pagrindiniai grupės ieškinio turinio reikalavimai, jo priėmimo sąlygos bei priimamo teismo sprendimo ypatumai. Magistro darbo tikslas pateikti mokslinį grupės ieškinio instituto vertinimą ginant pažeistus viešuosius ir privačius interesus. Daugelis užsienio šalių, savo įstatymuose įtvirtindamos grupės ieškinio institutą, visada jį lygina su Jungtinėse Amerikos Valstijose egzistuojančiu modeliu, todėl darbe daugiausia remsimės šios šalies civilinio proceso įstatymais. The first part includes the explanation of legal interest, the concepts of public and private interests, as well as the analysis of possibilities of protection of these interests, using the institute of group action. The second part explains the main features of classic and continental institute of group action, as well as the peculiarities of the institute of group action in the Lawsuit of the Republic of Lithuania. The third part comprises of the main content requirements to the group action, the conditions of its acceptation and the peculiarities of awarded judgment. The goal of this Master’s Thesis – to present scientific evaluation of the institute of group action, while protecting violated public and private interests. Various foreign countries consolidating the institute of group action in their Law, compare it to the model existing in the United States of America, therefore our thesis will mainly be based on the Lawsuit of the United States of America. Magistro baigiamajame darbe analizuojamas viešojo intereso gynimas valstybiniame valdyme, sistema, būklė ir problematika Lietuvoje, aptariamos konkrečios problemos, kylančios iš tokių santykių, teisinės ir praktinės aktualijos. Darbo pradžioje analizuojama viešojo intereso sąvoka ir samprata, trumpai aptariama pati socialinių mokslų kategorija „interesas“ ir kaip ji suprantama teisės doktrinoje, interesų klasifikacija ir jos reikšmė. Toliau kalbama apie pačią viešojo intereso sąvoką, sąvokos interpretacijas ir projekcijas atskirose visuomeninių santykių srityse, teismų praktikoje bei teisės moksle. Analizuojama viešojo ir privataus intereso atskirtis ir šių interesų atribojimo kriterijai. Kitoje darbo dalyje analizuojama viešojo intereso gynimo sistema, t. y., subjektai, turintys įgalinimus ginti viešąjį interesą, jų kompetencija, teisės ir pareigos. In master thesis the situation of the defendant of Public interest in national ruling in Lithuania is analyzed, also about its system, about its conditions and problems in Lithuania. In the beginning of research, the system of the defendant of Public interest is analyzed. There is some dispute about the category of social science – “interest” – and how it understanding in doctrine of law, also the classification of interests. Further, we are taking about conceptions of Public interest, interpretations of notion in social relations and in judicial practice. Also, we are taking about the separations of those two interests: Private interest and Public interest. In the next part of master thesis, the system of defendant of Public interest is analyzed: subjects, its remit, its rights and duties. In the research are discussed about participation of public procurators in Lithuania and in others countries (like France, Spain, Italy, Latvia, Belgium etc.). Further, we are analyzing the remit of organs and institutions of government and municipalities in Lithuania and also in others countries, for examples, the functions of Ombudsmen in Sweden and in others countries. Parceria público-privada para produção de moradia popular no estado de São Paulo: o Programa da Casa Paulista / Public-Private Partnership to Build Social Housing in São Paulo State: The Casa Paulista Program

A presente dissertação tem como objeto de estudo o programa de parceria público-privada para a construção de moradia popular no centro da cidade de São Paulo. Promovido pelo Governo do Estado de São Paulo, o projeto foi escolhido como estudo de caso para discutir a utilização do instrumento jurídico-contratual de parceria público-privada, regido pela lei federal nº 11.079 de 2004 na construção de moradia popular no Estado de São Paulo. De modo específico, pretendeu-se entender como foram feitos os estudos pelas instituições privadas no processo da Manifestação de Interesse Privado (MIP) que resultaram no edital de licitação lançado de 2012. A coleta de informação foi feita a partir de entrevista com os principais atores envolvidos no projeto, desde funcionários do Governo do Estado, consultores privados e funcionários de empresas do setor de construção civil. Como suporte às entrevistas, utilizou-se documentos disponibilizados pela Secretaria de Habitação. Previsto na legislação brasileira desde 1995, o instrumento que permite que instituições privadas ofereçam projetos de parceria entre o setor público e o privado passa a ser mais amplamente utilizado a partir de 2004, com a aprovação da lei federal das PPPs. Partindo de uma análise da própria estrutura administrativa do Governo do Estado de São Paulo, o presente estudo se propôs a entender como as parcerias público-privadas estão sendo utilizadas no setor de habitação social. / The aim of this dissertation is to study the Public-Private Partnership Program for the construction of popular housing in the city of São Paulo. Promoted by the São Paulo Government State, the project was chosen as a case study to discuss the use of the contractual instrument of public-private partnership, governed by federal law 11.079 of 2004 in the construction of popular housing in the State of São Paulo. Specifically, it intends to understand how the studies were done by the private institutions in the process of the Private Interest Manifestation (MIP) that resulted in the auction notice issued of 2012. The data collection was made from interviews with the stakeholders involved in the project, from State Government employees, private consultants and employees of construction companies. To support the interviews, documents made available by the Housing Secretariat of São Paulo State were analyzed. Under Brazilian law since 1995, the instrument that allows private institutions to offer public-private partnership to the government became more widely used in 2004, with the approval of the federal PPP law. Based on an analysis of the administrative structure of the São Paulo Government State, the present study aims to understand how public-private partnerships are used in the social housing sector.
