Reorganizace jako způsob řešení úpadku / Reorganization as the way of bankruptcy solution

The intention of the thesis, on theme of Reorganization as the way of bankruptcy solution, is to describe this legal institute complexly and coherently. It begins from the history, continues through the current legislation and finishes with a practical point of view to reorganization and its implications in practice. The first chapter describes influences which affected reorganization in the Czech legal environment. First of all, the insolvency law was affected by historical circumstances in the Czech lands and by changes of political regimes to which the legislation was subordinated. Another subsection is addressed to foreign influences which were used as an inspiration for the legislator during creating of the current legislation. Mainly, it is an American and German legislation. In the last subsection, the EU legislation regarding reorganization is elaborated including effects of the harmonization in the Czech Republic. The second chapter of the thesis describes the legislation of reorganization in the Czech Republic and completes it of the case law especially of the High courts in Prague and Olomouc. Arbitration proceeding in Czech and Slovak Republic The topic of this thesis is arbitration proceeding in Czech and Slovak Republic. If the part of introduction and conclusion is not included, the thesis is divided into eight main chapters which are further systematically divided into other subchapters. In the first chapter dedicated to the concept and characteristics of arbitration the author focuses on sources and - with regard to the title of this work - the greatest attention is paid to the Contract concluded between Czech and Slovak Republic on legal cooperation. Furthermore the deal of this part is a relation between arbitration and civil proceeding and alternative dispute resolution. This chapter describes - among other issues - the types of arbitration, namely deals with the severance onto ad hoc and institutional arbitration, including comparison with Slovak law. Le nombre de défaillances d’entreprises va, malheureusement, régulièrement grandissant. Il semble donc, et l’on comprend aisément pourquoi, qu’il soit plus aisé pour les gouvernements successifs d’adapter le livre VI du code de commerce que de fournir un environnement stable et pérenne aux entreprises. Pour autant, nous pensons qu’il existe un acteur, toujours présent au sein des procédures collectives, qui puisse venir en aide aux entreprises en difficultés : le Trésor public. Dans cette optique, il convient que le droit des entreprises en difficulté et le droit fiscal cessent de s’ignorer et combinent leurs efforts respectifs dans un but commun : la survie des entreprises.Pour ce faire, le Trésor public, souvent considéré comme l’ogre des procédures, ne doit plus être vu par le débiteur défaillant comme un créancier nuisant à son redressement mais comme un allié. La puissance, à la fois administrative et financière, du Trésor public devrait pouvoir être utilisée par les débiteurs à leur profit. Nos travaux, à partir d’une analyse des procédures existantes, proposent des solutions novatrices en vue de faciliter une telle adaptation. / Entreprise insolvency proceedings are growing up, unfortunately, each year. It seems that - and we understand why – it is easier for each government to rewrite commercial laws instead of giving to these companies a steady and sustainable market. Nevertheless, we think that there is a common actor in all these insolvency proceedings that may help ailing companies : The French public Treasury. In that way, insolvency laws and tax laws have to stop to follow their own way and should combine their forces in a common goal : the entreprise survival. French Treasury, frequently known as the proceeding ogre, should not be seen anymore by the debtor as an enemy, harming his redressment, but as an allied partner and then, the debtor should be able to use the French tax administration power to his own profit. Our works, analyzing the existing proceedings, suggest some new solutions in order to make easier such an adaptation.

1 The role of media in criminal proceeding Abstract The thesis deals, as the name implies, with the role of the media in criminal proceedings, both theoretically and practically. The work contains a lot of examples primarily through the case-law presented. Chapter one is titled "Power of Media". It deals with the emergence of this concept and the history of the media in our country. It also focuses on the potential threat to media power, through purchasing of mass media, and murder of journalists and media workers. The second chapter deals first with one of the basic principles of criminal proceedings, namely the principle of the public; the second part deals with the principle of the presumption of innocence. The third chapter briefly focuses on the media's access to proceedings. The conclusion of the chapter is devoted to the controversy over online reports from the courtroom and their possible regulation by judges. The fourth chapter deals with providing information on criminal proceedings. This study explored the publication pattern of Canadian computer scientists and compared the impact of conference papers and journal articles published by these researchers. It was found that conference proceedings are the preferred venue for scholarly communication, but the impact of conference papers is not comparable to that of journal articles. The potential reasons for the lower impact of conference papers are discussed, and possible approaches to improve the current scholarly communication system in computer science are proposed.

My graduation theses concerns an analysis of processes in field of material flow in the company Linde Pohony in Český Krumlov. The analysis is orientated to processes which have direct influence of product added value. The current processes are describe by the help of process map. The main objective of my graduation theses, on the basis of affected analysis, is to create a project of systematical improvement the processes, which will lead to better material flow and bring savings in field of material costs. The main instrument is an implementation of lean production principles. Lean production means elimination of wastings in all activities and processes in the company. The lean production is mainly based on following principles: pull principle, takt principle, one piece flow principle.

The purpose of this thesis is to provide a summarized commentary about registration, review and settlement of the claims in the insolvency proceedings and about individual types of claims. The second aim of this thesis is to evaluate pros and cons of currently efficient Insolvency Act. The domestic case law has been the primary source of the thesis. However, relevant literature and laws have been reflected as well. The thesis is divided into five chapters, more important chapters are divided into particular subchapters. The first chapter deals with the concept of insolvency proceedings and its purpose. It is also focused on the basic principles of insolvency proceedings and initiation of insolvency proceedings. The second chapter contains a description of the concept of claim and elementary classification of claims in insolvency proceedings, which are divided into different groups. Furthermore, detailed interpretation of each group is explained including process of their registration. The aim of this diploma thesis dedicated to the issue of incidental disputes in insolvency proceeding was to determine the incidental disputes in proceedings, categorize them systematically, outline their character and set a comprehensive overview of these disputes. Within the insolvency proceedings incidental disputes are largely solved as case law, which the author of this work deals within the description of the various types of disputes. The thesis is divided into fourteen chapters, which are further divided into subsections and parts. The first two chapters are devoted to insolvency proceeding in general, especially when the character and purpose of the insolvency proceeding as well as the conceptual definition of insolvency proceeding and its consequences are outlined, because without these underlying premise would be impossible to describe the issue as a whole. La notion de partie comportant de nombreuses incertitudes, tant théoriques que pratiques, l'objet de cette thèse est de proposer une approche renouvelée de cette notion, en ne recherchant pas seulement quels sont les critères de détermination de la qualité de partie mais aussi quelles sont les personnes ayant vocation à disposer de cette qualité procédurale, car beaucoup de problèmes entourant cette notion nécessitent de pouvoir répondre à cette dernière interrogation. Il est ressorti de cette étude que le respect du principe selon lequel nul ne peut être jugé sans avoir été mis en mesure de se défendre impose que toute personne susceptible d'être jugée ait la qualité de partie, et que, sauf exceptions, le respect du devoir de non-immixtion dans les affaires d'autrui et de l'objectif de bonne administration de la justice implique de ne pas octroyer la qualité de partie à d'autres personnes que celles susceptibles d'être jugées. Dès lors, nous avons pu vérifier si les personnes étant parties ou tiers étaient légitimes à l'être et proposer, lorsque tel n'était pas le cas, des solutions pour y remédier. En outre, en analysant à la lumière de l'approche centrée sur la vocation à être partie les divers cas posant des difficultés de qualification procédurale, nous avons pu démontrer que les catégories de tiers et de parties ne nécessitent pas d'être complétées de classifications intermédiaires.
