The subject of the graduation theses is to analyze real business partnership of two enterprises and consider contributions and advantages from decided kind of business partnership for analyzed enterprise. First part of work is dedicated to theoretical definition of basis terms of small and middle sphere of business and problems with association of small and middle size enterprises. Second part is practical with focus on description of analyzed organization, history, development and main areas of business partnership. Conditions of partnership, charges for accession are described here. In final part I have analyze and evaluate contributions (advantages and disadvantages) raised from this kind of partnership for researched enterprise and incidence of this partnership on economic performance of enterprise.

Coordenação de Aperfeiçoamento de Pessoal de Nível Superior / This present study aims ay analyzing the contribuition of abolicionists from the State of Sergipe for the project of the nation s civilization, through practices of instruction and educational to naïve children. This research, delimited between the ages of 1881 to 1884, studies the educational laws of the imperial period and the aspects focused on and related to the primary instruction. It unveils the motives of the creation of an elementary teaching school and its pedagogical practices for the primary teaching to the naïve children capita of the Sergipe settlement destined to children as well as the pedagogical practices developed by the school. It identifies the profile of the Sociedade Libertadora Aracajuana Cabana do Pai Thomaz (1882) as a space for speeches, conferences, journalistic activities, delivery of emancipation letters and instruction to naïve children. It has also focused in this investiment, the role of the press and the usages made by its editors at the and of the nineteenth century. The theoreticmethodological for the study in question is supported in Roger Chartier, throught the notions of Representation an Appropriation, the concepts of Civilization by Norbert Elias, Cultura Escolar by Dominique Julia, Infância by Carlos Monarcha and the category Constructos Flutuantes by Clarice Nunes, Therefore, it treats about a study which focus on the set of pratices carried o9n by abolicionists from Sergipe for reaching goals of progress in Sergipe. / O presente estudo tem como objetivo analisar a contribuição de abolicionistas sergipanos para o projeto de civilização da nação, através das práticas de instrução e educação aos ingênuos. Esta pesquisa, delimitada entre os anos de 1881 a 1884 estuda as leis educacionais do império e os aspectos abordados no que diz respeito a instrução primária Desvenda os motivos da criação de uma escola de ensino primário e suas práticas pedagógicas para o ensino primário aos ingênuos, na Capital da Província Sergipana destinada aos ingênuos bem como, as práticas pedagógicas desenvolvidas pela escola. Identifica o perfil da Sociedade Libertadora Aracajuana Cabana do Pai Thomaz (1882) como um espaço de palestras, conferências, atividades jornalísticas, entregas de cartas de alforria e instrução aos ingênuos. Pôs em relevo também nesta investida, o papel da imprensa e os usos feitos pelos seus redatores no final do século XIX.. O referencial teórico-metodológico para o estudo em questão apóia-se em Roger Chartier, a partir das noções de Representação e Apropriação, os conceitos de Civilização de Norbert Elias, Cultura escolar de Dominique Julia, Infância de Carlos Monarcha e a categoria Constructos flutuantes de Clarice Nunes. Trata-se, portanto, de um estudo que focaliza o conjunto de práticas exercidas por abolicionistas sergipanos para alcançar metas de progresso em Sergipe.

本文以「資訊公開」為研究的主要架構。資訊公開原則是證券交易制度中廣泛運用的法制精神，而公開說明書則是發行市場中最重要的資訊揭露工具。本文擬藉由公開說明書相關法律責任的探討，比較我國及美國法制的不同；再經由案例的介紹，了解實務運作上對於公開說明書不實之相關爭點的看法，並提出未來修法上的建議以供參考。 本論文之章節架構如下： 一、說明論文之研究背景與目的、研究範圍與方法及論文架構。 二、介紹經濟學中相關資訊公開之理論基礎：資訊不對稱理論及資訊不對稱現象所衍生之逆選擇與道德危機、效率市場假說以及代理理論等等。 三、介紹我國現有之強化資訊公開機制，包括公開資訊觀測站、資訊揭露評鑑制度、財務重點專區的建置、對使用者友善之資訊公開介面等等，以及鼓勵企業自願性揭露並建立完善的檢舉人制度。 四、說明證券交易法中與資訊公開原則相關之法律規定，再將公開說明書之定義及認定標準、公開說明書之功能、應編製公開說明書之情形及公開說明書之內容做詳細之介紹。 五、探討違反交付義務之民、刑事責任、公開說明書主要內容虛偽不實之民、刑事責任及實務案例之探討。 六、綜合以上，提出本文的結論與建議。

A plan of opening a physical shop (a low-cost expediting point) as an extension of currently runnning electronic shop is the main focus of this thesis. The analysis of demographic population data, market situation (supply/demand), internal and external corporate enviroment is presented. An attempt is made to provide the answer for the question whether proposed enterprise is pursuable or not. The results of analytic part are used for the shop building locality selection. Furthermore, corporate history, financial and business planning, marketing strategy, organizational structure are provided in practical part of this thesis. Final part is providing the evaluation and selection of the shop founding locality.

This diploma thesis deals with questions about prospectus assembly for the company GASTROSUN SK, s.r.o with detailed focus on refinement of its prerequisites. The aim of this diploma thesis is to put together the comprehensive and integrated prospectus with the focus on its usability in practice. It’s important so that all assemblage plans in this prospectus reflected the real estate. Partial aim of this diploma thesis is matching other possible kinds of investments with the investment embedded in business by the help of indicator of return on capital employed before taxation.

My thesis deals with analyses of returns of IPO’s in the Czech capital market. The theoretical section of the thesis contains of circumscription of main terms and methodics for preparations and realizations of IPO. In the analytical section these theoretical findings are applied. This thesis should bring realistic view of returns of IPO’s for investors and evaluate present trends on IPO market.

My diploma thesis designs a suitable alternace of shifting a production for Havlík Opal Ltd. company. This step should fulfil the firms requierements to lower the costs, savings creation, modersination of technology, production atuomation and help to generate higher profit.

The purpose of my master‘s thesis is to open new school within EWTO in Vysočina region, concretely in Žďár nad Sázavou, and consequently spread the influence of EWTO in Czech republic. Part of my thesis is dedicated to determine the best investment option, analyse external environment, define conditions for foundation of a new school, propose convenient pricing policy and compile entrepreneurial plan in order to get mid-term bank loan.

Dans le cadre d’une comparaison avec les règles en vigueur en France, cette thèse propose d’étudier le droit applicable au financement par les marchés boursiers au sein de l’espace OHADA à l’aune des systèmes juridiques qui ont influencé sa formation et ses « Actes uniformes ». L’étude suggère que les paramètres juridiques qui affectent l’OHADA depuis sa création sont bien plus variés que la simple mention du droit français. Ils sont africains, européens et internationaux. De même, l’on met en exergue les réponses méritoires de l’OHADA à des problématiques de régulation dont pourrait s’inspirer le droit français. L’on peut affirmer qu’il n’y a pas ici de droit exotique ou davantage un système purement esthétique de droit, mais bien au contraire, simplement du droit. Introuvable pierre philosophale, si l’OHADA n’est pas omnipotente comme l’indiquent les aspérités que l’on esquisse, elle possède les qualités de la boussole qui montre la voie à suivre pour accompagner le développement des marchés financiers et de leurs avatars. Sans nécessairement créer un nouvel acte uniforme relatif aux marchés financiers, elle pourrait, par des voies alternatives, accroître la sécurité juridique et judiciaire qui sont, on le rappellera, dans ses gènes. / In a comparison with the rules in force in France and Africa, we have studied the law applicable for funding by stock exchanges within the OHADA space in light of the legal systems that have influenced its formation and its "Uniform Acts". The study reveals that the legal parameters affecting OHADA since its creation are much more varied than the mere mention of French law. These parameters are African, European and international. Similarly, the meritorious responses of OHADA to regulatory issues that could inspire French law are highlighted. It can be said that there is no exotic law in this case or either a purely aesthetic system of law, but rather, on the contrary, simply the law. Untouchable like a philosopher's stone, if OHADA is not all powerful as the asperities outlined show, it possesses the qualities of the compass that indicates the way forward. Without necessarily creating a new "uniform act" relating to financial markets, it could, by alternative means, increase the legal and judicial security which are, let us not forget, in its genes.

The object of this thesis is comparison of business plans of housing construction with passive housing construction in monitoring company. First section summarizes theoretical description of prospectus and passive houses. Another part attends to appreciation of housing construction and surrounding analyse of company. In the third section, there are proposals of realization prospectuses with alternatives of financing this kind of projects. Final part of thesis deals with a question whether realize passive block of flats or common block of flats.
