Striving for Privacy : A comparative case study on the strategic implications post public-to-private for family and non-family firms in Sweden

Public-to-private (PTP) refers to the strategic action of consciously leaving the stock market. The delisting decision may be made when the benefits of being listed no longer outweigh the costs. The private environment offers multiple benefits firms may be expected to seek post-PTP such as reduced regulations, less quarterly performance pressures and fewer demands on the financial reporting. Such benefits correlate with expected changes made in firms post-PTP. Due to a limited amount of research available upon the topic of PTP, a research gap upon the deliberate changes made post-PTP exists. Family firms differ from non-family firms when making strategic decisions. Therefore, it is expected that the strategic changes made in family firms differ from those in non-family firms. Furthermore, the Continental European context exhibits special characteristics such as high levels of concentrated ownership, characteristics that may be vital for the changes made post-PTP.  The thesis explores deliberate changes made in firms post-PTP, and how these changes might have impacted the delisting decision. This phenomenon is explored within both family and non-family firms in a Swedish context, as a representation of the Continental European market. The research is conducted through a multiple case study. Based on a number of criteria, three case firms are selected as representations of the relevant ownership types within the study. The data collection takes place through eight in-depth interviews with key informants from the selected cases. The results of the data collection are presented through descriptive narratives, supported by secondary data. The data is analysed through within-case and cross-case analysis. The presented data is then further analysed using the literature presented in the frame of reference. Throughout the thesis, a number of changes made post-PTP are presented and discussed, finding great heterogeneity of results among the studied case firms. We find that a strategic delisting decision is mainly connected to firm ownership and financing methods for growth and development. Our findings suggest firms delisting for strategic reasons do not make in-depth changes in the firm post-PTP. Furthermore, we find that there is some connection between the perceived benefits of the private environment and the delisting decision.

[pt] Em decorrência de transformações constitucionais, os registradores passaram a exercer a delegação de seus serviços em caráter privado. Por essa razão, muitos, no afã de demonstrar modernidade e desvincular a atividade dos demais serviços públicos prestados diretamente pelo Estado, não só informatizaram todos os seus arquivos, bem como passaram a disponibilizá-los integralmente na Internet. O escopo da dissertação reside na privacidade dos registros públicos em confronto com a publicidade informativa que lhe são inerentes, quando disponibilizados na Internet. A falta de uma legislação específica em nosso país, que tutele a privacidade na Internet, fez o pesquisador utilizar a técnica jurídico-comparativa identificando as similitudes e diferenças das normas e instituições que protegem a privacidade de dados pessoais na Comunidade Européia da civil law, comparando-os com a proteção existente nos países da common law, em especial nos Estados Unidos, com os institutos que visam tal proteção no Brasil. Além disso, o enfoque metodológico é interdisciplinar, eis que o tema abrange disciplinas conexas, tais como: Direito Constitucional, Direito Civil, Direito Registral e o embrionário Direito da Internet. Como resultado da pesquisa sobre o possível conflito inerente à informação dos registros públicos e a privacidade, buscamos nas soluções do direito comparado um mero parâmetro e modelo de equilíbrio que perpassa pela ponderação de valores. Uma possível solução encontrada para a pesquisa foi através da utilização de filtros que visem depurar os dados pessoais disponibilizados na Internet, resguardando a privacidade sem cassar o inerente e necessário direito à informação. / [en] As a result from constitutional transformations, those who registered began to prosecute their work in private character. Therefore, many of them are trying to show technological progress and separate with the State; not only to computerize all the information, but as well as make it available online. The main subject of this thesis is the use of private information in a public space such as the Internet. The absence of a specific legislation in our country that control this use caused the author using the legal compare to point out some similarities and differences about the rules and institutions that provide security for the personal information. This includes the European Community from civil law and countries that are ruled in common law, such as the United States from Brazilians´ institutes. Other than that, the focus is interdisciplinary because it includes Constitution Law, Civil Law and Internet Law. Resulting from the research about the conflict between private and public information, we attempted to find a solution for this problem. One of the main ideas was the creation of a filter that was capable to separate the personal information from the rest, which would keep the users safe without ceasing the right of knowledge.

O objetivo do presente trabalho é compreender como a educação se tornou um direito no transcurso do processo da Constituinte, a partir da participação, da mobilização e da ação de um conjunto de sujeitos representantes da sociedade civil, além dos parlamentares eleitos por suas respectivas agremiações partidárias. Procurei identificar a configuração desse direito no processo de sua construção, isto é, quando as pluralidades heterogêneas dos discursos dos sujeitos manifestaram seu caráter dinâmico coincidindo, se chocando ou se tornando convergentes. Nesta perspectiva ganharam realce os silêncios que conferiram opacidade à memória, o registro e os projetos políticos com propostas contrastantes, e ambivalências, dissensos, consensos, pactos e rupturas se estabeleceram em circunstancias históricas específicas. Neste contexto o direito à educação se definiu no âmbito do conflito entre o público e o privado entre os anos de 1985 a 1988. / The aim of this research is to understand how education has been historically established as a right during the constitutional process, based on the analysis of participation, mobilization and action of a representative group from civil society, and parliamentarians elected by their party associations. I sought to identify the process of construction of that right focusing on the heterogeneous plurality of its actors discourses, which expressed their dynamic character coinciding, crashing or being convergent. Some aspects were highlighted, such as the silence which gave opacity to memory, the political records and projects with contrasting proposals and the ambivalences, dissents, consensus, pacts and ruptures that were settled. In this context, the right to education was erected within the conflict between the public and private between the years 1985-1988.

Alessandro Contini Bonacossi, antiquario (1878-1955) : the art market and cultural philanthropy in the formation of American museums

This thesis aims to document and discuss the role and legacy of the Italian antiquario Alessandro Contini Bonacossi (1878-1955) in the international secondary art market for Old Master paintings during the first half of the twentieth century. Grounded in the discovery of primary archival evidence and set against the major historical events that unfolded during his lifetime, this work presents its findings by following a research process adopted to answer the following research questions: who was Contini Bonacossi, what was his business network (where was he buying paintings, at what prices, and who were his clients), what was his modus operandi for selling and marketing his work, and what is his legacy. To answer these questions, I made extensive use of primary sources, the vast majority of which are unpublished or have never been used before in this context, framed by a contextualized analysis of their historical background. The archival investigation has brought to light, for the first time, documentary evidence of Contini Bonacossi's transactions and business ties with other European dealers such as Duveen Brothers, Heinemann Galleries, Colin Agnew, Colnaghi, Böhler, Steinmeyer, and Kleinberger Galleries; with scholars such as Wilhelm von Bode, Roberto Longhi, and Bernard Berenson; as well as previously unknown connections Contini Bonacossi had with members of the Harvard museum community and the Boston cultural elite such as Paul Sachs (1878-1965), Edward W. Forbes (1873-1969) Denmann Ross (1853-1935); and offers new details regarding his relationship with the Kress Brothers, their gifts of artworks to the new National Gallery of Art in Washington DC, and the Kress Foundation's Regional Program that endowed museums across the US. Ultimately, this work adds to our knowledge important sources for the study of the history of private and public collecting during its crucial years in the formation of American museums. More broadly, in documenting Contini Bonacossi's case, this study strives to rethink the role of art dealers, to look at them not solely as market professionals engaged in the dynamics of supply, demand and profit, but first and foremost as bearers and sellers of culture, whose activities were fully embedded in the socio-political environment of their time and so to acknowledge and extend knowledge about their active role in the international dissemination and interpretation of cultural heritage.

The Diploma thesis is dealing with the usage of the private-public partnerships in the form of PPP projects. The main aim of this work is an evaluation of the PPP method whilst providing the public good as one of the main tools of financial projects from the public sectors. The thesis is briefly introducing the principles of public sector, its role and functions along with securing public good and their financing. The first part discusses the history of PPP projects, its characteristics and typology, as well as various advantages and disadvantages compared to traditional public contract model. The analytical part is dedicated to the implementation of the private projects and to public partnership in Czech Republic. The pilot projects are the D3 motorway and judicial complex in Usti nad Labem. Foreign projects are represented by M1/M15 motorway in Hungary and its comparison with the D3 motorway. The main section of the analytical part then focuses onto the analysis of the PPP projects, in terms of their effectiveness, financial aspects and the overall merits. In particular, a critical stance on the subject guarantees its objective evaluation. The conclusion of the thesis is evaluated whether it has indeed an effective method as it's sometimes called.

A good night's sleep gives people a good performance in their daily activities. Ageing affects in changes in the quality and quantity of sleep. And at this stage are frequent complaints of sleep disorders. The quality of life, health and longevity may depend on good nights of sleep, because during this period the proteins are synthesized in order to maintain or expand neural networks linked to memory and learning. Objective: Evaluate the elderly´s sleep quality in public and private subsystems in the city of Patos-PB. Methodology: cross-sectional study conducted with 236 elderly between 2013 and 2014. The probabilistic sample was divided into two groups according to the healthcare used to supply matched by sex and age: 118 elderly in private service and 118 elderly in the public sector. The instrument includes biodemográficos data collection, validated questionnaires and auto applied assessing sleep quality index (Pittsburgh), the functional capacity (Barthel index) and the mental state of the elderly (MEEM Mental State examination). Descriptive analysis was performed, and Chi-square tests and Mann-Whitney U test. The significance level was 5%. Results: The age average of the elderly by the private sector is 71.1 years and the elderly by the public sector is 72.3 years, showing homogeneity regarding age. Differed in relation to income and education (largest in the private sector). The most widely used antihypertensive medication was in both groups, especially in the private sector (84%) and the public (64.2%). Hypertension and depression was reported by 84.9% and 25.2% respectively of private sector users. These 40.8% had caregiver, and more than 30.6% of the caregivers were remunerated. The elderly in the private sector reported a poorer quality of sleep (81.7%) than those of the public sector (65%). With regard to functional independence, the groups mostly independent presented to the AVDS. There was no significant relationship between poor sleep quality and its interference in the activities of daily living of the elderly. It was observed an association between access to private service and a greater number of comorbidities, which may be related to greater ease of specialist medical assistance and earlier in this group. Conclusion: Sleep quality is an important factor for health and general wellbeing of the elderly the findings of this study can provide the professionals in the implementation of measures to improve the sleep of elderly and promote a better quality of life for these individuals. / Introdução: O sono é um dos principais responsáveis pela homeostasia e restauração do organismo. Dormir bem concede as pessoas um bom desempenho em suas atividades diárias. Envelhecer repercute em alterações na qualidade e quantidade do sono. E nesta fase são freqüentes as queixas dos distúrbios do sono. A qualidade de vida, a saúde e a longevidade podem depender de boas noites de sono, porque nesse período as proteínas são sintetizadas com o objetivo de manter ou expandir as redes neuronais ligadas à memória e ao aprendizado. Objetivo: Avaliar a qualidade do sono de idosos atendidos nos sub-sistemas público e privado no município de Patos-PB. Metodologia: Estudo transversal realizado com 236 idosos entre 2013 e 2014. A amostra probabilística foi dividida em dois grupos de acordo com o setor de saúde utilizado para atendimento pareados por sexo e idade: 118 idosos no serviço privado e 118 idosos no setor público. O instrumento de coleta inclui dados biodemográficos e questionários validados e auto aplicados que avaliam a qualidade do sono (índice de Pittsburg), a capacidade funcional (Índice de Barthel) e o estado mental dos idosos (MEEM Exame do Estado Mental). Foi realizada a analise descritiva, e os testes de Qui-quadrado e teste U de Mann-Whitney. O nível de significância foi de 5%. Resultados: A idade média dos idosos atendidos pelo setor privado é de 71,1 anos e dos idosos atendidos pelo setor público é de 72,3 anos, mostrando homogeneidade em relação à idade. Diferiam em relação a renda e escolaridade(maiores no setor privado). O anti-hipertensivo foi o medicamento mais utilizado em ambos os grupos, especialmente no setor privado 84% e 64,2% no público. A hipertensão e a depressão foi relatada por 84,9% e 25,2% respectivamente dos usuários do setor privado. Destes 40,8% possuíam cuidador, e mais de 30,6% dos cuidadores eram remunerados. Os idosos atendidos no setor privado relataram uma pior qualidade de sono (81,7%) que os do setor público (65%). Em relação a independência funcional, os grupos em sua maioria apresentaram-se independentes para as AVDs. Não houve relação significativa entre a má qualidade do sono e sua interferência nas atividades de vida diária do idoso. Observou-se uma associação entre o acesso ao serviço privado e um maior número de comorbidades, o que pode estar relacionado a maior facilidade de assistência médica especializada e de forma mais precoce neste grupo. Conclusão: A qualidade do sono constitui-se em um importante fator para a saúde e o bem estar geral dos idosos Os achados deste estudo podem subsidiar os profissionais na implementação de medidas para melhorar o sono do idoso e promover uma melhor qualidade de vida para esse indivíduos.

Understanding Utah's Native Plant Market: Coordinating Public and Private Interest

Changes in Lone Peak Conservation Nursery customer profiles cause state nursery leaders to question what their products are being used for and how trends in native plant use are changing the market for Utah native plants. The Utah native plant market is changing as interest in native plants is expanding to meet new conservation objectives, oftentimes in urban settings. This newer demand for native plants appears to be motivated by current changes in urban conservation behavior, continued population growth in the arid West, scarcity of water resources, the increasing appreciation for indigenous plant aesthetics, and concern for bio-diversity. A survey of2001 American Society of Landscape Architecture (ASLA) Utah Chapter members sponsored by Lone Peak Conservation Nursery, a state-mandated nursery for the supply of conservation plants to Utah, conveys landscape professionals' philosophical base for native plant choice, experience of native plant use, information needs, desired products and services, and general perception of native plant market and demand in Utah. Landscape architects at the forefront of these trends and the profession have the opportunity to be even more actively engaged in integrating native plant use across the wild land to urban landscape spectrum while collaborating with other industry leaders. Authors report on the significant findings from the Lone Peak ConservationNursery Native Plant Study to explain the complexity of native plant supply and demand in changing Utah markets. Increase in urban water conservation and aesthetic use of native plants and seeming instability in traditional restoration markets force local growers to face challenging decisions about plant production and business strategies. Business-driven decisions of suppliers may affect the availability of source-identified native plant products, and raises the question, "How native is native?" Current dilemmas in the Utah native plant market are identified as market pressures tend to generalize an ecologically specialized natural resource product. Continued research and industry collaboration is needed to better connect supply and demand to better balance the needs of private and public sector market actors sharing native plant resources.
