Optimización de parámetros de tronadura en función de explosivos de alta energía en sociedad contractual minera El Alba

Ingeniero Civil de Minas / Dentro del proceso minero, se tiene que los costos operacionales alcanzan una relevancia significativa, por lo tanto, para reducir estos costos primero se deben visualizar los procesos involucrados a ellos. Se tiene que los procesos de perforación y tronadura son las primeras operaciones unitarias que resultan del diagrama de flujos en la extracción del material, implicando que un buen comienzo podría generar mejoras en los procesos posteriores. En consecuencia, el presente trabajo busca encontrar la rentabilidad técnico-económica de aplicar explosivos de alta energía en la tronadura mediante análisis de fragmentación, análisis de pérdidas por cargas redireccionadas por fragmentación gruesa, costos y rendimiento de chancador, con el objetivo de optimizar la operación mediante la reducción de costos y granulometría con el propósito de estandarizar la tronadura en un sector particular de la minera. Se comienza con un análisis granulométrico tanto de propuestas simuladas como de pruebas en terreno mediante los software Split Desktop y Online, luego, a las distintas pruebas se les realiza análisis técnico-económico a partir de los distintos parámetros y configuraciones impuestas en cuanto a los diseños de la malla de tronadura y carguío de la malla, y en conjunto analizar la manera en que afectan al chancado en temas energéticos. De los resultados obtenidos, se tiene que utilizando un explosivo de alta energía se logra un proceso exitoso en términos de optimización, ya que logra reducir la granulometría (P80), sin embargo, los costos del proceso de perforación y tronadura aumentan. Esto último se vé compensado en el flujo de caja, ya que se obtienen resultados más favorables en cuanto a las pérdidas por cargas redireccionadas por fragmentación gruesa las cuales se redujeron en sobremanera con la utilización del explosivo de alta energía, obteniéndose un balance global positivo en cuanto al uso de esta nueva alternativa. Estas nuevas medidas incrementan la rentabilidad del proceso total de minería, ya que se traducen en beneficios posteriores a la tronadura en sí, logrando cumplir con los objetivos impuestos en un comienzo, por lo que la utilización de explosivos de alta energía contribuye en gran manera a mejorar la fragmentación y el rendimiento del chancador, y en consecuencia hacer rentable el negocio desde una visión global.

Les sanctions contractuelles en droit administratif / Remedies in administratives contracts law

Les sanctions de l’inexécution des contrats administratifs constituent un thème classique mais peu traité du droit administratif. Elles méritaient une étude globale renouvelée. Les principales sanctions applicables en cas d’inexécution ou d’exécution fautive de ces contrats existent en effet au moins depuis la première moitié du XXème siècle. Les présentations théoriques qui en sont faites remontent également à cette période et ont peu changé, même si certaines évolutions importantes du droit positif sont intervenues. Cette stabilité de la discipline cache pourtant une réelle complexité qui se décèle dès l’analyse de la notion-même de « sanction contractuelle ». En effet, les mesures auxquelles cette notion renvoie connaissent une pluralité d’objets (résiliation, exécution autoritaire des obligations, dommages-intérêts, pénalités…) et de fonctions (prévenir, réparer, punir…) bien distincts, les uns des autres. En cherchant a priori à éviter l’inexécution et a posteriori, à la surmonter, les sanctions contractuelles apparaissent à la fois comme des mesures préventives qui peuvent s’apparenter à de véritables mesures de police du service public et à des punitions intervenant dans un cadre répressif et disciplinaire particulier, caractéristique d’un ordre contractuel autonome. La complexité et le particularisme du droit des sanctions contractuelles résulte aussi de l’aspérité de leurs régimes auxquels le droit positif et la doctrine peinent à trouver une cohérence globale. Construits isolément, ces régimes ne résultent en effet d’aucune logique commune et unitaire. Pour autant, un certain nombre de règles applicables à toutes les sanctions peut être repéré, en même temps qu’une tendance progressive à l’harmonisation. A ce jour, la substance qui constitue le droit des sanctions contractuelles apparait ainsi suffisamment homogène pour permettre la consécration d’une catégorie juridique de nature à aboutir à l’application d’un régime cohérent. Au-delà des aspects théoriques de la question, une telle consécration pourrait s’accompagner de certaines évolutions de droit positif dont l’ensemble serait de nature à offrir une lisibilité de la matière et à accroitre la sécurité juridique qui paraissent aujourd’hui indispensables à la pratique et aux acteurs des contrats administratifs. / The sanctions of non-performance of administrative contracts are a classic but little-discussed theme of administrative law. They deserved a renewed global study. The main penalties applicable in the event of non-fulfillment or faulty execution of these contracts exist at least since the first half of the twentieth century. The theoretical presentations made there also date back to that period and have changed little, although some important developments in positive law have taken place. However, this stability of discipline hides a real complexity which can be discerned from the analysis of the notion of "contractual sanction". Indeed, the measures to which this notion refers are subject to a multiplicity of objects (termination, authoritarian execution of obligations, damages, penalties ...) and functions (prevention, repair, punishment ...) distinct from one another. By trying a priori to avoid non-performance and a posteriori, to overcome it, contractual sanctions appear both as preventive measures which may amount to genuine public service police measures and punishments in a framework repression and discipline, characteristic of an autonomous contractual order. The complexity and particularity of the contractual sanctions law also results from the asperity of their juridical regimes to which the positive law and the doctrine struggle to find a global coherence. Constructed in isolation, these regimes don’t result from any common and unitary logic. However, a number of rules applicable to all sanctions can be identified, along with a gradual trend towards harmonization. The substance which constitutes the contractual penalties law thus appears to be sufficiently homogeneous to enable the recognition of a legal category able to leading the application of a coherent regime. Beyond the theoretical aspects of the question, such a consecration could be accompanied by certain evolutions of positive law, the whole of which would be such as to offer a readability of the matter and to increase the legal certainty which now seem indispensable to the practice and the actors of the administrative contracts.

Non-contractual obligations with cross-border elements Non-contractual obligations form a specific part of the law of obligations. Non- contractual obligations are characterized by the fact that the respective parties enter them involuntarily and without a clear understanding of their legal regulation. In cases where the respective legal relationship contains a cross-border element, this lack of understanding is even deeper. The subject of this thesis are non-contractual obligations with a cross-border element and their regulation in private international law. The three fundamental questions of private international law are addressed: namely the issue of international jurisdiction, applicable law, and recognition and enforcement of foreign judgements. The current legal regulation of non-contractual obligations with a cross-border elements is contained in a number of legal resources - from international treaties and EU legislation to autonomous national law. This study will follow the development of the rules pertaining to apportionment of damages, with particular emphasis on the Apportionment of Damages Act 34 of 1956 (‘the Act”) and its applicability to contractual claims. It furthermore delves into the current legal position in England, Australia and New Zealand. In Thoroughbred Breeders Association v Price Waterhouse 1999 (4) SA 968 (W), the Court decided that the Act was applicable to contractual claims and apportioned the damages payable by the defendant to the plaintiff. However, the matter was taken on appeal with the decision of the Court a Quo overturned. It will be argued that, although the reasoning at first glance seems sound, upon closer examination, the application of the Act need not be limited solely to delictual claims. Memoria (licenciado en ciencias jurídicas y sociales) / La compensación del daño moral remite a elementos fundamentales que configuran cualquier sistema de responsabilidad, después de superar la discusión sobre su eventual procedencia, nuestra jurisprudencia laboral ha iniciado una decidida inclusión de la compensación de este daño con ocasión del término de la relación laboral por despido abusivo. Este proceso, que se encuentra hoy en día en pleno desarrollo, no ha estado exento de dificultades, ya que aún no es claro el perfil normativo mediante el cual está operando la resarcibilidad/compensación de los perjuicios morales. Bajo argumentos muy difusos nuestros tribunales lo incluyen por ahora como un daño de carácter extracontractual, el que por definición es exorbitante al contrato de trabajo. Este criterio de procedencia ha distorsionado todos los elementos que componen la fisonomía de la responsabilidad y ha terminado por configurar a la compensación del daño moral en una especie de sanción penal. Esta investigación, de modo crítico, propone la sede contractual del daño moral al término de la relación laboral, como aquella forma específica que permite enriquecer el contenido del contrato de trabajo y de paso corregir las distorsiones en las que ha incurrido la jurisprudencia nacional.

L’objectif de cette thèse est de développer des modèles quantitatifs utilisant les options réelles pour une évaluation financière des choix stratégiques entrepreneuriaux. Cependant, il ne s’agit pas seulement de développer des aspects techniques (ou manipulations mathématiques). Les modèles proposés dans la thèse visent également à fournir des informations pratiques utiles à la fois aux entrepreneurs et aux investisseurs, afin de faciliter la prise de décision dans les négociations contractuelles pour le financement et l'investissement dans les start-ups et les firmes entrepreneuriales.Cette thèse se compose de deux parties. La première partie définit les concepts utilisés afférents à la question de recherche. L’adoption de la perspective proposée par la finance entrepreneuriale nous permet de centrer notre approche sur la négociation et une relation d'égalité entre les participants dans le processus de prise de décision, alors que la finance d’entreprise traditionnelle s’intéresse à la relation principal-agent. En effet, les méthodes généralement utilisées comme les cash-flows actualisés (DCF) ou le Taux de Rendement Interne (TRI) ne sont pas adéquates pour effectuer une évaluation financière dans un contexte entrepreneurial. Ainsi, la problématique de cette thèse peut être formulée de la manière suivante : Comment les choix stratégiques des start-ups et firmes entrepreneuriales devraient-ils être évalués dans le cadre des négociations contractuelles ?Afin de traiter cette problématique, trois problèmes particuliers seront exposés dans la deuxième partie. Nous proposerons de les étudier à partir de l’approche par les options réelles qui convient parfaitement à l'analyse des choix stratégiques dans un contexte de finance entrepreneuriale.Le premier article analyse l’évaluation d’un contrat de licence dans le secteur biopharmaceutique. En résumé, lors de la conclusion d’un contrat de licence, les dirigeants et les responsables de la négociation doivent prendre en compte de nombreux facteurs tels que la phase de développement, la prévision des coûts d'investissement et la volatilité des marchés. De plus, la prise en compte des interactions comportementales des deux parties lors de la négociation du contrat de licence est essentielle pour la construction d'un modèle de simulation, notamment en ce qui concerne l’interaction dynamique entre le donneur de licence et le preneur de licence.Le deuxième article s’intéresse à la question de la dilution pour les nouveaux actionnaires lors du deuxième tour de financement en présence de détenteurs d’obligations convertibles. Selon les résultats de la simulation, il est possible de vérifier que le taux de « discount » et le « valuation cap » ont un impact important sur le coût de la prise de décision en matière d’investissement en actions. Les résultats montrent également que plus le taux de discount est élevé et moins le valuation cap est important, plus les coûts sont élevés, et la probabilité de succès de la négociation devient donc faible. Par conséquent, l’entrepreneur doit en tenir compte lorsqu’il entre en négociation lors du deuxième tour de financement.Le troisième article aborde le choix d’une stratégie de sortie pour un entrepreneur (acquisition ou introduction en bourse) notamment « The IPO valuation premium puzzle » proposé par Bayar et Chemmanur (2011). Bien qu'il soit normal que l’entrepreneur et les investisseurs en capital-risque envisagent l’introduction en bourse, il est également possible qu'ils choisissent l'acquisition comme stratégie de sortie. En utilisant la théorie des jeux, ce phénomène contradictoire peut être expliqué par l’existence de deux équilibres de Nash. En complément de la gestion des risques afférents au marché, l’entrepreneur doit prêter attention à la relation avec le capital-risqueur lorsqu’il choisit la stratégie de sortie. / The objective of this dissertation is to develop the quantitative models that adopt the real options analysis for financially evaluating the entrepreneurial strategic choices. However, it does not only focus on the technical aspects (or its mathematical methodologies). The models proposed in the dissertation aim to provide the practically useful information in order for both entrepreneurs and investors to make decisions in the contractual negotiation of financing and investing in the start-ups and ventures.This dissertation consists of two parts. The first part gives the definitions of the essential concepts that shall be incorporated into the research question. Adopting the perspectives that are provided in entrepreneurial finance leads us to focus on the fair negotiations among participants in the process of decision-making, while the traditional corporate finance emphasises the principal-agent problem. Actually, the common methods, such as Discounted Cash-Flows and Internal Rate of Return, are not always suitable for implementing financial valuations in the context of entrepreneurial finance. Therefore, the research question of this dissertation can be set as follows: How should strategic choices in contract negotiation be financially evaluated?In order to deal with this problem, three particular issues are introduced in the second part. The real options analysis is utilised in all of the three issues, which is quite suitable for analysing them.The first article deals with the issue of licensing contract with bio-pharma venture. In summary, when closing a licensing contract negotiation, those in charge of the negotiation must consider many factors, such as the phases of R&D, the investment costs and the market volatility. In addition to those, the interaction of the participants of the contractual negotiation should be taken into account. For modelling this relationship, the assumption of dynamic interaction between licensor and licensee is introduced.The second article focuses on the dilution problem in the second financing round under the existence of convertible note holders. According to the simulation results, “discount” and “valuation cap” have a great impact on the equity decision-making cost. The results also show that the costs increase when the degree of discount becomes greater and the valuation cap becomes smaller. This may jeopardize the success of negotiation. Entrepreneurs should take these factors into consideration in the second financing round.The third article analyses the exit choice (acquisition or IPO), especially the “IPO valuation premium puzzle” proposed by Bayar et Chemmanur (2011). While entrepreneurs and venture capitalists prefer an IPO, acquisition can be chosen. Utilising the game theory, this contradictory phenomenon can be explained as the two Nash equilibria. In addition to financial market risks, entrepreneurs should pay attention to the relationship with venture capitalists, when they choose the exit strategy.
