保險法開放銀行兼業保險代理人或保險經紀人業務之影響與因應 / The impacts and responses of bancassurance internalization

目前銀行若欲販售保險商品,除金控公司可利用金控法共同行銷之規範跨售保險商品外,其餘非金控之公司僅能透過轉投資保險經紀人或代理人公司販售保險商品。然於方式下卻衍生出銀行將責任丟予保經代公司或保險公司處理,而不需直接負擔銷售疏失責任之問題。有鑑於此,2015年2月4日行政院修正公布《保險法》草案,開放銀行得以透過成立保險部門之方式辦理「保代、保經」業務,以期解決市場上長久以來之權責不符問題。 因此本文將藉由深度訪談與文獻探討之方式,就此次修法(保經代部門化)對銀行保險市場各關鍵角色所造成之影響與衝擊做一深入研究。並了解主管機關對於此次修法所為之相關因應措施與對法律條文中有疑義之處做一探討。 最後本文得出之結論如下。關於對銀行保險各方之影響為:一、對於銀行而言影響有利有弊,最大之好處為所得稅之減少與解決個資法規範問題,另一方面其所需負擔之責任將大幅增加,故於此情形下,銀行大多處於觀望態度。二、對保險代理人與經紀人公司而言,設部將造成其人事上等衝擊,故對其為百害而無一利。三、對保險公司而言,雖然設部可能使其提供之商品更趨於儲蓄型商品,但卻擁有降低交易成本之好處,因此整體評估仍是利大於弊。四、對消費者而言最大之好處為增加於銀行保險消費中所受之保障。五、對監理官而言,則需注意後續之監理議題。六、對金控公司而言可能產生銀行外子公司之理專無處登錄之問題。七、對公營銀行而言將可能因整併較不易而產生設部困難之情形。 對於後續因應與監理議題之結論為:一、主管機關應併同修改《銀行法》、《銀行、保險公司、保險代理人或保險經紀人合作推廣或共同行銷企約書範本》等相關法條較為妥當。二、對於保經代設部應採行雙軌制亦或是單軌制之部分,本文主張主管機關應採行雙軌制或有條件之雙軌制。三、關於設部後應設立保經部亦或是保代部,本文則認為由於保經代各有其優缺點,實難一言以蔽之,故應交由市場自行決定,唯可建議若銀行設部時沒有保險兄弟公司者,應設立保險經紀人部門較為合適,反之,若有保險兄弟公司者,則設立保險代理人部門較為合適。四、關於組織架構則建議應將保經代部門與財富管理部設立平行部門,以防保險之地位趨於傭收。

Structures, toxicity and internalization of cell-penetrating peptides

Cellular internalization is a highly regulated process controlled by proteins in the plasma membrane. Large and hydrophilic compounds, in particular, face difficulties conquering the plasma membrane barrier in order to gain access to intracellular environment. This puts serious constrains on the drug industry since many drugs are hydrophilic. Several methods aiming at aiding the cellular internalization of otherwise impermeable compounds have therefore been developed. One such class, so-called cell-penetrating peptides (CPPs), emerged around twenty years ago. This group constitutes hundreds of peptides that have shown a remarkable ability in translocating diverse molecules, ranging from small molecules to large proteins, over the cell membrane. The internalization mechanism of CPPs has been questioned ever since the first peptides were discovered. Initially, the consensus in the field was direct translocation but endocytosis has gradually gained ground. The confusion and the disunity within this research field through the years proceeds from divergent results between research groups that hamper comparison of the peptides. This thesis aims at characterizing several well-established CPPs with comprehensive studies on cellular toxicity, secondary structure and cellular internalization kinetics. The results demonstrate that CPPs act in general in a low or non-toxic way, but the apparent toxicity is both peptide- and cell line-dependent. Structural studies show that the CPPs have a diverse polymorphic behavior ranging from random coil to structured β-sheet or α-helix, depending on the environment. The ability to change secondary structure could be the key to the internalization property of the CPPs. Internalization kinetic studies of CPP conjugates reveal two sorts of internalization profiles, either fast curves that cease in few minutes or slow curves that peak in tens of minutes. Furthermore, improved synthesis of CPP conjugates is demonstrated. In conclusion, the studies in this thesis provide useful information about cytotoxicity and structural diversity of CPPs, and emphasize the importance of kinetic measurements over end-point studies in order to give better insights into the internalization mechanisms of CPPs. / <p>At the time of the doctoral defense, the following paper was unpublished and had a status as follows: Paper 4: Submitted.</p>

Critical knowledge management factors and organizational performance : an investigation of Chinese hi-tech enterprises

This study sets out to explore the critical factors of knowledge management (KM) that impact on the organizational performance of Chinese enterprises. It attempts to investigate the relationships among KM factors including KM strategy, KM enablers (Organizational culture, Organization structure, People, and Technology), KM processes, and organizational performance. The conceptual framework of knowledge management guiding this research is developed from prior research (Alavi, 1997; Davenport, 1999; Lam, 2000; Leonard-Barton, 1995; Nonaka and Takeuchi, 1995; Ramireza nd Dickenson, 2006; Zack, 1999). Previous KM research in the Chinese context has focused on the use of object-perspective measures such as number of created ideas or patents. There appears to be a relative neglect of the relationships between those KM factors. This research focused on exploring the relationships between those KM factors and investigating how they impact on organizational performance in the context of an emerging economy - China. This research adopted the mixed-methods (Creswell, 2003) methodological approach, which involved the use of qualitative and quantitative methods in addressing the research questions raised in this study. The results of this research suggest that organizational culture variables are found to be essential for knowledge creation. In particular, trust is a significant predictor of all knowledge creation processes. The findings of this study confirm that enterprises will be able to obtain strategic benefits of KM through effective knowledge creation processes. The research findings also imply that companies should align their knowledge strategies along with knowledge creation processes. The key to understanding KM in the Chinese context is recognizing the networking nature of the Chinese society which operates on the basis of "Guanxi". In Chinese enterprises, the socialization and externalization elements are remarkably similar to the Japanese situation that Nonaka and Takeuchi (1995) described, as the Chinese are highly networked, hold tacit knowledge within these networks and are prepared to make this knowledge explicit only within the context of these pre-existing relationships. The departmental focus of Chinese enterprises mean that the combination of tacit knowledge is not straightforward, while learning-by-doing is important to sustain their development. The research also indicates that internalization is also problematic in Chinese enterprises because of individuals' fear of admitting mistakes. The implication of the findings for knowledge management and research is discussed.

The Unique Experiences of Body Dissatisfaction in Males: Accurate Assessment and Outcomes

abstract: The relations among internalization of the U.S. sociocultural standard of the ideal male body image, male body dissatisfaction, and behavioral and psychological outcomes of male body dissatisfaction were examined in a sample of 215 ethnically diverse male college students. Concerns regarding accurate assessment of male body dissatisfaction were addressed. Structural equation modeling was utilized to identify the relations among the internalization of the sociocultural ideal male body image, male body dissatisfaction (as measured by the Male Body Attitudes Scale, MBAS; Tylka, Bergeron, & Schwartz, 2005), and behavioral and psychological outcomes. Results demonstrated that internalization of specific aspects of the ideal male body (lean and muscular) predicted corresponding components of male body dissatisfaction (lean and muscular). Further, each component of male body dissatisfaction was related to distinct behavioral and psychological outcomes. Attention desserves to the interest of the federal government to expand the campuses to municipalities that include Local Productive Arrangements (APLs ). Given this, it realizes that there is an important intersection between the policies of expansion of public higher education with the encouragement of the Local Productive Arrangements. More recent studies on clusters proposes to carry out its investigation in the light of a systemic language of Arrangement and Local Productive and Innovative System, which emphasize innovation and interactive learning as factors of economic efficiency and source of sustained competitiveness of clusters. The assumptions of the study consider the University one of the actors who play important contribution to learning and innovation in APL. Thus, this dissertation proposes to analyze the contributions of the implementation of the Academic Campus in Garanhuns (UAG/UFRPE) for the processes of learning and innovation on milk and derivatives APL of Garanhuns, from the theoretical concept developed by RedeSist on Arrangements and Production Systems and innovative Places, which is based on neoschumpeteriana approach of the innovation system. To conduct this research was used the observational method, applied scripts of semi-structured interviews with the actors involved and resorted to literature searches and analysis of official documents available by agencies and federal, state and municipal institutions. The data collected in this study reveals the shortcomings of UAG/UFRPE, as their role in teaching, research and extension, for an even more effective role of the University in order to be an important base of support in the learning and innovation process in milk and derivatives APL of Garanhuns. / Um fato marcante na política educacional brasileira da última década é a atuação mais ativa do Estado com a expansão e a interiorização das Universidades Federais. Merece atenção o interesse do governo federal de expandir os campi para os municípios que contemplem Arranjos Produtivos Locais (APLs). Diante disto, percebe-se que há uma importante interseção entre a política de expansão da educação superior pública com as de incentivo a Arranjos Produtivos Locais. Estudos mais recentes sobre arranjos produtivos propõem realizar sua investigação à luz de uma linguagem sistêmica de Arranjo e Sistema Produtivo e Inovativo Local, em que enfatizam a inovação e o aprendizado interativo como fatores de eficiência econômica e fonte de competitividade sustentada dos APLs. Os pressupostos do estudo consideram a universidade um dos atores que desempenham importante aporte para a aprendizagem e inovação no APL. Assim, esta dissertação propôs analisar as contribuições da implantação da Unidade Acadêmica de Garanhuns (UAG/UFRPE) para os processos de aprendizagem e inovação do APL de Leite e Derivados de Garanhuns, a partir do conceito teórico desenvolvido pela RedeSist sobre Arranjos e Sistemas Produtivos e Inovativos Locais, que baseia-se na abordagem neoschumpeteriana de sistema de inovação. Para proceder esta pesquisa foi utilizado o método observacional, aplicou-se roteiros de entrevistas semi-estruturadas com os atores envolvidos e recorreu a pesquisas bibliográficas e análise de documentos oficiais disponibilizados por órgãos e instituições federais, estadual e municipal. Os dados coletados no presente estudo revelam as lacunas existentes da UAG/UFRPE, quanto a seu papel no ensino, pesquisa e extensão, para uma atuação ainda mais eficaz da Universidade, de modo a ser uma importante base de apoio no processo de aprendizagem e inovação no APL de Leite e Derivados de Garanhuns.

Para isso fez-se necessário: identificar, no arcabouço teórico sobre o papel da universidade e a forma como esta se relaciona com o meio, as diversas concepções e diretrizes sobre a extensão universitária; identificar as práticas da gestão de extensão adotadas localmente, especialmente aquelas direcionadas à aproximação com a comunidade externa à universidade; apresentar as características da produção extensionista do Campus do Agreste da UFPE no período de 2006 a 2014, especificamente no tocante a dimensão relação universidade-sociedade; e identificar o delineamento da produção extensionista do CAA/UFPE em relação às diretrizes estabelecidas pelo Plano Nacional de Extensão Universitária, da qual a UFPE é signatária, mostrando as discrepâncias e congruências existentes no que de fato é realizado pela unidade acadêmica. Partindo de uma abordagem quantitativa de caráter exploratório descritivo, que buscou apresentar o cenário da extensão universitária no CAA/UFPE, fundamentada em pesquisa bibliográfica e documental, concluiu-se que a extensão universitária no Centro Acadêmico é empreendida prioritariamente dentro da concepção tradicional, com o predomínio de ações eventuais, sem vínculo consolidado com a sociedade. A relação estabelece-se em sua maioria como via de mão única, com a universidade levando o conhecimento pronto à comunidade, por meio de transmissão unilateral do conhecimento, especialmente no que diz respeito ao protagonismo dos atores externos a instituição nas ações. / Considering the role of the university as a social institution, and its relevance to the socio-economic development of a city, through their teaching, research and extension; still considering the articulator character that takes the current extension, aimed at transforming relationship between university and society. This study aimed, based on outreach activities undertaken by the Centro Acadêmico do Agreste of the Universidade Federal de Pernambuco (CAA / UFPE) in the period 2006-2014, to investigate how has been taken in university extension for this Academic Center, under the perspective of the coordinators of the shares. For this it was necessary to: identify the theoretical framework on the role of the university and how it relates to the environment, the various concepts and guidelines on university extension; identify the practices of locally adopted extension management, especially those aimed at rapprochement with the community outside the university; present the extension of the production characteristics of the UFPE Agreste Campus in the period 2006-2014, specifically regarding the size university-society relationship; and identify the design of the extension of the production CAA / UFPE in relation to the guidelines of the National Plan of University Extension, which the UFPE is a signatory, showing the discrepancies and congruence in what is actually done by the academic unit. From a quantitative approach of descriptive exploratory nature, which sought to present the scenario of university extension in the CAA / UFPE, based on bibliographical and documentary research, it was concluded that the university extension in the Academic Center is undertaken primarily within the traditional design, with predominance of any shares without consolidated bond with society. The relationship is established mostly as one-way street, with the university bringing knowledge ready to community through unilateral transmission of knowledge, especially with regard to the role of external actors in the institution actions.
