Thesis (MBA (Business Management))--University of Stellenbosch, 2009. / ENGLISH ABSTRACT: The King II Report on Corporate Governance reported that the 19th Century saw the foundations laid for modern corporations, this was the century of the entrepreneur. The 20th Century became the century of management and that the 21st Century promises to be a century of governance, as the focus swings to the legitimacy and the effectiveness of the wielding of power over corporate entities worldwide. South Africa has come a long way since the companies reform project was formally launched in 2004 when the Department of Trade and Industry published the guidelines for corporate law reform in South Africa. Most critics believe that the new Companies Act is long overdue and will contribute to South Africa’s economic growth and align us with international standards and practices. The aim of this research report is to educate directors and potential directors on the most significant changes brought by the new Act and the responsibilities and liabilities of directors as set out in The King II Report. / AFRIKAANSE OPSOMMING: Volgens die King II Report is die fondasie vir moderne korporasies gedurende die 19de eeu gelê – die eeu van die entrepreneur. Die 20ste eeu het die eeu van bestuur geword, terwyl die 21ste eeu beloof om ‘n eeu van beheer te wees soos wat die fokus verskuif na die geldigheid en die effektiewe beheer van mag oor korporatiewe entiteite wêreldwyd. Suid-Afrika het ‘n lang pad gestap sedert die Maatskappye-hervormingsprojek formeel geloods is in 2004 met publikasie van die Departement van Handel en Nywerheid se riglyne oor korporatiewe regshervorming in Suid-Afrika. Die nuwe Maatskappye wet is lankverwag en meeste kritici glo dat dit sal bydra tot ekonomiese groei in Suid-Afrika en Suid-Afrika in lyn sal plaas met internasionale standaarde en praktyke. Die doel van hierdie navorsingsverslag is om direkteure en potensiele direkteure in te lig omtrent die mees noemenswaardige veranderinge wat deur die nuwe Maatskappye wet daargestel sal word asook die verantwoordelikhede en aanspreeklikheid van direkteure soos uiteengesit in die King II Report.

CONFUSION WHERE GROUND AND SURFACE WATERS MEET: GILA RIVER GENERAL ADJUDICATION, ARIZONA AND THE SEARCH FOR SUBFLOW

Arizona is presently in the midst of a general adjudication for the Gila River system -- the watershed which comprises the southern two- thirds of the state. The purpose of the adjudication is to prioritize all water claims in the river system: both state -established and federally reserved rights. Arizona adheres to a bifurcated (or divided) system of water law which only recognizes a component of ground water -- called subflow -- to be appropriable. Wells which pump non-appropriable water -- called tributary flow -- are not to be included in the adjudication. The problem is that federal laws do not recognize this artificial bifurcation. The challenge lies in identifying a subflow zone which satisfies the hydrologic fiction of existing state precedents and the hydrologic reality of federal statutes. At the core of the problem lies the fate of Arizona's perennial stream water and the fulfillment of federally reserved tribal water rights. Thus, larger questions loom: can Arizona law reconcile its glutinous past with a water -scarce future, will the adjudication ever reach a finality, and even if it does, will it be a finality that all sides can live with?

Rights of the child seem, on the face of it, to undermine parental authority and family values. The impression is created that the state is abdicating its role as protector of the child in favour of unfettered freedom of the child. The delicate balance between individual freedom and family autonomy may in the result also be under threat. It was, therefore, necessary to extend the investigation to include the role of parents and that of the state. The study is divided into three parts. The first contains a theoretical analysis of the concept rights of the child. It is clear that the concept is a manifestation of fundamental human rights. The rights of the child are unique in nature and accommodate the changing phases of dependence and developing abilities of the child. Theoretical analysis negates the perception that the recognition of the rights of the child contributes to erosion of the family: the importance of the commitment of parents and of the state is apparent. The second part consists of a comprehensive review of the parent-child relationship in the South African private law, and an analysis of the public law dimension of the concept rights of the child. This part of the investigation demonstrates that parental authority is firmly rooted in legal history and that substantive private law does not recognise the child as bearer of rights within the context of the family. However, the Bill of Rights and the 1989 United Nations Convention on the Rights of the Child unequivocally give public law status to the child as bearer of rights. The study shows that the private and public law status of a child cannot be isolated from one another and that adaptations will have to be made to implement the rights of the child. In the third part of the study an attempt is made to identify the kind of adaptation that must be made. The impact of the idea of the rights of the child upon the parent-child relationship in private law is investigated. Australian and Scottish law are examples of legal systems which endeavour to implement fully the concept of the rights of the child. Indigenous law places a high value on human dignity. The interaction between rights and duties in indigenous systems reflect values which are inherent in the idea of the rights of the child. The study shows that the impact of the rights of the child on the parent-child relationship is such that change and adaptation of private law is necessary. Change and adaptation are required at both theoretical and practical level. A number of obstacles which may inhibit the process of change are identified. Finally, the kind of change and adaptation required is illustrated by a number of practical examples of the impact ofchange on the parent-child relationship. / AFRIKAANSE OPSOMMING: Daar word in hierdie proefskrif gepoog om te bepaal wat die effek van die erkenning van kinderregte op die ouer-kind verhouding in die privaatreg is. Prison inmates' socio-economic rights in South Africa : compatibility of domestic law with international norms and standards

This study critically analyses the protection and enforcement of inmates’ socio-economic rights in South Africa. For the purpose of this study inmates’ socio-economic rights include the right to adequate medical treatment, accommodation, nutrition and education. This analysis is informed by the fact that South African courts are struggling to interpret and enforce inmates’ socio-economic rights as required by the Constitution and international norms and standards. The objective of this study, therefore, is whether South Africa protects and enforces these rights as required by the Constitution and international norms and standards. In an attempt to resolve the problem, the methodology of this study relies on a legal methodology which focuses on a review of law books, journal articles, the constitutions, statutes, regulations and case law. The study concludes that South Africa protects and enforces these rights as required by the Constitution and complies with international norms and standards. However, the enforcement of these rights has to pay attention to the constitutional imperatives of interpreting the Bill of Rights. When interpreting inmates’ right to adequate medical treatment, it is imperative for the courts to unpack its content. The courts need to also promote the value of human dignity when determining whether overcrowding violates their right to adequate accommodation. The determination of whether their right to adequate nutrition has been violated should focus on whether inmates’ claim to cultural food is based on a sincere belief which could be objectively supported. Further, the Regulations should extend the right to cultural or religious food to all inmates. Lastly, it is the duty of the courts and the institutions of higher learning to ensure that inmates have access to the internet for study purpose. / Public, Constitutional, and International Law / LL. Can I Ask for Help? The Relationship among Incarcerated Males’ Sexual Orientation, Incarceration History, and Perceptions of Rape in Prison

In 2003, Congress passed the Prison Rape Elimination Act to address the problem of sexual violence in prison. Although research has shed light on the prevalence and incidence of sexual violence in U.S. prisons, few studies examine inmates’ perceptions of rape and safety from rape in prison. This study examined rape perceptions and the likelihood to seek mental health treatment in prison of three distinct groups of male inmates who are at greater risk of sexual victimization or exposure to sexual violence while incarcerated: gay and bisexual inmates, inmates with a juvenile incarceration history, and inmates who were first incarcerated in the adult criminal justice system during adolescence or emerging adulthood. This study examined the relationships between sexual orientation and inmates’ perceptions of the threat of rape and seeking of mental health treatment in prison. Data from 409 incarcerated men residing in 23 maximum security correctional institutions revealed that gay and bisexual inmates were significantly more likely than straight inmates to fear the threat of rape and to voluntarily request mental health treatment in prison. Incarcerated men with a history of childhood abuse were significantly more likely than inmates without an abuse history to fear the threat of rape. Having a history of childhood sexual abuse, identifying as black, and being incarcerated for longer than 18 years also significantly predicted increased likelihood to voluntarily request mental health treatment in prison. In order to do so, the analysis of the philosophical and juridical evolution of the concept of human dignity seeks to provide critical insights on the role played by international law in the face of the positivization of human rights and the philosophical basis of the dignity of the human person that permeates relations to defend the need to broaden the current scope of the concept of state sovereignty and, at the same time, limit its exercise, still based on an international society and its old paradigms. It is therefore proposed to establish a true international community, specifically with regard to refugees, to act in cooperation and with joint responsibility both in the reception of these people and in the search for and implementation of solutions of a global nature for this problem that affects the world as a whole. This sets the tone for the choice of theme and development of this research, since States, within the current international configuration, cannot be attributed the prerogative to evade this common responsibility under the claim of sovereignty. To that end, it is proposed to reformulate the conception of sovereignty of the State which, by adding the solid limit of respect for the dignity of the human person and establishing within the sphere of competence and responsibility of each State the first function of guardianship of human rights, has the necessary configuration that contemporaneity demands in the construction of the human person as an effective subject of law in the international scope / A presente pesquisa tem por escopo trazer uma reflexão acerca do atual alcance do conceito de soberania estatal frente ao Direito Internacional dos Refugiados e da possibilidade de se apontar para a expansão e renovação dos meios de proteção oferecidos pelo Direito Internacional como via necessária à salvaguarda da pessoa humana caracterizada por sua intrínseca dignidade, independentemente de seu Estado de origem ou nacionalidade. Para tanto, partindo da análise da evolução filosófica e jurídica do conceito de dignidade da pessoa humana, busca-se subsídios críticos acerca do papel desempenhado pelo Direito Internacional diante da positivação dos direitos humanos e da base filosófica da dignidade da pessoa humana que permeia as relações internacionais para se defender a necessidade de ampliar o atual alcance do conceito soberania estatal, e, concomitantemente, limitar o seu exercício, ainda baseado em uma sociedade internacional e seus antigos paradigmas. Propõem-se, assim, o estabelecimento de uma verdadeira comunidade internacional, especificamente no que diz respeito aos refugiados, a atuar em cooperação e com responsabilidade comum tanto no acolhimento dessas pessoas quanto na busca e efetivação de soluções de caráter global para essa problemática que afeta o mundo como um todo. Esta reflexão configura o mote para a escolha do tema e desenvolvimento desta pesquisa, uma vez que aos Estados, dentro da atual configuração internacional, não se pode atribuir a prerrogativa de se esvair dessa responsabilidade comum sob a alegação de exercício da soberania. Nesse intuito, propugna-se pela reformulação da concepção de soberania do Estado que, ao agregar o sólido limite do respeito à dignidade da pessoa humana e ao estabelecer dentro da esfera da competência e da responsabilidade de cada Estado a função primeira de tutela dos direitos humanos, passa a ter a necessária configuração que a contemporaneidade demanda na construção da pessoa humana como um efetivo sujeito de direito no âmbito internacional

The primary and secondary sources of information were obtained by the access of governmental institutions‟ portals. The theoretical presentation about formation and technology precedes the discussion of the research data. The research problem is related to the content of the official documents and the formation implemented in a technological higher education. The main hypothesis of this research departs from the assumption that the legislation and the official documents have an important role in the guidance to the courses preparation and students‟ training: the legislation for the technological higher education presents some contradictions which are inconsistent in relation to the general, vital and human formation. This research is grounded in education, formation, ideology, pseudo-formation, technological rationality, technology and technique. The results obtained from the documental analysis developed in this thesis indicate that the mentioned formation presents some problems related to the incoherence and inconsistency, with respect to the arguments used in the technological education, when the general, human and vital formation is overlooked as an indispensable element to the learners‟ development, regardless of their study level. In return, the justification in the official documents encloses recurrently and repeatedly some expressions related to technology, suggesting that education is summarized only to technology and technique / A presente pesquisa busca investigar a formação ensejada no âmbito do ensino superior tecnológico quanto à coerência e à consistência, tendo como fonte de informação a legislação educacional relativa à tecnologia. As fontes, a saber: a) primária – documentos oficiais (diretrizes, decretos e pareceres) editados pelo Ministério da Educação e Cultura (MEC) e outros órgãos públicos que orientam a formação de tecnólogos e estabelecem as normas para a criação dos cursos; b) secundária – resumos técnicos do Ministério da Educação e Cultura (MEC) / Instituto Nacional de Estudos e Pesquisas Educacionais Anísio Teixeira (INEP), as matrículas, os ingressantes e os concluintes dessa modalidade de curso, com o objetivo de caracterizar a movimentação da procura por essa modalidade de ensino. As fontes primárias e secundárias de informação foram obtidas por intermédio do acesso aos portais das instituições governamentais. A discussão desses dados, por sua vez, é precedida da apresentação teórica sobre a formação e a tecnologia. O problema de pesquisa está relacionado com o conteúdo dos documentos oficiais e com a formação desenvolvida no ensino superior tecnológico. Partindo da premissa que a legislação e os documentos oficiais têm um papel importante na orientação para elaboração dos cursos e na formação dos discentes, formulou-se a hipótese principal desta pesquisa: a legislação sobre o ensino superior tecnológico apresenta contradições, sendo inconsistente em relação à formação geral, crítica e humana. Os conceitos que fundamentam esta pesquisa, elaborados pela teoria crítica, são: educação; formação; ideologia; pseudoformação; racionalidade tecnológica; tecnologia e técnica. A partir da análise documental desenvolvida nesta tese, os resultados apontam que a referida formação apresenta problemas relacionados a incoerência e inconsistência no que refere aos argumentos utilizados para a educação tecnológica, ao desconsiderar a formação geral, humana e crítica como um elemento indispensável para a formação de seus alunos, independentemente do nível de ensino. Em contrapartida, as justificativas presentes nos documentos oficiais circundam de maneira recorrente e repetitiva expressões relacionadas à tecnologia, dando ideia de que a educação resume-se apenas à tecnologia e à técnica
