Lobbying na regulação contábil e qualidade da informação: evidências do setor petrolífero / The use of lobbying in accounting regulation and information quality: oil industry evidences

O presente trabalho teve como objetivo principal identificar os fatores determinantes à adoção de estratégias de lobbying sobre a regulação contábil do setor petrolífero, bem como avaliar a qualidade das informações contábeis das empresas desse setor. Para atender a esse objetivo, recorreu-se a três estudos direcionados para cada um dos seguintes aspectos: determinantes do lobbying e características dos grupos de interesses (estudo 1); estágio atual da qualidade da informação contábil do setor petrolífero (estudo 2) e evidências empíricas às questões do Discussion Paper Extractive Activities (estudo 3). Para operacionalizar os estudos, utilizaram-se as cartas comentários enviadas ao IASB e a base de dados da Evaluate Energy®, empregando-se diversas técnicas econométricas como regressão linear simples e múltipla, regressão logística binomial e multinomial e regressão de Poisson a diversos planos amostrais contendo informações de empresas petrolíferas. Os resultados indicam que o grupo de interesse formado pelos preparadores de demonstrações financeiras do setor petrolífero possui incentivos econômicos para realizar lobbying sobre determinada regulamentação contábil no sentido de defender seus interesses como prega a teoria da regulação econômica, notadamente quanto ao fator tamanho. Tal grupo de interesse, dentro do plano das escolhas contábeis, é favorável à utilização do custo histórico como base de valor e da possibilidade de escolha entre dois modelos contábeis concorrentes (successful efforts e full cost) e desfavoráveis às mudanças que levem ao aumento do nível de divulgação das informações. Suportando essa posição, tem-se a visão dos usuários primários das demonstrações financeiras que sugerem que as informações contábeis disponibilizadas pelas empresas petrolíferas são de qualidade, ao menos sob o prisma da relevância e conservadorismo, e indicam, ainda, que o atual conjunto de informações baseado no custo histórico é relevante para as suas decisões econômicas. Levando-se em consideração o grande apoio recebido pela proposta de ampliação das divulgações obrigatórias, aí incluída a proposta do Publish What You Pay, tem-se a rejeição por parte dos participantes do mercado de capitais indicando que os benefícios decorrentes da ampliação da divulgação não serão maiores do que os existentes, considerando as regras atuais. Em contraponto, tem-se a concepção de que a informação contábil produzida pelas empresas petrolíferas é inoportuna. Nesse particular, não se vislumbram alterações nessa constatação uma vez que a proposta de um novo modelo contábil de reconhecimento apresentada no DPEA se aproxima do método full cost, enquanto que as evidências do segundo estudo apontam para direção contrária ao sugerir que o método successful efforts gera informações mais oportunas do que o método concorrente. Assim, tem-se um cenário para se acreditar na manutenção do status quo vigente. / This paper aimed to identify the determining factors for the adoption of lobbying strategies regarding the accounting regulation of the oil sector, as well as to assess the quality of the accounting information of the companies from this sector. To meet these goals, three studies directed to each of the underlined aspects were used: determinants of the lobbying and characteristics of the interest groups (study 1); current status of the quality of accounting information from the oil sector (study 2) and empirical evidence for the questions of Discussion Paper Extractive Activities (study 3). To operationalize the studies, letters and comments sent to the IASB and the database of Evaluate Energy® were deployed, through the use of several econometric techniques such as simple and multiple linear regressions, binomial and multinomial logistic regression and Poisson regression in various sampling plans featuring information of the oil companies. The results indicate that the interest group formed by preparers of financial statements for the oil sector has economic incentives to undertake lobbying for an accounting regulation, in the sense of defending their interests according to the economic regulation theory, notably when size is taken into account. This interest group, within the plane of accounting choices, is in favor of using the historical cost as a basis of value and of the possibility of choice between two competitor accounting models (successful efforts and full cost) and unfavorable to the changes that lead to the increase of the disclosure level of the information. Supporting this position, there is the view of the primary users of financial statements that suggests that the accounting information provided by oil companies is valuable, at least from the perspective of relevance and conservatism, and indicates, yet, that the current group of information based on the historical cost is relevant to their economic decisions. Considering the huge support received by the proposal to expand the required disclosures, therein included the proposal of Publish What You Pay, there is rejection by the participants of the capital market indicating that the benefit resulting from the expansion of the disclosure shall not be greater than those already in existence, considering the current rules. In contrast, there is the view that the accounting information produced by oil companies is untimely. In this, particularly, alterations in this finding are not envisaged once the proposal of the new accounting model of recognition presented at DPEA approaches the full cost method, whereas evidence of the second study points to the opposite direction by suggesting that the successful efforts method generates more appropriate information than does the current method. Therefore, there is scenario to believe in the maintenance of the present status quo.

Este trabalho trata da análise das ações tomadas em relação às mudanças climáticas por quatro grandes empresas de petróleo escolhidas (BP - British Petroleum, Shell e Statoil), escolhidas devido às suas posições estratégicas nos mercados locais e internacionais, bem como pela Petrobras, de forma a se estabelecer uma análise comparativa entre essas empresas. Para tanto foram investigadas as questões científicas das mudanças climáticas, sem se esquecer de seus críticos, assim como a relação entre energia e mudanças climáticas segundo os cenários do Energy Information Administration - EIA (do governo dos EUA) para o ano de 2008. São analisados também os cenários de contextualização, baseados nos seguintes documentos: Energy Technology Perspectives 2008, da Agência Internacional de Energia (IEA), que reporta cenários de mitigação das emissões de gases de efeito estufa tendo como horizonte 2050; documentos de campanha dos então candidatos Barack Obama e Joe Binden, atualmente presidente e vice dos EUA, respectivamente; documentos da União Européia (Directives EU) e do governo da Califórnia (California Air Resources Board), Um quadro comparativo permite verificar e concluir se as ações das empresas de petróleo estão de acordo com os cenários previstos e quais ações devem ser tomadas pela Petrobras buscando um posicionamento em seu planejamento estratégico. Uma das principais contribuições deste trabalho está em posicionar as empresas estudadas diante das mudanças climáticas, respondendo a quatro perguntas fundamentais formuladas no início do estudo / Abstract: Only modest literature data are available on the connection between the performance of oil companies and the climate changes, although this connection is crucial when discussing the conditions for adaptation and mitigation to global warming changes. This investigation report deals with the analysis of the actions taken in relation to climate change by four major oil companies BP - British Petroleum, Shell and Statoil, selected due to their strategic positions in the local and international markets, and also by Petrobras, in order to establish a comparison among these companies. The scientific issues of climate changes are investigated herein, but not forgetting of its their critics, as well as the relationship between energy and climate change scenarios according to the Energy Information Administration - EIA (the U.S. government) for the year 2008. The contextual scenarios of this investigation are also analyzed based on the following documents: Energy Technology Perspectives 2008, the International Energy Agency (IEA), which reports emissions scenarios for mitigation of greenhouse gases with the horizon in 2050, documents the campaign of the candidates Barack Obama and Joe Binden, documents of the European Union (EU Directives) and the government of California (California Air Resources Board), A comparative table allows someone to verify and conclude if the actions taken by the oil companies are complying with the envisaged scenarios and what actions should be taken by Petrobras in order to seek a position in its strategic planning. An Empirical Analysis of Foreign Direct Investment in the Libyan Oil Industry

This study investigates the major factors that have restricted the flow of foreign direct investment (FDI) into the oil sector in Libya. The study focuses on the period from 2000 to 2009. This period is significant since, during this time Libya witnessed dramatic foreign and economic policy changes. The research objectives are: (1) To identify the determinants of foreign direct investment into Libya’s oil industry for the period 2000-2009; (2) To reveal the obstacles and barriers which hinder FDI in Libya’s oil industry; (3) To determine the extent that the Libyan Government FDI policy influenced FDI in Libya’s oil industry. The rationale for this thesis was driven by filling an empirical void of FDI studies on the oil industry in Libya and by the intention of providing practical insights for current and future Libyan governments. This study comprises of an analysis of the 30 multinational (MNCs) oil companies that are operating in the Libyan oil industry through questionnaire and interview data from executives employed by those MNCs, as well as data from ten Libyan senior government officials involved in the Libyan oil industry and/or FDI policies. The research has provided support for several of the determinants of FDI flows traditionally found in the literature. The survey and time series analysis further reveals that access to Libya’s proven oil and gas reserves was the singular most important determinate for influencing the MNCs to undertake FDI. Furthermore, the findings identified that Libyan government foreign policy had some impact on the MNCs decision to undertake FDI. The research findings with regards to the role played by environmental risk as a determinate of FDI, demonstrate that there is no significant relationship between overall levels of environmental risk and a country‘s performance in attracting FDI. Also, this research has identified a number of factors that are causing obstacles and challenges to the attractiveness of Libya as a location for foreign investment. It has revealed that MNCs are significantly dissatisfied by the stability of the public institutions and the lack of effective regulations in Libya.

Engaging with the Total oil corporation in Myanmar : the impact of dialogue as a tool for change towards greater conflict sensitivity

This thesis explores whether dialogue between a company and a non-profit organisation (NPO) can influence a company’s way of working towards being more conflict sensitive. As a case-study I analysed the dialogue between the French oil and gas company, Total S.A. (Total), and the US based NPO, CDA Collaborative Learning Projects (CDA) relating to the company’s operations in Myanmar/Burma. The objectives of the research were to ascertain if dialogue had a positive impact, and if so, what it was about the dialogue that enabled change, what was the process of change that could be observed and how embedded such change was. Drawing on post-modernism, systems thinking and complexity thinking, I have built on organisational change, conflict transformation, dialogue and cross-sector partnership literature to examine the role of dialogue as an enabler of change. While highlighting parallels in the discourses, I analyse the process and degree of change within the company through two conflict transformation models, one by Lederach (1997) and the other by Lederach, Neufeld and Culbertson (2007), which I feel best synthesise these parallels. The research is a longitudinal case-study (2002-2012), based on semi-structured interviews and document analysis. The study adds to the limited academic research on conflict sensitivity in general, and on the implications for a company’s way of working in particular. Although I find that within the business sector, the notion of conflict sensitivity is assumed in the wider concept of corporate social responsibility, noteworthy is the relevance of dialogue in change processes. Dialogue is an essential enabler as it sparks transformational levers also recognised in the literature reviewed. However it is not sufficient. The research illustrates that the dialogue between CDA and Total has played a critical role in facilitating a shift in the company’s way of working, with the contribution of other influences at play. As such, I draw attention to the complexity of the change process and discuss the current nature of the drivers of change within Total.

Stakeholder relationships in the Nigerian oil industry

The discovery of oil in commercial quantities in the Niger Delta region of Nigeria in the 1950s has brought with it both benefits and consequences, with the latter purported to have resulted in violence as well as the loss of lives and properties (Hummels, 1998; Eweje, 2007). This study examines the nature of the relationships existing between stakeholders in the industry and the understanding of the connections between these relationships and CSR in the industry. This resulted in the choice of Social Contract and Resource Dependence theories to be used in harmony as part of the theoretical base for this study, as a further expansion of Stakeholder theory. The Social Contract theory helps to bring out the place of agreement in the maintenance of these relationships between stakeholders, with the resources being crucial in the determination of the power balance. The study was a qualitative one that involved interviews and surveys amongst the different stakeholders that make up the industry (oil companies, host communities, NGOs, Experts). The data gathered was analysed using Thematic Discourse Analysis, with the aim of finding out how the words and phrases used by respondents gave an indication of their perceptions and actions in these relationships. This thesis results in the proposition of a Micro-System Perspective Model which asserts that different stakeholders start their relationships with each other with varying objectives that can only be achieved as outcomes, only if certain mechanisms are properly applied to these relationships. These mechanisms are resources, licences and agreements impact these relationships as reflected by the different features of these relationships. This model also emphasizes the separation of the government from the relationship between the oil companies and the host communities and as a result can carry out its roles in the industry without bias. Also, the relationships between stakeholders in the industry are deemed to be dynamic in nature, as influenced by the use of these mechanisms by the different stakeholders in their interaction with each other. The findings show that such dynamism is also caused by the management of these relationships through the CSR activities undertaken by the oil companies operating in the various parts of the region. As a result, CSR is viewed in the region as being a social obligation owed to the host communities by the oil companies. It is asserted that the definition and identification of stakeholders should not be based on their relationships with the firm (Freeman, 1984), but on their relationships with the industry and its resource which should be deemed the focal point. In line with this, the findings show that the salience of a stakeholder group is not just dependent upon their power, urgency and legitimacy alone as earlier purported by Mitchell et al (1997). On the contrary, these attributes together with the resources held by such stakeholders are crucial in deciding who controls these relationships between stakeholders. This study makes significant contributions to knowledge, especially in relation to the advancement of stakeholder debate and theory. It proposes that stakeholders should be identified not just based on their relationships with the firm but a consideration of their control of the resources deemed crucial by other stakeholders. Such a relationship with the industry and its resource is deemed crucial in determining stakeholder salience, thereby leading to the call for resources to be regarded as a stakeholder attribute in addition to urgency, power, legitimacy and proximity which is another contribution. The study also shows the different challenges and complexities of managing stakeholder relationships in the region that cause these relationships to be dynamic in nature. The proposal of a Micro System Perspective is another contribution as this has a direct implication for the Nigerian Oil industry and its impact on the different stakeholders involved in its operations.

Cette thèse traite de l'évolution du cadre organisationnel et institutionnel de l'industrie pétrolière russe durant la période 1992-2012. Son objectif est de caractériser et d'interpréter l'accroissement du rôle des compagnies pétrolières à capitaux majoritairement publics, Rosneft et Gazpromneft, dans les opérations de l'amont pétrolier qui est observé depuis le milieu des années 2000. Dans ce cadre théorique de la Nouvelle économie institutionnelle, notre thèse soutient que le rôle accru des compagnies pétrolières publiques russes marque le passage d'une structure de gouvernance pétrolière libérale à une structure de gouvernance pétrolière hybride. Cela doit être interprété comme la réponse faisable, de la part des autorités fédérales, à l'incohérence existant entre la structure de gouvernance pétrolière libérale définie au début du processus de transition et l'environnement institutionnel prévalant en Russie. / This PhD dissertation deals with the evolution of the institutional and organizational framework of the Russian oil indThis PhD dissertation deals with the evolution of the institutional and organizational framework of the Russian oil industry during the period 1992-2012. Its main objective is to characterize and reinterpret the increasing involvement of the national oil companies (NOCs), Rosneft and Gazpromneft, in the upstream activities observed since the middle of the 2000's. Relying on the New Institutional Economics framewrokd, we argue that the increasing involvement of the Russian NOCs can be characterized as a change from a liberal oil governance structure to a hybrid oil governance structure. We show that this organizational evolution must be interpreted as the feasible reform that can be implemented by the federal authorities for dealing with the incoherence between the liberal governance structure defined at the beginning of the transition process and the Russian institutional environment.

La Responsabilité Sociale des Entreprises (RSE) contemporaine au Nigériaest née de la crise des Ogonis dans les années 1990. Shell et d’autres compagniespétrolières, opérant dans le Delta du Niger, ont essayé de préserver leur réputation à lasuite de la crise, en se présentant comme des acteurs socialement sensibles. Depuis lors,la RSE est devenue une pratique et une politique courante dans les principaux secteurs del’activité économique nationale. Sa mise en oeuvre se traduit principalement par descontributions au développement local à travers la mise à disposition des infrastructuressocio-économiques de base. D'autres dimensions de la RSE ont été largement ignorées etrestent inappliquées. Pourtant, les entreprises, notamment les compagnies pétrolièresmultinationales, en reconnaissent d'autres aspects. Cette recherche examine donc lesraisons de cette disparité entre la conceptualisation et la mise en oeuvre de RSE dans lepays. Elle suggère que la RSE au Nigéria n’est pas seulement conditionnée par le cadrenormatif international et le contexte institutionnel local, mais aussi par les objectifs desacteurs impliqués. / The Ogoni crisis of the 1990s marked the debut of contemporary CorporateSocial Responsibility (CSR) in Nigeria. Shell and other oil companies operating in the NigerDelta tried to salvage their tarnished reputation in the wake of the crisis by presentingthemselves as socially responsive actors. Since then there has been a remarkableexpansion in CSR activities in the all key economic sectors of the country. These haveprincipally focused on contributing to local development through the provision of basicsocioeconomic infrastructures. Other dimensions of CSR have been largely ignored andremain unapplied. Yet enterprises, especially multinational oil companies, acknowledge thatthere are other aspects. This study examines the reasons for this disparity between theconceptualisation and the implementation of CSR in the country. This study suggests thatthe CSR is not only determined by contextual/institutional factors (local and international)but also by the objectives of actors involved.

I denna uppsats undersöks om världshändelser skapar abnorma effekter hos oljebolags aktiekurser och om dessa effekter ter sig olika beroende på företagens olika storlek. Undersökningen utförs med hjälp av en eventstudie som genomförs på sex oljebolag med tre världshändelser som utgångspunkt. De valda världshändelserna bestod av två naturkatastrofer och en större ekonomisk händelse. Företagen som valdes delades in i två grupper om tre företag, där ena gruppen innehöll de större företagen och den andra gruppen de mindre. Slutsatserna som har kunnat dras av undersökningen är att händelserna i två av de tre undersökta fallen orsakade signifikanta abnorma under- eller överavkastningar hos oljebolagens aktier vilket bevisar en viss ineffektivitet hos marknaden. Det generella utfallet var att den ekonomiska händelsen visade sig ha en större påverkan på aktiekurserna än de två naturkatastroferna hade. Samtidigt kunde det påvisas en större skillnad mellan de större och de mindre företagens aktiekursers reaktioner gällande den ekonomiska händelsen. Resultaten visade att de mindre företagen drabbades hårdare. / This essay examines whether world events create abnormal effects of oil companies stock prices and whether these effects appear different depending on the companies’ different sizes. The analysis is performed using an event study conducted in six oil companies with three world events as a starting point. The selected world events consisted of two natural disasters and a greater economic event. The companies selected were divided into two groups of three companies, in which one group contained the larger companies and the second group the smaller ones. The conclusion that has been drawn from the study is that the events in two of the three cases studied caused significant abnormal deficit or excess returns of oil companies’ shares, which proves certain inefficiency of the market. The general outcome was that the economic event turned out to have a greater impact on the firms’ stock prices than the two natural disasters had. It was possible to distinguish a significant difference between the stock prices reactions of the larger and smaller firms regarding the economic event. The result showed that the smaller companies were affected to a larger extent.
