Tomášova etika ctností z pohledu filosofie a psychologie / Thomas ethics of virtutis from the philosophical, theological and psychological point of wiev

The first part deals with the concept of virtue ethics in the view of Summa theologica. Its basis is acquired from classical philosophy of ancient scholars. Firstly, it is necessary to describe Plato's and Aristoteles systematical approach to virtues. Plato's approach is parallel with the concept of the state. Aristotle's has a system divided into rational and moral virtues, which is a small entanglement of this topic. The last systematical approach in ancient times takes Stoic's way with dualistic conception of realty and human inside, which is an approach with no ground. Thomas Aquinas continues the system of Plato's and Aristotle's and adds the theory of cardinal and supernatural virtues. The cardinal virtues are rooted in humans, through their habits, so the key question then being human's habits, disposition, and adequacy in connection with their nature. Subsequently, the virtues are an essential part of human nature or personality. The psychology deals with the topic of virtues in the context of personality psychology, especially, in the background of inner quality or traits. Recently, virtues in the psychology are still open to question and are a huge challenge.

Nos travaux, dans le prolongement de recherches envisageant l’harmonisation comptable internationale (IAS/IFRS) et la mise en place des indicateurs de Responsabilité Sociale de l’Entreprise (RSE) sous un angle processuel et « historico évolutif », tendent à s’en démarquer en recherchant les moyens d’analyser l’information issue du reporting financier (IAS/IFRS) et extra-financier (RSE) dispensée durant la période 2006-2010 par les sociétés cotées composant les indices boursiers français du CAC 40 et du SBF 120, d’une part, et allemands du DAX 30 et du DAX 100, d’autre part, et en substituant à une approche souvent inductive dans ce domaine une démarche hypothético-déductive. Ils mettent en regard, d’une part, les données recueillies et, d’autre part, les intérêts des actionnaires/investisseurs ainsi que de l’ensemble des parties prenantes de part et d’autre du Rhin, sur le fondement théorique de la théorie de l’agence et la théorie des parties prenantes. La méthode employée, à la fois quantitative et qualitative, vise d’abord à utiliser des outils de mesure se fondant sur des moyennes, médianes et analyses de régression combinant plusieurs variables exprimées pour l’essentiel sous la forme de ratios comptables et financiers (IAS/IFRS) ; cette mesure s’étend à un recensement de l’occurrence de mots dans les supports d’information extra-financière (rapports RSE et de développement durable). Puis à interroger les responsables administratifs et financiers en charge de l’application du référentiel IAS/IFRS ainsi que les responsables de la communication RSE et du développement durable des sociétés de notre panel, au moyen de questionnaires se fondant sur les outils de « logique floue ». Nous ne cherchons pas à mesurer l’incidence des normes IAS/IFRS et des indicateurs RSE ni sur la performance financière, ni en taux de retour sur la valeur boursière. Nous observons par nos résultats des nuances de perception des normes IAS/IFRS et des objectifs de RSE dans le reporting financier et extra-financier susceptibles d’être imputées à des facteurs socioculturels, et répondant à une gouvernance plus actionnariale en France qu’en Allemagne. / This study, in the extension of researches aimed at harmonising accounting internationally (IAS/IFRS) and implementing Corporate Social Responsibility (CSR) indicators from a processual and “historical evolutional” angle, tends to differ from them by focusing on the means to analyse the information issued from financial (IAS/IFRS) and extra-financial (CSR) reporting released during the 2006-2010 period by the listed companies which compose the French and German stock market indexes respectively CAC40/SBF120 and DAX30/DAX100, and replacing an oftentimes inductive approach in this field with a hypothetical and deductive process. It compares the collected data on the one hand, and the needs of shareholders/investors and third parties as a whole on the other hand, on either side of the Rhine, on the basis of the theoretical frame of the agency theory and the stakeholder theory.The method employed, which is both quantitative and qualitative, aims to do as follows. First use of tools for measuring based on averages, medians and regression studies combining many variables essentially expressed in the form of accounting and financial ratios (IAS/IFRS); this measure extends to the listing of words occurrence in the extra-financial information supports (CSR and sustainability reports). Then question the administrative and financial managers in charge of the application of the IAS/IFRS referential and the managers responsible for the CSR and sustainability communication within these companies we selected with reference to matrixes based on the “fuzzy logic” theory tools. We do not investigate the influence of IAS/IFRS standards/CSR indicators neither on financial performance nor in terms of expected return on the capital asset. We can observe that our results show nuances of perception of IAS/IFRS standards and CSR goals in the financial and extra-financial reporting that are likely to be attributed to socio-cultural factors, and reflecting a governance much more aimed at shareholders in France than in Germany.

Zásada opatrnosti ve světově uznávaných účetních systémech / Prudence principle in generally accepted accounting systems

This master's thesis is focused on a prudence principle under International Financial Reporting Standards (IFRS) a US Generally Accepted Accounting Principles (US GAAP) in accounting of a reporting unit. In the first part I described the prudence principle (conservatism principle) in the general way. In the second part of this thesis I introduced impairment testing, recognition of impairment of assets and reversal of previously recognized impairment of assets under IAS 36 Impairment of Assets. It is obviously focused on recoverable amount as a fair value less costs to sell and value in use, methods of the fair value valuation, computing value in use and identifying the appropriate discount rate to apply expected future cash flows. Third chapter of this master's thesis, named "Provisions under IAS 37", is dealing with relation between provisions and contingent liabilities, initial liability measurement and subsequent applying IAS 37. There are also stated disclosure requirements under IAS 37 (as well as under IAS 36). Within the scope of this part are in detail described Exposure Draft ED/2005 and Exposure Draft ED/2010/1 published from International Accounting Standard Board IASB in 2005 and 2010 as proposal to improvement of current version of standard IAS 37. This thesis is also focused on differences between accounting principles of prudence principle in IFRS and US GAAP. Finally, in the last chapter I analysed 15 annual reports of airlines companies in the world, which present their financial statements under IFRS. The results according to impairment of assets including goodwill, provisions and disclosures of contingent liabilities are presented in the charts. This master's thesis, named "Prudence principle in generally accepted accounting systems" is completed with practical insights and cases in each of chapters.

Dohledová činnost České národní banky / On Supervision of Financial Markets by Czech National Bank

1 Abstract This work deals with the performance of supervision over the financial market and the entities operating in the financial market. Part of the work is devoted to consumer protection in the financial market and compensation systems. Because of the fact that the Czech Republic became a member of the European Union in 2004, this work includes also legislation of regulation and supervision of this level, as this treatment significantly predetermines Czech adjustment. Following questions were examined as an example of protecting the interests of clients of supervised entities: - whether there are any tools to protect the client's interests at the level of supervised entities, - what kind of role the supervisory authority has or may have in relation between a supervised entity and its client, - how are the client's financial interests protected in the event of failure of the supervised entity and whether this protection is de lege lata sufficient. The theoretical part of the work briefly describes the institute of supervision, its assorting and forms. The authority of supervisor is discussed in the next part together with the regulations under which the supervision is conducted. 員工持股計畫是由財經律師Louis Kelso所創,在美國已行之多年,廣為美國企業所採。最早的員工持股計畫是一種為了和平地從資本家手中移轉資本給員工、縮減貧富差距的工具。為了使這個計畫可以持續有效地運作下去,立法者將員工持股計畫為退休金計畫的一種,使員工必須長期持有股票,直到退休。然而在實務運作上,員工持股信託經常被運用為防止敵意併購的工具。尤有甚者,某些公司內部人會利用員工持股計畫為自己取得大量資金、移轉投資風險,但仍可保留對於公司的控制力。這些行為都有可能對股東及員工造成不利的影響,但在現行法制下,只能仰賴司法者透過判決保護這些經濟及資訊上的弱勢族群。 在台灣,員工持股計畫雖然已廣為許多企業所採用,但是發展了將近20年,只能成為另一種員工持有股票的工具。員工擁有的股票數量並不足以使其在股東會上贏得一個受公司內部人重視的地位,也不足以倚賴這些股票作為退休金之用。這種規模上的差異是台美員工持股計畫最關鍵的不同點。小規模雖然使員工持股計畫帶來的優勢少了許多,但相對地也減低許多代理成本,至今未有員工持股計畫侵害大量員工利益的事件爆發。然而這不表示員工持股計畫在台灣就是個可以被忽略的問題,若能在未來建立一套有效率的立法制度,使員工持股計畫的規模擴大,員工將可因此享受到更多公司盈餘,並且使其退休生活受到保障。相對地,參考美國員工持股計畫的問題後,也可以預先設想未來可能發生的弊端,未雨綢繆。本文相信,一個有效率的員工持股計畫,可以實現解決貧富不均的理想。 / Employee stock ownership plan (ESOP) which is created by Louis Kelso is brought to practice for many years. Many enterprises use it as their retirement pension plan. The earliest employee stock ownership plan to transfer the capital frome capitalists to labors and reduce the disparity between the rich and the poor.In order to make the plan work out continueously and effectively, the legislator devise ESOP as a pension fund which makes employee own stock chronically until they retires. However, in practice, ESOP is usually exercised for preventing hostile takeover. Moreover, some company insiders may use ESOP TTO get a great deal of capital and transfer the investment risk, but still own the controlling power to their company. This behaviors will cause some harmful effects to the shareholders and the employees, but in the current legal system,the only one we can depend is the judge who can protect the minority in the economic and the information. ESOP is exercised by many enterprises in Taiwan. But after 20 years, it can only become one of the tools which assist employees to acquire company stocks.The number of shares which employees owns can’t make them have a posi-tion which let the company insiders take account in the shareholder committee and have enough amounts for their retirement pensions.This disparity in scale is the keypoint what is different between Tiwan and the U.S. ESOP. Althoygh small scale makes the adventage of ESOP decrease, it reduce lots of agency costs. To this day, there’re not any events which injure the interests of employees by ESOP. Never-theless, it doesn’t mean that ESOP in Taiwan is a issue which can be neglected. If we can establish an efficient legal system and extend the scale of ESOP, employees can obtain more company interests and have a security of their retirement life.In the opposite, after researching the problem of the U.S. ESOP, we can assume the culpably misconduct which will happen in the future and repair the house before it rains。I believe that a efficient ESOP can realize the ideal to solve the problem of uneven distribution of the wealth.
