Tendo como referência a governança corporativa e os pressupostos e propostas da teoria da agência, o estudo constrói uma revisão da relação empresa acionista-subsidiárias em diferentes pesquisas. / The purpose of this paper is to analyze the subsidiaries governance models within Brazil, aiming to identify the most adopted mechanisms, and also recognize the agency problems related to the holdings that can happen or be intensified due to some deviations in these models, affecting the business decisions. Based on corporative governance and on the assumptions and proposals of the agency theory, the paper reviews the relationship between holding companies and their subsidiaries in different studies.

這篇論文主要探討兩間外國電動工具製造商,進入台灣的策略選擇是銷售子公司或是代理商為例子。透過與兩間公司訪談,與筆者以前在其中一間電動工具製造商的產業經驗,再經過資料收集、產業報告分析、文獻資料等,來比較兩間公司進入台灣市場的原因,研究結果發現兩間公司進入台灣選擇採用銷售子公司直接銷售或是採用代理商模式,取決於企業自身擁有的資源條件,以及進入國的政治、經濟、文化等環境因素。企業的產品獨特性高,可以採用銷售子公司來進入新市場,如果企業的產品與市場同質性較高,則可採用代理商進入市場。 / This paper focuses primarily on two foreign manufacturers of power tools, and their choice of methods when entering Taiwan market via the used subsidiaries or agents. I compared their decision making process and their considerations of entry in Taiwan markets through in-depth interviews along with my previous first-hand experience in the industrial fields, data collection, industry analysis, and literature review.
The results showed that whether these two companies choose to adopt the sales subsidiaries or to use agency, depends on the resources they have control over as well as the political, economic and cultural environmental factors of the targeted markets and countries. In theory, if a company's products are unique, one should consider to use the sales subsidiary to enter the market. On the other hand, if the enterprise's products are similar to those in the market, one can use agents to penetrate the market.

Selling translation rights in trade publishing : case studies of Dutch translations of Afrikaans fiction in the Netherlands and BelgiumBuitendach, Samantha Angelique January 2017 (has links)
The reading and buying market for Afrikaans fiction is limited due to historical and economical reasons. It can thus be argued that in order to expand the market for South African Afrikaans trade publishers and authors' novels, a work needs to be translated via the selling of translation rights with the assistance of the publisher or literary agents, into a language that has similar needs in terms of cultural consumption, for example book reading culture. Due to the colonial influence of the Dutch on South African culture and the development of Afrikaans, this study explores the selling of translation rights of Afrikaans fiction to trade publishers in The Netherlands and Belgium. The polystem theory is also used to illustrate the movement of languages from a peripheral position to semi-peripheral and central position within a global literary polysystem. A qualitative and exploratory research design is used. Secondary research in the form of a literature review combines theoretical information, clarifies terms and provides context from which primary research develops. In terms of primary research, interviews with key informants in the Belgian, Netherlands and South African publishing industry were conducted. Case studies of South African crime author Deon Meyer, and historical romance author Irma Joubert provide in-depth analysis of success factors, process and factors that influenced the selling of subsidiary rights to Dutch trade publishers. Lastly, visibility and discoverability of Afrikaans fiction on an international rights trading platform, as well as interaction amongst South African and foreign publishers were observed, at the largest book rights fair, the Frankfurt Book Fair. The findings of this study provide practical information and act as reference guide to role players in the publishing industry, including authors, trade publishers and literary agents. Recommendations for best practice in the selling of subsidiary rights are included, as well as initiatives for further research, experimentation, investment and development of the selling of subsidiary rights to European trade publishers to ultimately grow the Afrikaans fiction book buying and reading markets. / Dissertation (MIT)--University of Pretoria, 2017. / Information Science / MIS / Unrestricted

Globalization has gradually increased exchanges and connections between countries. For companies, globalization entails enhanced opportunity. They embrace a broader set of business possibilities, and leverage resources in foreign countries, by growing their business abroad. The process of organic growth via the creation of a greenfield subsidiary will be studied in this paper. Such expansion can be challenging due to the number of unknown parameters involved, making greenfield expansions a risky investment. To manage risks and to increase the chances ofsuccess, firms have to analyze a diverse set of factors. The purpose of this study is to generate a framework facilitating well-informed decisions about opportunities and uncertainties in order to manage international expansion. Specifically, the study aims to answer the following question: What are the key factors to consider for a French firm seeking to open a subsidiary company in a Schengen-member country? The thesis focuses on finding patterns among companies that have successfully realized an international expansion, as to define the main criteria to reduce uncertainties. A qualitative study was used to get firsthand insights. The investigated companies come from different industries toget as much details as possible and to be able to define a general pattern to improve their decision making. The framework provided in the thesis lists key factors to consider for international business expansion. In addition, these criteria were mapped regarding the level of uncertainty they create and the level of control the company has over them, as a way to prioritize them. The framework is not a “fit-all” solution, but a tool for navigating critical decisions in the context of international greenfield investment. / Globaliseringen har gradvis ökat utbytet och förbindelserna mellan länder. För företag innebär detta en möjlighet att utveckla sin verksamhet utomlands, utnyttja nya möjligheter och utnyttja resurser i utlandet. I denna uppsats studeras organisk tillväxt via skapandet av ett greenfielddotterbolag utomlands. En sådan nyetablering kan vara utmanande på grund av att det stora antalet okända parametrar och det kan vara en riskfylld investering. För att lyckas och hantera förlängningen måste företagen slå upp och analysera en mängd olika variabler. Syftet med denna studie är att hitta och analysera de viktigaste utvärderingskriterierna som används i samband med greenfield-investeringar i ett främmande land. Mer specifikt syftar uppsatsen till att besvara följande fråga: Vilka är de viktigaste faktorerna att tänka på för ett franskt företag som vill öppna ett dotterbolag i ett Schengen medlemsland? Analysen kommer att resultera i ett ramverk till stöd för välinformerade beslut om möjligheter och osäkerheter för att hantera internationell expansion. Uppsatsen fokuserar på att kartlägga erfarenheter hos företag som framgångsrikt har genomfört en internationell expansion för att definiera de viktigaste kriterierna för att hantera osäkerheten kring denna typ av beslut. En kvalitativ studie användes för att få förstahands insikter. De undersökta företagen kommer från olika branscher för att få så mycket information som möjligt och för att kunna definiera ett allmänt mönster för att förbättra sitt beslutsfattande. Influences of Entry Modes on HQ-Subsidiary relationships : A multiple case study exploring entry modes' effect on the HQ – Subsidiary relationships in Swedish organizations.Andersson, André, Lindahl, Elias January 2024 (has links)
Background: MNEs are more relevant than ever in today’s economy as MNEs stand for one third of global production and 50% of global exports. In Sweden there are roughly 3 958 Swedish owned international companies with at least one subsidiary abroad. As the world has become interconnected and digitalization makes it easier for MNEs to gain customers, the competition has grown tremendously. Subsidiaries within MNEs play a vital role in enhancing competitive advantage through strategic embeddedness and competence development. The vast expansion of MNEs comes of course with problems when expanding quickly and creating subsidiaries. New questions arise as they must choose what market and entry mode they want to conduct, how to utilize, manage, and align the subsidiaries abroad. Problem: The thesis formulates a research problem by reviewing literature on the topic of internationalization, entry modes, and HQ-subsidiary relationships. It finds that the influence that entry modes have on HQ-subsidiary is an under-researched subject. Most studies on this subject are quantitative studies, so this thesis aims to contribute to the discussion by providing findings from a qualitative approach. Purpose: The objective of this thesis is to develop insights on relationship dynamics between headquarters and subsidiaries in MNEs, and to illustrate how these interactions vary with the choice of entry strategy. Research question: “What influences does entry modes have on HQ-subsidiary relationships”. Method: This thesis adopts a relativist ontology and a social constructionist epistemology. A holistic multiple case study was used, and qualitative data was gathered from four case companies through eleven semi structured interviews. When the data was collected, a thematic analysis was conducted on each of the cases, which generated codes, which are grouped into sub-themes, and then into within-case themes. After this a cross-case analysis was conducted, where the within-case themes were grouped into cross-case themes. These cross-case themes then in the next step turned into the main themes which serve as the foundation for the analysis. Conclusion: This thesis aimed to explore what influences entry modes has on HQ-Subsidiary relationships, which led to the development of the Jönköping Entry-Relations Model. The research involved discussions with managers at both HQs and subsidiaries, leading to the identification of a process starting from internationalization catalysts to strong relationships and a sense of unity. While entry modes serve as triggers for relationship dynamics, the research found that other factors play a more substantial role in shaping HQ-Subsidiary interactions. Entry modes indirectly influence relationships by presenting challenges that firms must address to foster unity. This thesis contribution to the literature underscores that regardless of entry mode, organizational unity remains the goal. Therefore, while entry modes initiate distinct challenges, they do not directly dictate relationship outcomes.
