Acquisition of securities : section 48 of the Companies Act 71 of 2008

The amendment of the Companies Act 61 of 1973 in 1999 by Companies Amendment Act 37 of 1999 made it possible for the first time, in South Africa, for a company to acquire its own shares and for a subsidiary to acquire shares in its holding company. The position introduced by the 1999 amendments was repealed in 2011 with the coming into effect of the Companies Act 71 of 2008. I have compared capital maintenance rule under the Companies Act 61 of 1973, as amended in 1999 with capital maintenance rule under the Companies Act 71 of 2008. I have also examined in detailed the requirements to be complied with when a company acquires its shares as well as the requirements to be complied with when a subsidiary acquires shares in its holding company. Placing Immigrant Incorporation: Identity, Trust, and Civic Engagement in Little Havana

Immigrant incorporation in the United States has been a topic of concern and debate since the founding of the nation. Scholars have studied many aspects of the phenomenon, including economic, political, social, and spatial. The most influential paradigm of immigrant incorporation in the US has been, and continues to be, assimilation, and the most important place in and scale at which incorporation occurs is the neighborhood. This dissertation captures both of these integral aspects of immigrant incorporation through its consideration of three dimensions of assimilation – identity, trust, and civic engagement – among Latin American immigrants and American-born Latinos in Little Havana, a predominantly immigrant neighborhood in Miami, Florida. Data discussed in the dissertation were gathered through surveys and interviews as part of a National Science Foundation-funded study carried out in 2005-2006. The combination of quantitative and qualitative data allows for a nuanced understanding of how immigrant incorporation is occurring locally during the first decade of the twentieth century. Findings reveal that overall Latin American immigrants and their American-born offspring appear to be becoming American with regard to their ethnic and racial identities quickly, evidenced through the salience and active employment of panethnic labels, while at the same time they are actively reshaping the identificational structure. The Latino population, however, is not monolithic and is cleaved by diversity within the group, including country of origin and socioeconomic status. These same factors impede group cohesion in terms of trust and its correlate, community. Nevertheless, the historically dominant ancestry group in Little Havana – Cubans – has been able to reach notable levels of trust and build and conserve a more solid sense of community than non-Cuban residents. With respect to civic engagement, neighborhood residents generally participate at rates lower than the overall US population and ethnic subpopulations. This is not the case for political engagement, however, where self-reported voting registration and turnout in Little Havana surpasses that of most benchmarked populations. The empirical evidence presented in this dissertation on the case of Latinos in Little Havana challenges the ways that identity, trust, and civic engagement are conceptualized and theorized, especially among immigrants to the US.

Pour un monde chargé de sens : l’univers sensoriel de la pūjā hindoue

La culture indienne a longtemps été identifiée à une philosophie où le monde n’est qu’illusion, où les sens s’avèrent trompeurs, et où, donc, il est nécessaire de se détacher du corps afin d’atteindre une réalité suprême, en dehors de ce monde. Pourtant, une courte immersion dans la réalité quotidienne de l’hindouisme, en particulier par rapport à sa forme dévotionnelle (bhakti) et au rituel de la pūjā s’y rattachant, laisse entendre tout le contraire. Le monde dévotionnel hindou s’avère en fait plongé dans un univers hautement incorporé et sensoriel. La présente thèse se donne pour objectif de réaliser la profondeur de cette nature incorporée et hautement sensorielle de la bhakti hindoue. C’est en envisageant l’utilisation des sens non seulement comme le résultat d’un apprentissage culturel, mais également comme le locus de la connaissance du monde, que la méthodologie proposée par l’anthropologie sensorielle nous permettra de réaliser l’ampleur du rôle joué par le sensorium dans la compréhension, l’acquisition et la communication avec le divin. Nous concentrerons cette étude sur la pūjā hebdomadaire effectuée par la communauté hindoue d’Ottawa au temple Vishva Shakti Durgā. Cette analyse révélera que c’est en utilisant ses sens que le dévot réussit à entrer en contact avec le divin et que c’est également en exploitant divers stimuli sensoriels que le divin réussit à se manifester et à s’incorporer au profit de ses dévots. Le sens de la vision se dévoilera l’un des plus importants dans cette interaction avec les divinités, particulièrement à travers le darśan, mais les autres sens s’avéreront eux aussi essentiels dans cette transaction avec le divin, notamment à travers la musique, les mantras, la prasād, ainsi que les diverses formes de toucher direct ou indirect avec la divinité. Somme toute, cette étude démontrera que la rencontre avec le divin nécessite en soi l’utilisation d’un sensorium sacré. Les diverses perceptions sensorielles engagées dans cette interaction parlent à la fois à la nature humaine et divine de l’être, et permettent dès lors à la vraie nature de l’humain d’entrer en contact avec la vraie et suprême réalité du divin (bhagwān/brahman).

Svoboda usazování obchodních společností v evropském právu / Freedom of Establishment of Companies in European Law

States have traditionally dealt with foreign companies on their territory within their private international law. The arrival of European law and enactment of freedom of establishment though considerably constrained capabilities of member states, whereas companies gained the right of establishment. The aim of this thesis is characterization and specification of the relationship between the freedom of establishment, member states and companies incorporated under laws of member states. The main focus of this thesis is analysis of ten most important cases by the Court of Justice of the European Union concerning the freedom of establishment of companies, which significantly transformed mentioned relationship. Subsequently the thesis summarizes the conclusions of analyzed cases by subject of evolution of primary and secondary freedom of establishment, standing of pseudoforeign companies, conformity with incorporation theory and real seat theory and lastly ways of statutory and/or real seat transfer. The main contribution of the thesis is the very detailed case law analysis, including the newest case Vale from July 12th 2012, and also the case law classification by object.

Dans une première partie, une approche sociohistorique permet de dénaturaliser les catégories d'arts martiaux et de sports de combat forgées par des acteurs sociaux en lutte pour le contrôle d’un champ. Cette première étape permet d'identifier trois idéaux types : les combats codifiés, les combats culturalisés et les pratiques de self-defense. La deuxième partie démontre à partir des données de terrains recueillies que le Tai-chi peut être analysé comme une technique de soi et l’école de Tai-chi comme un dispositif visant à l’incorporation d’un éthos confucéen par les élèves. La troisième partie montre la subjectivation des élèves repose sur l’incorporation d’une culture kinesthésique. Cependant, les élèves transforment le dispositif d’éthopoïèse confucéen du maître en un dispositif d’exopoïèse. Le « Ren », forme idéalisée du lien social confucéen, devient une forme de non-lien social permettant d’enraciner l’école dans un imaginaire exotique. L’école devient ainsi un espace d'altérité radicale permettant un déplacement récréatif, une sublimation du quotidien. Cet espace devient ainsi un lieu privilégié de réinvention de soi. / In the first part of thesis, a socio-historical analysis allows an unnaturalision of the concept of martial arts and combat sport created by social actors in their struggle for controlling a field. This first step enables us to identify three ideal types : the codified combat, culturalised combat and self-defence practice. The second part shows from the field data that Tai-chi could be analysed as a technology of the self and the Tai-chi school as an apparatus aiming at the embodiment of a Confucian ethos by the students. The third part points out that the student subjectivation lies on the embodiment of a kinaesthetic culture. However, the student transforms the Confucianist éthopoïesis apparatus into an exopoïesis apparatus. The « Ren », an idealised form of Confucianist social relations became a form of non-social relations rooting the school in an exotic imaginary. The school thus became a space of radical alterity enabling a recreative shift, a sublimation of everyday life. Thus, the school became a favoured place of self-reinvention.

This diploma thesis deals with hyaluronan modified by palmitoyl and its gelation. Gels were created from palmitoyl hyaluronan with molecular weight 216 kDa and degree of substitution 11 % in concentrations 15 and 20 g dm-3 in water and concentrations 10, 15, 20 g dm-3 in NaCl and TSB. Also gel from palmitoyl hyaluronan with molecular weight 35 kDa and degree of substitution 10 % in concentrations 20, 30 g dm-3 in NaCl was created. Gels were investigated concerning medical applications. Gels were rigid and had very good properties, which was confirmed by rheology. The physical properties (pH, water content) of gels and stability were investigated. On the grounds of the MTT test, three methods of cell incorporation were suggested. Gels are nontoxic, biocompatible, and biodegradable with nontoxic degradation products and that is why they are excellent aspirants for use in biomedicine.

The project is completed! What now?: the Ancient Egyptian Book of the Dead: a digital Textzeugenarchiv

The Book of the Dead-Project Bonn started in the early 1990s. Prof Ursula Rößler-Köhler, who had previously laid the foundation for modern Book of the Dead studies by her work on BD chapter 17 applying the method of textual criticism, achieved a 10-year funding from the German Research Society (DFG). In 2004 the project was granted another 9-year funding by the Academy of Sciences and Arts of North Rhine-Westphalia. One aim of the project was to gather all available evidence of Book of the Dead manuscripts spread across collections around the world. Today, the archive comprises approximately 3000 records of BD sources. In 2012 the corresponding database, after undergoing a transfer from FileMaker to XML format in collaboration with the department of e-Humanities at the University of Cologne, was launched and made publicly available online. The data sets include various different kinds of information about the objects and the sets of BD spells and vignettes found on them. These are now easily accessible for statistic analyses such as evaluations of neighbouring spells and sequences or occurrences in specific locations or time periods. Furthermore, the database includes several metadata such as bibliographical information, translations of spells and a motif index. It is cross connected with other Egyptological databases such as Trismegistos and the Thesaurus Linguae Aegyptiae. After the project was completed at the end of 2012, the online database has been operating for a considerable amount of time with scholars using it and trying the several opportunities it provides. Now is the time for a first evaluation to actually see which functions of the database work well, which might have been ignored by users and what information the database could provide scholars with for their actual research. Naturally, there is a need for a continuous maintenance and update on new findings and the latest research. Furthermore it is important to understand which possibly missing functions or information the users wish to be included and if this is actually realisable. On the other hand, there might be opportunities for analyses that have not been fully understood and therefore have not been made use of. This presentation aims to address some of these issues concerning the BD online database and to gather ideas and possible collaborators for future BD project plans.

Die doel van die navorsing is om vas te stel of liminale prosesse, drumpeloorgange en transformasie deur die verskuiwing van sosiogeografiese omgewing teweeggebring word. ENGLISH : The purpose of the research is to determine whether liminal processes, threshold crossings or transformation can be brought about by the changing of socio-geographical environment. For the exploration of the term liminality the theories of anthropologists Arnold Van Gennep en Victor Turner are used and it is shown that the term is increasingly used in other fields. The applicability of the three phases (preliminaire, liminaire and post-liminaire) of the rites de passage and the reentering of the structural realm, the communitas, is enlightened with the help of literature. The analysis of the concept liminality regarding these literary characters is done by causes and motivations that lead to liminal processes, as well as the effect of those processes on the spiritual/mental inclination of the characters in the novels ’n Ander land by Karel Schoeman, Die son kom aan die seekant op by Jeanette Ferreira, Lang skaduwees in Afrika by Connie Luyt and the candidate’s unpublished novel Paul Roux. Different elements (motivation, characteristics, milieu, thresholds and transformation) that lead to liminal phases, are discussed. It was found that the different elements indicate the route leading to the rites de passage. Applicable essays and articles regarding the liminal phases and transgression of borders in different publications are explored to explain the analysis. Research articles and essays focusing on the phases leading to the rites de passage used for this analysis are those by Louise Viljoen (Woordwerk of Breyten Breytenbach), Adéle Nel (Lykdigte en Ruggespraak of Joan Hambidge), Heilna du Plooy (Niggie by Ingrid Winterbach), Dorothea van Zyl (Vaselinetjie by Anoeschka von Meck) and Marlies Taljaard (Kleur kom nooit alleen nie by Antjie Krog). Reference is also made to the ex-pat literature of Laurens van der Post, Breyten Breytenbach and Gérard Rudolf. Applying Van Gennep and Turner’s theories for the analysis of literary characters is fruitful. As the concept liminality is used and applied increasingly, it will become more relevant in literature, especially in the work of expat writers. Regarding the findings, one can speculate about the ‘diaspora’ literature in Afrikaans that created a new communitas for threshold figures. Införlivandet av svenska ord i arabiska – hos en svensk-syrisk familj / The incorporation of Swedish words into Arabic - in a Swedish-Syrian family

During the last decade Arabic has become the second most common mother tongue in Sweden, so the relationship between Swedish and Arabic is a relatively new area of interest. The purpose of this study is to examine the incorporation of Swedish words into Arabic among Arabic speakers in Sweden. The primary source is an in-depth interview of three fluent speakers of Arabic and Swedish (with origins in Damascus, Syria). My aim was to examine which Swedish words are used in Arabic by Arabic speakers in Sweden and how they are used.   Regarding which words are used, my hypothesis was that I would find support for the pattern of how word borrowing functions in general, i.e. that the language follows power; loan words tend to be borrowed from powerful languages and cultures. Thus, I intended to examine whether a similar tendency would also be demonstrated in this study, that is, if the individual L2-words used while speaking L1 were associated with power and authorities. The interview manifested an overrepresentation of words that could be associated with power, but no clear support that this was a correlative relationship. Other factors, such as the simultaneous introduction of the word and the phenomenon, were found to be more plausible.   With regards to how words are used, my proposition was that the person having left the L1-environment (in this case Syria) at the oldest age would, in analogy with the prevalent notion concerning L1-attrition in general, incorporate the L2 into the L1 to a greater extent than other interviewees. The study found that the interviewee who had left her L1-environment at oldest age did adapt the Swedish words to Arabic phonology and morphology to a greater extent.
