The effect of the partial codification of the common law duties of directors in the companies Act 71 of 2008 on the liability of directors

Magister Legum - LLM / The global financial crisis resulted in a corporate collapse in different parts of the world. The global financial crisis was caused by poor governance. Consequently many countries, including South Africa, began to place more emphasis on good governance. The framework and guidelines for the development of good governance in South African company law was published by the Department of Trade of Trade and Industry (hereafter DTI) in a document referred to as The South African Company Law for the 21st Century: Guidelines for Corporate Law Reform (hereafter the DTI Policy Document) published by the DTI. The DTI Policy Document recognised the need for a regulatory framework within which enterprises operate to promote growth, employment, innovation, stability, good governance, confidence and international competitiveness. In order to further develop governance, the effectiveness of directors’ standards as well as the liability of directors was also said to have developed. Prior to the development of South African corporate law, liability of directors was to a large extent governed by the common law and the King Codes, despite the existence of the Companies Act 61 of 1973 (as amended). As of the 1st of May 2011, corporate law in South Africa appears to have dramatically changed the duties and liabilities of directors. The 1st of May 2011 marked the implementation of Companies Act 71 of 2008 (hereafter the Act). The Act is written in plain language in an attempt to make it more accessible and align it with international trends. The Act has also theoretically changed the roles and duties of directors as well as the liability that they may face in that it potentially changes the existing common law and alters policies and philosophies of corporate law in general. The Act partially codifies the common law and introduces the business judgement rule to South Africa. The business judgment rule will draw a balance between the directors’ ability to steer a company and the shareholders' right to hold directors accountable for their decisions. It is perceived as a mechanism that can be used to balance the tension between these opposing rights.

Background: We have identified the combination of Knowledge Management and Human Resource Management as interesting because of this constellation has been mentioned scarcely in previous studies. There also seem to be some interesting correlations with personnel turnover. Aim: The aim of this study is to describe and understand the theoretically best combination of Human Resource Management and Knowledge Management, by creating a model. The model is also going to be tested empirically through consulting firms, to see if they meet the ideal combination. With this model we also want to describe in what way the different combinations of strategies will affect the personnel turnover. Definitions: A huge part of this study concerns the theoretical area Human Resource Management, which we have entitled HRM. Similarly, Knowledge Management has been entitled KM. Completion: The study is designed both as a literature review and as a comparative case study in which empirical data has been collected through qualitative interviews with four Swedish management consulting firms. Results: The best combinations of KM and HRM are according to this study that strategies should consist of a thoroughgoing personalization or codification. The result also gives a description of how various HRM-aspects can be adapted in line with the best combination. The result stresses that the companies concerned in these case studies don’t follow these recommended combinations. The result also includes descriptions of the varying effects on personnel turnover that comes along with different combination of KM and HRM. / Bakgrund: Vi har identifierat kombinationen av Knowledge Management och Human Resource Management som intressant då denna konstellation behandlats sparsamt i tidigare studier. Det finns även intressanta samband i termer av personalomsättning som fångat vårt intresse. Syfte: Syftet med denna studie är att skapa en modell för att beskriva och förstå hur de teoretiskt bästa kombinationerna av Human Resource Management och Knowledge Management kan se ut. Modellen ska även testas empiriskt på konsultföretag för att se om de uppfyller idealkombinationerna. I modellen vill vi även beskriva på vilka sätt olika strategikombinationer kan påverka personalomsättningen. Definitioner: Stora delar av studien kretsar kring det teoretiska området Human Resource Management vilket vi har förkortat HRM. På samma sätt har Knowledge Management förkortats som KM. Genomförande: Studien är utformad dels som en litteraturstudie och dels som en komparativ fallstudie där empirin bygger på kvalitativa intervjuer med fyra svenska managementkonsultbolag. Resultat: De bästa kombinationerna av KM och HRM är enligt studien när de genomgående utgörs av personalisering eller kodifiering. Resultatet ger även en beskrivning av hur olika HRM-aspekter kan anpassas i linje med dessa bästa kombinationer. Studien visar även att företag (fallföretagen i denna studie) inte följer idealkombinationerna i praktiken samt att olika kombinationer kan få varierande effekter på företags personalomsättning.

Entre discours stratégique et pratique organisationnelle : une mise en intrigue de la gestion des connaissances dans la Branche Ciment / Between strategic discourse and organizational practice : an emplotment of knowledge management in the Cement Division

Les travaux autour de l’instrumentation gestionnaire sont le point d’entrée de cette recherche (Moisdon et al., 1997 ; Hatchuel et Weil, 1992 ; David, 1996, 1998). Nous nous intéressons à la coévolution d’une pratique de gestion, le knowledge management (KM), et d’une organisation. En résumant nos questions de recherche par la formule : « comment peuton faire du KM ? », nous interrogeons à la fois les différentes approches possibles de la gestion des connaissances, mais aussi les raisons qui conduisent une organisation à adopter le KM. Pour ce faire, nous menons une analyse multi-niveaux qui tient compte du contexte institutionnel, organisationnel et interindividuel. Dans ce cadre, nous mobilisons plusieurs littératures - institutionnalisme, outils de gestion, modes de consommation, théories managériales des organisations multinationales, régulation sociale - afin de parvenir à une compréhension globale des dynamiques d’un dispositif de gestion des connaissances au sein d’une organisation. Les dynamiques du dispositif de gestion sont étudiées à travers la mise en intrigue (Ricoeur, 1983) de la gestion des connaissances dans la Branche Ciment du groupe Lafarge. L’intrigue - pourquoi le KM ? - s’articule autour des enjeux stratégiques de l’industrie cimentière et de l’organisation de la fonction d’expertise technique. .Elle est le prélude aux différents récits qui content l’histoire du KM dans la Branche Ciment selon différentes perspectives spatiales et temporelles. A l’issue de cette recherche, il s’avère que le rôle principal du dispositif de gestion des connaissances est celui d’accroître la légitimité de l’entreprise vis-à-vis de son environnement externe et interne. Le dispositif KM est un outil au service d’un centre fort, qui se veut détenteur des connaissances. Nous avons documenté le basculement du dispositif de gestion fondé sur une logique de personnalisation, de gestion des compétences et d’autonomie vers une logique de codification, de gestion de l’information et de prescription. Le dispositif, figé dans une régulation de contrôle, se heurte à la régulation autonome des membres de l’organisation qui s’exprime à travers la résistance à la codification. Le conflit entre ces deux régulations entraîne une crise qui se traduit notamment par le mal-être des experts. Cependant le découplage soigneusement maintenu entre le dispositif de gestion des connaissances et l’activité réelle des opérations permet le maintien du statuquo. Au final, le cas de la Branche Ciment illustre un cas de domination stratégique. En l’absence de régulation conjointe, c’est le découplage entre discours et pratique qui assure la survie du modèle d’organisation. / This research takes the literature on management tools (Moisdon et al., 1997 ; Hatchuel et Weil, 1992 ; David, 1996, 1998) as a starting point. I focus on the co-evolution of a management practice in-use (Jarzabkowski, 2004), here Knowledge Management (KM) and an organisation. My research deals with the question « How can we do KM ? ». This refers to the different approaches for managing knowledge as well as to the different reasons that lead an organisation to adopt KM practices and tools. A multi-level analysis, combining the institutional, organisational and inter-individual contexts, is carried out. This framework calls upon various theories: institutionalism, management tools, managerial theories of the multinational corporation, social regulation (Reynaud, 1989), thus broadening our understanding of the dynamics of a management practice in-use within an organisation. The concept of emplotment (Ricoeur, 1983) is used to study the dynamics of KM within the Cement Division of the Lafarge group. The main plot - why KM? - brings forward the strategic context of the cement industry and the organisation of the technical expertise function. This plot is the starting-point for the different stories of KM in the Cement Division, which are told from different perspectives in time and space. The main results of this research show that Knowledge Management is mainly used to increase the firm’s legitimacy both towards external and internal stakeholders. KM is a tool in the hands of strong headquarters that claim to be the ultimate knowledge owner. Thus, I related the switch of KM from a perspective based on personalisation, competencies management and autonomy to a perspective focusing on codification, information management and prescription. Resistance to codification highlights the conflict between KM, set in a control mode (régulation de contrôle) and the employee’s will for autonomy (régulation autonome). The tension between these two types of regulation leads to a crisis as can be seen through the growing sense of unease among the experts. In the end however, such tensions do not interfere with the daily run of operations as KM is decoupled from ongoing activity. Thus, the story of the Cement Division is a case of strategic domination. In the absence of a joint regulation (régulation conjointe), decoupling discourse from practice allows the survival of the organizational model.

La codification de la procédure administrative est un thème à la croisée de deux mythes fondateurs, en apparence inconciliables, du droit civil et du droit administratif. Sujet a priori antinomique où s’entrecroisent deux icônes doctrinales : la codification et son patrimoine napoléonien ; la jurisprudence et sa filiation au Conseil d’Etat. L’une exclut l’autre puisqu’elles occupent le même espace symbolique, celui de l’avènement d’un droit général, unifié et systématique. La thèse suivie propose de participer à la déconstruction de ces mythes en retenant une conception dépassionnée et objective de la codification. Cette dernière se conçoit comme une simple méthode de systématisation du droit écrit, sans vertu préconçue, si ce n’est de faciliter l’accès au droit. Le choix d’étudier la procédure administrative, outre son origine jurisprudentielle, se renouvelle par la publication récente d’un code des relations entre le public et l’administration. Les caractéristiques généralistes de ce code ainsi que la reprise de solutions jurisprudentielles s’associent aux mythes civilistes et administrativistes pour mieux les désavouer. La codification rencontre la jurisprudence et les équilibres fondamentaux de la matière demeurent immuables : aucune sclérose du droit, aucun déclassement du juge. La technique s’adapte à son objet, elle ne constitue pas un élément de rupture, mais elle parvient, à l’inverse, à conserver les équilibres en présence. L’intérêt de cette approche consiste alors à minimiser les impacts de la codification pour mieux la banaliser et permettre son développement dans une matière qui lui échappe encore en grande partie. / The codification of administrative procedure is a theme at the crossroads of two founding myths of civil and administrative laws outwardly incompatible. This issue is a priori conflicting. Indeed, two doctrinal icons intertwine : on the one hand, the codification and its Napoleonian heritage, on the other hand, the jurisprudence and its filiation with the Conseil d’Etat (Council of State). One excludes the other since they lodge in the same symbolic space that of the advent of a unified and systematic law. This thesis aspires to refute these myths by embracing a dispassionate and objective conception of codification. Codification is designed as a simple method of systematizing written law, without preconceived virtue if not facilitating access to law. As well as being jurisprudential, the choice to study the administrative procedure has been reasserted by the adoption of the Code of relationships between the public and the administration. The general characteristics of this new code, along with the codification of legal precedents, link up with both civil and administrative myths to better disavow them. Codification encounters jurisprudence and the fundamental balances remain immutable. Subsequently, not only is there no sclerosis of the law, but also no downgrading of the judge. It follows that the technique is suited to its purpose. Instead of constituting a breach, it does retain the balances involved. Therefore, this thesis consists of making codification commonplace by minimizing its impacts and enabling its development in a discipline that still mainly eludes it.

La thèse propose une nouvelle théorie de l’argumentation – bidimensionnelle – reposant sur deux paramètres : la force et l’orientation. Quatre types de marqueurs sont identifiés, articulés autour de ces deux paramètres. Le chapitre 1 porte sur le réductionnisme topique : la théorie selon laquelle tous les arguments sont défaisables, c’est-à-dire réfutables. Le chapitre 2 retrace l’histoire du réductionnisme logique : la théorie selon laquelle tous les arguments valides sont indéfaisables. L’argument étudié est la définition. Le chapitre 3 présente la théorie bidimensionnelle, qui explique à la fois les arguments défaisables et indéfaisables. Les chapitre 3 et 4 sont une application de la théorie bidimensionnelle de l’argumentation. Le chapitre 4 étudie l’argument appelé présomption. Le chapitre 5 offre un traitement nouveau de l’argument a fortiori.

L’entrée en vigueur du code général de la propriété des personnes publiques le 26 avril 2006 a profondément modifié la perception du patrimoine des collectivités territoriales. Le code permet, d’une part, de consacrer le statut de propriétaire de l’ensemble des collectivités territoriales et, d’autre part, de resserrer le périmètre de leur patrimoine relevant du régime de la domanialité publique. Les critères d’identification du domaine public immobilier tendent à limiter les possibilités d’extension de son champ d’application tandis que la création d’une nouvelle définition du domaine public mobilier vise à restreindre l’application des règles de la domanialité publique aux seuls biens présentant un intérêt public culturel. L’identification du patrimoine local souffre cependant toujours d’imperfections. En raison de la technique de codification à droit non constant, les modifications apportées par le code doivent désormais s’analyser à travers une jurisprudence souvent hésitante dans son application des nouveaux critères. Les règles relatives à l’application temporelle du code reportent pour l’instant sa mise en œuvre et le juge tente parfois maladroitement de combler le vide. Et si la codification a réussi à consacrer le statut de propriétaire des collectivités territoriales, la maîtrise in fine de leur patrimoine relève toujours de l’Etat, propriétaire éminent. / The perception of local authorities assets has been significantly changed by the entry into force of the general Code on public property on 26 April 2006. The code sanctions the local ownership status and tighten the criteria of the public domain. The possibilities of extending the scope of the public domain tend to be tighten by those criteria, while a new definition of movable property limits the application of public domain's law to cultural interest goods. However, the identification of local heritage continues suffering from several defects. The specificities of this “non-constant” codification means that all the code's innovations have to be analysed through the jurispridence which is still hesitant with the new criteria. The rules relating to the temporary application of the code postpone his setting-up.and the judge often makes incovenient decisions. Lastly, even if the codification succed in sanctioning the ownership status of local authorities, the general control of territorial authorities ownership is still coming within the competency of the State.

The topic of this thesis focuses on various legal professions within the Czech Republic, such as attorneys, notaries, bailiffs and judges. These occupations are often associated with civil judiciary process. The purpose of this thesis is to define the foundations of their legal status, including the scope of their activities, and how they differ. Additionally, the thesis focuses on the role of individual professions. Firstly, important elements, such as confidentiality, independence, autonomy or responsibility will be analyzed. Secondly, the thesis will address significant problems in defining the role of the legal profession.
