A Comprehensive Analysis of the Legal Issues Relating to Nominee Directors

Dans la foulée des scandales financiers ayant secoué le milieu des affaires ces dernières années, l’efficacité des pratiques de régie d’entreprise, et, en particulier celles liées à l’indépendance des administrateurs, a été passée au crible. L’administrateur désigné par une partie pour la représenter est un type d’administrateur que l’on rencontre fréquemment au sein des conseils d’administration des entreprises. Toutefois, l’on peut se questionner sur l’indépendance réelle de ces administrateurs, considérant leur loyauté envers la personne les ayant désignés, laquelle détient habituellement un intérêt à titre d’actionnaire ou de partie prenante dans l’entreprise visée. En outre, alors que les principes légaux requièrent que les administrateurs agissent dans le meilleur intérêt de l’entreprise, la réalité pratique est parfois toute autre: aux prises avec les instructions ou les souhaits de la personne les ayant nommés, les administrateurs désignés se retrouvent placés en situation inhérente de conflit d’intérêts. Ce texte vise à offrir une analyse détaillée au sujet de l’administrateur désigné et du conflit d’intérêts résultant de cette double exigence de loyauté. L’objectif est de présenter un examen approfondi des diverses difficultés résultant de la nomination d’un administrateur désigné ou associées à celle-ci, ainsi que des réponses judiciaires et législatives liées à cette problématique. Cette réflexion mènera à une exploration de certains systèmes législatifs et légaux, en particulier ceux du Royaume-Uni, de l’Australie et de la Nouvelle-Zélande, afin d’obtenir une meilleure compréhension et d’offrir une perspective éclairée quant aux enjeux analysés par la présente. / Following the wave of corporate scandals that have surfaced over the past decade, significant attention has been showered on the efficiency of corporate governance practices, with particular scrutiny on the issue of director independence. One specific category of directors frequently nominated to sit on corporate boards is the nominee director. However, these directors often lack veritable independence given their extraneous loyalty towards their appointer, usually either a shareholder or stakeholder of the corporation. Furthermore, while legal principle requires that all company directors exercise their statutory duties with a view to the best interests of the corporation, in practice nominee directors are expected to follow the instructions or wishes of their appointer, resulting in their inherent position of conflict. This text focuses on the nominee director and the conflict of interest resulting from such director’s position of dual loyalty. Its objective is to provide a comprehensive examination of the various difficulties arising from, and associated with the appointment of nominee directors as well as the judicial and legislative responses to these difficulties. In examining the various complications associated with nominee directors, the legal framework in several foreign jurisdictions, particularly the United Kingdom, Australia and New Zealand is also explored throughout this text to provide further insight and perspective on the different issues analysed herein.

The aim of the thesis is to define basic terms - evaluation, evaluation theory, responsibilities and the role of the director of the kindergarten, kindergarten director's evaluation as a tool for his/her development. The practical part is focused on describing the tension between ideas and practice in the evaluation of the directors of kindergartens in the Czech Republic. The theoretical part focuses on explanation of the term "evaluation" and includes description of various theories of evaluation and their classification using not only Czech but also foreign literature sources. At the same time the terms such as the director of the kindergarten, his/her responsibilities and roles including the specifics of the work of the director of the kindergarten are explained. The end of the theoretical part is devoted to the evaluation of the director of the kindergarten. The practical part describes the findings which relate to the evaluation of the director of the kindergarten from the Czech School Inspectorate perspective. The basic tools of the support of the directors are described including not only the ability for their usage, their strengths, but also barriers that prevent the use of these tools. This master's thesis deals with the selection process of the school director position. The work is divided into the theoretical and the research part. The theoretical part is concerned with the school director position and its competence, on the other hand with the legislation relevant to the selection process of the school director. In the end of the theoretical part author analyses the selection process in Slovakia. In the practical part author used the questionnaire to find the ideas of Czech teachers and headmasters of the selection process and of the Education Act novelisation. The goal of this thesis is to find how these interested sides perceive the selection process, whether the opinions are the same or different. The conclusions of the literature analysis and the research can be used for the improvement of the school director selection process in the Czech Republic. The work is based on the literature listed at the end and on the questionnaire survey, which was performed with 115 teachers and 13 headmasters. Art directing i en digital kommunikationsbyrå och att arbeta heltid eller deltid som konstnär är två yrken som har en sak gemensamt. I egenskap av professionella roller har de en nyckeluppgift de måste uppfylla – att vara kreativa. I denna uppsats fokuserar vi på den kreativa processen vid generering av idéer i områden av digital media och konst för att se om det finns tydliga skillnader eller likheter i hur kreativt arbete för sig inom båda områden. För att jämföra den kreativa processen mellan de två parterna har vi gjort flertalet intervjuer och observationer med yrkesverksamma konstnärer och art directors. Genom att undersöka områdena kreativitet, design och konst har vi distingerat ett antal olika steg som är teoretiskt möjliga att applicera på både design och konst. Genom att ställa samma frågor till samtliga informanter och genom att kategorisera de händelser som dokumenteras vid observationerna hoppas vi på att kunna dra slutsatser om likheter och olikheter inom de kreativa processerna i konst och designarbete. Vi hoppas även att våra resultat kan tillämpas på senare studier samt av designers och konstnärer som vill lära sig av varandras arbete. / Art directing in a digital communication agency and working as a full or part-time artist is two occupations that have one thing in common. Both professional roles has one key assignment that they need to fulfill – to be creative. In this paper we will focus on the creative process when generating ideas in the areas of digital media and arts to see if there are any significant differences or similarities between how the creative work is done in both areas. To compare the creative process between the two parts we have done several interviews and observations with working creators within the areas. By exploring the concepts of creativity, design and art we have distinguished several steps which theoretically could be applied to both design work and arts. By asking the same questions to all informants and by categorizing the events documented in the observations we hopeto be able to come up with conclusions about what differences there are between the processes in artand design work. We also hope that our results can be adapted in later studies and by designers andartists who want to learn something from each other's work.

The goal with this project was to develop a graphic template for a new magazine about running, STARK Löpning. Besides the looks of the graphic elements, sections in the magazine would be developed. Finally, a discussion is made about how the magazine can be remade into an electronic format. Content analyses has been made regarding magazines with both a main and a specific orientation, to review the graphic relationship between them. A content  analysis regarding a competing magazine about running was also made. An unstructured interview was done with Art Director Petrus Iggström, to find out his way of working when he creates new graphic templates for magazines. The discussion concerning the electronic format was done based on previous research in the subject. The graphic relationship between main and specific magazines turned out to not be significant, they had few similarities. It was often showed that elements regarding the magazine s’identity had been changed, for example text fonts. This could be because the specific magazines are sighted towards a different target audience than the main magazine, and therefor wants an identity of its own. It’s an easy process to remake the magazines STARK Magasin and STARK Löpning into an electronic format, but none of the services that were looked closely upon in this essay were fitting for both passive and active readers. Nor did the services have a good enough browsing feature. For example, if the reader wants to read an article that was advertised on the cover page, it was not possible to go directly to the article from the cover.

Existe, en la literatura académica del área de gestión, una controversia acerca de cómo los rasgos o características de autopercepción / autoestima elevada (inclusive con tendencias narcisistas) de los altos directivos afecta positiva o negativamente en las organizaciones. Por tanto, cabe hacerse la pregunta: ¿cuáles son los efectos de la autopercepción del CEO en las organizaciones? El presente Substantial Research Paper (SRP) tiene como objetivo principal analizar cuáles son los efectos de la autopercepción del CEO en las organizaciones. Para lo cual, esta investigación se realizó bajo la selección de artículos académicos que poseen alto factor de impacto (FI) y están publicados en revistas indexadas. Como consecuencia del análisis de los artículos, se ha desarrollado una breve descripción de los conceptos relacionados a la percepción de los CEO, así como las principales teorías relacionadas como marco de referencia del conocimiento. Asimismo, se describe cómo han evolucionado los indicadores de medición del narcisismo en el management. Finalmente, se exponen los efectos positivos y negativos que generan contar con un CEO con autopercepción elevada o tendencia narcisista en las organizaciones, en la búsqueda de exponer la controversia identificada sobre la existencia de posiciones encontradas por diferentes autores en esta materia. / There is a controversy in the academic literature of the Management area about how the traits or characteristics of self-perception / high self-esteem (even with narcissistic tendencies) of senior managers positively or negatively affect organizations. Therefore, it is worth asking the question: What are the effects of the CEO’s self-perception in organizations? The present Substantial Research Paper (SRP) has as its main objective to analyze what are the effects of the CEO's self-perception in organizations. For which, this research was carried out under the selection of academic articles that have a high impact factor (FI) and are published in indexed journals. As a result of the analysis of the articles, a brief description of the concepts related to the perception of CEOs has been developed, as well as the main theories related as a frame of reference for knowledge. Likewise, it describes how the indicators for measuring narcissism in Management have evolved. Reflections on the supervision interactions of residence life staff : the implications of racial identity on the Hall Director (HD)/Resident Assistant (RA) supervisory relationship

This study examined the supervisory interactions of past and present residence life staff members, specifically, the implications of race on the residence life professional (HD)/residence life student staff member (RA) supervisory relationship. College and university residence halls provide some of the most diverse environments that individuals will encounter as they move through life (Amada, 1994; Jaeger & Caison, 2005). It is in these spaces that individuals learn the most about themselves and others. Thus, learning to navigate multicultural interactions is critical. Facilitated by residence life staff, this knowledge serves as preparation for the actual experiences and situations students will face once they are in the "real world." Although some areas of the higher education literature were limited, the literature review supported the role that residence life staff members have in preparing student staff members (whom are also residents) for the workplace. Learning how to handle situations in the workplace where there are differences such as language, race/ethnicity, culture, or values and beliefs will aid in positive interactions with others and ultimately contribute to a better working environment--inside and outside of the residence halls. Qualitative methods were used for this study because of their attention to vivid and layered descriptions. These descriptions give voice to a person's experiences and interactions and help them make meaning of their own worlds. As a result of residence life staff members living where they work, the most appropriate way to further examine their life experiences was through a phenomenological lens. In addition to the aforementioned qualitative methods, modified versions of quantitative instruments from an earlier study (Ladany, Brittan-Powell, & Pannu, 1997) and two other scales (Helms & Carter; 1990; Helms & Parham, 1996) were used to measure the racial identity development of the participants. These inventories relied on participants to self-report their perceptions. After these assessments were completed, interviews were conducted with 10 randomly selected participants (five RAs and five HDs). Five themes emerged from these participant interviews: prestige, protection, privilege, proximity, and preparedness. / text

Ledarskapsprocesser inom framgångsrika organisationer

The aim of this study is to investigate leadership in sports organizations and business organizations. The study focused on common and important leadership components and the most important leadership processes in both business context and sports context. The study also investigated common and important leadership components, leadership challenges and which degree leaders used the transformative leadership. The study focuses on leadership components most importantly from the leaders view, including both sport managers and business leaders. The investigation was based on eight interviews, which are analyzed with content analysis. The theoretical frame of this study is based on a literature analysis of the most common findings in the field of leadership studies over the past decade. The findings show that the (1) most frequent leadership components are social skills, coaching skills and strategic skills, (2) that a great part of the leadership components included in the transformative leadership is a part of the interviewed leaders leadership and (3) that the most important leadership skills for sport managers is communication and being distinct, and for the business leaders feedback and communication. The findings also showed that business managers and sport managers had much in common regarding leadership, even though the study displayed some differences.
