Contract to transfer share in limited liability company Summary Purpose of this diploma thesis is to draw attention to selected aspects of a contract to transfer a share in a limited liability company and to outline possible solutions to several interpretation issues arising out of the Act on Business Corporations. In the first chapter the author describes a change introduced by the Act on Business Corporations that allows creation of different types of shares in a limited liability company. Different rights and obligations may be connected with such shares. The author focuses on the division and description of selected rights and obligations and their impact on the content of the contract to transfer a share in a limited liability company. In the second chapter the author describes the contract to transfer a share in a limited liability company from the parties' point of view and their motivation to enter into such contract. The author of this thesis also compares the contract to transfer a share in a limited liability company with the acquisition of the company's assets and focuses on their practical advantages and disadvatanges. Australia's dual system of broadcasting has provided national and commercial radio services to Australians in both urban and remote areas. Networks were formed to serve these areas, but advertising agencies tended to dominate smaller commercial networks on behalf of their clients. Most of these failed. The Macquarie Broadcasting Service Pty. Ltd. (MBS) network began in 1938 and offered network programming and sales representation to stations affiliating with them. Its subsidiary, Artransa Pty. Ltd., also produced and syndicated programs and provided sales representation both nationally and internationally. This study concludes that MBS' contribution to Australian commercial broadcasting was the development of networking and that it had the greater listenership of any commercial network in this time period.

In my diploma thesis I described the mostly spread legal form of entrepreneurship in the Czech republic, the limited liability company. I analyzed the basic characteristics of the limited liability company including conditions of the establishment, time demands and administrative difficulties of this process. I also focused on its partners and described who can become a partner, how and under what circumstances. Special attention was paid to their rights and obligations. The goal of this thesis was to find out advantages of entrepreneurship in the limited liability company. My conclusion was based on both, the practical and the theoretical knowledge.

Estudou-se a influência do fosfato na multiplicação de Saccharomyces cerevisiae em uma fermentação contínua em mini-fermentador. Determinou-se a massa seca, a concentração dos substratos, a velocidade específica de consumo dos substratos, a velocidade específica de formação de gás carbônico, velocidade específica de consumo de oxigênio e o quociente respiratório bem como, o fósforo intracelular em diversas vazões específicas de alimentação, em cultivo contínuo de levedura de panificação, em condições de substratos limitantes. Controlando-se a quantidade de fosfato no meio de alimentação de tal modo que o fosfato residual no meio de fermentação mal pudesse ser detectado, o valor da vazão específica de alimentação crítica era aparentemente aumentado de 0,23 h-1 para 0,32 h-1. Isto sugere uma possível influência do fosfato nas funções anaeróbicas e aeróbicas da levedura de panificação. / The influence of phosphate in a continuous culture was studied using mini-fermentor on the Saccharomyces cerevisiae multiplication. Dry matter, substrate concentration, specific substrate comsumption, specific carbon dioxide release, specific oxygen uptake rates and respiration quotient , as well as phosphorous content of the cells were measured in dependence on the dilutionrate. In continuous culture glicose-limited, of baker\'s yeast if the supply of phosphorous were restricted to a extent that residual phosphate in the medium could hardly be observed, the value of critical dilution rate was apparently enhanced from 0,23 h-1 to 0,32 h-1. This observation suggests a possible mediation by phosphate between anaerobic and aerobic functions of the baker\'s yeast.

Problems With the Veil of Ignorance, And How We Might Solve Them

Ever since Rawls published The Theory of Justice (1971/2009), the theory itself, along with many of its components, have been subject to intense debate. Both the "original position" and the "veil of ignorance" have been argued to be too unrealistic since the restriction on information makes it impossible to apply in the real world. Furthermore, it is argued that this restriction is too extensive, in that it excludes information that is necessary for making a just decision, and thus, that it contravenes fundamental egalitarian principles, making it less just than it should be. However, there still seems to be something appealing about the concept of the veil of ignorance and results from various experiments that have used it have shown results that indicate it has an effect, which implies that the concept might have some use after all. In this paper, I will argue for a modified version of Rawls' veil of ignorance that, while limited in its available applications, might both serve a practical use in society to increase justice and have a low risk of obtaining inegalitarian results. I will do this by first summarizing Rawls' theory of justice with a focus on his veil of ignorance. Second, I will present and discuss the critiques from various philosophers. Third, I will discuss the implications of several experiments that make use of the veil of ignorance, including the issue that these experiments are 'one-shot', or single iteration, experiments. Finally, I will detail my version of the veil of ignorance and explain why it both meets the critiques of the original veil of ignorance and could potentially serve a practical use in society.

Approved for public release; distribution is unlimited / This thesis analyzes the Indian Air Force's (IAF) robust modernization campaign and explores why the IAF is on the path to transforming itself from an air force dedicated to air defense to one capable of global force projection. The stunning examples of airpower in the two Gulf Wars, Kosovo, and Afghanistan proved to the Indian leadership the value of modern airpower. Thanks to the amazing growth of the Indian economy, the IAF is gradually acquiring the weapon systems characteristic of a global aerospace force. Pakistan and China are concerned about the motivations behind IAF's modernization efforts and already have begun to improve their own air capabilities in response to any conventional or nuclear contingency. The responses of Pakistan, in particular, indicate the lowering of the nuclear threshold in South Asia. On the other front, a potential arms race between India and China is anticipated. The United States may be able to neutralize the damaging effects of India's military build-up by increasing its arms exports to both India and Pakistan. Specifically, the sale of American F-16s to both countries would fortify bilateral relation with the United States, maintain the fragile security balance in South Asia, and minimize China's influence in the region. / Captain, United States Air Force

The subject matter of the thesis is the stringing out one-member limited liability companies and its prohibition by Czech Law. The thesis is composed of six chapters. Chapter One is introductory and defines basic terminology used in the thesis: stringing out, one-member limited liability company, prohibition of stringing out one-member limited liability and its purpose. Chapter Two examines the development of relevant Czech and European legislation. Chapter Three investigate the interpretation of relevant provisions in the Commercial Code in relation to First and Twelfth Directive. Chapter Four concentrates on legal consequences of the breach of prohibition. Chapter Five discusses whether the prohibition is useful or not in Czech Law. The thesis comes to the conclusion that the existence of the prohibition of stringing out one-member limited liability companies is rather justified in Czech Law. Therefore, the thesis argues for the maintenance of the provision in Commercial Code at least until European Community suggests to the contrary.
