No presente estudo, buscar-se-á investigar o direito contratual enquanto redutor das falhas de mercado, analisando de que forma essas falhas incidem sobre o fenômeno contratual, assim como de que modo as normas de direito contratual atuam sobre elas, buscando proporcionar maior eficiência econômica e bem-estar. Assim, inicialmente, tratar-se-á dos aspectos conceituais concernentes aos contratos e das realidades fáticas que lhe são subjacentes, de modo a diferenciá-los, além de analisar-se o papel do direito contratual nesse processo. Dando continuidade a essa tarefa, abordar-se-á a realidade falível dos sistemas de mercado, bem como de que forma as falhas de mercado atingem a eficiência negocial e operacional dos mercados. Por fim, analisar-se-á cada uma das espécies de falhas, quais sejam, a assimetria informacional, o poder de mercado, os custos de transação e as externalidades, ponderando de que forma o direito contratual pode debelar ou mitigar os efeitos nocivos que delas são decorrentes. / The present study will seek to investigate the contractual law while reductor of market failures, analyzing how these failures affect the contractual phenomenon, as well as how the rules of contract law act on market failures, seeking provide greater economic efficiency and welfare. The Problem with Purity: Market Failures, Foodborne Contamination, and the Search for Accountability in the U.S. Food Safety Regulatory Regime

One of the great myths of contemporary U.S. culture is that America's food supply is the safest in the world. Another is that government agencies have the ability and authority to guarantee food safety and to enforce accountability standards upon food producers, processors, and distributors. But the U.S. food safety regulatory regime is as it has been for more than a century: embedded in the notions of food purity and wholesomeness that framed the 1906 Pure Food and Drug Act and the 1906 Federal Meat Inspection Act. Although changes in food production, processing, and distribution that occurred throughout the 20th century have rendered this regulatory regime ineffective and inefficient, efforts to amend its regulatory scope and power have been largely unsuccessful. Current proposals to transform this system, including the Food Safety Modernization Act of 2009 and the Food Safety Enhancement Act of 2009, however, would expand the power of government agencies to require process-based food safety systems, to test for contamination, to issue recalls, and to institute traceability protocols for all food products. Yet much of the economic literature critiques this top-down approach to regulation. Beginning with an overview of U.S. food safety and its regulation, this dissertation examines the relative effectiveness and efficiency of "top-down" "command and control" versus "bottom up" "market driven" regulatory regimes designed to resolve market failures and promote accountability relative to food safety. It includes an analysis of the impact and influence of food producing, processing, and distributing firms upon the policy process, examining when, why, and how large agri-food corporations support or oppose changes to the food safety regulatory regime and accountability framework, and concludes with an investigation of food safety crises as a catalyst for political change. / Ph. This proposal results from the fact that the environment is a public good, subject to valuation, and their non-inclusion in economics results in increased degradation. The hypothesis of the study focuses on the fact that the absence of the constitutional principle of protection of the environment in the national tax system and exclusion of inducing taxation in the national development policy and national environmental policy ultimately induce consumer goods and damaging services to environmental preservation and protection of natural resources. And it aims to show that inducing taxation instrument works as an environmental protection tool and sustainable development, working on direct interference of costs and prices on certain economic activity through the increase or decrease in taxes, according to state interests. Specifically intended to spell out the formation of fuel prices, in particular ethanol, with an emphasis on tax (Tax on the Circulation of Goods and on Transport Services Rendered Interstate and Intermunicipal and Communication - ICMS, mainly) being used as an environmental preservation mechanism. The results of the analysis show that, using this tool, it is possible that the state can induce a practical "green" in the fuel sector, leading him to a sustainable development and also to environmental protection. / A responsabilidade constitucional do Estado de zelar pela proteção ambiental acaba por resultar em políticas ambientais que visam o desenvolvimento sustentável. Esta proposição é resultante do fato de ser o meio ambiente é um bem público, passível de valoração, e sua não inclusão nos aspectos econômicos tem como resultado aumento da degradação. A hipótese do estudo centra-se no fato de que a ausência do princípio constitucional da proteção do meio ambiente no sistema tributário nacional e exclusão da tributação indutora na política nacional de desenvolvimento e da política nacional do meio ambiente acabam por induzir o consumo de bens e serviços danosos à preservação do meio ambiente e proteção dos recursos naturais. E tem como objetivo evidenciar que o instrumento da tributação extrafiscal labora como ferramenta de proteção ambiental e desenvolvimento sustentável, funcionando na interferência direta de custos e preços sobre determinada atividade econômica por intermédio da majoração ou diminuição da carga tributária, de acordo com os interesses estatais. Especificamente pretende-se enunciar a formação dos preços dos combustíveis, em particular o etanol, com ênfase na tributação (Imposto sobre Operações Relativas à Circulação de Mercadorias e sobre Prestações de Serviços de Transporte Interestadual e Intermunicipal e de Comunicação – ICMS, principalmente) sendo usado como um mecanismo de preservação ambiental. Os resultados da analise demonstram que, utilizando-se desta ferramenta, é possível que o Estado consiga induzir uma prática “verde” no setor de combustíveis, levando-o a um desenvolvimento sustentável e também à proteção do meio ambiente.

A busca por maior disponibilidade de crédito de longo prazo para investimentos produtivos vem adquirindo importância no Brasil, pois possibilita que empresas se lancem em empreendimentos de média e grande escala, alimentando o processo de crescimento econômico e desenvolvimento do País. A modalidade Financiamento a Empreendimentos (Finem) do BNDES é uma das poucas linhas de crédito bancário interna que oferece a possibilidade de financiamento de projetos de investimento de montantes elevados e longo prazo de maturação. No entanto, o montante disponibilizado por essa linha vem apresentando pequena evolução em relação ao PIB. Esperava-se aumento dessa disponibilidade com o Plano Real e a criação de um ambiente econômico propício ao planejamento de longo prazo, o que não ocorreu. Assim, este estudo tem por objetivo avaliar os principais fatores que influenciam a disponibilidade de crédito de longo prazo no Brasil destinado a investimentos produtivos, visando não somente expandir essa disponibilidade como também criar condições para que bancos múltiplos venham a atuar com maior vigor nesse processo. No modelo estudado, foram incluídas como variáveis, além daquela de maior interesse, os desembolsos da linha Finem, representando a disponibilidade desse tipo de crédito, outras relacionadas a questões macroeconômicas, ao arcabouço teórico de falhas de mercado e intervenção do Estado e ao desempenho do BNDES, com dados coletados entre 2001 e 2011. Utilizando um Modelo Autorregressivo Vetorial com Correção de Erro (VEC), este estudo constata a importância da intervenção do Estado, via alocação de recursos, no processo de disponibilização desse tipo de crédito, confirmando a hipótese de que mesmo o BNDES apresentando bons índices de desempenho e buscando diversificar suas fontes de recursos, a intervenção do Estado ainda se mostra como alternativa essencial para elevar a disponibilidade dessa linha de crédito. The line of credit provided by BNDES, called Financing to Enterprises (Finem), is one of the few lines existing in Brazil which offers the possibility of financing investment projects with large amounts and long-term maturity. However, the amount provided by this line has shown little progress in relation to GDP. It was expected an increase of that availability with the Real Plan and the creation of an economic environment favorable to long-term planning, which did not occur. Thus, this study aims to evaluate the main factors influencing the availability of long-term credit in Brazil for productive investments, not only in order to expand it but also creating conditions for multiple banks to effectively participate in that process. The model specified for this study included variables such as the disbursements of the Finem line of credit, representing the availability of that credit, and others related to macroeconomic issues, theoretical framework of market failures and government intervention and BNDES performance, with data collected between 2001 and 2011. Using an Autoregressive Model with Vector Error Correction (VEC), this study notes the importance of government intervention, through allocation of resources, in providing this type of credit, confirming the hypothesis that although BNDES presents good levels of performance and seeks to diversify its funding sources, government intervention is still an essential alternative to increase the availability of that line of credit. This study also shows that economic stability is a relevant factor, for allowing long-term planning, by empirically confirming previous studies on the subject. Other factors such as economic growth, availability of alternatives and BNDES lending performance are directly related to the availability of such credit. On the other hand, BNDES profits have little importance on Finem disbursements, a result that is justified by the BNDES Basel Ratio ascertained in that period. The result concerning the influence of Brazil Risk index, in turn, shows that the external funds obtained by BNDES may have been guided by other factors such as budgetary issues or government policies. The results indicate that policy makers would consider government intervention in the allocation of resources to multiple banks, so that they can intensify the availability of such credit. Finally, this study exposes the necessity to dedicate more attention to the destination of resources from this particular type of credit, so that it can effectively contribute to promote growth and development in Brazil.

State Intervention in the Indian Software Industry

India's meteoric economic growth rate has been a subject of much discussion since the country began its economic liberalization in the early 1990s. The software segment, in particular, is growing at a rate of 48.5 percent. The conventional wisdom argues that market forces have driven India's software's success, and more broadly, information technology. This thesis marshals evidence for the role of the state in interaction with the software sector. More specifically, by discussing India's broad-scale import substitution industrialization efforts from the 1950s to 1991 and its transition to a more open economic structure, as well as more industry specific policies within a theoretical context, this work attempts to identify the key driving forces and impact of government policy. Most works that have attempted to assess such state efforts have done so in a casual fashion, without linking the actions to carefully specified rationales for state intervention. This thesis specifies four plausible rationales for government intervention: market failures, government goals in promoting a domestic industry for national security and the state role in international negotiations that might affect specific sectors, intervention driven by rent seeking behavior on the part of private-sector actors, and state intervention to address previous government policies in a particular market that may be seen as being inadequate or failures. It then empirically assesses the support for each of these claims in light of the evolution of the Indian software industry since its inception. In so doing, this work allows one to gauge the significant contributions of the state within a clear context of possible state roles. It also helps in understanding the software industry’s current challenges, and possible future role of the state in the industry.

This article analyzes the reasons for the so-called “network neutrality” and its regulation in Peru (including the laws regulating as a proffer recently presented by OSIPTEL); consisting primarily of equal treatment of all traffic, content or application by internet service providers. From Economic Analysis of Law’sperspective, it has been concluded that the Internet access does not present market failures that justify regulating the conditions of service provision. The author explains why network neutrality may have negative consequences for the internet access market in Peru. / El presente artículo analiza las justificaciones de la denominada “neutralidad de red” y su regulación en el Perú (incluyendo tanto las leyes vigentes como una propuesta de regulación recientemente presentada por OSIPTEL); consistente principalmente en el tratamiento igualitario de todo tráfico contenido o aplicación por parte de los proveedores del servicio de internet. Desde la perspectiva del Análisis Económico del Derecho, se ha concluido que el mercado de acceso a internet no presenta fallas de mercado tales que justifiquen regular las condiciones de prestación del servicio. Asimismo, el autor explica por qué la neutralidad de red puede tener consecuencias negativas para el mercado de acceso a internet en el Perú.
