Merger and Acquisition: the impact on organizational culture, creativity and product innovation : a case study

The most recent wave of Merger and Acquisition (M&A) sparked by the emergence of Internet and the growing importance of biotechnology, where firms use M&A to integrate innovation capabilities of smaller entrepreneurial firms. This strategy is commonly seen within the medical technology industry, where most research has shown that M&A often destroy those innovation capabilities that made the acquired firm attractive in the first place. This thesis investigates the organizational cultural changes due to an acquisition and its impact on the acquired firm’s creativity and product innovation. The research design of this essay is a qualitative case study based on interviews carried out at a medical technology company that was acquired in 2008. The results of this case study illustrated that the factors that affect creativity and product innovation in a post-acquisition are; communication, time, formalization, money, teamwork and risk-taking, where risk-taking affects product innovation the most.

In them the safety and occupational health should be object of permanent cares, what can also be insured through an integral system of the System of Integrated Administration, which is it denominated System of Administration of Safety and Occupational Health - SGSSO, whose implantation, rule road, interferes in the sustainability of the company, it provokes changes in their aspects cultural, economical and social. To evaluate the organizational changes in these aspects in the process of implantation of the norm OHSAS 18.001 in the System of Integrated Administration of the company Samsung SDIB, located in the city of Manaus (AM), it was the main objective of this work. To reach it was done researches, the only one time, of the exploratory, theoretical-empiric descriptive types and under the form of case study, besides they were made uses of the methods of the observation and inductive. The techniques that included verifications in loco, bibliographical researches and the application of a form, were revealed appropriate for the collection and analysis of the data. Therefore, the results, that were discussed thoroughly, they were synthesized in an excellent polar graph, to the time of the research, the aspects regarding the implantation of SGSSO and to the cultural, economical and social organizational changes of the company under study. / As organizações permeiam intensamente a existência humana que delas depende para viver, educar-se, informar-se, cuidar da saúde, enfim, realizar-se na busca por atingir sua plenitude existencial. Nelas a segurança e saúde ocupacional devem ser objeto de cuidados permanentes, o que também pode ser assegurado por meio de um sistema participante do Sistema de Gestão Integrada, qual seja o denominado Sistema de Gestão de Segurança e Saúde Ocupacional - SGSSO, cuja implantação, via de regra, interfere na sustentabilidade da empresa, ou seja, provoca mudanças em seus aspectos culturais, econômicos e sociais. Avaliar as mudanças organizacionais nestes aspectos no processo de implantação da norma OHSAS 18.001 no Sistema de Gestão Integrada da empresa Samsung SDIB, localizada na cidade de Manaus (AM), foi o principal objetivo deste trabalho. Para atingi-lo fez-se pesquisa, a um só tempo, dos tipos descritiva, exploratória, teórico-empírica e sob a forma de estudo de caso, além disto fizeram-se usos dos métodos da observação e indutivo. As técnicas, que incluíram verificações in loco, pesquisas bibliográficas e a aplicação de um formulário, revelaram-se apropriadas para a coleta e análise dos dados. Por sua vez, os resultados, que foram amplamente discutidos, ficaram sintetizados em um gráfico polar no qual se expõe como estando em um nível 5, portanto em um padrão excelente, à época da pesquisa, os aspectos referentes à implantação do SGSSO e às mudanças organizacionais culturais, econômicas e sociais da empresa sob estudo.

In this study, the existence of corporate practices will also be verified that aim towards the encouragement of intrapreneurialism. Using interview techniques, it is intended to verify the level of staff knowledge about the concepts associated to intrapreneurialism. With the intention of identifying the existence or not of a homogenous understanding, the results of the interviews will be compiled and analyzed through four perspectives: hierarchic levels (top executives and middle management) and the areas of actuation (operational and commercial). The human resource corporate programs and the cultural change will be analyzed through the light of the characteristics of an intra-entrepreneurial organization with the purpose of identifying the existence or not of institutional incentive. This study does not aim to categorize if the company is intrapreneurial or not, as the focus will be to present the current stage the company finds itself in accordance with the practices that they actually use to encourage intrapreneurialism. / Trabalho de dissertação de mestrado que visa analisar o entendimento dos funcionários da empresa estudada sobre os assuntos associados ao tema intra-empreendedorismo bem como sua aplicabilidade na empresa. Neste trabalho, será verificada também a existência de práticas corporativas que visam incentivar o intra-empreendedorismo. Através da técnica de entrevistas, pretende-se verificar o grau de conhecimento dos funcionários sobre os conceitos associados ao intra-empreendedorismo. Com a finalidade de identificar a existência ou não de homogeneidade de entendimento, os resultados das entrevistas serão compilados e analisados através de quatro perspectivas: níveis hierárquicos (alto executivo e média gerência) e áreas de atuação (operacional e de negócios). Os programas corporativos de recursos humanos e de mudança cultural serão analisados a luz das características de uma organização intra-empreendedora com objetivo de identificar a existência ou não de incentivo institucional. O trabalho não tem como objetivo categorizar se a empresa é intra-empreendedora ou não, pois o foco será de apresentar o estágio atual em que a empresa se encontra quanto às práticas que visam incentivar o intra-empreendedorismo.

Facilitators and Inhibitors in Large-Scale Agile Transformations : A case study in a software organization in the automotive industry focusing on change management and cultural aspects

There are many difficulties in agile transformations, and a majority of the transformation efforts fail. However, companies continue to pursue the agile path, pushed by forces, both in their environments and internally. The purpose of this study is to explore what facilitators and inhibitors are present in an agile transformation. This is to try and understand agile transformations better, and a lens of change management and culture will be utilized to focus on some essential aspects. To succeed in this, two research questions are to be answered: How does culture facilitate or inhibit change in agile transformations in a software organization in the automotive industry? And, how does change management facilitate or inhibit change in agile transformations in a software organization in the automotive industry? This thesis is a case study on a software organization in the automotive industry, and provides a retrospect on the transformation. The firm originates from the automotive industry, resulting in the industry-related culture to continue affecting the firm today, both internally and externally. To understand the organizational context, the history of the organization, and the culture, the case study try to go in depth by exploring solely a single case. The thesis results are that multiple facilitators and inhibitors are identified for each of the aspects. However, most facilitators and inhibitors relates to both change management and culture, touching upon the interplay between these aspects. Further, the transformation effort is identified to be dependent on both the organizational culture and the organizational context, implicating that transformations efforts are rather unique.

Maintaining an organizational culture during a workforce expansion : A case study at a software product development scaleup / Bibehållande av en organisationskultur under tillväxt av antal anställda : En fallstudie på ett produktutvecklings scaleup

Researchers have already studied organizational culture and expansions of organizations separately. However, the combination of these, how organizational expansion challenges may affect cultural aspects is rare and the niche of this study. This qualitative case study investigates how organizational culture can be maintained during fast workforce expansion in a product department. The first step in this study was to study what can characterize an organizational culture in a department where product development and technology are central, in a software development scaleup. The empirical results present 13 cultural areas characterizing the organizational culture in the case company, which has similarities to Clan culture that promotes collaboration and personal development. Similarities with Engineering culture and Hacker culture are present in the product department as well. Some cultural aspects may be seen as unique for the case company’s product department, which are humbleness and the focus on work-life balance. Further, some employees argue that they have never felt as proud of the product at previous workplaces, as they do at the case company. These cultural aspects have explicitly been explained as unique in the empirical results and not found in the reviewed literature. Further investigation focused on possible reactions to a workforce expansion, by the interviewed employees. This included both positive expectations and areas of concern. The challenges that may occur in a fast-growing workforce and possible solutions were investigated as well. Four areas of possible expansion challenges were detected in the empirical results, which were related to organizational structure changes, cultural distribution, inclusive organization, prioritizations, and work focus switches. Through the analysis process, cultural aspects that may be affected by these challenges were analyzed and discussed. The presented possible solutions focus on how to manage possible challenges that may occur and at the same time maintain cultural aspects of foremost trust, inclusion, transparency, diversity, culture distribution, constant change, and innovation. / Forskning om organisationskultur och tillväxt av företag har tidigare gjorts separat. Kombinationen av dessa ämnen, hur utmaningar relaterat till tillväxt av ett företag kan komma att påverka kulturella aspekter är sällsynt och denna studies nisch. Denna kvalitativa fallstudie undersöker hur organisationskultur kan bevaras under snabb tillväxt av antal anställda i en produktavdelning. Först gjordes en tolkning av vad som karakteriserar en organisationskultur i en avdelning där produktutveckling och teknik är det centrala, i en produktutveckling scaleup som jobbar med mjukvara. The empiriska resultaten presenterar 13 kulturella områden som karakteriserar organisationskulturen på fallföretaget, vilken har likheter med Klankultur som främjar samarbete och personlig utveckling. Likheter med Ingenjörskultur och Hacker-kultur är också närvarande i produktavdelningen på fallföretaget. Vissa av de kulturella aspekterna kan anses unika i fallföretagets produktavdelning, vilka är ödmjukhet och fokus på work-life balance. Fortsättningsvis argumenterar vissa anställda att de aldrig känt sig så stolta över produkten de utvecklar på tidigare arbetsplatser, till skillnad från den stolthet de känner för produkten på fallföretaget. Dessa kulturella aspekterna har ansetts unika av de anställda i de empiriska resultaten och har inte påvisats i andra studier inkluderat i litteraturstudien. Nästa fokus i studien var att undersöka vilka möjliga reaktioner de intervjuade anställda på fallföretaget hade gällande tillväxt av antal anställda. Dessa reaktioner belyste både positiva förväntningar och orosområden. De möjliga utmaningarna som kan uppkomma i en snabbväxande organisation och möjliga redskap för att lösa dessa undersöktes också. Fyra områden av möjliga tillväxtsutmaningar upptäcktes i de empiriska resultaten, vilka var relaterade till förändringar av organisationsstruktur, kulturdistribution, inkluderande organisation, prioriteringar och arbetsfokus. Under analysprocessen upptäcktes kulturella aspekter som kan komma att påverkas av dessa möjliga utmaningar, vilka var analyserade och diskuterade. De presenterade potentiella lösningarna fokuserar på hur man bemöta dessa möjliga utmaningar sammanknippade med företagstillväxt och hur man samtidigt kan bevara kulturella aspekter så som främst tillit, inkludering, transparens, mångfald, kulturdistribuering, konstant förändring och innovation.
