The protection of pre-registration rights in land: a comparative study of gazumping in Australian and other juridictions

The purpose of this thesis is to examine the problem of gazumping, to consider the various factors which give rise to it, to examine the adequacy of existing legal doctrine in redressing it, to explore statutory provisions designed to reduce gazumping and to propose reform of the law to address the problem. The term gazumping refers to a practice by which a vendor accepts a purchaser's offer to purchase land or property, and before exchanging contracts, withdraws from the existing agreement in order to accept a higher price from another purchaser. This thesis proceeds on the assumption that gazumping is an undesirable practice, particularly from the prospective purchaser' perspective. The practice of gazumping initially boomed in a volatile property market with constantly rising house prices and where demand exceeded supply. A purchaser who believes he or she has secured the purchase of his or her desired property may suffer emotional stress and significant costs which cannot be recovered when the vendor reneges on his or her agreement. The thesis notes that gazumping occurs at the pre-contractual stage in the sale of property because there is no legally binding relationship before the formal exchange of contracts. The thesis posits that the existing law in various Australian jurisdictions offers inadequate protection to prospective purchasers of property. The thesis examines the inadequacy of existing legal doctrines and remedies in addressing the problem of gazumping at the pre-contractual stage and arrives at the conclusion that existing legal doctrine is inadequate. The thesis notes legislative and other measures in response to gazumping in Australia and other common law jurisdictions and concludes that these too were inadequate in not going far enough to eliminate or reduce gazumping. The competing merits of these approaches are considered. The thesis establishes that the solution to gazumping lies in an early protection of the purchaser�s interest in land. This is because as soon as an agreement is enforceable the purchaser acquires an equitable interest and in the event of any breach of the agreement by the vendor, the purchaser, as a general rule, can obtain either damages or specific performance. The thesis raises seven key recommendations for law reform aimed to minimise the occurrence of gazumping and to provide the purchaser with tools against the practice of gazumping. It considers that the recommendations can minimise the undesirable practice of gazumping where the current law is inadequate and also achieve several other objectives.

L'avant-contrat en droit des contrats d'auteur / The pre-contract in author’s contract law

L’étude de l'avant-contrat en droit des contrats d'auteur est celle de la période précédant le contrat d'auteur, période de l'avant-contrat et des avant-contrats pouvant jalonner celle-ci. Cette étude s'intéresse à l'articulation, dans la période précédant la conclusion du contrat, entre les règles du droit commun et les règles du droit des contrats d'auteur auxquelles sera soumis le contrat préparé. Il apparait que la période de l'avant-contrat est, au delà de l'influence indirecte qu'exerce le droit d'auteur sur la justification d'un renforcement de certains devoirs, entièrement soumise au droit commun. L'avant-contrat précédant le contrat d'auteur est ainsi régulé par le droit commun. Le droit spécial des contrats d'auteur n'est cependant pas absent de la période de l'avant-contrat. Il intervient dans cette période en encadrant les avant-contrats pouvant être conclus par l'auteur, délimitant un cadre à l'intérieur duquel pourront s'épanouir ces contrats préparatoires. Les avant-contrats apparaissent alors comme le vecteur de l'infiltration des règles du droit des contrats d'auteur dans la période de l'avant-contrat. / The study on the pre-contract in author’s contract law is about the period before the author’s contract itself; the pre-contracts can punctuated that period. This study is about the junction, during the pre-contract period, between the system of common law and the author’s contract law rules under which the contract will be written. It appears that the pre-contract period is completely subjected to the common law rules even though the author’s contract law has an indirect influence on the pre-contract, especially concerning the importance of certain duties. Thus, the pre-contract, which appears before the author’s contract, is subjected to the common law. However, the period of the pre-contract does not ignore the author’s contract law. It gives a legal framework to pre-contracts which can be concluded by the author. Pre-contracts allow contracts’ law rules to infiltrate the pre-contract period.

A research to develop English insurance law to accommodate Islamic principles

In recent years the popularity of Islamic insurance policies has grown rapidly with many companies across the world providing this service. London is said to be the hub for Islamic finance. It is well known for welcoming innovative financial methods. The FSA have already authorised the insurance company Salaam Halal to provide policies based on Shariah principles. The FSA, however, announced that they must operate within the same legal framework as all other insurance policies. Consequently English law has to be applied in Islamic policies taken in this country. However, in many aspects, Shariah principles contradict English insurance law. This thesis aims to discover how they contradict and recommend how the Islamic insurance policies can be applied in English law without breaking Shariah principles. As Shariah principles merely provide a wide boundary within which any law can be applied, this thesis analyses English insurance law first, and then discusses how Islamic insurance policies can operate within the English framework. In many cases, English insurance law crosses the boundary of Shairah principles due to its unfair consequences. Consequently making English insurance law fairer could be the best solution to allow the use of Islamic insurance policies under English law. Pragmatically, the thesis focuses mainly on problems within current English insurance law and recommends possible solutions. In many cases, the solutions suggested by the Law Commission are found to be incapable of establishing fairness. The majority part of this thesis is spent trying to establish a fairer framework for English insurance law. This fairer English insurance law is found to be Shariah compliant in most cases. In some cases it is not complaint due to operational differences between the two legal systems. In these cases, the thesis recommends that the Islamic insurer should incorporate certain terms to make policies Shariah compliant without breaching English insurance law.

Quantity Surveyors are considered as the most qualified cost specialists in the construction industry, with their experiences and skills in cost management and control as well as contract management. However, this role is not well recognized in Sweden compared to other countries such as the UK where it’s originated from. And so, the construction industry in Sweden uses other professions for the roles that were supposed to be done by quantity surveyors or cost managers. As a result, the quantity surveyors that have penetrated the Swedish construction industry, face challenges to perform their duties specifically in this case, cost control due to several circumstances. This study has looked into different contractual challenges that face quantity surveyors while performing cost control in building projects. Also, recommendations have been made to help mitigate these challenges and improve cost control in projects. In this master thesis, qualitative study has been performed where quantity surveyors were interviewed regarding cost control and the contractual challenges, they face in building construction projects. The findings were analysed with a theoretical framework and discussed together with previous research and knowledge and in this study principal – agent theory was used. The results of the study showed that poor planning, late involvement of the quantity surveyors in projects, lack of effective communication and poor contract management are the main challenges that face quantity surveyor in performing cost control in building projects. To overcome these challenges, the author suggests that there is a need of increasing awareness on the importance of having quantity surveyors and clearly establish their roles in projects, have proper communication plan, proper contract management and improve skills on quantity surveying software. / Kvantitetbesiktningsman anses vara de mest kvalificerade kostnadsspecialisterna inom byggbranschen, med sina erfarenheter och färdigheter inom kostnadsstyrning och kontroll samt kontrakthantering. Denna roll är dock inte välkänd i Sverige jämfört med andra länder som Storbritannien där den härstammar från. Och så använder byggbranschen i Sverige andra yrken för de roller som skulle göras av kvantitetsmätare eller kostnadsansvariga. Som ett resultat står de kvantitetsmätare som har trängt igenom den svenska byggbranschen inför utmaningar att utföra sina uppgifter specifikt i detta fall, kostnadskontroll på grund av flera omständigheter. Denna studie har undersökt olika avtalsmässiga utmaningar som möter kvantitetsmätare när de utför kostnadskontroll i byggprojekt. Dessutom har rekommendationer gjorts för att mildra dessa utmaningar och förbättra kostnadskontrollen i projekt. I detta examensarbete har en kvalitativ studie utförts där kvantitetbesiktningsman intervjuades angående kostnadskontroll och de kontraktsmässiga utmaningar som de står inför i byggprojekt. Resultaten analyserades med en teoretisk ram och diskuterades tillsammans med tidigare forskning och kunskap och i denna studie användes princip - agentteori. Resultaten av studien visade att dålig planering, sen involvering av kvantitetsmätarna i projekt, brist på effektiv kommunikation och dålig kontrakthantering är de viktigaste utmaningarna för kvantitetsmätaren när det gäller att utföra kostnadskontroll i byggprojekt. För att övervinna dessa utmaningar föreslår författaren att det finns ett behov av att öka medvetenheten om vikten av att ha kvantitetsmätare och tydligt fastställa sina roller i projekt, ha korrekt kommunikationsplan, korrekt kontrakthantering och förbättra färdigheterna i kvantitetsmätningsprogramvara.

O contrato preliminar incompleto / The incomplete preliminary contract

Esta dissertação tem por objetivo analisar o contrato preliminar, a partir das diversas funções que ele cumpre no processo de formação do negócio jurídico. Em especial, examina-se a figura do contrato preliminar que é menos completo do que o contrato definitivo, estabelecendo apenas os aspectos essenciais do negócio prometido e deixando em aberto outros pontos que devem ser preenchidos no intervalo entre os dois negócios. O contrato preliminar incompleto, como se lhe designa aqui, constitui uma etapa no processo de formação progressiva do contrato, atendendo a interesses dignos de tutela conforme o ordenamento jurídico. Para tanto, o trabalho está dividido em quatro capítulos, além da introdução e da conclusão. Na primeira parte, apresentam-se os principais interesses práticos que estão por trás da cisão do negócio em duas etapas (no contrato preliminar e no contrato definitivo). Vê-se que o contrato preliminar não é uma figura inútil, um desdobramento desnecessário do processo de formação do negócio. Na segunda parte, são delineados os contornos do contrato preliminar, mediante o exame de sua causa e de seu objeto, além das figuras que se lhe assemelham. Demonstra-se que, embora não se confunda com o negócio definitivo, o contrato preliminar já deve definir a causa do negócio prometido, que serve para identificá-lo. Na terceira parte, atenta-se para o chamado princípio da equiparação, que determina que, em regra, o contrato preliminar siga a mesma disciplina prevista para o negócio definitivo. Tal princípio deve ser, todavia, excepcionado, quando a própria cisão do processo de formação do negócio no preliminar e no definitivo serve para afastar alguma regra que valerá apenas para o segundo negócio. Nesse ponto, demonstra-se que o princípio da equiparação não se aplica integralmente no que se refere ao objeto do contrato definitivo, que não precisa estar previsto, exaustivamente, no contrato preliminar. Revela-se, aí, a admissibilidade da figura do contrato preliminar incompleto. Por fim, na última parte, examina-se a execução específica do preliminar, destacando-se, em particular, o cabimento desse remédio também para o chamado contrato preliminar incompleto, quando, então, caberá ao juiz integrá-lo mediante as regras de integração previstas no ordenamento jurídico. / The objective of this dissertation is to analyze preliminary contracts in the light of the various functions they perform in the formation of a legal transaction. In particular, the paper examines preliminary contracts which are less complete than the definitive contracts they precede and which set out merely the essential aspects of the promised transaction, leaving other points to be decided upon in the interval between the two contracts. Such contracts, referred to in this paper as incomplete preliminary contracts, constitute a distinct stage in the process of progressive formation of the legal transaction and address interests which are capable, in our legal system, of giving rise to a claim for judicial relief. This study is divided into four chapters (in addition to the introduction and conclusion). The first part sets out the principal practical interests behind the splitting of a legal transaction into two distinct parts (the preliminary contract and the definitive contract) and demonstrates that the preliminary contract is by no means an unnecessary and useless offshoot of the formation of a legal transaction. The second part sets out an overview of preliminary contracts in terms of their raison dêtre and their objects and draws a parallel with other similar legal instruments. This part seeks to show that despite being distinct from the definitive contract, the preliminary contract defines the raison dêtre of the promised transaction (i.e. the reason for contracting) and thus serves to define (classify) the contract. In the third part, attention is drawn to the so-called principle of equivalence (principio de equiparação) according to which a preliminary contract must, as a general rule, comply with the same legal rules applicable to the definitive agreement. An exception needs to be made, however, when the actual separation of the process of formation of the legal transaction into preliminary and definitive stages leads to a given rule being applicable solely to the definitive contract. The author demonstrates that, in such cases, the principle of equivalence does not apply in full to the objects of the definitive contract and said objects do not therefore need to be the subject of exhaustive provision in the preliminary contract. This therefore reveals that an incomplete preliminary contract is legally permissible. Finally, in the closing part of the paper, the issue of specific performance of the preliminary contract is examined. Particular emphasis is given to the applicability of this legal remedy to incomplete preliminary agreements and to the powers vested in the judge to complete (i.e. fill in the gaps) in the preliminary contract, in accordance with the applicable rules as to integration of contracts
