- RESUME This work is concentrated on issue of purchase of medical practices which in this market period gains the importence. Even though today there is bigger and bigger demand for this transaction, legislation is not very well adapted to that. Medical practice can be perceived as undertaking pursuant to § 502 civil code. Because of that, it is possible to sell it (besides other ways) based on legal title business purchase contract pursuant to § 2175 civil code. Legal title business purchase contract is in practice used often, nevertheless whole process of purchase of medical practice based on legal title business purchase contract is not smooth. I would like to highlight the problems which can emerge. It is possible to divide this work into two parts. The first part deals with legal definitions and legal analysis of basic legal terms as undertaking, medical practice, provider of medical assistance services. We can find here also justification why it is possible to perceive medical practice as undertaking. The second part is focused on business purchase contract in general with specifics, which can arise in case of purchase of medical practice based on legal title business purchase contract. 隨網際網路、行動載具及數位科技之進步,金融服務之提供不再受限於地域上之隔閡。邇來,有許多國際性投資銀行擬透過其所經營之網路交易平台向我國投資人提供證券經紀服務,然因我國現今並未開放外國證券商得跨境提供我國投資人證券經紀服務,在相關規範上付之闕如。 然而,法律上之禁止並無法阻止科技進步興起之跨境證券活動浪潮。如有朝一日我國擬開放外國證券商跨境提供我國投資人證券經紀等金融服務時,應採取何種規範方式及相關規範內容為何,有其討論之需要性及必要性。 按此,本文首先將介紹我國現行證券商相關之規範制度,後參酌美國、澳洲及德國對於外國證券商跨境提供其國內投資人證券經紀服務之規範方式及內容,輔以國際證券管理機構組織所歸納使用於跨境證券活動之三種規範制度,嘗試提出我國對外國證券商跨境提供我國投資人證券經紀服務得採行之規範方式及內容之建議。 本文研究結果建議,我國應針對不同身分別之投資人分別採用國民待遇規範制度及認可規範制度。即在非屬專業投資人部分,採用國民待遇規範制度;而在專業投資人部分,採用認可規範制度。同時,建議就有關跨境提供證券經紀服務之開放可分階段進行。最後,針對我國現行證交法及其相關規定,本文亦參考美國、澳洲及德國在相關規範架構下之細部規定,提出法規修正之建議及我國可能可以考慮之細部規範內容。 在跨境金融服務興起的今日,重新思考及架構一套符合證券及金融市場國際化之規範架構及方式是一個必經的歷程,希望透過本文之研究結果及建議,能幫助我國在此波金融國際化之浪潮中立足國際。 / With the progress of the Internet, mobile vehicles and digital technology, the provision of financial service is no longer limited to geographical barriers. Recently, there are a lots of international investment banks intend to provide securities brokerage services to our domestic investors through their electronic trading platform. However, since Taiwan is not yet open to foreign securities firms to provide securities brokerage service to our domestic investors on a cross-border basis, there is lack of any relevant regulation. Nonetheless, the legal prohibition on the provision of service on a cross-border basis can not stem the tide of the cross-border securities activities resulted by the technological advancement. If one day Taiwan opens the foreign securities firms to provide securities brokerage services and/ or other financial services to our domestic investors on a cross-border basis, it is necessary and a must for Taiwan to consider what regulatory model and what regulations should be taken. Given the above, this study will first introduce the current regulatory regime related to the securities firms in Taiwan, and then take the regulatory regime and regulations governing the foreign securities firms providing securities brokerage service to the domestic investors on a cross-border basis adopted by the US, Australia and Germany and the three types of regulatory regimes summed up by the IOSCO, which are used for the regulation of cross-border securities activities, into account to try to propose the suggestions on the possible regulatory regime and regulations for Taiwan to adopt for this issue. The results of this study suggest that Taiwan should adopt the regulatory tools called National Treatment and Recognition and used them depend on the type of investor. That is, as to the non-professional investor, Taiwan should adopt National Treatment to regulate the cross-border securities brokerage service; and as to the professional investor, Taiwan should adopt Recognition to regulate the same. At the same time, this study suggests the cross- border provision of securities brokerage service could be considered to be opened by phases. Finally, as to the current Taiwan Securities and Exchange Act and its relevant regulations, this study also provide the proposed amendments and the relevant details by making reference to the regulations adopted by the US, Australia and Germany under the regulatory regime of each of them. In today’s world, it is a must to rethink and structure a regulatory regime and regulations that conform to the internationalization of securities and financial markets. It is hopeful that the results and suggestions in this study could assist Taiwan to gain a footing in the arena of the international financial market.

In practical part of this thesis the author proposes a model of organization providing educational music shows for children in nursery schools. This part of the work includes a marketing analysis for the model organization as well as marketing and financial plan. The final part describes conditions under which the model organization would function successfully.

Fenomén vdovství u starších žen / Widewhood phenomenon of old women

Dissertation is focused on widowhood of old women living in Czech Republic. The work shows specifics of old age especially flexibility to changes, quality and life meaningfulness in old age, covers marriage in old age and describes dealing with losses of partner in old age. It presents theme of dealing with losses in old age, describes processes and kinds of grief, mourning, rites and consultancy for the bereaved. Special attention is paid to handicapped old women status and risks related to it which could jeopardize them. Dissertation also delimits the term of widowhood and focuses on its specifics. Attention is paid to the other reasons of loneliness which are not related to widowhood. Theoretical chapters are supplemented with information from six detailed conversations with widows and also presents the author's own experience which she obtained from practice in retirement homes and from her presence in the voluntary organization "Kavárnička dříve narozených".

Salariat et indépendance : la contradiction est profonde. En France, le droit du travail a été largement bâti sur l'opposition entre travail salarié et travail indépendant. Or, depuis plus de 20 ans, s'est développé en France un nouveau mode d'organisation du travail dénommé « portage salarial ». Il constitue une pratique contractuelle triangulaire établie entre des professionnels autonomes, une société de portage salarial et des clients. Ce mode d’organisation permet à ces professionnels de pouvoir exercer leur activité de façon indépendante, sans contrainte administrative ni de gestion, tout en bénéficiant des garanties sociales attachées au statut de salarié. Suspecté d'illégalité mais satisfaisant à un indéniable besoin social, le portage salarial devait être encadré. La loi du 25 juin 2008 portant modernisation du marché du travail donne à cette pratique un fondement légal et confie aux partenaires sociaux le soin de l’organiser. Malgré l’existence d’un accord collectif de branche, signé le 24 juin 2010, le portage salarial ne fait l’objet d’aucun encadrement législatif. Face au mutisme du législateur et à l’indécision du juge, l’insécurité règne. Il importe alors d’établir précisément les fondements et le mécanisme du portage salarial. Bien que périlleuse, cette quête d’un régime juridique mérite d’être entreprise afin de répondre au mieux aux attentes et aux interrogations des travailleurs et des entreprises qui seraient amenés à utiliser cette formule. Salariat et indépendance : la contradiction n’est que superficielle. / The contradiction between wage-labor and independence is particularly deep. In France, labor law was mainly built upon the opposition which exists between the wage labor and independent labor regimes. However, the past 20 years gave rise to the development of a newsocioeconomic relationship between workers and their employers : the "umbrella company" regime. Such model consists in a three-party-contract involving independent professionals, an umbrella company, as well as a client company. This type of organization constitutes a means for professionals to operate a non-subordinate work environment deprived of administrative or management-related constraints, while benefiting from all the social advantages pertaining to the wage-labor status. Initially suspected of being illegal, yet providing an undeniable social necessity, the umbrella company system requires a specific framework. The statute dated June 25th, 2008 on the modernization of labor market provides a legal framework to this system and assigns trade unions the mission to organize the circumstances surrounding such framework. Despite the existence of an Agreement dated June 24th, 2010, the umbrella company system lacks a clear legislative framework. The legislative branch's silence combined to the judicial branch's indecision triggers off a situation of significant insecurity on a legal point of view. The implementation of clear legal grounds and mechanisms applicable to the umbrella company regime is thus of the utmost necessity. Although such process is synonymous with a perilous quest, it seems particularly relevant to undertake it in order to come up with the expectations and questions of both the workers and the companies. The contradiction between wage-labor and independence is particulary superficial.

Implementing effective school practices for secondary English language learners : implications for leaders

In 1999, Texas Legislature mandated the Student Success Initiative to ensure all eighth grade students are on grade level in reading and mathematics. Although progress is evident, the achievement gap for English language learners remains. The purpose of this case study was to explore effective school practices that lead to closing the achievement gap. This qualitative study applies the two core functions of leadership for exercising influence and providing direction to answer the research question: How do the core functions of school leadership practices for implementing the Student Success Initiative requirements vary between English language learners and non-English language learners in high and low-performing middle schools? The comparison between the high-performing school and low-performing school brought forth key findings and identifies school practices for supporting secondary English language learners. The key findings for exercising influence on teachers were: 1) Effective school practices that influence teacher knowledge on how to identify students and their needs include: a) conducts a needs assessment.; b) analyze data; c) create differentiated ESL programs, d) place diverse groups of ELLs in differentiated ESL programs. 2) Effective school practices to influence teachers how to intervene include: a) accept teacher input and follow through on requests when planning interventions, b) target intervention needs; c) create differentiated interventions. 3) Effective school practices to influence teachers how to monitor include: a) analyze multiple types of data, b) measure student reading growth; c) measure student language proficiency, d) conduct walkthroughs to observe students. The key findings for providing direction to teachers established the following practices: 4) Effective school practices to provide direction to identify students and their needs include, a) develop and implement a school wide intervention plan, b) create a master schedule to implement differentiated ESL programs; c) model how to disaggregate data, d) develop and implement an individual plan for ELLs. 5) Effective school practices to provide direction to intervene include: a) assign ESL teacher to intervention groups, b) use data to drive intervention planning, c) measure growth in language and literacy, d) provide daily interventions, e) integrate language and literacy interventions in lessons. 6) Effective school practices to provide direction to teachers for monitoring include: a) measure growth of literacy and language development, b) triangulate multiple types of data, c) review intervention lessons during walkthroughs, e) provide daily interventions specific to student needs. / text

A l’origine essentiellement prétorien, ce procédé juridique revient à dispenser certains pouvoirs adjudicateurs des obligations de publicité et de mise en concurrence qui caractérisent le droit de la commande publique, lorsque ceux-ci entendent confier un activité, ou déléguer une mission, à un prestataire sur lequel ils exercent un contrôle analogue à celui qu’ils exercent sur leurs propres services, et qu’en retour, ce prestataire réalise plus de 80% de son activité avec le pouvoir adjudicateur qui le contrôle.
