Motivations and Experiences of Elected Governing Council Members

This qualitative study explores the motivations and experiences of individuals elected to serve on the Governing Council of the University of Toronto. Elected governors include alumni, students, staff and faculty. Six semi-structured interviews were conducted with 2 alumni governors, 2 student governors, and 2 staff/faculty governors. Interview questions helped to examine personal motivations behind serving in university governance, activities and duties of governors, self-perceptions of effectiveness and improvements to the experience of elected members. The responses were used to create interview summaries and discover common themes in the experiences of elected governors. Four theme areas emerged. They are (1) initial motivations, (2) learning and informal communication, (3) personal benefits, pride and positive experience, and (4) approach to governance. This study includes a discussion of the unique position of alumni governors and suggests improvements to the governor experience as recommended by the research participants.

The main topic of this thesis is the course of insolvency proceedings pending under Insolvency Act and the aim is to compare the actual ongoing insolvency proceedings in practice with the theory. In the beginning of thesis are defined the basic terms which can be appeared during the insolvency proceedings. Subsequently, there is theoretically demonstrated the course of insolvency proceedings from the start through the decision on bankruptcy to the ways of resolving insolvency. The following section discusses the economic impacts of the debtor and his creditors. The aim of practical part is demonstrating the application of insolvency law in practice using by the real insolvency proceedings with EQUUS Company Ltd.

This study focuses on the discretionary inter vivos trust. It specifically investigates what the discretion of a trustee comprises and in which circumstances (if any) the court may amend the trustee‟s discretion as stipulated in the deed of trust. In order to make any meaningful conclusions, the different types of trusts, and more specific the way in which trusts are classified, needs to be researched. An inter vivos trust is classified as a contract for the sake of a third. Consequently contract law rules are applied in the interpretation and amendment of an inter vivos trust. The source, goal and tenor of a trustee‟s discretion, as well as the circumstances wherein this discretion may be amended, are investigated. The general rule is that courts have no discretion to amend a trust, but there is an exception to the rule. In accordance with article 13 of the Trust Property Control Act 57 of 1988 courts do have the power to amend or cancel the deed of trust in certain circumstances. In Potgieter and Another v Potgieter NO and Others 2012 (1) SA 637 (HHA) the court ruled that the power granted by article 13 does not enable judges to create law by amendment of the deed of trust according to their subjective interpretation of what is fair and just. L'agent des sûretés dans les financements appréhendé par les droits anglais et français : approche comparée / Security agent in the context of financings under english law and french law : comparative approach

Le crédit est indispensable au bon fonctionnement de l’économie. Il existe sous différentes formes (financement participatif, émission obligataire, etc.). L’une des plus répandues reste le crédit bancaire, et lorsque ce crédit est dispensé par au moins deux établissements financiers, il s’agit d’un « crédit syndiqué » qui répond à une certaine organisation collective. C’est dans ce contexte qu’un « agent du crédit » assure l’administration du crédit. En fonction du droit applicable, il peut être un « agent » (droit anglais) ou encore un « mandataire » (droit français). De surcroît, ces financements étant généralement pourvus de sûretés et de garanties il est fréquent de constater l’intervention d’un « agent des sûretés ». Ce dernier agit comme un véritable « gardien » des sûretés et des garanties dont bénéficient les parties financières en garantie de la bonne exécution des obligations des emprunteurs au titre des documents de financement. Son rôle est donc crucial. / Credit is essential for the smooth functioning of the economy. It is existing in various forms (crowdfunding, bond issuance, etc.). One of the most widespread is the bank loan, and when this credit is provided by at least two financial institutions, it is a "syndicated loan" that has to fulfil a certain collective organization. It is in this context that a "facility agent" ensures the administration of loan. Depending on the applicable law, it may be an « agent » (English law) or a « mandataire » (French law). Moreover, as these financings are generally provided with security and guarantees, it is frequent to observe the intervention of a "security agent". The latter acts as a "guardian" of the security and guarantees the financial parties are benefiting from as guarantee of the proper performance of borrowers' obligations under the finance documents. Its role is therefore crucial.

Konkursgäldenärs skiljeavtal : när binder avtalet konkursboet?

Syftet med denna kandidatuppsats är att beskriva gällande rätt kring om och när en konkursgäldenärs skiljeavtal binder dess konkursbo samt konsekvenserna av detta. I dagsläget är rättsområdet osäkert och enbart grundat på praxis, uppsatsen utreder därför även om lagstiftning eller annan utveckling på området är erforderlig. Det har i praxis konstaterats att en konkursgäldenärs skiljeavtal binder dess konkursbo då tvister gäller obligationsrättsliga anspråk och bevakningsförfaranden är aktuella. I praxis kan vidare konstateras att i tvister av sak- och föreningsrättslig karaktär är ett konkursbo inte bundet av konkursgäldenärs skiljeavtal. Tvister avgörs då i enlighet med konkursrättens tvistlösningsmetoder. Juridisk metod används för att beskriva gällande rätt och för att bringa klarhet i de grundläggande bestämmelserna på området används en deskriptiv metod. En problemorienterad metod används för att analysera rättsläget. Konsekvenserna av att ett konkursbo är bundet av konkursgäldenärens skiljeavtal är att en borgenär kan, genom sin skiljeklausul, komma att tillgodogöra sig mer ur konkursboets egendomsmassa än övriga borgenärer med bevakade fordringar i konkursen som inte avtalat om skiljeförfarande. Att konkursboet i obligationsrättsliga fall är bundet att tvista i ett skiljeförfarande, trots att boet inte existerat vid skiljeavtalets uppkomst, innebär att en kollision mellan offentlig- och civilrätt uppstår. Författarna anser avslutningsvis att konkursgäldenärs skiljeklausul inte ska binda dess konkursbo. De sak- och föreningsrättsliga rättsfallen är mer klara i sina argument och utveckling av rättsläget bör därför, enligt författarna, ske i samförstånd med dessa bedömningar. / The purpose of this bachelor’s thesis is to investigate current law whether if and when a bankruptcy debtor’s arbitration agreement is binding towards its bankrupt’s estate and the consequences of this. The legal position is in the current situation uncertain and is solely based on legal cases; the thesis investigates therefore whether legislation or other development within the area is required.  It has been stated through legal cases that bankruptcy debtor’s arbitration agreement is binding towards its bankruptcy estate when the conflict refers to claims on law of obligations and when monitoring procedures are in question. Case law furthermore state that the bankruptcy estate is not bound by its bankruptcy debtor’s arbitration agreement in conflicts concerning law of property and rights of association. A traditional legal method has been used in order to investigate current law and a descriptive method has been used to clarify the fundamental provisions in the area. A problem-oriented method has been used in order to analyze the legal position. The consequences of the binding effect of the arbitration agreement towards the bankruptcy’s estate is that a creditor can, through its arbitration clause, utilize more from the bankruptcy’s estate property than the rest of the creditors, whom have not agreed on an arbitration clause. That the bankruptcy’s estate is considered forced to dispute in arbitration, even though the bankruptcy’s estate did not exist when the arbitration agreement occurred, implies that an impact between public- and civil law arises. The authors consider that the bankruptcy’s debtor arbitration clause should not be binding towards its bankruptcy’s estate. The authors is of the opinion that the case law conflicts concerning law of property and rights of association are more clear in their argument’s and development of the legal position should take guidance from these legal cases.

According to Peruvian legislation, through an escrow agreement a trustor transfers under a fiduciary domain in favor of an escrow agent various goods, rights and obligations, which must achieve certain purpose. These will constitute an autonomous patrimony that does not respond any obligation of the trustor and the agent escrow. Despite the clarity of this statement, the authors reveal that indeed there might be different interpretations about this agreement that have practical consequences with the treatment of real properties subject to fiduciary dominion. / De acuerdo a la legislación peruana, a través del contrato de fideicomiso, el fideicomitente transfiere en dominio fiduciario a favor del fiduciario diversos bienes, derechos y obligaciones, los mismos que deben ser afectados a la consecución de un determinado fin. De tal manera se constituye un patrimonio autónomo que no responde por las obligaciones del fideicomitente ni del fiduciario. Pese a la claridad de dichas disposiciones, los autores evidencian que en la realidad se presentan situaciones problemáticas de concepto que tienen consecuencias prácticas con el tratamiento de los inmuebles sujetos a dominio fiduciario.

The “Trust to Invest in Early Stage Businesses” is a government project based in a public bank of Paraguay. This “Trust” aims to become the first and the best landmark of “Angel Investor” to foster entrepreneurial culture and help in the development of the stock market and the economy of the country. There is no similar fund in the market, therefore there is no regulation about this type of investment; as a consequence, the “Trust” will start to work with the institutions in charge to establish the basis for this new industry. The special purpose of the “Trust” is to target the most vulnerable of the businesses, the seed and the start-up stages. Those segments are not covered by the banks or any other financial institution. This project is an opportunity for the government to foster the “Inclusive Economic Growth” that is one of the pillars of the “National Development Plan 2014-2030” because start-ups maybe are small companies but they can play a significant role in the economic growth. I believe that the “Trust” will receive back his investment with profit, so, there will be more money to invest in early stage businesses and the cycle will continue.
