Grounds for refusal of enforcement of foreign commercial arbitral awards in GCC states law

This thesis posed the question whether foreign arbitral awards are enforced in accordance with the demands of the New York Convention in the UAE and Bahrain and moreover whether the conditions for enforcement compel the conclusion that these two nations are enforcement-friendly in the same manner as leading arbitral nations such as the UK, France, Hong-Kong and NYC. On the basis of legislative and judicial practice in the UAE and Bahrain it was found that Bahrain and all UAE emirates, with the exception of Dubai, are enforcement friendly and more importantly place few constraints on the enforcement of foreign awards. Dubai is also enforcement-friendly but a small number of decisions, particularly Bechtel, leave significant latitude to foreign investors to consider Dubai courts, and particularly its court of Cassation, as dubious when it comes to enforcement. It was also found that Islamic law per se is not an obstacle in the enforcement of foreign arbitral awards and very few constraints were found from the perspective of public policy and arbitrability in particular. In fact, the courts of Bahrain and the UAE have applied a rather liberal interpretation of Islamic law in order to accommodate arbitral practices that have been sustained in other jurisdictions and under the lex mercatoria with a view to assisting the commercial vision of the two nations. Hence, it was found that Islamic law is an enabling vehicle in the enforcement of foreign arbitral awards in the UAE and Bahrain, rather than an obstacle.

The topic of this thesis is arbitration proceedings in the Czech Republic. In the introductory chapter arbitration is generally described, with definition of its characteristics in comparison with the ADR methods and regular court proceedings. Four basic theoretical standpoints concerning the arbitration proceedings are introduced. Arbitration is divided into general and specific arbitration as well as institutional and ad hoc. In the second chapter the issue of arbitrability is described- specifically the conditions of its formation. The third chapter focuses on the arbitration agreement, beginning from the inception, including its content and ending with cases when the agreement is void. Arbitrator, including requirements concerning the person, such as confidentiality, independence, and impartiality, is contained in the fourth chapter. It also includes arbitrator's appointment and remuneration. The fifth chapter deals with the arbitration proceedings in concreto. Basic principles governing the arbitration are outlined, following with initiation of legal action including further motions and evidence. The theme of this thesis is the arbitration proceedings in the Czech Republic, which is one of the alternative disputes resolutions. The goal of this thesis is to provide a complete summary of legal regulation of the arbitration proceedings. The thesis is divided into eight chapters. The first three chapters deal with general issues of the arbitration proceedings. The first chapter which is further subdivided into six subchapters is focused on the basic definition of the arbitration proceedings, its theoretical concepts, its advantages and disadvantages, as well as its different types. The second chapter provides a summary mainly of national legal regulation. Chapter three explains the objective conditions under which a certain range of disputes can be heard and decided in the arbitration proceedings, including some specific examples. Chapter four is concerned with the arbitration agreement which is the major institute and the basis condition of the arbitration proceedings. This chapter is subdivided into three subchapters dealing with for example the different types of arbitration agreements, their mandatory requirements and also their invalidity and termination. Transakční náklady ve veřejných zakázkách / Transaction costs in public procurement

The term public procurement refers to a contract between public entity and private companies. The public procurement contracts are regulated by the Public Procurement Act, which specifies the rules under which the public procurement should be performed and sets conditions of award procedures of public contracts. The quality of execution of the award procedure influences the efficiency and the transparency of the contract. The award procedure can be executed by internal employees of the contractor or outsourced. The main aim of this thesis is to analyze whether the contractors behave rationally when they outsource the award procedure; this thesis evaluates the differences between an in-house administration and an outsourced administration in prices, efficiency in terms of number of bidders in the contract and probability of formal errors in the award procedure. The results of the analysis shows that small contractors behave rationally; when they administrate the award procedure in-house they tend to make more formal errors thus they outsource the procedure. On the other hand, the large contractors do not behave rationally, because they outsource the administration of award procedure even if all three indicators show that they administrate the procedure in-house more successfully. The diploma thesis is dedicated to referring the issue of public procurement as one of possible ways of securing the public goods. The aim is to review the possibilities of public procurements for the purpose of getting the public goods in medical care facilities in the Czech Republic on the example of a hospital in Prague. The stress is put on their effectiveness. The diploma thesis is divided in three parts. The first part is engaged in the theory of public goods and ways of their dividing. The second part sums up the most important findings about public procurements according to the law. The last analytical part contains the analysis of efficiency of particular kinds of award procedures. To reach the targeted aim, except from available literature, I also used data and information gained from scholarly consultations and from guided interview.

Diferentemente do que ocorre na área pública, na qual tanto a Corte Internacional de Justiça (CIJ) quanto a Dispute Solution Board (DSB) da OMC estão aptas a solucionar os conflitos internacionais públicos, na área jurídica privada não é viável, no mundo contemporâneo, imaginar a existência de um modelo supranacional e global para a solução de litígios privados internacionais que se guiasse por normas processuais próprias e aplicasse normas materiais unificadas internacionalmente. Assim, cada país estabelece seu poder jurisdicional dentro de seu próprio território e nos limites postos pelo direito internacional, de modo que, atualmente, exceto nos casos em que se convencionar a solução do conflito pela via da arbitragem, será sempre um tribunal nacional que decidirá o litígio de caráter internacional. Haverá, evidentemente, casos em que as decisões proferidas em tribunais nacionais não apresentarão aptidão para garantir a efetivação dos interesses tutelados, fazendo-se necessário que parte ou a totalidade dos efeitos práticos da sentença sejam produzidos em outros sistemas jurídicos, ocasião em que, salvo convenções e tratados internacionais, haverá a necessidade de seu reconhecimento, por meio do processo de homologação, para que possa ser executada. Busca este trabalho demonstrar que nem todos os efeitos da sentença dependem do procedimento de homologação para que se manifestem. Por outro lado, a Lei de Arbitragem, ao equiparar em efeitos laudos arbitrais a sentenças estatais, consequentemente impõe ao laudo arbitral estrangeiro o seu reconhecimento por meio do processo de homologação pelo Superior Tribunal de Justiça, para que, só então, possa ser executado. Tal medida legislativa parece desconsiderar a distinção entre sentença judicial e laudo arbitral, este de natureza privada, que não decorre da prestação jurisdicional de um Estado, mas sim proferido por pessoas despidas de qualquer autoridade pública, cujo poder jurisdicional provém de convenção privada das partes. Em resposta a essa situação, propõe-se este trabalho demonstrar a diferença entre laudo e sentença, no intuito de eliminar a exigência legal da homologação dos laudos arbitrais estrangeiros pelo Superior Tribunal de Justiça, sem contudo retirar-lhes os efeitos, o que se daria pela limitação das matérias de defesa no processo de execução de títulos executivos extrajudiciais / Differently of what it happens in the public area, in the which both the International Court of Justice (CIJ) and the Dispute Solution Board (DSB) of OMC are capable to solve the public international conflicts, in the private juridical area it is not viable, in the contemporary world, to imagine the existence of a supranational and global model for the solution of private international litigations guided by own procedural norms and applied material norms internationally unified. Thus, each country establishes its jurisdictional power inside its own territory and into the limits put by the international law, so that, now, except in the cases that the solution of the conflict is stipulated by the means of arbitration, it will always be a national court that will decide the international litigations. There will be, evidently, cases in which the pronounced decisions by national courts wil not present aptitude to guarantee the efectiveness of the tutored interests, being necessary that part or the totality of the practical effects of the sentence are produced in other juridical systems, occasion in that, except for conventions and international agreements, there will be the need of its recognition, through the approval process, so that it can be executed. This work aims to demonstrate that not all the effects of the sentence depend on the approval procedure to be shown. On the other hand, the Law of Arbitration, when matching in effects arbitral awards to public sentences, consequently imposes to the foreign arbitral award its recognition by the means of the approval process by the Superior Tribunal of Justice, so that, only then, it can be executed. Such a legislative measure seems to disrespect the distinction between judicial sentence and arbitral award, this of private nature, that doesnt elapse from the jurisditional rendering of a State, but is pronounced by people without any public authority, whose jurisdictional power comes from the private convention of the parts. In response to that situation, this work intends to demonstrate the difference between arbitral award and sentence, in the intention to eliminate the legal demand of the approval of the foreign arbitral awards by the Superior Tribunal of Justice, without however removing their effects, what would de done by the limitation of the defense matters in the process of execution of extrajudicial executive titles.

A dissertação é dividida em oito capítulos, sendo cada um excetuados o introdutório e o conclusivo dedicado a enfrentar uma questão relativa ao campo de estudo selecionado. Os temas abordados são: (i) Convenção arbitral eletrônica; (ii) Sede da arbitragem virtual; (iii) Questões jurídicas advindas de um procedimento informatizado; (iv) O documento eletrônico como fonte de prova; (v) O computador como perito ou expert witness; e (vi) A sentença arbitral eletrônica. The dissertation is split into eight chapters with each chapter, short of the first and last, dedicated to handling a question related to the field of study. The topics analyzed herein are: (i) Electronic arbitral clause; (ii) Seat of the virtual arbitration; (iii) Judicial quandaries resulting from high-tech procedures; (iv) The e-document as a source of evidence; (v) The computer as a judicial assistant or expert witness; and (vi) The electronic arbitral award. In the final conclusion emphasis is given to the compatibility between these novel technologies and arbitration, despite an adaptation of both the cultural and legal background that permeate this method of dispute resolution being recommendable.

Considerando a importância da busca pela excelência para que empresas e organizações possam se manter competitivas, diversos organismos buscaram premiar aquelas que demonstrassem melhor desempenho nos seus processos de gestão. Essas premiações são resultado de avaliações realizadas com base em critérios estabelecidos em modelos de excelência em gestão e fornecem um meio de avaliar o desempenho das organizações e identificar seus pontos fortes e fracos. O objetivo do presente trabalho é propor um modelo de avaliação da gestão dos órgãos do Poder Executivo do Estado do Rio Grande do Sul, que possibilite realizar um diagnóstico e identificar ações de melhoria, introduzindo uma cultura de excelência. Este modelo foi construído com base em estudo realizado sobre os modelos existentes e nas opiniões dos servidores públicos. Foi validado por meio da aplicação a três órgãos públicos estaduais, demonstrando ser um modelo aderente à realidade aplicada, que fornece importantes contribuições ao seu desenvolvimento dos órgãos e que pode ser utilizado como instrumento de comparação entre eles. Espera-se que o Modelo de Avaliação da Gestão sirva como ferramenta para fortalecer a gestão dos órgãos estaduais e estimular a melhoria contínua e a busca por resultados. / Considering the importance of the search for excellence that companies and organizations can remain competitive, several groups sought to award those that demonstrated better performance in their management processes. These awards are the result of assessments based on established criteria in management excellence models and provide a means to evaluate the performance of organizations and identify their strengths and weaknesses. The objective of the present work is to propose a management assessment model of Rio Grande do Sul’s Executive, which makes it possible to have a diagnosis and identify improvement actions, introducing a culture of excellence. This model was built based on a study of existing models and the opinions of public servants. It was validated through the application to three state public agencies, demonstrating that it is a model adherent to the applied reality, which provides important contributions to departments development and can be used as a comparison tool among them. It is hoped that the Management Assessment Model will serve as a tool to strengthen the management of state agencies and stimulate continuous improvement and search for results.

At the same time, it is incontrovertible that the competitiveness is essential to the inclusion of Brazilian companies in markets more and more globalized. In that context, the interest in entrepreneurship grows. Entrepreneurial competences take the lead role. The aim of this study is to identify how such entrepreneurial competences take part in the history of the life of the agents of the winning companies of the 2006 and 2007 Corporate TOP Awards and what made them successful people. This research has, as basis, the taxonomy presented by Vergara (2006): as far as to the ends, exploratory and descriptive and, to the means, bibliographic, documental, and multiple cases studies. The data were gathered through a semi-structured questionnaire and sent to the awarded people, after they were personally contacted. The treatment and the data analysis were developed through the Method of Content Analysis, mixed categorical analysis where they were defined, a priori, based on the theory of Man and Lau (2000). The sample of the first study, related to the winners of the 2006 Corporate TOP Award, had five out of six entrepreneurs; and, the sample of the second study, related to the winners of the 2007 Corporate TOP Award, had six out of eight. Seven entrepreneurial competences area stood out in the study. The results show that three of the seven competences area considered relevant and common: Conceptual Competence, Strategic Competence and Support Competence; and, they represent 58.77% of the related frequency, emphasizing the first and the second ones that stand for 24.85% of the total. It can be inferred that there is a relation between the entrepreneurship s success and the inherent competences of the entrepreneurs, such as independence and self-assurance, persistence, pride and self-esteem, creativity, innovation, intuition, taking moderate risks, perfectionism, and calling. The recognition of market opportunities is the key to the development of the activities where the derivation of occupation is the starting point. The major emphasis of its project is related to the obsessive search for quality and sustainability, aiming to the constant satisfaction of its clients. They are innovative in the Schumpeterian style, in the way that they don t necessarily associate innovation with scientific knowledge. They prospered once they had created in the market a new business strategy, as they have a high intelligence level for success. / Nos ?ltimos anos, consolidou-se a import?ncia que micro e pequenas empresas representam no cen?rio econ?mico e social do pa?s. Ao mesmo tempo, ? incontroverso ser a competitividade fundamental para a maior inser??o das empresas brasileiras em mercados cada vez mais globalizados. Nesse contexto, cresce o interesse pelo empreendedorismo. Compet?ncias empreendedoras assumem papel de destaque. O objetivo deste estudo foi identificar como tais compet?ncias empreendedoras fazem parte da hist?ria de vida dos agentes das empresas ganhadoras do Pr?mio TOP Empresarial nos anos de 2006 e 2007 e que os teria tornado bem sucedidos. A amostra do primeiro estudo, referente aos ganhadores do Pr?mio TOP Empresarial 2006, se constitui de cinco dentre os seis empreendedores. J? a amostra do segundo estudo, ganhadores do Pr?mio TOP Empresarial 2007, se constituiu de seis dentre os oito empreendedores. Destacaram-se sete ?reas de compet?ncias empreendedoras no estudo. Os resultados mostram que tr?s destas s?o consideradas relevantes e comuns: Compet?ncia Conceitual, Compet?ncia Estrat?gica e Compet?ncia de Suporte e representam 58,77% de freq??ncia relativa, com destaque para a primeira, que representa 24,85% deste total.
