Harmonization of International Securities Markets Regulation: A Trade Perspective

Widespread cross-border securities trading have led to the internationalization of securities markets. No one seriously disputes that such securities dealings require regulation, but there is no academic consensus on the best normative approach to such regulation. The academic debate initially focused on whether regulatory competition or cooperation constitutes the better model. However, the debate seems to have evolved to adopt a hybrid model combining the virtues of these two approaches. ‘Harmonization’ constitutes the dominant hybrid model. Nevertheless, the implementation of the harmonization model has barely received any attention in the literature. The aim of this thesis is hence two-fold: first, justify why harmonization should be the preferred model for the regulation of international securities markets; and second, develop, applying an international trade regulation perspective, a regulatory framework to implement the harmonization model using the World Trade Organization and General Agreement on Trade in Services (WTO/GATS) framework.

'n Belangrike aspek is of die instansie in staat is om 'n bepaalde diens te lewer wat betref voorraad, fasiliteite en personeel. 'n Vraag wat gevra moet word, is of hierdie diens teen betaling gelewer, of as 'n gratis diens aangebied moet word. 'n Belangrike aspek is die bemarking van dienste wat vroeer nie as deel van 'n ondememing sander winsoogmerke gesien is nie, maar deesdae deel van die bestuursproses uitmaak. Daar behoort ook 'n goeie verstandhouding en 'n vennootskap tussen die inligtingsdiens en die gebruiker in die gemeenskap te bestaan en samewerking tussen die partye behoort op hierdie wyse bewerkstellig te word. Om 'n pro-aktiewe inligtingsdiens aan te hied, is dit belangrik dat kennis geneem word van die inligtingsbehoeftes van die bestuurder in die handel en nywerheid. / Certain factors should be taken into consideration when an information service wishes to provide information to the community. An important matter is whether the institution is able to provide certain services as far as the collection, facilities and personnel are concerned. A question that should also be asked, is whether this should be a fee-based service, or a free service. Another important matter is the marketing of services, which in earlier times did not form part of a non-profit organization, but is nowadays regarded as part of normal management practice. There should also exist a good understanding and a partnership between the information service and the user in the community, and in this way co­ operation between both parties should be established. Orientador: Sebastião Carlos Velasco e Cruz / Resumo: O objetivo desta tese é contribuir para a compreensão dos padrões das regras de comércio de serviços propostas e/ou adotadas pelos Estados Unidos no âmbito das negociações comerciais internacionais, verificando se houve mudanças, se houve repetições desses padrões e quais seriam as causas de um resultado ou outro. O comércio de serviços, após uma assertiva estratégia dos negociadores americanos, entrou para a agenda da Rodada Uruguai de Negociações Comerciais Multilaterais do então GATT e chegou como principal tema nas negociações dos grandes acordos preferenciais de comércio – nomeadamente TPP e TTIP – liderados pelos negociadores americanos. Verifica-se que os padrões em referência espelham uma trajetória traçada a partir de uma campanha também agressiva de organizações e outros agentes, liderados especialmente pelo setor de serviços financeiros, em defesa de seus interesses. Tais atores, que foram essenciais no lançamento dessa agenda, continuaram dando sustentação aos acordos comerciais ao longo de todos esses anos, constituindo os maiores demandeurs a favor da liberalização. Tal institucionalização, ao mesmo tempo em que caracterizou uma resposta dos negociadores americanos ao padrão institucional que estava sendo adotado no GATSRodada Uruguai, tornou-se um padrão que teve influência recorrente e amplamente determinante nas regras resultantes das negociações envolvendo Estados Unidos que surgiram a partir de então. Tais argumentos estão ancorados nos pressupostos da abordagem analítica institucionalista histórica e nos conceitos path dependence, conjuntura crítica, nos mecanismos feedback positivo, sequenciamento e nos conceitos de transformações graduais, que ajudam a identificar o desenvolvimento institucional. / The purpose of this thesis is to contribute to the understanding of the standards of service trade rules proposed and/or adopted by the United States in the context of international trade negotiations, verifying if there were changes, if there were repetitions of these standards and what would be the causes of a result or another. Trade in services, following an assertive strategy of American negotiators, entered the agenda of the Uruguay Round of Multilateral Trade Negotiations of the then GATT and came up with as the main topic in the negotiations of the major preferential trade agreements – notably TPP and TTIP – led by the American negotiators. The standards in question reflect a path traced from an aggressive campaign of organizations and other agents, led especially by the financial services sector, in defense of their interests. These actors, who were essential in launching this agenda, continued to support trade agreements throughout all these years, making them the largest demandeurs in favor of liberalization. However, the American negotiators, if on the one hand expressed full interest in making gains from such liberalization, by aligning themselves with these demandeurs, on the other, found themselves challenged from the outset by internal and external constraints. The central argument advocated here is that the trade rules proposed and/or adopted by the United States in the context of international trade negotiations on services – specifically financial services; telecommunication services; audiovisual services; maritime transport services – in the Uruguay Round GATS, but effectively institutionalized in NAFTA, due to the adverse circumstances faced by Mexico, resulted from the demands of several private and public actors and were shaped within the existing institutional limits. Such institutionalization, while that featured a response from the American negotiators to institutional standard that was being adopted in the GATS-Uruguay Round, became a pattern that had recurrent and largely determining influence on the rules resulting from the negotiations involving the United States that emerged thereafter. Such arguments are anchored in the assumptions of the historical institutionalist analytical approach and in the concepts of path dependence, critical juncture, in the positive feedback and sequencing mechanisms, and in the concepts of gradual transformations that help identify institutional development.

An empirical investigation of the extension of servqual to measure internal service quality in a motor vehicle manufacturing setting

This research explores the role, which the construct, service quality plays in an internal marketing setting. This is achieved by evaluating the perceptions and expectations of the production department with regards to the service quality provided by the maintenance department of a South African motor vehicle manufacturer. This was done using the INTSERVQUAL instrument, which was found to be a reliable instrument for measuring internal service quality within this context. A positivist approach has been adopted in conducting this research. There are two main hypotheses for this study: the first hypothesis is concerned with the relationship between the overall internal service quality and the five dimensions of service quality namely: tangibles, empathy, reliability, responsiveness and reliability. The second hypothesis focuses on the relationship between the front line staff segments of the production department and the five dimensions of internal service quality. The results of this research suggest that the perceptions and expectations of internal service customer segments plays a major role in achieving internal service quality. In addition, the importance of the INTSERVQUAL instrument in measuring internal service quality within the motor vehicle manufacturing environment is confirmed.

Le Vietnam du Doi Moi poursuit sa libéralisation économique tout en consolidant le système politique hérité du marxisme-léninisme. Ce paradoxe influence considérablement son processus d'intégration économique internationale et se manifeste particulièrement dans le commerce des services. La manière dans laquelle le Vietnam reconnaît le principe de non-discrimination via les traités bilatéraux, plurilatéraux et multilatéraux, tant sous l'angle du commerce des services que sous l'angle de l'investissement, le prouve. Par ailleurs, dans le souci d'accélérer le développement économique, d'importantes réformes relatives au droit des affaires ont supprimé des discriminations substantielles entre les opérateurs économiques. Cependant, en raison de l'insuffisance de l'adapatation structurelle, la mise en oeuvre du principe de non-discrimination pose toujours de nombreuses difficultés. / Vietnam of Doi Moi pursues economic liberalization while strengthening the political system initiated from Marxism-Leninism. This paradox significantly influences its international economic integration process and manifests itself especially in the domain of trade in services. This is demonstrated by the manner in which Vietnam recognizes the principle of non-discrimination, through bilateral, plurilateral and multilateral agreements, in trade in services as well as in investements. Besides, in order to accelerate economic development, important reforms on business law have removed substancial discriminations between economic operators. However, the insufficient ajustement on structural matters still poses many problems for the implementation of the principle of non-discrimonation.

This thesis focuses on the analysis of economic cooperation between the Czech Republic and the Federal Republic of Germany. The first part is focused on an analysis of the position of Germany in the global economy and international trade. Its position and economic development are compared with the Czech Republic. In the next section is evaluated trade and investment cooperation between the two countries. In the practical part is introduced a German company F. X. Meiller, which has a manufacturing facility in the Czech republic since 1993. For the Czech subsidiary were conducted PESTLE analysis and financial analysis. As a follow-up to the analysis of the financial situation of the company have been proposed new approaches, which might help to solve the problems that the company faces.

Obchodní dům "Centrum" v Brně / "Centrum" Department Store in Brno

The subject of the thesis is an architectural study of the reconstruction and extension of the "Centrum" department store in Brno. It is a dominant building designed by the famous czech architect Vladimir Karfík, which is located at the Urban Conservation Area Brno. Object wasn´t realized with the full extent of the original proposal, so in the project is planned a completion of it. The new solution respects the historical quality of Urban Conservation Area Brno with a concurrent view of the location on the lucrative land in the city center. The architectural concept is based on a return to the original idea of the architect and the addition of my own creative contribution within the extension of the new floors. Draft of the extension is intended so that the individual parts of an object communicate with each other, but they are easily recognizable as well. This idea was filled by both parts linked together visually by horizontal lines and ripple, which is used on balconies of the extension and behind the facade of the current building by shielding walls. However it is emphasized the contrast between an enclosed mass and a free-flowing space. The existing part of the building is used especialy as a leasable area of trade and services. On the upper floors there are areas of administration. Furthermore, there will be a restaurant and cafe with exhibition galleries and apartments are designed on the new added floors. The building is adapted to use by person with limited mobility. Newly added uses in the object will increase the attractiveness of the building and its surroundings.
