La fabrique du droit du commerce international : réguler les risques de capture / The making of transnational commercial law : how to regulate the risk of capture

Le risque de capture est peu étudié en dehors du contexte de la régulation économique dans lequel il a été théorisé. Bien que la doctrine américaine ait montré que ce risque est inhérent à tout processus normatif, les études juridiques sur la question demeurent rares, même si le risque de capture est parfois mentionné au détour d’une phrase ou d’une note de bas de page. La présente étude a pour ambition de mieux cerner les risques de capture pouvant affecter la fabrique du droit du commerce international au sein de la CNUDCI et d’UNIDROIT. L’étude vise non seulement à identifier ces risques de capture, mais surtout à en proposer un encadrement juridique à même de maîtriser la double dynamique observable au sein de la CNUDCI et d’UNIDROIT, entre d’une part la participation des opérateurs du commerce international dans leurs activités normatives – un aspect essentiel conditionnant la qualité et l’acceptabilité commerciale de leurs normes juridiques –, et d’autre part la prévention des risques de capture, un phénomène nuisible en raison du détournement du processus normatif qu’il entraîne au profit de certains opérateurs économiques. / Apart in the field of economic regulation where it emerged, the notion of capture has not been the subject of much analysis, particularly in law. The present study builds on the theory of regulation that coined the concept of capture and proposes to analyse the risks of capture affecting the making of transnational commercial law within UNCITRAL and UNIDROIT. The study aims not only to identify these risks of capture but also to provide a legal framework to promote the participation of economic actors in these law-making processes – a key feature to ensure the quality and commercial acceptability of their norms – , while preventing the occurrence of captures, a noxious situation where lawmakers are left without autonomy to conduct their normative functions.

Principles of implementation : a comparative analysis of the Cape Town Convention's remedies

The Cape Town Convention and the Aircraft Protocol came into force on 1st March 2006. To date, the Convention has seventy-four States Parties, the Aircraft Protocol sixty-eight States Parties, and together they can be regarded as one of the most successful recent commercial law treaties. The Convention's overriding object is to offer creditors the highest possible protection in the form of an effective, speedy and strong legal remedial framework for the international enforcement of creditors rights in the event of the debtor's default or insolvency. The underlying rationale is that this will lead to significant reductions in borrowings costs for lenders to the advantage of all interested stakeholders in the aircraft sector. However, without effective implementation of the remedial system of the Convention and the Aircraft Protocol, it is difficult for financiers to have confidence that they are able to defend their legal rights effectively. This thesis investigates the structure and contents of the Convention's remedial system in a chronological order, but it does not purport to be a comprehensive and systematic monograph on the Convention's remedies as already done by the Convention's Official Commentary. It consists of four parts each of which investigates a particular core aspect of the implementation and operation of the Convention's remedial system in practice. In particular, it investigates the Convention's declaration system, and its procedural, substantive and insolvency remedies to ensure an effective and comprehensive protection of creditors in aircraft finance. In doing so, it identifies critical lessons for the implementation of the treaty in civil and common law jurisdictions.

The Influence of ICC Arbitral Decisions on Canadian Law: Comparative Study between Civil Law and Common Law Jurisdictions

L’objectif de cette recherche est de démontrer que les décisions arbitrales de la Chambre de commerce internationale peuvent être considérées comme une source potentielle de droit au Canada. Il existe actuellement une incertitude quant au droit matériel utilisé en arbitrage international pour résoudre les différends commerciaux. Bien que l’utilisation de la lex mercatoria pour résoudre un litige soit une option, elle se heurte à de nombreuses incertitudes terminologiques et conceptuelles. L’utilisation d’une approche méthodologique de la lex mercatoria permettrait une classification de ses sources en deux branches: (1) le droit statutaire international et (2) le stare decisis des tribunaux d’arbitrage commercial international. Une telle approche méthodologique conférerait plus de certitude quant à l’application d’un droit uniforme. De plus, elle faciliterait l’étude de l’interlégalité entre les règles de la lex mercatoria et le droit matériel interne. Plus particulièrement, elle permet de comparer les similitudes et les différences des règles du droit matériel entre les décisions arbitrales internationales, le droit statutaire international et les juridictions canadiennes de common law et de droit civil. Cette comparaison rend possible une évaluation de l’influence potentielle des décisions arbitrales de la Chambre de commerce internationale sur le droit matériel canadien et si cette influence est plus importante en droit civil ou en common law. / This paper’s objective is to demonstrate that the International Chamber of Commerce’s arbitral awards may be considered as a potential source of law in Canada. There currently exists an uncertainty as to the substantive law used in international commercial arbitration. While the use of lex mercatoria to solve commercial disputes is often referred to, several terminological and conceptual uncertainties undermine its credibility. The use of a methodological approach to lex mercatoria allows for a twofold classification of its sources through: (1) international legislation and (2) stare decisis from international arbitral tribunals. This methodological approach provides a greater certainty for the application of a uniform law which, in turn, allows for the study of interlegality between rules of lex mercatoria and substantive domestic law. Furthermore, this methodological approach facilitates the demonstration of the similarities and differences between international arbitral decisions, international legislation as well as Canadian common law and civil law jurisdictions. This comparative analysis will allow the study of the potential influence of the arbitral decisions of the International Chamber of Commerce on substantive Canadian law and whether this influence is more important in civil law or common law.

Challenges to effective treaty-making in contemporary transnational commercial law : lessons from the Cape Town Convention

This thesis is the first detailed and comprehensive research of the history of the 2001 Convention on International Interests in Mobile Equipment (the 'Convention' or 'CTC') and its protocols. It is submitted that the quality of response to the various challenges of the treaty-making process can serve as a measure of a convention's success, and that the unique characteristics of the CTC make it a prime target for such research. The author identifies and analyses the most problematic issues in the process of development of the Convention and its protocols, including the latest draft protocol on mining, agricultural and construction equipment. This research focuses on the documentary history of the CTC and its Aircraft Protocol (as the only protocol currently in force), relying primarily on the materials published by UNIDROIT and other international organisations, and shows that not all of the challenges found an adequate response in the Convention. Nonetheless, the shortcomings pale in comparison with the Convention's achievements: the CTC has created a highly effective machinery for regulating international interests in mobile assets. The author does not perform empirical ex post analysis of implementation of the Cape Town Convention, but this thesis will form a solid background for such research in the future. This study, apart from its scholarly importance, has clear practical value: its conclusions (including a number of treaty-making lessons originating from this research) can assist governmental officials, representatives of international organisations and legal advisors (both external and internal) participating in the treaty-making process and, it is hoped, will strengthen he attractiveness of conventions as an instrument of harmonising commercial law in the future.
