Affärsänglars investeringsmotiv och investeringsstrategier

För företag som är i behov av externt kapital och extern kompetens med ett stort kontaktnät, kan en affärsängel vara till stor hjälp. I utbyte mot kapital och egen kompetens får affärsängeln delar av det investerade företaget, som den i sin tur förväntar sig få finansiell avkastning på.Författarna har genomfört en kvalitativ undersökning genom att intervjua affärsänglar med syftet att undersöka de investeringsmotiv och investeringsstrategier som de har vid sina investeringar. Författarna ger även en grundläggande sammanfattning av vad affärsänglarna beaktar vid en investering och vad de generellt har för uppfattning av vad det innebär att vara en affärsängel. Slutsatserna som analysen låg till grund för var att det inte alltid är avkastningen som är det viktigaste investeringsmotivet. Att vara delaktig och medverka till de investerade företagens utveckling var ett mer förekommande svar på frågan om affärsängelns syn på investeringsmotiv. Affärsänglarnas investeringsstrategier är att de vill delta aktivt i de investerade företagen och bidra med den kompetens och erfarenhet de besitter. Relationen med entreprenören var lika viktig som företagets produkt. / For companies that are in need of external capital and external expertise with a large network, a business angel can be very helpful. In exchange for capital and self-competence the business angel gets a share of the invested company, which it in return expects to get financial returns. The authors have conducted a qualitative study by interviewing business angels with the aim to examine the investment motive and investment strategies that they have on their investments. The authors also give a basic summary of what business angels account for in an investment and what they generally have the perception of what it means to be a business angel. The conclusions of the analysis was based on that it is not always the return of the investment that is the most important investment motive. Being involved and help the invested companies’ development was a more appropriate response to the question of the business angels approach to investment motives. The business angels investment strategies are that they want to participate actively in the invested companies and help with the skills and experience they possess. The relationship with the entrepreneur was as important as its product.

Three Essays in Corporate and Entrepreneurial Finance:

Thesis advisor: Thomas J. Chemmanur / My dissertation consists of three chapters. In the first chapter, I study the impact of a place-based tax credit policy, the Opportunity Zone program created under the Tax Cuts and Jobs Act of 2017, on local private investments and entrepreneurship. Using a difference-in-differences approach and comparing census tracts designated as Opportunity Zones and other eligible but non-designated tracts, I find that the policy has drawn significantly more private investments to economically distressed areas. Surprisingly, however, these private investments have led to decreases in local new business registration. The decrease in entrepreneurship was mainly in the non-tradable sector, which is more sensitive to local conditions than the tradable or construction sector. Further robustness tests suggest that the above results are causal. I provide one explanation for the above findings that more private investments went to existing and older firms in Opportunity Zones, discouraging potential entrepreneurs from competing with the better-financed firms locally. In the second chapter, I examine how changes in investor protection regulations affect local entrepreneurial activity, relying on the heterogeneous impact of a 2011 SEC regulation change on the definition of accredited investors across U.S. cities. Using a difference-in-differences approach, I show that cities more affected by the regulation change experienced a significantly larger decrease in local angel financing, entrepreneurial activity, innovation output, employment, and sales. I find that small business loans and second-lien mortgages became entrepreneurs’ partial substitutes for angel investment. My cost-benefit analysis suggests that the costs of protecting angel investors through the 2011 regulation change outweigh its benefits. In the third chapter, which is co-authored with Thomas Chemmanur and Harshit Rajaiya, we address three important research questions by using a large sample of angel and venture capital (VC) financing data from the Crunchbase and VentureXpert databases and private firm data from the NETS database. First, we analyze the relative extent of value addition by angels versus VCs to startup firms. We show that startups financed by angels rather than VCs are associated with a lower likelihood of successful exit (IPO or acquisition), lower sales and employment growth, lower quantity and quality of innovation, and lower net inflow of high-quality inventors. We disentangle selection and monitoring effects using instrumental variable (IV) and switching regression analyses and show that our baseline results are causal. Second, we investigate the complementarity versus substitution relationship between angel and VC financing. We find that a firm that received a larger fraction of VC or angel financing in the first financing round is likely to receive a larger fraction of the same type of financing in a subsequent round; however, when we include other non-VC financing sources such as accelerators and government grants into the analysis, a firm that received angel (rather than other non-VC) financing in the first round is also more likely to receive VC financing in a subsequent round. Third, we analyze how the financing sequence (order of investments by angels and VCs across rounds) of startup firms is related to their successful exit probability. We find that firms that received primarily VC financing in the first round and continued to receive VC financing in subsequent rounds (VC-VC) or those that received primarily angel financing in the first round and received VC financing in subsequent rounds (Angel-VC) have a higher chance of successful exit compared to those with other financing sequences (VC-Angel or Angel-Angel). / Thesis (PhD) — Boston College, 2022. / Submitted to: Boston College. The institutional determinants of private equity involvement in business groups - The case of Africa

Yes / This study examines the governance attributes of post-IPO (initial public offering) retained ownership of private equity in business group constituent firms in contrast to their unaffiliated counterparts, in 202 newly listed firms in 22 emerging African economies. We adopt an actor centered institutional-theoretic perspective in rationalizing institutional voids and the advantages of maintained governance by both business angels (BA) and venture capital (VC) private equity. Our findings reveal private equity retain higher post-IPO ownership in business group constituents compared to unaffiliated firms and that this is inversely moderated in the context of improving institutional quality – where this is particularly strong in case of foreign VC as opposed to domestic VC or BA. Our result adds to the literature on multifocal corporate governance mechanisms and the institutional determinants of private equity investment.

During the end of the 19th century there was a shift in the perception of femininity in England. The Victorian ideal of the Angel in the House was challenged by the idea of the New Woman. This essay attempts to answer the question how Mina Harker (née Murray) and Lucy Westenra compare to these ideas of womanhood. Lucy Westenra displays the traits of the Angel in the House, adhering closely to the Victorian norms of femininity. Mina Harker is a more complicated case, displaying traits of both the Angel in the House and the New Woman. Furthermore, Mina’s New Woman traits play an integral part of the plot, leading to Count Dracula’s defeat.

Trends in evolutionary morphology : a case study in the relationships of angel sharks and batoid fishes

Chondrichthyans are cartilaginous fishes that include the extant chimaeras, sharks, and batoids, and their extinct relatives. In this dissertation, I examined the growth, development, and relationships of extinct and extant chondrichthyans. I reexamined the skeleton of fossil and fetal specimens of the angel sharks (Squatiniformes) and reanalyzed the current morphologically based hypothesis of chondrichthyan evolution, which conflicts with the current molecular based hypothesis. I did this by including extinct taxa and new characters based on dentition, and the ethmoid, occipital, pectoral, and vertebral skeleton. My results supported the pre-existing morphological hypothesis that angel sharks, saw sharks, and batoids form a clade. However, some of my new characters, particularly those based on the vertebral morphology, indicate that fetal and juvenile angel sharks do not share as many apomorphies with batoids as previously hypothesized from the examination of adults. I also examine the relationships of major groups within batoids, beginning with the construction of a hypothesis of the evolutionary history of electric rays (Torpediniformes). My results are consistent with previous rank-based classifications. However, they deviate from previous classifications depending on the criteria used to generate the hypothesis and on which taxon, or combination of taxa, were used to root the ingroup phylogeny. Because pectoral and vertebral morphology are so critical to morphological hypotheses, I also examined the growth and development of the synarcual cartilage in batoid fishes, with particular emphasis on the synarcual of skates (Rajiformes). My results demonstrate that calcification and chondrification do not proceed in the same order, temporally and spatially. Finally, I redescribe the extinct batoid †Cyclobatis, known only from the Cretaceous, and evaluate its phylogenetic position. My results indicate that †Cyclobatis, the oldest known rajid, is also the sister taxon to a clade of all known extant members of Rajidae. Furthermore, the inclusion of new characters, mainly derived from the synarcual, help to resolve the interrelationships of Rajidae. / text

Angel Jones Artist Statement My mixed media collages address issues concerning the outcast, the overlooked, and the underprivileged. My inspirations come from what I experience and perceive around me. My purpose in life is to use my art to address social issues that involve children. For example, I focus my attention on issues ranging from homelessness to mental illness. I am passionate about how vital these concerns are to our success as human beings. To express my ideas, I layer a variety of materials and textiles. The materials include fragments of photographs, drawings, and objects. The textiles include articles of clothing and fabrics. Recurring symbols and imagery link the individual pieces together. The theme of each work determines the materials and media. While doing research for a piece, new social issues often surface and lead to the next piece.

He is tasked with discovering who murdered Dodge Renaud, the fortune god of New Orleans. What he discovers, though, are some surprising truths about the fundamental nature of things: about loss, about New Orleans, and about himself.

S'appuyant sur les paradoxes traditionnels que la théologie définissait à partir d'une essence angélique, le XXe siècle poétique éprouve une fascination universelle pour l'ange. Cet engouement apparaît d'autant plus curieux qu'il s'exerce sur l'ensemble des sensibilités poétiques. En outre, ces usages apparaissent si divers et si contradictoires que l'apparition angélique acquiert la propriété radicalement originale de pouvoir supporter indifféremment toute intention d'auteur, et celle plus curieuse encore d'échapper aux intentions premières d'un poète pour développer un sous-discours indépendant. L'ange marque un régime de discours par lequel les différentes instances du discours poétique coexistent dans une relation encore indivisée ; le messager angélique désigne très précisément l'instant où le chaos intime d'un sujet se métamorphose en langage articulé. Cette exploration du phénomène angélique est divisée en trois étapes, consacrées chacune à un corpus différent. L'étude de l'ange comme figure explore les nombreuses variations d'une apparition à l'autre, motivées par des hésitations d'ordre religieux, temporel, civilisationnel, politique et esthétique dans les œuvres de Guillaume Apollinaire pour le domaine français, et d'Odysseus Elytis pour le domaine grec. This attraction appears all the more curious as it applies to all observable poetic sensibilities. In addition, these practices turn out to be so diverse and contradictory that angelic appearance acquire a radically original property to withstand any intention of the author, and the even more curious one to escape the immediate intentions of a poet, developing a secondary speech of its own. The angel marks a way of speech in which different instances of poetic discourse coexist in a still unindividuated relation. The angelic messenger indicates the precise moment when the inner chaos of a subject is transformed into articulate language . This exploration of the angelic phenomenon will be divided into three steps, each dedicated to a different corpus. The study of the angel as a visual figure will explore the many variations from an apparition to another, motivated by hesitations of religious, temporal, civilizational, political and aesthetic kind, as they appear in the poetic works of Guillaume Apollinaire for the French literature, and those of Odysseus Elytis in the Greek linguistic area. The analysis of the angel as a support of an intimate relationship of the subject to itself more broadly interrogate the Austro-German poetic experiences on the one hand, the Mexican on the other hand. Eventually, two attempts to form an angelic language in French poetry will be considered, through the respective major works of Patrice de La Tour du Pin and Christian Gabriel/le Guez-Ricord.

Por não possuírem todos os recursos necessários para o desenvolvimento dos seus negócios, é comum optarem por procurarem investimentos, encontrando nos investidores-anjo uma opção vantajosa. No Brasil, apesar de existirem algumas opções por realizar essa espécie de investimento, optou-se por adotar as chamadas notas conversíveis, fortemente inspiradas na prática norte-americana. Tais instrumentos podem ser definidos como um investimento realizado através da concessão de um empréstimo, o qual poderá ser pago na data de vencimento através da conversão do saldo devedor em participação societária. A conversão é obrigatória, entretanto, quando ocorre algum evento de liquidez entre a concessão do empréstimo e o vencimento. Por contarem com inúmeras cláusulas de natureza societária, tais instrumentos não podem ser classificados como o instituto típico do mútuo. Deste modo, poderia o instituto ser classificado ou como uma sociedade em comum, em face das disposições peculiares do instrumento, ou como um contrato atípico consagrado pelos usos e costumes. Para responder essa questão foi conduzida uma pesquisa qualitativa através da entrevista de doze pessoas que participaram destas operações na condição de investidor ou empreendedores. Os resultados confirmam que as notas conversíveis são o instrumento comumente utilizado nas operações de investimentoanjo, bem como que as partes entendem estar diante de uma norma jurídica exigível ao se valerem do instituto. Aliado a isto, o resultado pode ser sustentado pela percepção de outros instrumentos similares no ordenamento, a ausência da identificação do fim comum entre as partes, bem como pela teoria da atipicidade contratual. / Startups play an important role on the production of innovations and on economic development. Since startups do not have all the necessary resources for the development of their business, they often look for financial support from angel investors. In Brazil, although there are some formal options to contract this type of investment, entrepreneurs decided to adopt the so-called convertible notes, strongly inspired by US practice. Such instruments may be defined as an investment made through the granting of a loan, which may be paid on the maturity date through the conversion of the debtor balance into equity. Conversion is mandatory, however, when any liquidity event occurs between the granting of the loan and the maturity. Since the convertible notes have numerous clauses of corporate nature, such instruments can not be classified as the typical institute of loan. In this way, the institute could be classified as a partnership, or as an atypical contract consecrated by customs. This dissertation conducted interviews with twelve people who participated in these operations as investors or entrepreneurs. The results confirm that convertible notes are the instrument commonly used in angel-investment operations, as well as the fact that the parties understand that they are in compliance with a legal standard that is required when using the institute. Allied to this, the result can be sustained by the perception of other similar instruments in the Brazilian legal framework, the absence of the identification of the common objectives between the parts, as well as by the theory of contractual atypicity.

Conjectured that the figure of the Angel addressed within the study of angelology had relations and fundamental contributions to the field of communication, both similar in character, from the perspective of reasoning character "messenger", as well as persuasive element within the manifestations media in film, considering his character and religious mythological-archetypal followed by their relevance as semiotic sign, in particular, has also sought to understand the figure of the Angel from the studies of angelology (pseudoscience proposed within the study of religion, theology and philosophy, addressed in particular by the authors Arturo Blanco and Charles Ryrie and Judeo-Christian literature with reference to the Bible) and its categorization within the sciences, briefly adding their spheres of analysis within the cradle of these (philosophy) and the study of religion (theology), and to analyze in a descriptive interpretation based on comparative argument twenty-five films that include the character Angel (Western filmographies dated in the period between the late twentieth and early twenty-first century) generating categories of "types "recurring characters archetypally (theoretical guided especially Carl Jung and Christopher Vogler), He has helped the findings on concepts of communication theory that made use of the Angel as a metaphor for its phenomena, in particular by the authors' Michel Serres and Walter Benjamin and issues arising from modeling and translatability studies Semiotics of Culture, with its exponent, Iury Lotman. The theoretical-methodological procedure took around concepts based on media publications and media holders (motion pictures), proposed in descriptive, analytical and interpretive, generating a basic qualitative research. The work shows is important considering that the area of communication has proved lacking in research that promote interaction between scientific and technological studies pseudoscience, such as the angelology. How conclusive elements, brings desmitificam notes that the idealization of common sense Angel necessarily be basic Judeo-Christian film, permeated with new specificities and attributes that only introduces narativa well as attentive to the unfounded idea that characters Angels the fantastic genre, are recurring in film, thus leaving open the reflection of the possible contributions that digital technologies within the communication can provide for amplification, and dissemination "materialization" of the universe and its angelological signs, making use of the seventh art / A presente pesquisa objetivou compreender quais as relações e contribuições possíveis, advindas dos estudos da angelologia, para com o pensamento tecnológico-científico na área da comunicação e semiótica, a partir de manifestações midiáticas da personagem Anjo no cinema.
