The Integration of Self-regulation Within the Swedish Private Equity Industry : An Internal Perspective

The Swedish private equity industry has been the target of vast criticism and media coverage in the years following the most recent financial crisis. As a number of scandals related to private equity owned companies within the welfare sector unfolded, the public confidence assigned to the industry diminished. These events triggered an intricate discussion concerning the regulatory conditions surrounding the industry. In an attempt to regain the confidence of the public and to restore the tarnished reputation of the industry, the alternative regulatory approach self-regulation was utilized and a code of conduct was established on the initiative of the industry in 2015. Current research in the field of private equity is predominantly quantitative and the concept of self-regulation and its components are unexplored. The scarcity of qualitative research addressing private equity and the self-regulatory matter induced the following research question: How is self-regulation integrated within the Swedish private equity industry? The main purpose of this inductive study was to generate an increased understanding and to provide new knowledge concerning the integration of self-regulation within the Swedish private equity industry. In order to accommodate this purpose and to produce an answer to the stated research question, a qualitative and interpretative study was conducted. Semi-structured interviews with eight prominent Swedish private equity professionals were pursued as the study adopted the perspective of the industry. Self-regulation has been integrated at two levels within the Swedish private equity industry in response to the existence of information asymmetry. Firstly, the recently introduced and formalized industry self-regulation addresses the relationship with the public at large. Secondly, the informal self-regulation pursued by the individual private firms targets the relationship with investors. The emphasis of the various self- regulations performed relates to issues of ethical and moral nature. By means of self- regulation, the Swedish private equity industry intends to reduce the prevailing information asymmetry and to safeguard the interests of concerned parties. Consequently, the private equity firms within the industry manage to serve as perfect stewards for the investors as well as the public. In addition, a high industrial morality was observed and ethical concerns are of greatest significance to the industry. Finally, self-regulation has enabled the Swedish private equity industry to become less private.

Idag använder sig många textilföretag av långa leverantörskedjor över stora avstånd samtidigtsom företagens omgivning ställer allt högre krav på dem i samband med sociala frågor. Dethar resulterat i ett allt större behov av att kunna kontrollera företagens produktion. På grundav det har uppförandekoder blivit allt vanligare. Uppförandekoder är ett sätt för företagen attförsäkra sig om att deras produkter tillverkas på ett socialt ansvarstagande sätt. Dock finns detflera frågetecken i samband med om uppförandekoder verkligen fyller sitt syfte.Syftet med uppsatsen är att utvärdera hur fyra svenska textilföretag arbetar meduppförandekoder för att minimera de sociala problem som finns i deras leverantörskedjor. Viville undersöka företagens arbete med uppförandekoderna samt deras innehåll, uppbyggnad,struktur och språk och på så vis ta reda på vilka problem företagen anser vara kopplade tilldetta arbete för att skapa förutsättningar för vidare forskning samt ge en djupare förståelse förhur man borde arbeta med uppförandekoder inom textilföretag.Undersökningen bygger på primär data vilket består av företagens uppförandekoder ochinsamlat material från intervjuer med de personer som ansvarar för uppförandekoden påföretagen. De företag som studerats och intervjuats är Nudie Jeans Co, Tailor Store, Hemtexoch Blåkläder.Vår studie visar att företagen själva anser att kontrollen av att uppförandekoderna efterföljssamt brister i arbetsförhållanden utgör de största problemen i deras arbete meduppförandekoderna. Vi anser dock att det största problem för samtliga undersökta företag harmed trovärdighet att göra då så mycket av deras arbete med sin uppförandekod präglas avsekretess.Today, many textile companies use long supply chains over large distances while thecompanies’ environment is putting more pressure on them in connection with social issues.This has resulted in an increasing need to control the companies’ production and because ofthis, codes of conduct have become increasingly used. Codes of conduct are a way forcompanies to ensure that their products are produced in a socially responsible way. However,there are several question marks if the code of conduct actually constitutes its purpose.The purpose of this paper is to evaluate four Swedish textile companies’ work to minimize thesocial problems that exist in their supply chains. An additional purpose is to examine thecodes of conduct content, constituents, structure and language and thus find out whatproblems companies believe to be connected to this work to create conditions for furtherresearch and provide a deeper understanding of how to work with codes of conduct in thetextile business.The study is based on primary data consisting of corporate codes of conduct and materialcollected from interviews with the persons responsible for each of the companies’ code ofconduct. The companies studied and interviewed are Nudie Jeans Co, Tailor Store, Hemtexand Blåkläder.Our study shows that companies themselves believe that the enforcement of codes of conductare followed and inadequate working conditions are the biggest problems in their work withtheir codes of conduct. Turkiet är en attraktiv växande marknad inom kontraktsbaserad textilproduktion, den geografiska närheten för svenska modeföretagen är en bidragande faktor till detta. När modeföretag i Sverige kontrakterar produktion i Turkiet stöter de på många problem när de ska uppehålla sin uppförandekod och implementera denna i alla led i värdekedjan. I denna rapport är det BSCIs uppförandekod som är fokus. Olika synsätt i Turkiet på arbetsrättigheter och sociala rättigheter är vanliga problem och det skapar svårigheter för modeföretagets sociala hållbarhetsarbete. Rapportens syfte är att undersöka hur turkiska materialtillverkare lever upp till svenska modeföretags krav samt vad som kan förbättras och hur det kan gå till. Detta är relevant för inte bara modeföretagen utan även för de leverantörer i Turkiet som söker nya kunder. Med kvalitativ forskning genom intervjuer av svenska modeföretag och turkiska leverantörer framgick det att en brist av kommunikation mellan parterna förekommer samt att de redan turkiska arbetslagarna gör det svårt att upprätthålla uppförandekoden. Modeföretagen måste öppna upp en kommunikation med sina konsumenter för att sedan vidare förmedla kraven till leverantörerna i Turkiet för att bidra till en upplysning och transparens som kan kommer att gynna alla inblandade parter. För en mer genomgående förändring krävs det en förändring av turkiska arbetslagar. För att uppnå detta krävs en stor gemensam satsning från företag med kontrakterad produktion i Turkiet och en förändring av den turkiska mentaliteten.Turkey is an attractive emerging market in contract based textile production, the geographical proximity of Swedish fashion companies is a contributing factor to this. When fashion companies in Sweden contractually enlist production in Turkey they encounter many problems when they want to maintain their code of conduct through their social sustainability. In this report it is the BSCI code of conduct that is the main focus. Differences in point of views are common in Turkey regarding working rights and social rights and that creates problems for the fashion companies’ sustainability work. The purpose of this report is to examine how Turkish material manufacturers live up to the Swedish fashion company’s requirements also what they can do to improve it and how it can be executed. This is relevant not only for fashion companies, but also for the suppliers in Turkey seeking new customers. Qualitative research through interviews with Swedish fashion companies and suppliers in Turkey indicated that a lack of communication between the parties and the established Turkish labour laws makes it difficult to maintain the code of conduct created by BSCI.Fashion companies have to open up a communication with their consumers and then pass on their demands to the suppliers in Turkey to contribute to an enlightenment and transparency that would benefit all parties involved. A more thorough change would require an update of the Turkish Labour laws.
